鉴于:

1.甲方有意购买乙方所销售的原材料,双方就原材料的购销事宜进行洽谈。

2.经过友好协商,双方就购销事宜达成以下协议,以确保交易的顺利进行。

二、质量要求

2.1乙方应确保所提供的原材料符合国家相关标准和法律法规的要求,不存在任何质量问题。

2.2如原材料出现质量问题,乙方应负责处理,并承担由此引发的经济损失和法律责任。

三、交货与验收

3.1乙方应按照合同约定的时间和地点交付原材料,确保原材料的完好无损。

3.2甲方应提前通知乙方交货的具体时间和地点。

3.3甲方有权对交货的原材料进行验收,如发现质量问题,甲方有权拒绝接收,并要求乙方退还款项。

四、付款方式

五、违约责任

5.1任何一方违约导致合同无法履行的,应向对方承担相应的违约责任,并赔偿因此造成的损失。

六、争议解决

6.1合同的履行和解释应依据中华人民共和国法律的有关规定进行。

七、其他事项

7.1本合同自双方签字盖章之日起生效,期限为一年。到期前一个月,任何一方若不愿意继续履行本合同,应提前书面通知对方。

7.2未尽事宜,双方可在商定后进行补充、修改,并以书面形式为准。补充、修改合同应经双方授权代表签字盖章后生效。
