2025商务英语合同写作:房地产买卖合同中英对照RealEstatePurchaseandSaleContract(BilingualVersion)ThisRealEstatePurchaseandSaleContract("Contract")isenteredintoonthisdayof,2025,byandbetweenthefollowingparties:PartyA(Seller):Name:Address:ContactInformation:PartyB(Buyer):Name:Address:ContactInformation:Recitals:PartyAownsthepropertylocatedat,whichisdescribedindetailinSchedule1attachedhereto.PartyBwishestopurchasesaidpropertyfromPartyAunderthetermsandconditionssetforthherein.Agreement:PropertyDescriptionTherealestatetobepurchasedbyPartyB(the"Property")islocatedat,includingallappurtenantrights,interests,andfacilitiesdescribedinSchedule1.ThePropertyisfreefromencumbrancesexceptasdisclosedinthisContractorotherwiseagreeduponinwritingbytheParties.PurchasePriceThepurchasepricefortheProperty(the"PurchasePrice")shallbeUSD/EUR/GBP,tobepaidbyPartyBtoPartyAasfollows:%ofthePurchasePriceasadepositwithindaysfromthedateofthisContract.Theremainingbalancetobepaiduponcompletionofthetransaction,subjecttothetermsandconditionsherein.DueDiligencePeriodPartyBshallhaveaperiodofdays(the"DueDiligencePeriod")fromthedateofthisContracttoconductduediligenceregardingtheProperty.Duringthisperiod,PartyBmayinspectthePropertyandreviewallrelevantdocumentsprovidedbyPartyA.Ifanyissuesariseduringthisperiod,thePartiesshallnegotiateingoodfaithtoresolvethem.ClosingDateTheclosingdateforthetransaction(the"ClosingDate")shallbeon,2025,orsuchotherdateasmutuallyagreeduponbytheParties.OntheClosingDate,PartyAshalltransferownershipofthePropertytoPartyB,andPartyBshallpaytheremainingbalanceofthePurchasePrice.WarrantiesandRepresentationsPartyAwarrantsandrepresentsthat:IthasfullauthoritytoselltheProperty.ThePropertyisfreefromanyliensorencumbrancesexceptasdisclosedherein.AllinformationprovidedtoPartyBregardingthePropertyisaccuratetothebestofPartyA'sknowledge.IndemnificationPartyAagreestoindemnifyandholdharmlessPartyBagainstanyclaims,damages,orexpensesarisingfromanybreachofwarrantiesorrepresentationsmadebyPartyAinthisContract.TaxesandFeesAlltaxes,fees,andotherchargesincurredinconnectionwiththetransferofownershipshallbebornebyPartyA,unlessotherwisespecifiedbylaworagreeduponinwritingbytheParties.DefaultandRemediesIfeitherPartyfailstoperformitsobligationsunderthisContractwithoutjustcause,thenon-breachingPartymayterminatethisContractandrecoverdamages,includingbutnotlimitedtolossofprofit,reasonablelegalfees,andotherincidentaldamages.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof(the"Jurisdiction").AnydisputesarisingoutoforrelatingtothisContractshallberesolvedthrougharbitrationinaccordancewiththerulesof,orinacourtofcompetentjurisdictionwithintheJurisdiction.EntireAgreementThisContractconstitutestheentireagreementbetweenthePartiesregardingthesaleandpurchaseoftheProperty.AnyamendmentsormodificationsheretomustbemadeinwritingandsignedbybothParties.NoticesAnynoticesrequiredunderthisContractshallbeinwritinganddeliveredtotheaddressesspecifiedabove,orviaemailasagreeduponbytheParties.Noticesshallbedeemedreceivedupondeliveryifsentbyregisteredmailorconfirmedemailtransmission.INWITNESSWHEREOF,thePartieshaveexecutedthisContractonthedatefirstabovewritten.PartyA(Seller):Signature:Date:PartyB(Buyer):Signature:Date:Schedules:Schedule1:DescriptionofPropertySchedule2:ConditionsPrecedentSchedule3:ClosingDocumentation附录(中文部分):合同目录:物业描述购买价格及支付方式尽职调查期交割日期卖方的保证与声明赔偿责任税费承担违约及补救措施适用法律合同的完整性通知方式附录1:物业详细描述地址:产权证明文件:其他权益或设施:附录2:先决条件买方需在交割前完成的事项:卖方需在交割前完成的事项:附录3:交割所需文件卖方需提供的文件:买方需提供的文件:This
