8.Termination

EitherpartymayterminatethisAgreementupon__________days'writtennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticethereof.

9.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyondthereasonablecontrolofthatparty.

10.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof__________.
