Resp on sibilities of both parties6.1甲方责任6.1 Responsibilities of Party A甲方应按照本合同第三条的约定，在规定时间内向乙方提交数据及文件， 并对其完整性、正确性及时限负责。甲方提交上述数据及文

12、件超过规定期限15天以内的，乙方按本合同第四条规定交付设计文件时间相应顺延；超过规定期限15天以上的，乙方有权重新确定提交设计文件的时间。6.1.1 Accord ing to the contents stated in Article 3 of this Con tract, Party A shall submit materials and documents to Party B within the stipulatedtime as described and shall be responsiblefor the completeness,correct ness and va

13、lidity of such materials and docume nts. In the eve nt that Party A has delayed the issua nee of such materials and docume nts, but not exceeding 15days from the stipulated time, Party B could con seque ntly postp one the submittal of the desig n docume nts as stipulated in Article 4 of this Con tra

In case that Party A has delayed the issua nee of materials and documents for more than 15 days exceeding the stipulated time limit, Party B shall have the right to determine the new date for submitt ing the desig n docume nts.甲方变更委托设计項目、规模、条件，或对提交数据作重大修改，以致造 成乙方设计需返工时，甲、乙双方除需另行协商签订补充合同、重新明确有关条款

15、外，甲方应按乙方所耗工作量向乙方支付返工费用。6.1.2 If Party A alters greatly the design project, scale, condition whichthey have already entrusted to Party B, or the materials provided by Party A is wrong/incomplete or Party A makes major alterations to the approved desig n and the in formati ongive n, as a result of whi

16、ch, has caused PartyB to redo the desig n work, or has gen erated un-n ecessary abortive works, both parties shall enter into negotiation and to draw up a supplementary con tract. Party A shall compe nsate Party B for the additi onal work loadin accorda nee to the new agreeme nt.在合同履行期间，甲方单方提出解除合同的，

17、乙方已开始设计工作的，甲 方应根据乙方已进行的实际工作量支付设计费。6.1.3 Should Party A termi nate the Con tract duri ng the con tractual period, party A shall pay Party B accord ing to the actual work done.甲方在收到乙方付款通知书后 30天内，按本合同第5条规定的金额和时 间向乙方支付设计费用；在收到付款通知书的60天仍未支付，每逾期支付一天，应承担设计费金额千分之一作为逾期违约金。逾期超过30天以上的，乙方有权暂停履行以下阶段工作，并书面通知甲方。行政

18、主管部门对设计文件不予审批或 本合同项目停缓建，甲方均应支付应付的设计费。6.1.4 Party A shall pay the design fee to Party B within Thirty (30) days upon receiving the Notice of Payment from Party A according to the amount and the time stipulated in Article 5. In case that such payment is delayed for Sixty (60) days upon receiving the N

19、otice of Payment, then a penaltyof 0.1% of the due amount of payme nt on a daily basis shall be paid byParty A. in case that such payme nt is delayed for a period over 30 days,Party B shall have the right to suspe nd their desig n work for the n ext phase and shall inform Party A in writ ing. In cas

20、e that the man ageme nt of Party A does not approve the desig n docume nts or the con struct ion of the project of this Con tract is stopped or. postp on ed, Party A shall n evertheless pay due desig n fee.甲方要求乙方比合同规定时间提前提交设计文件时，甲方应支付赶工费。6.1.5 If Party A requests Party B to submit the design documen

21、ts ahead of the stipulated of the stipulated time as men ti oned in the Con tract, Party A shall make additi on payme nt for fast and immediate service.为乙方派往现场的工作人员提供工作方便条件。6.1.6 Party A shall provide site office and all releva nt office statio nary for Party B s personnel who are being sent to work

22、 site during thecon struct ion stage.甲方应保护乙方的设计版权，未经乙方同意，甲方对乙方交付的设计文件 不得复制或向第三方转让或用于本合同以外的项目，如发生以上情况，乙方有权向甲方索赔。6.1.7 Party A shall protect the design copyright of Party B. Without Party B s consent, Party A shall not duplicate of tran sfer to a third partyor use the design documents for other projec

Of the above-mentioned is happe ned, Party B shall have the right to claim.6.2乙方责任6.2 Respo nsibilities of Party B:乙方按本合同第四条规定的内容、时间及份数向甲方交付设计文件。6.2.1 Party B shall submit to Party A the required desig n docume nts inright content, time and copies according to the clause of Article 4.乙方对设计文件出现的遗漏

24、或错误应在施工前负责修改或补充。由于乙方设计错误造成工程质量事故损失的，乙方除负责采取补救措施外，应免收损失部 分的设计费，并根据损失程度向甲方偿付赔偿金，赔偿金额根据乙方与保险公司 签订的设计责任保险合同计算。6.2.2 Party B shall be responsible for correcting any omission or mistake in their desig n docume nts before the con struct ion. If the desig n mistake made by Party B has caused losses to Party

25、 A, Party B shall not only beresponsible for taking the remedial measures, but also shall remit thedesign fee for the part of such losses and shall pay compensation to PartyA accord ing to the degree of such loss. The amount of the compe nsati onshall be determ ined by party B and his in sura nee co

26、mpa ny and to be inaccorda nee to the professi onal indemn ity in sura nee coverage.由于乙方自身原因，延误了按本合同第四条规定的设计文件交付时间，每 延误一天，应减收该项目应收设计费的千分之一。6.2.3 If it is Party B s own fault to have delayed the submission of the design documents according to the stipulated time as described in Article4, Party B shal

27、l deduct 0.1% of the due amount of the design fee in a daily basis for the delay period.合同生效后，乙方单方提出解除合同的，乙方应当按照有关规定赔偿甲方 损失。6.2.4 After the Con tract comesi nto force, if Party B proposes to term in ate the Con tract, Party B shall compe nsate Party A s losses accord ing to the releva nt regulatio n

28、s.乙方交付设计文件后，应参加甲方及相关职能部门的设计审查会议及根据审查结论负责不超出原定计划任务书范围内的必要调整补充；负责向甲方及施工单位进行设计交底，处理有关的设计问题和参加竣工验收。乙方应派相关人员参 加施工期间的例会。乙方应优化设计以帮助业主将造价控制在预算内。625 After the desig n docume nts has bee n submitted, Party B shall also atte nd the approval meeti ngs held by Party A and the releva nt compete nt authorities and

29、 shall be responsible for making the necessary adjustments, revisions and supplements which does not exceed the scope of the documents of desig n requireme nt as orig in allydefi ned based on the comme ntsof suchmeet in gs. Party B shall be resp on sible for sol ving all the releva nt乙方不得向第三方扩散、泄漏、转

30、让甲方提交的产品图纸技术经济资料。 如发生以上情况，甲方有权向乙方索赔。6.2.6 Party B is not allowed to disclosed and transfer to a third partyany product drawing, technical and economic data etc. which are provided by Party A. In case that the above-me nti oned is happe ned, Party A shall have the right to claim.未经甲方同意乙方不得将本项目的设计工作全部

31、或部分转包给第三者。Party B is not allowed to subc on tract the desig n work completely or partially to any third party without the permission of Party A.第七条其他约定Article 7 Other provisi ons7.1甲方要求乙方指派专人长期驻施工现场进行配合与解决有关问题时，双方应另行签订技术咨询服务合同。7.1 When Party A requires Party B to send site personnel to the con struc

32、t ion site for a long period, the two parties shall n egotiate for these additi onal work and sig n a suppleme ntary service Con tract.7.2乙方为本合同项目所采用的国家或地方标准图，由甲方自费向有关出版部门购买。7.2 Party A shall pay for all the releva nt publicati ons and sta ndardcollecti ons of draw ings issued by the state and local

33、 gover nment which are n eeded by Party B for the purpose of desig ning the project.7.3本合同第四条规定乙方交付的设计文件份数超过本合同第四条规定的份数， 乙方另收工本费。7.3 If Party B is required to submit design documents, of which, the number of copies are more tha n those stipulated in Article 4 of this Con tract,Party A shall pay for

34、those additi onal copies.7.4本工程项目中，建筑材料、设备的加工订货，甲方需要乙方设计划人员配合 时，所需费用由甲方承担。7.4 If Party A require Party B to provide pers onnel to assist them forprocurement purposes, such as the procurement of buildingmaterial,equipme nt and etc; the expe nses n eeded shall be borne by Party A.7.5甲方委托乙方承担本合同内容之外的工作

35、服务，另行支付费用。7.5 If Party A entrusts Party B to undertake those work and services which are bey ond this Con tract, Party A shall pay additi onal fee.7.6由于不可抗力因素致使合同无法履行的，双方应及时协商解决。Wherthis Con tract can t be executed because of the un foreseeable n atural forces, the two parties shall timely n egotiat

36、e to solve the problem.7.7本建设工程设计合同在履行过程中发生纠纷，双方应及时协商解决。协商不 成时，双方同意由上海市仲裁委员会仲裁。7.7 Both parties shall timely discuss each other for the settlement ofany dispute aris ing duri ng the executi on of this Con tract. In case thatsuch discussi on fails, both parties have agreed appeali ng to Shan ghaiMun

37、icipal Arbitrati on Commissio n can be accepted.7.8甲方聘请【】为甲方顾问，协助甲方进行设计管理和建筑设计咨询。费用由 甲方另行支付。7.8 Party A has engaged to act as Party A s consultants to assist Party A to provide the design managementand design consultation services. The fee will be paid by Party A directly and separately.7.9本合同未尽事宜，双

38、方可签订补充协议，补充协议与本合具有同等效力。Supplementary agreement could be madebetween the two parties in case that any additi onal clause shall be added. The suppleme ntary agreeme nt shall have the same effect and power as this con tract.7.10本合同一式八份，甲方执肆份，乙方执叁份，政府部门执壹份。7.10 This con tract shall be made in 8copies. Party A shall hold 4 copies. Party B shall hold 3 copies. The gover nment authority departme nt shallhold 1 copy.7.11本合同以中英对照书写，如有矛盾，应以中文文本为准。7.11 This Con tract is prepared in both Chin ese and En glish Ian guages, inthe eve nt of con flictsin any of the provisi ons be
