2025分销商合同英文范本DISTRIBUTORAGREEMENT2025ThisDistributorAgreement(the"Agreement")isenteredintoasof,2025,byandbetween[DistributorName],acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat(the"Distributor"),and[SupplierName],acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat(the"Supplier").WHEREAS,theDistributordesirestodistributetheproductsmanufacturedbytheSupplier(the"Products"),andtheSupplierdesirestoappointtheDistributorasitsexclusive/non-exclusivedistributor(asspecifiedinthisAgreement)withinaspecificterritory,subjecttothetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:1.DEFINITIONSForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:"Agreement"shallmeanthisDistributorAgreement,includingallexhibits,schedules,andappendicesattachedhereto,andanyamendmentsormodificationsthereto."Distributor"shallmeantheentityspecifiedinthisAgreementastheDistributor,andanyofitssuccessorsorassignspermittedunderthisAgreement."Supplier"shallmeantheentityspecifiedinthisAgreementastheSupplier,andanyofitssuccessorsorassignspermittedunderthisAgreement."Products"shallmeanthegoodsorservicesspecifiedinthisAgreementtobedistributedbytheDistributor."Territory"shallmeanthegeographicareadesignatedinthisAgreementwithinwhichtheDistributorisauthorizedtodistributetheProducts."Distributorship"shallmeantherightgrantedtotheDistributorunderthisAgreementtodistributetheProductswithintheTerritory.2.DISTRIBUTIONRIGHTS2.1TheSupplierherebygrantstotheDistributortheexclusive/non-exclusiverightandauthoritytodistributetheProductswithintheTerritory.TheDistributorshalluseitsbesteffortstopromote,market,andselltheProductswithintheTerritoryinaccordancewiththetermsofthisAgreement.2.2TheDistributorshallnotdistributeanyproductsorservicesthatmayreasonablybeexpectedtocompetewiththeProductswithintheTerritorywithoutthepriorwrittenconsentoftheSupplier.2.3TheDistributorshallmaintainaccurateandcompleterecordsofallsalesanddistributionsoftheProductswithintheTerritoryandshallprovidesuchrecordstotheSupplieruponrequest.3.TERMANDTERMINATION3.1ThetermofthisAgreementshallcommenceonthedatespecifiedherein(the"EffectiveDate")andshallcontinueforaperiodofyears(the"Term"),unlessterminatedearlierasprovidedherein.3.2EitherpartymayterminatethisAgreementupondays'priorwrittennoticeiftheotherpartybreachesanymaterialtermorconditionofthisAgreement,providedthatthebreachingpartyfailstocuresuchbreachwithinsuchperiod.3.3TheDistributormayterminatethisAgreementatanytimeupondays'writtennoticetotheSupplieriftheSupplierfailstosupplytheProductsinaccordancewiththetermsofthisAgreement.3.4TheSuppliermayterminatethisAgreementimmediatelyuponwrittennoticetotheDistributoriftheDistributorbecomesinsolvent,bankrupt,orfilesforprotectionunderanyapplicableinsolvencylaws.4.PAYMENTTERMS4.1TheDistributorshallpaytheSupplierfortheProductsinaccordancewiththepaymenttermsspecifiedinthisAgreement.Allpaymentsshallbemadeinandshallbeduewithindaysofthedateoftherelevantinvoice.4.2TheSuppliershallissueinvoicestotheDistributorwithindaysoftheshipmentoftheProducts.AllinvoicesshallbesenttotheaddressspecifiedinthisAgreement.4.3TheDistributorshallnotbeentitledtoanydiscounts,rebates,orotherincentivesunlessexplicitlyagreeduponinwritingbytheSupplier.4.4TheSuppliershallprovidetheDistributorwithacreditfacilityofupto(the"CreditLimit"),providedthattheDistributormaintainsagoodcreditstandingasdeterminedbytheSupplier.5.INTELLECTUALPROPERTY5.1Alltrademarks,copyrights,patents,andotherintellectualpropertyrightsrelatedtotheProductsshallremainthepropertyoftheSupplier.TheDistributorshallnotuseanytrademarksorservicemarksoftheSupplierwithoutpriorwrittenconsent.5.2TheDistributorshallnotcopy,reproduce,ordistributeanymaterials,includingpackaging,labels,orpromotionalmaterials,withoutthepriorwrittenconsentoftheSupplier.5.3TheDistributorshallpromptlynotifytheSupplierofanyclaimsofintellectualpropertyinfringementmadeagainstitinconnectionwiththedistributionoftheProducts.6.QUALITYANDWARRANTY6.1TheSuppliershallsupplytheProductsinaccordancewiththespecifications,quality,andstandardsagreeduponinthisAgreement.6.2TheSuppliershallwarrantytheProductsagainstdefectsinmaterialsandworkmanshipforaperiodofmonthsfromthedateofdelivery,subjecttothetermsandconditionsspecifiedinthisAgreement.6.3TheDistributorshallpromptlynotifytheSupplierofanydefectsordissatisfactionwiththeProducts,andtheSuppliershall,atitssolediscretion,repair,replace,orrefundtheProductsasappropriate.7.MARKETINGANDPROMOTION7.1TheSuppliershallprovidetheDistributorwithmarketingsupport,includingbutnotlimitedto,promotionalmaterials,training,andadvertising,asmutuallyagreeduponinwriting.7.2TheDistributorshalluseitsbesteffortstopromotetheProductswithintheTerritoryandshallcomplywithalladvertisingandpromotionalguidelinesprovidedbytheSupplier.7.3TheDistributorshallnotmakeanyrepresentationsorwarrantiesregardingtheProductsthatexceedthoseprovidedbytheSupplier.8.INSURANCE8.1TheDistributorshallobtainandmaintainadequateinsurancecoveragefortheProductswhileinitspossession,includingbutnotlimitedto,productliabilityinsurance,generalliabilityinsurance,andbusinessinterruptioninsurance,withminimumcoverageof.8.2TheDistributorshallnametheSupplierasanadditionalinsuredpartyundertheinsurancepoliciesrequiredunderthisSection.9.LIABILITYANDINDEMNIFICATION9.1TheDistributorshallindemnifyandholdharmlesstheSupplier,itsofficers,directors,employees,andagents,fromandagainstanyclaims,damages,losses,orexpenses(includingreasonableattorney'sfees)arisingoutoftheDistributor'suse,handling,ordistributionoftheProducts,excepttotheextentcausedbytheSupplier'snegligenceorwillfulmisconduct.9.2TheSuppliershallindemnifyandholdharmlesstheDistributor,itsofficers,directors,employees,andagents,fromandagainstanyclaims,damages,losses,orexpenses(includingreasonableattorney'sfees)arisingoutoftheSupplier'sbreachofthisAgreementoranyclaimofproductliabilityrelatedtotheProducts'designormanufacture.10.TERMINATIONANDPOST-TERMINATIONOBLIGATIONS10.1UponterminationofthisAgreement,theDistributorshallimmediatelyceaseallactivitiesrelatedtothedistributionoftheProductswithintheTerritory.10.2TheDistributorshallreturnallmaterials,includingbutnotlimitedto,promotionalmaterials,samples,anddocumentation,providedbytheSupplierwithindaysoftheterminationdate.10.3TheDistributorshallpromptlysettleallaccountsandpayallunpaidamountsowedtotheSupplierwithindaysoftheterminationdate.10.4Upontermination,theDistributorshallnotuseanytrademarksorintellectualpropertyrightsoftheSupplierandshallceaseanyfurthermarketingorpromotionalactivitiesrelatedtotheProducts.11.FORCEMAJEURE11.1Neitherpartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedto,actsofGod,war,governmentalactions,labordisputes,ornaturaldisasters.11.2Upontheoccurrenceofaforcemajeureevent,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandmakereasonableeffortstomitigatetheeffectsoftheevent.12.DISPUTERESOLUTION12.1AnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthrough友好协商.Ifsuch协商fails,thedisputesshallbesubmittedtoarbitrationinaccordancewiththerulesoftheArbitrationAssociation.12.2Thearbitrationshallbeconductedin,andtheawardshallbefinalandbindingonbothparties.13.GOVERNINGLAW13.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutregardtoitsconflictoflawsprinciples.14.GENERALPROVISIONS14.1ThisAgreementconstitutestheentireunderstandingbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,orrepresentations,whetheroralorwritten.14.2AnyamendmentsormodificationstothisAgreementmustbemadeinwritingandsignedbybothparties.14.3ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.14.4ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconsti
