GENERAL0BJECTSANDPOWERS

4.（1）TheobjectoftheCompanyistoengageinanyactoractivitythatisnotprohibitedunderanylawforthetimebeinginforceintheBritishVirginIslands.

（2）TheCompanymaynot：

（a）carryonbusinesswithpersonsresidentintheBritishVirginIslands；

（b）ownaninterestinrealpropertysituatedintheBritishVirginIslands，otherthanaleasereferredtoinparagraph（e）ofsubclause（3）；

（c）carryonbankingortrustbusinessunlessitislicensedtodosoundertheBanksandTrustCompaniesOrdinance，1990；

（d）carryonbusinessasaninsuranceorreinsurancecompany，insuranceagentorinsurancebroker，unlessitislicensedunderanenactmentauthorizingittocarryonthatbusiness；

（e）carryonthebusinessofprovidingtheregisteredofficeforcompanies；or

（f）carryonthebusinessofcompanymanagementunlesslicensedundertheCompanyManagementOrdinance，1990.

（3）Forpurposesofparagraph（a）ofsubclause（2），theCompanyshallnotbetreatedascarryingonbusinesswithpersonsresidentintheBritishVirginIslandsif：

（a）itmakesormaintainsdepositswithapersoncarryingonbusinesswithintheBritishVirginIslands；

（b）itmakesormaintainsprofessionalcontactwithsolicitors，barristers，accountants，bookkeepers，trustcompanies，administrationcompanies，investmentadvisersorothersimilarpersonscarryingonbusinesswithintheBritishVirginIslands；

（c）itpreparesormaintainsbooksandrecordswithintheBritishVirginIslands；

（d）itholds，withintheBritishVirginIslands，meetingsofitsdirectorsormembers；

（e）itholdsaleaseofpropertyforuseasanofficefromwhichtocommunicatewithmembersorwherebooksandrecordsoftheCompanyarepreparedormaintained；

（f）itholdsshares，debtobligationsorothersecuritiesinacompanyincorporatedundertheInternationalBusinessCompaniesOrdinanceorundertheCompaniesOrdinance；or

（g）shares，debtobligationsorothersecuritiesintheCompanyareownedbyanypersonresidentintheBritishVirginIslandsorbyanycompanyincorporatedundertheInternationalBusinessCompaniesOrdinanceorundertheCompaniesOrdinance.

（4）TheCompanyshallhaveallsuchpowersasarepermittedbylawforthetimebeinginforceintheBritishVirginIslands，irrespectiveofcorporatebenefit，toperformallactsandengageinallactivitiesnecessaryorconducivetotheconduct，promotionorattainmentoftheobjectoftheCompany.

（5）TheCompanyshallhaveallpowerstosettleitsassetsorpropertyoranypartthereofintrustortransferthesametoanyotherCompanywhetherfortheprotectionofitsassetsornotandwithrespecttothetransfertheDirectormayprovidethattheCompany，itscreditors，itsmembersoranypersonhavingadirectorindirectinterestintheCompanyasanyofthemmaybethebeneficiaries，creditors，members，certificateholders，partnersorholdersofanyothersimilarinterest.

（6）ThedirectorsmaybyresolutionofthedirectorsexerciseallthepowersoftheCompanytoborrowmoneyandtomortgageorchargeitsundertakingsandpropertyoranypartthereof，toissuedebentures，debenturestockandothersecuritieswhenevermoneyisborrowedorassecurityforanydebt，liabilityorobligationoftheCompanyorofanythirdparty.

（7）AnymortgageorchargeoftheundertakingandpropertyoftheCompanyshallforthepurposesofSection80oftheOrdinanceberegardedasintheusualorregularcourseofthebusinesscarriedonbytheCompany.

（8）TheCompanyshallexistforanindefinitetermoruntilremovedfromtheRegister.

5.SharesintheCompanyshallbeissuedinthecurrencyoftheUnitedStatesofAmerica.

1.1Definitions…

1.2“Written”oranytermoflikeimportincludeswordstypewritten，printed，painted，engraved，lithographed，photographedorrepresentedorreproducedbyanymodeofreproducingwordsinavisibleform，includingtelex，facsimile，telegram，cableorotherformofwritingproducedbyelectroniccommunication.

1.3SaveasaforesaidanywordsorexpressionsdefinedintheOrdinanceshallbearthesamemeaningintheseArticles.

1.4Wheneverthesingularorpluralnumber，orthemasculine，feminineorneutergenderisusedintheseArticles，itshallequally，wherethecontextadmits，includetheothers.

1.5AreferenceintheseArticlestovotinginrelationtosharesshallbeconstruedasareferencetovotingbymembersholdingthesharesexceptthatitisthevotesallocatedtothesharesthatshallbecountedandnotthenumberofmemberswhoactuallyvoted.
