协议书AGREEMENT施工合同CONSTRUCTIONCONTRACT本合同由(公司名称),一家位于(公司地址)的()公司(“承包商”),与_____(公司名称)________,一家位于_____________的公司(“业主”)之间签署,于20__年____月____日生效。Thiscontract,effective____________,20___,isbetween(CompanyName),a(Blank)corporationwithofficesat(CompanyAddress),("Contractor"),and(CompanyName),acorporationwithofficesat________________________("Owner").业主和承包商达成如下协议:TheOwnerandContractoragreeasfollows:工程范围和项目ARTICLE1.SCOPEOFWORKANDPROJECT.1.1项目THEPROJECT.项目(合同文件项下的工程可能为该项目的全部或仅为其中一部分)概述如下:TheProjectforwhichtheWorkundertheContractDocumentsmaybethewholeoronlyapart,isgenerallydescribedasfollows: 除非下文另有规定,承包商就项目提供的工程包括合同文件所要求的完整施工、施工监督和管理。除非合同文件另有规定,工程包括为提供该等施工、监督和管理所需的所有劳动力、投入或拟投入施工的所有材料和设备以及承包商在本合同项下承担的所有其他义务。工程包括下文附录[]所描述的以及在合同文件其他部分委派给承包商的活动和事项。Exceptasmaybeotherwisespecifiedbelow,theWorktobefurnishedbytheContractorontheProjectcomprisesthecompletedconstructionandthesupervisionanddirectionofconstructionrequiredbytheContractDocuments.UnlessotherwisespecifiedintheContractDocuments,theWorkincludesalllabornecessarytoprovidesuchconstruction,supervision,anddirection,allmaterialsandequipmentincorporatedortobeincorporatedintheconstruction,andallotherobligationsassumedbytheContractorunderthisContract.TheWorkencompassesactivitiesanditemsdescribedbelow,inExhibit[],andassignedtotheContractorinotherpartsoftheseContractDocuments.1.2.1基本工程任务BasicWorkTasks. 当业主颁发授权指示承包商为项目的全部或任何部分实施工程时,且在该等授权的限度内,承包商应着手完成以下任务: CONTRACTTIME.4.1所有列于本第4条和其他列于合同文件中的时间限制对于本合同来说均是至关重要的。承包方应在接到中标通知书的[****]日内在业主的配合下取得施工许可,并在取得该许可的[****]日内开始工程。其应以足够的人力令工程迅速推进,并且在_____前达到实质竣工,能令项目设施已具备为业主所占有和使用的条件(“合同时间”)。而且,承包商应于____前达到本合同所要求的最终竣工。AlltimelimitsstatedinthisArticle4andelsewhereintheContractDocumentsareoftheessenceoftheContract.TheContractorshallobtaintheconstructionpermitwithin[****]daysafterhereceivesbid-winningnoticewiththecooperationoftheOwnerandbegintheWorkwithin[****]daysafterreceiptoftheconstructionpermit..HeshallcarrytheWorkforwardexpeditiouslywithadequateforcesandshallachieveSubstantialCompletionbyhavingtheProjectfacilityreadyforoccupancyandusebytheOwnerby,the"ContractTime".Further,theContractorshallachieveFinalCompletionasrequiredbytheContractby. 4.2承包商应根据业主的要求制作、解释并不时地更新并修改施工进度表以及适当的分进度表。进度表和分进度表应通过能使工程在合同时间内完成的建设和行政活动,来显示完整的工程顺序。承包商承认施工进度表是本合同的一项重要条件,且若工程未按施工进度表进行,业主将会遭受重大的损失。TheContractorshallprepare,explain,and,fromtimetotime,updateandreviseaConstructionSchedule,withappropriatesubschedules,inaccordancewiththerequirementsoftheOwner.TheScheduleandsubschedulesshallshowthecompletesequenceoftheWorkbyconstructionandadministrativeactivitywhichshallleadtocompletionoftheWorkwithintheContractTime.TheContractorrecognizesthattheConstructionScheduleisanessentialconditionoftheContractandthattheOwnerwouldsuffersubstantialdamagesiftheWorkisnotprovidedinaccordancewiththeConstructionSchedule.4.3在承包商开始工程后直到最终竣工,业主将对照施工进度表定期地确定工程的实际进度。若承包商因任何原因(除因通用条件第12.1款项下的允许的迟延外)致使实际进度落后于施工进度表,其应立刻采取,并促使其分包商采取为补救迟延的进度而必须采取的行动。该等行动可包括同时操作、额外增添的设备、额外增添的人力、额外增加的班次、加班及其他措施。承包商为符合或努力符合施工进度表的目的而采取的任何加速行动不应使之得到任何补偿或合同价格的增加,除非是仅由于通用条件第12.1款下描述的允许的迟延,或是由于工程的变更(在工程变更的情况下,合同价格的任何适当的增加应包含在变更指令中),而必须要采取该等行动和增加额外的成本。AftercommencementoftheWorkbytheContractor,anduntilitsFinalCompletion,theOwnerwillperiodicallydeterminetheactualprogressoftheWorkagainsttheConstructionSchedule.IftheContractorshouldfallbehindtheConstructionScheduleforanyreasonexceptexcusabledelayunderParagraph12.1oftheGeneralConditions,heshallimmediatelytake,andcausehisSubcontractorstotake,suchactionsasmaybenecessarytoremedylackofprogress.Theseactionsmayincludeconcurrentoperations,additionalequipment,additionalmanpower,additionalshifts,overtime,andothermeasures.NocompensationorincreaseintheContractPriceshallbeallowedtheContractorforanyexpeditingactionsundertakenbyhiminordertomeet,orinanattempttomeet,theConstructionScheduleunlesssuchactionsandextracostsarenecessaryonlybecauseofanexcusabledelayofthetypedescribedunderParagraph12.1oftheGeneralConditions,orbecauseofachangeintheWork,inwhichcaseanyappropriateincreaseinContractPriceshallbecoveredbyaChangeOrder.4.4业主有权要求承包商在施工进度表中所示的日期前完成工程或其任何一部分,或即使承包商的延迟请求已根据通用条件第12条的规定被批准,仍然要求承包商按照施工进度表完成工程。业主根据本第4.4款要求的对工程进度的任何加速应限于承包商能合理达到的限度内,并且应使承包商有权获得一项变更指令,以涵盖任何其所承担的因该等加速工作所引起的额外成本。TheOwnershallhavetherighttorequiretheContractortocompletetheWorkoranypartthereofbeforethedatesetforthintheconstructionSchedule,ortorequiretheContractortocompletetheWorkaccordingtotheConstructionScheduleeventhoughhisclaimforadelayhasbeenapprovedunderArticle12oftheGeneralConditions.AnyaccelerationintheprogressoftheWorkrequiredbytheOwnerunderthisParagraph4.4shallbelimitedtothatreasonablyattainablebytheContractorandshallentitletheContractortoaChangeOrdertocoveranyadditionalcostsincurredbyhimasaresultoftheacceleration. 4.5若在任何时间,无论基于何种理由(通用条件第12.1款项下允许的迟延除外),承包商未能保持必要的工程进度,该等变更应如业主所批准的指令,以承包商自己的资源、努力和人力做出。业主的上述行动或业主未采取行动不应免除承包商在本合同项下的任何责任。业主应有权指令承包商在和从业主认为为确保在合同时间内完工而必需的尽可能多的不同点或部分同时实施工程。未能遵守任何该等工程指令应构成对本合同的违约,并可使承包商支付通用条件第12.4款规定的违约金。Ifatanytime,thenecessaryprogressoftheWorkisnotbeingmaintainedbytheContractorforreasonsotherthanexcusabledelayunderParagraph12.1oftheGeneralConditions,suchchangesshallbemadeintheContractor'sresources,effort,andforces,astheOwnermayapproveoforder.SuchactionbytheOwnerortheOwner'sfailuretoactshallnotrelievetheContractorofanyresponsibilityundertheContract.TheOwnershallhavetherighttoordertheContractortoprosecutetheWorksimultaneouslyatandfromasmanydifferentpointsorpartsastheOwnermaydeemnecessarytoassurecompletionwithintheContractTime.FailuretocomplywithanysuchWorkOrdershallconstituteabreachofthisContractandmayexposetheContractortoliquidateddamagesasspecifiedinParagraph12.4oftheGeneralConditions.4.6在与业主间的所有纠纷或异议持续期间,承包商仍应按施工进度表继续实施工程。TheContractorshallcarryontheWorkinconformancewiththeConstructionScheduleduringalldisputesordisagreementswiththeOwner.4.7所有保证工程完工的进度宽裕时间应归业主(支配)。AllschedulefloatshallaccruetotheOwner. 合同和变更指令价格ARTICLE5.CONTRACTANDCHANGEORDERPRICES.5.1合同价格CONTRACTPRICE.业主应以人民币方式为承包商按照合同文件履行工程向承包商支付合同价格,但受限于经批准的变更指令授权所作的调整。合同价格应为:TheOwnershallpaytheContractortheContractPriceinRenminbifortheperformanceoftheWorkinaccordancewiththeContractDocuments,subjecttoadjustmentsauthorizedbyapprovedChangeOrders.TheContractPriceshallbe:5.1.1(本条款不适用于本合同)以下第5.4款定义的工程成本,加上根据下述第5.3款计算而得的因利润、一般的和行政的管理费用所致的承包商的利润费用,该等工程成本和利润费用的总和不高于以下保证的最大合同价格: 在包干价的情况下,合同价格应包括全部的应向承包商支付的为执行工程和履行本合同项下的所有义务的报酬,并且应涵盖所有的劳动成本、管理成本、税收、关税、开支和所有其他的承包商在执行工程中产生的并经过业主批准的成本和费用。合同价格应是固定的并且不得因为通货膨胀、任何成本的变更、任何汇率的波动以及其他任何情况而做出调整。Inthecaseofalump-sumprice,theContractPricecomprisestheentireremunerationpayabletotheContractorfortheexecutionoftheWorkandtheperformanceofallofhisobligationsundertheContractandshallcoveralllaborcosts,managementcost,taxes,duties,expenses,andallothercostsandfeesincurredbyContractorinexecutionoftheWorkasapprovedbytheOwner.TheContractPriceisfixedandshallnotbeadjustedtotakeaccountofinflation,anychangesincosts,anyvariationsintherateofexchangebetweenthecurrenciesorothercircumstanceswhatsoever.5.2对于变更指令工程的补偿COMPENSATIONFORCHANGEORDERWORK.5.2.1在变更工程的变更指令中列入的合同价格增加或减少的数额应为待协商的包干价。在价格明细和单价明细中列明的相关的价格应在适用于确定增加和删减的工程的各种要素的包干价的范围内使用。TheamountofincreaseordecreaseintheContractPricetobeincludedinaChangeOrderforchangesintheWorkshallbealumpsumtobenegotiated.ThepertinentpricessetforthintheScheduleofValuesandScheduleofUnitproductValuesshallbeusedtotheextentapplicableforestablishingthelumpsumpricesofthevariouselementsoftheaddedanddeletedwork.5.2.2若承包商和业主不能对变更指令的包干金额达成一致,则当变更指令仅涉及单价明细中所定的单价项目时,变更指令的价格应按该明细上适当的单价确定。但是,若在该明细中原定的数额已经发生实质上的改变以致于采用该明细中所定的单价将对承包商造成困难,则任何单价可由业主公平地进行调整。IftheContractorandOwnercannotagreeonalumpsumChangeOrderamounts,then,iftheChangeOrderinvolvesonlyunit-priceditemssetforthintheScheduleofUnitProductValues,theChangeOrderPriceshallbeestablishedastheappropriateunitprice(s)fromtheschedule.However,anyunitpricemaybeequitablyadjustedbytheOwnerifthequantityoriginallycontemplatedintheschedulehaschangedsosubstantiallythattheuseoftheunitpriceintheschedulewouldcreateahardshipontheContractor.5.2.3若业主和承包商无法对变更指令的包干金额或单价金额达成一致,则若承包商收到业主签署的指示其做出行动的书面指令,承包商仍应做出变更指令所要求的行动。此时,在合同价格根据本协议书第5.1.1条确定的情况下,合同价格的变更金额应为下述金额之和:(1)根据下述5.4款的规定,为执行变更指令的工程成本,在删减工程的情况下该等工程成本应通过估算而得,加上(2)根据下述5.3款计算而得的利润费用,该等计算应采用变更指令所涵盖的工程成本;在合同价格根据本协议书第5.1.2条确定的情况下,合同价格的变更遵循以下原则:IftheOwnerandContractorareunabletoagreeonalumpsumorunit-priceChangeOrderamount,theContractorshallneverthelesstaketheactionrequiredbytheChangeOrder,providedhereceivesawrittenordersignedbytheOwnersodirecting.IftheContractPriceisfixedpursuanttoParagraph5.1.1,theamountofthechangeinContractPriceshallthenbethesumof:(1)theCostoftheWorkfortheChangeOrder,asprovidedinParagraph5.4,below,whichshallbeestimatedinthecaseofdeletionsintheWork;plus,(2)aProfitFee,computedasprovidedunderParagraph5.3,below,usingtheCostoftheWorkfortheWorkcoveredbytheChangeOrder;IftheContractPriceisfixedpursuanttoParagraph5.1.2,followingprinciplesshallapplytothechangeoftheContractPrice:.1价格明细和单价明细内有相同项目的,按投标文件的综合单价结算,只调整工程量;IftheitemislistedintheScheduleofValuesandScheduleofUnitProductValues,comprehensiveunitpricesetforthinthebiddingdocumentsshallapplyandonlytheWorkquantityshallbeadjusted;.2价格明细和单价明细内有相同的项目,只是主材变更的,则只调整主材价格,其他不变;IftheitemislistedintheScheduleofValuesandScheduleofUnitProductValuesandonlythemainmaterialischanged,thenonlythepriceofthemainmaterialshallbeadjusted;.3价格明细和单价明细内没有的项目,则作为新增项目(是否为新增项目由业主确定),采用定额计价办法进行计价并折算为综合单价,其综合单价按[**地区**]相关规定计算,其中的人工、材料、机械台班价格按投标时清单中的相应价格计算。若材料为投标清单中没有,则参考施工期间[**指导价格文件名称**]中的合理单价,并按施工中实际材料的品牌、规格、质量等的相应价格进行计算。然后将该新增项目的综合单价乘以下浮率进行结算(下浮率=(投标报价-最高限价)/最高限价×100%)。AnyitemwhichisnotsetforthintheScheduleofValuesandScheduleofUnitProductValuesshallbeconsideredasanewitem(theOwnershallbeentitledtodecideonwhetheranyitemconstitutesanewitems)anditspriceshallbedeterminedinaccordancewithfixedquotapricingandconvertedintocomprehensiveunitprice.Thecomprehensiveunitpriceofanyitemshallbefixedinaccordancewithrelevantregulationsof[**District**],whilethelabourcost,materialscost,machaineryone-shiftcostshallbedeterminedpursuanttothepricelistedinbiddingdocuments..Ifthematerialsarenotlistedinbiddingdocuments,thepriceshallrefertothereasonableunitpriceof[**PriceGuildlanceName**]duringconstructionandfixedbyconsideringthebrands,specification,quality,etc…ofthedetailedmaterialsusedintheConstruction.Thenthecomprehensiveunitpriceofsuchnewitemshallbemultipliedbythefloatingdownwardrate(floatingdownwardrate=(biddingprice-ceilingprice)/ceilingprice×100%).合同价格的最终变更金额应受限于双方的审阅和确认。ThefinalamountofthechangeinContractPriceissubjecttoreviewandconfirmationbybothParties.5.2.4所有该等成本附加以及单价变更指令应包含一个封顶价,在任何情况下,该等封顶价应为为变更指令工程而支付的最大价款。Allsuchcost-plusandunit-priceChangeOrdersshallcontainapriceceilingwhich,inanyevent,shallbethemaximumpricetobepaidfortheChangeOrderWork.5.3利润费用(本条款不适用于本合同)PROFITFEE(THISCLAUSEDOESNOTAPPLYTOTHECONTRACT)为上文第5.2.2款,以及上文第5.1款(若合适)的目的,利润费用应以经业主批准的为工程成本而支付的款项为基础,并且应为以下之和:TheProfitFeeforpurposesofParagraph5.2.2,above,and,ifappropriate,Paragraph5.1,above,shallbebasedonthepaymentsfortheCostoftheWorkapprovedbytheOwnerandshallbethesumofthefollowing:承包商自身进行施工而产生的工程成本的
