Members,Desiringtoreducedistortionsandimpedimentstointernationaltrade,andtakingintoaccounttheneedtopromoteeffectiveandadequateprotectionofintellectualpropertyrights,andtoensurethatmeasuresandprocedurestoenforceintellectualpropertyrightsdonotthemselvesbecomebarrierstolegitimatetrade;Recognizing,tothisend,theneedfornewrulesanddisciplinesconcerning:(a)theapplicabilityofthebasicprinciplesofGATT1994andofrelevantinternationalintellectualpropertyagreementsorconventions;(b)theprovisionofadequatestandardsandprinciplesconcerningtheavailability,scopeanduseoftrade-relatedintellectualpropertyrights;(c)theprovisionofeffectiveandappropriatemeansfortheenforcementoftrade-relatedintellectualpropertyrights,takingintoaccountdifferencesinnationallegalsystems;(d)theprovisionofeffectiveandexpeditiousproceduresforthemultilateralpreventionandsettlementofdisputesbetweengovernments;and(e)transitionalarrangementsaimingatthefullestparticipationintheresultsofthenegotiations;Recognizingtheneedforamultilateralframeworkofprinciples,rulesanddisciplinesdealingwithinternationaltradeincounterfeitgoods;Recognizingthatintellectualpropertyrightsareprivaterights;Recognizingtheunderlyingpublicpolicyobjectivesofnationalsystemsfortheprotectionofintellectualproperty,includingdevelopmentalandtechnologicalobjectives;Recognizingalsothespecialneedsoftheleast-developedcountryMembersinrespectofmaximumflexibilityinthedomesticimplementationoflawsandregulationsinordertoenablethemtocreateasoundandviabletechnologicalbase;DesiringtoestablishamutuallysupportiverelationshipbetweentheWTOandtheWorldIntellectualPropertyOrganization(referredtointhisAgreementas“WIPO”)aswellasotherrelevantinternationalorganizations;Hereby
agreeasfollows:PartIGeneralProvisionsandBasicPrinciplesArticle1NatureandScopeofObligationsshallgiveeffecttotheprovisionsofthisAgreement.Membersmay,butshallnotbeobligedto,implementintheirlawmoreextensiveprotectionthanisrequiredbythisAgreement,providedthatsuchprotectiondoesnotcontravenetheprovisionsofthisAgreement.MembersshallbefreetodeterminetheappropriatemethodofimplementingtheprovisionsofthisAgreementwithintheirownlegalsystemandpractice.thepurposesofthisAgreement,theterm“intellectualproperty”referstoallcategoriesofintellectualpropertythatarethesubjectofSections1through7ofPartII.shallaccordthetreatmentprovidedforinthisAgreementtothenationalsofotherWhen“nationals”arereferredtointhisAgreement,theyshallbedeemed,inthecaseofaseparatecustomsterritoryMemberoftheWTO,tomeanestablishmentinthatcustomsterritory.
(1)Inrespectoftherelevantintellectualpropertyright,thenationalsofotherMembersshallbeunderstoodasthosenaturalorlegalpersonsthatwouldmeetthecriteriaforeligibilityforprotectionprovidedforintheParisConvention(1967),theBerneConvention(1971),theRomeConventionandtheTreatyonIntellectualPropertyinRespectofIntegratedCircuits,wereallMembersoftheWTOmembersofthoseconventions.
2When“nationals”arereferredtointhisAgreement,theyshallbedeemed,inthecaseofaseparatecustomsterritoryMemberoftheWTO,tomeanestablishmentinthatcustomsterritory.2InthisAgreement,“ParisConvention”referstotheParisConventionfortheProtectionofIndustrialProperty;“ParisConvention(1967)referstotheStockholmActofthisConventionof14July1967.“BerneConvention”referstotheBerneConventionfortheProtectionofLiteraryandArtisticWorks;“BerneConvention(1971)referstotheParisActofthisConventionof24July1971.“RomeConvention”referstotheInternationalConventionfortheProtectionofPerformers,ProducersofPhonogramsandBroadcastingOrganizations,adoptedatRomeon26October1961.“TreatyonIntellectualPropertyinRespectofIntegratedCircuits”(IPICTreaty)referstotheTreatyonIntellectualPropertyinRespectofIntegratedCircuits,adoptedatWashingtonon26May1989.“WTOAgreement”referstotheAgreementEstablishingtheWTO.Article2IntellectualPropertyConventionsrespectofParts
II,IIIandIVofthisAgreement,MembersshallcomplywithArticles
1through12,andArticle19,oftheParisConvention(1967).inParts
ItoIVofthisAgreementshallderogatefromexistingobligationsthatMembersmayhavetoeachotherundertheParisConvention,theBerneConvention,theRomeConventionandtheTreatyonIntellectualPropertyinRespectofIntegratedCircuits.Article3NationalTreatmentMembershallaccordtothenationalsofotherMemberstreatmentnolessfavorablethanthatitaccordstoitsownnationalswithregardtotheprotection3ForthepurposeofArticle3and4,“protection”shallincludemattersaffectingtheavailability,acquisition,scope,maintenanceandenforcementofintellectualpropertyrightsaswellasthosemattersaffectingtheuseofintellectualpropertyrightsspecificallyaddressedinthisAgreement.

1inrelationtojudicialandadministrativeprocedures,includingthedesignationofanaddressforserviceortheappointmentofanagentwithinthejurisdictionofaMember,onlywheresuchexceptionsarenecessarytosecurecompliancewithlawsandregulationswhicharenotinconsistentwiththeprovisionsofthisAgreementandwheresuchpracticesarenotappliedinamannerwhichwouldconstituteadisguisedrestrictionontrade.Article4Most-Favored-NationTreatmentWithregardtotheprotectionofintellectualproperty,anyadvantage,favor,privilegeorimmunitygrantedbyaMembertothenationalsofanyothercountryshallbeaccordedimmediatelyandunconditionallytothenationalsofallotherMembers.Exemptedfromthisobligationareanyadvantage,favor,privilegeorimmunityaccordedbyaMember:(a)derivingfrominternationalagreementsonjudicialassistanceorlawenforcementofageneralnatureandnotparticularlyconfinedtotheprotectionofintellectualproperty;(b)
grantedinaccordancewiththeprovisionsoftheBerneConvention(1971)ortheRomeConventionauthorizingthatthetreatmentaccordedbeafunctionnotofnationaltreatmentbutofthetreatmentaccordedinanothercountry;(c)
inrespectoftherightsofperformers,producersofphonogramsandbroadcastingorganizationsnotprovidedunderthisAgreement;(d)
derivingfrominternationalagreementsrelatedtotheprotectionofintellectualpropertywhichenteredintoforcepriortotheentryintoforceoftheWTOAgreement,providedthatsuchagreementsarenotifiedtotheCouncilforTRIPSanddonotconstituteanarbitraryorunjustifiablediscriminationagainstnationalsofotherMembers.Article5MultilateralAgreementsonAcquisitionorMaintenanceofProtectionTheobligationsunderArticles
3and4donotapplytoproceduresprovidedinmultilateralagreementsconcludedundertheauspicesofWIPOrelatingtotheacquisitionormaintenanceofintellectualpropertyrights.Article6ExhaustionForthepurposesofdisputesettlementunderthisAgreement,subjecttotheprovisionsofArticles
3and4nothinginthisAgreementshallbeusedtoaddresstheissueoftheexhaustionofintellectualpropertyrights.Article7ObjectivesTheprotectionandenforcementofintellectualpropertyrightsshouldcontributetothepromotionoftechnologicalinnovationandtothetransferanddisseminationoftechnology,tothemutualadvantageofproducersandusersoftechnologicalknowledgeandinamannerconducivetosocialandeconomicwelfare,andtoabalanceofrightsandobligations.Article8Principlesmay,informulatingoramendingtheirlawsandregulations,adoptmeasuresnecessarytoprotectpublichealthandnutrition,andtopromotethepublicinterestinsectorsofvitalimportancetotheirsocio-economicandtechnologicaldevelopment,providedthatsuchmeasuresareconsistentwiththeprovisionsofthisAgreement.measures,providedthattheyareconsistentwiththeprovisionsofthisAgreement,maybeneededtopreventtheabuseofintellectualpropertyrightsbyrightholdersortheresorttopracticeswhichunreasonablyrestraintradeoradverselyaffecttheinternationaltransferoftechnology.PARTIIStandardsconcerningtheavailability,scopeanduseofIntellectualPropertyRightsSECTION1:COPYRIGHTANDRELATEDRIGHTS
Article9RelationtotheBerneConventionshallcomplywithArticles1through21oftheBerneConvention(1971)andtheAppendixthereto.However,MembersshallnothaverightsorobligationsunderthisAgreementinrespectoftherightsconferredunderArticle6bisofthatCtectionshallextendtoexpressionsandnottoideas,procedures,methodsofoperationormathematicalconceptsassuch.Article10ComputerProgramsandCompilationsofDataprograms,whetherinsourceorobjectcode,shallbeprotectedasliteraryworksundertheBerneConvention(1971).ofdataorothermaterial,whetherinmachinereadableorotherform,whichbyreasonoftheselectionorarrangementoftheircontentsconstituteintellectualcreationsshallbeprotectedassuch.Suchprotection,whichshallnotextendtothedataormaterialitself,shallbewithoutprejudicetoanycopyrightsubsistinginthedataormaterialitself.Article11RentalRightsInrespectofatleastcomputerprogramsandcinematographicworks,aMembershallprovideauthorsandtheirsuccessorsintitletherighttoauthorizeortoprohibitthecommercialrentaltothepublicoforiginalsorcopiesoftheircopyrightworks.AMembershallbeexceptedfromthisobligationinrespectofcinematographicworksunlesssuchrentalhasledtowidespreadcopyingofsuchworkswhichismateriallyimpairingtheexclusiverightofreproductionconferredinthatMemberonauthorsandtheirsuccessorsintitle.Inrespectofcomputerprograms,thisobligationdoesnotapplytorentalswheretheprogramitselfisnottheessentialobjectoftherental.Article12TermofProtectionWheneverthetermofprotectionofawork,otherthanaphotographicworkoraworkofappliedart,iscalculatedonabasisotherthanthelifeofanaturalperson,suchtermshallbenolessthan50
yearsfromtheendofthecalendaryearofauthorizedpublication,or,failingsuchauthorizedpublicationwithin50yearsfromthemakingofthework,50yearsfromtheendofthecalendaryearofmaking.Article13LimitationsandExceptionsMembersshallconfinelimitationsorexceptionstoexclusiverightstocertainspecialcaseswhichdonotconflictwithanormalexploitationoftheworkanddonotunreasonablyprejudicethelegitimateinterestsoftherightholder.Article14ProtectionofPerformers,ProducersofPhonograms(SoundRecordings)andBroadcastingOrganizationsrespectofafixationoftheirperformanceonaphonogram,performersshallhavethepossibilityofpreventingthefollowingactswhenundertakenwithouttheirauthorization:thefixationoftheirunfixedperformanceandthereproductionofsuchfixation.Performersshallalsohavethepossibilityofpreventingthefollowingactswhenundertakenwithouttheirauthorization:anizationsshallhavetherighttoprohibitthefollowingactswhenundertakenwithouttheirauthorization:thefixation,thereproductionoffixations,andtherebroadcastingbywirelessmeansofbroadcasts,aswellasthecommunicationtothepublicoftelevisionbroadcastsofthesame.WhereMembersdonotgrantsuchrightstobroadcastingorganizations,theyshallprovideownersofcopyrightinthesubjectmatterofbroadcastswiththepossibilityofpreventingtheaboveacts,subjecttotheprovisionsoftheBerneConvention(1971).provisionsofArticle11inrespectofcomputerprogramsshallapplymutatis
mutandistoproducersofphonogramsandanyotherrightholdersinphonogramsasdeterminedinaMember'slaw.Ifon15April1994aMemberhasinforceasystemofequitableremunerationofrightholdersinrespectoftherentalofphonograms,itmaymaintainsuchsystemprovidedthatthecommercialrentalofphonogramsisnotgivingrisetothematerialimpairmentoftheexclusiverightsofreproductionofrightholders.termoftheprotectionavailableunderthisAgreementtoperformersandproducersofphonogramsshalllastatleastuntiltheendofaperiodof50yearscomputedfromtheendofthecalendaryearinwhichthefixationwasmadeortheperformancetookplace.Thetermofprotectiongrantedpursuanttoparagraph
3shalllastforatleast20yearsfromtheendofthecalendaryearinwhichthebroadcasttookplace.Membermay,inrelationtotherightsconferredunderparagraphs
1,2and3,provideforconditions,limitations,exceptionsandreservationstotheextentpermittedbytheRomeConvention.However,theprovisionsofArticle18oftheBerneConvention(1971)shallalsoapply,mutatis
mutandis,totherightsofperformersandproducersofphonogramsinphonograms.SECTION2:TRADEMARKS
Article15ProtectableSubjectMattersign,oranycombinationofsigns,capableofdistinguishingthegoodsorservicesofoneundertakingfromthoseofotherundertakings,shallbecapableofconstitutingatrademark.Suchsigns,inparticularwordsincludingpersonalnames,letters,numerals,figurativeelementsandcombinationsofcolorsaswellasanycombinationofsuchsigns,shallbeeligibleforregistrationastrademarks.Wheresignsarenotinherentlycapableofdistinguishingtherelevantgoodsorservices,Membersmaymakeregistrabilitydependondistinctivenessacquiredthroughuse.Membersmayrequire,asaconditionofregistration,thatsignsbevisuallyperceptible.1shallnotbeunderstoodtopreventaMemberfromdenyingregistrationofatrademarkonothergrounds,providedthattheydonotderogatefromtheprovisionsoftheParisConvention(1967).maymakeregistrabilitydependonuse.However,actualuseofatrademarkshallnotbeaconditionforfilinganapplicationforregistration.Anapplicationshallnotberefusedsolelyonthegroundthatintendedusehasnottakenplacebeforetheexpiryofaperiodofthreeyearsfromthedateofapplication.natureofthegoodsorservicestowhichatrademarkistobeappliedshallinnocaseformanobstacletoregistrationofthetrademark.shallpublisheachtrademarkeitherbeforeitisregisteredorpromptlyafteritisregisteredandshallaffordareasonableopportunityforpetitionstocanceltheregistration.Inaddition,Membersmayaffordanopportunityfortheregistrationofatrademarktobeopposed.Article16RightsConferredownerofaregisteredtrademarkshallhavetheexclusiverighttopreventallthirdpartiesnothavingtheowner'sconsentfromusinginthecourseoftradeidenticalorsimilarsignsforgoodsorserviceswhichareidenticalorsimilartothoseinrespectofwhichthetrademarkisregisteredwheresuchusewouldresultinalikelihoodofconfusion.Incaseoftheuseofanidenticalsignforidenticalgoodsorservices,alikelihoodofconfusionshallbepresumed.Therightsdescribedaboveshallnotprejudiceanyexistingpriorrights,norshalltheyaffectthepossibilityofMembersmakingrightsavailableonthebasisofuse.2.
Article6bisoftheParisConvention(1967)shallapply,mutatismutandis,toservices.Indeterminingwhetheratrademarkiswell-known,Membersshalltakeaccountoftheknowledgeofthetrademarkintherelevantsectorofthepublic,includingknowledgeintheMemberconcernedwhichhasbeenobtainedasaresultofthepromotionofthetrademark.3.
Article6bisoftheParisConvention(1967)shallapply,mutatismutandis,togoodsorserviceswhicharenotsimilartothoseinrespectofwhichatrademarkisregistered,providedthatuseofthattrademarkinrelationtothosegoodsorserviceswouldindicateaconnectionbetweenthosegoodsorservicesandtheowneroftheregisteredtrademarkandprovidedthattheinterestsoftheowneroftheregisteredtrademarkarelikelytobedamagedbysuchuse.Article17ExceptionsMembersmayprovidelimitedexceptionstotherightsconferredbyatrademark,suchasfairuseofdescriptiveterms,providedthatsuchexceptionstakeaccountofthelegitimateinterestsoftheownerofthetrademarkandofthirdparties.Article18TermofProtectionInitialregistration,andeachrenewalofregistration,ofatrademarkshallbeforatermofnolessthansevenyears.Theregistrationofatrademarkshallberenewableindefinitely.Article19RequirementofUse1.
Ifuseisrequiredtomaintainaregistration,theregistrationmaybecancelledonlyafteranuninterruptedperiodofatleastthreeyearsofnon-use,unlessvalidreasonsbasedontheexistenceofobstaclestosuchuseareshownbythetrademarkowner.Circumstancesarisingindependentlyofthewilloftheownerofthetrademarkwhichconstituteanobstacletotheuseofthetrademark,suchasimportrestrictionsonorothergovernmentrequirementsforgoodsorservicesprotectedbythetrademark,shallberecognizedasvalidreasonsfornon-use.2.
Whensubjecttothecontrolofitsowner,useofatrademarkbyanotherpersonshallberecognizedasuseofthetrademarkforthepurposeofmaintainingtheregistration.Article20OtherRequirementsTheuseofatrademarkinthecourseoftradeshallnotbeunjustifiablyencumberedbyspecialrequirements,suchasusewithanothertrademark,useinaspecialformoruseinamannerdetrimentaltoitscapabilitytodistinguishthegoodsorservicesofoneundertakingfromthoseofotherundertakings.Thiswillnotprecludearequirementprescribingtheuseofthetrademarkidentifyingtheundertakingproducingthegoodsorservicesalongwith,butwithoutlinkingitto,thetrademarkdistinguishingthespecificgoodsorservicesinquestionofthatundertaking.Article21LicensingandAssignmentMembersmaydetermineconditionsonthelicensingandassignmentoftrademarks,itbeingunderstoodthatthecompulsorylicensingoftrademarksshallnotbepermittedandthattheownerofaregisteredtrademarkshallhavetherighttoassignthetrademarkwithorwithoutthetransferofthebusinesstowhichthetrademarkbelongs.SECTION3:GEOGRAPHICALINDICATIONSArticle22ProtectionofGeographicalIndications1.
Geographicalindicationsare,forthepurposesofthisAgreement,indicationswhichidentifyagoodasoriginatingintheterritoryofaMember,oraregionorlocalityinthatterritory,whereagivenquality,reputationorothercharacteristicofthegoodisessentiallyattributabletoitsgeographicalorigin.2.
Inrespectofgeographicalindications,Membersshallprovidethelegalmeansforinterestedpartiestoprevent:(a)
theuseofanymeansinthedesignationorpresentationofagoodthatindicatesorsuggeststhatthegoodinquestionoriginatesinageographicalareaotherthanthetrueplaceoforigininamannerwhichmisleadsthepublicastothegeographicaloriginofthegood;(b)
anyusewhichconstitutesanactofunfaircompetitionwithinthemeaningofArticle
10bisoftheParisConvention(1967).3.
AMembershall,ex
officioifitslegislationsopermitsorattherequestofaninterestedparty,refuseorinvalidatetheregistrationofatrademarkwhichcontainsorconsistsofageographicalindicationwithrespecttogoodsnotoriginatingintheterritoryindicated,ifuseoftheindicationinthetrademarkforsuchgoodsinthatMemberisofsuchanatureastomisleadthepublicastothetrueplaceoforigin.4.
Theprotectionunderparagraphs1,2and3shallbeapplicableagainstageographicalindicationwhich,althoughliterallytrueastotheterritory,regionorlocalityinwhichthegoodsoriginate,falselyrepresentstothepublicthatthegoodsoriginateinanotherterritory.Article23AdditionalProtectionforGeographicalIndicationsforWinesandSpirits1.
EachMembershallprovidethelegalmeansforinterestedpartiestopreventuseofageographicalindicationidentifyingwinesforwinesnotoriginatingintheplaceindicatedbythegeographicalindicationinquestionoridentifyingspiritsforspiritsnotoriginatingintheplaceindicatedbythegeographicalindicationinquestion,evenwherethetrueoriginofthegoodsisindicatedorthegeographicalindicationisusedintranslationoraccompaniedbyexpressionssuchas“kind”,“type”,“style”,“imitation”orthelike.
44NotwithstandingthefirstsentenceofArticle42,membersmay,withrespecttotheseobligationsinsteadprovideforenforcementbyadministrativeaction.2.
Theregistrationofatrademarkforwineswhichcontainsorconsistsofageographicalindicationidentifyingwinesorforspiritswhichcontainsorconsistsofageographicalindicationidentifyingspiritsshallberefusedorinvalidated,ex
officioifaMember'slegislationsopermitsorattherequestofaninterestedparty,withrespecttosuchwinesorspiritsnothavingthisorigin.3.
Inthecaseofhomonymousgeographicalindicationsforwines,protectionshallbeaccordedtoeachindication,subjecttotheprovisionsofparagraph4ofArticle22.EachMembershalldeterminethepracticalconditionsunderwhichthehomonymousindicationsinquestionwillbedifferentiatedfromeachother,takingintoaccounttheneedtoensureequitabletreatmentoftheproducersconcernedandthatconsumersarenotmisled.4.
Inordertofacilitatetheprotectionofgeographicalindicationsforwines,negotiationsshallbeundertakenintheCouncilforTRIPSconcerningtheestablishmentofamultilateralsystemofnotificationandregistrationofgeographicalindicationsforwineseligibleforprotectioninthoseMembersparticipatinginthesystem.Article24InternationalNegotiations;ExceptionsagreetoenterintonegotiationsaimedatincreasingtheprotectionofindividualgeographicalindicationsunderArticle23.Theprovisionsofparagraphs
4through8belowshallnotbeusedbyaMembertorefusetoconductnegotiationsortoconcludebilateralormultilateralagreements.Inthecontextofsuchnegotiations,Membersshallbewillingtoconsiderthecontinuedapplicabilityoftheseprovisionstoindividualgeographicalindicationswhoseusewasthesubjectofsuchnegotiations.CouncilforTRIPSshallkeepunderreviewtheapplicationoftheprovisionsofthisSection,thefirstsuchreviewshalltakeplacewithintwoyearsoftheentryintoforceoftheWTOAgreement.AnymatteraffectingthecompliancewiththeobligationsundertheseprovisionsmaybedrawntotheattentionoftheCouncil,which,attherequestofaMember,shallconsultwithanyMemberorMembersinrespectofsuchmatterinrespectofwhichithasnotbeenpossibletofindasatisfactorysolutionthroughbilateralorplurilateralconsultationsbetweentheMembersconcerned.TheCouncilshalltakesuchactionasmaybeagreedtofacilitatetheoperationandfurthertheobjectivesofthisSection.implementingthisSection,aMembershallnotdiminishtheprotectionofgeographicalindicationsthatexistedinthatMemberimmediatelypriortothedateofentryintoforceoftheWTOAhisSectionshallrequireaMembertopreventcontinuedandsimilaruseofaparticulargeographicalindicationofanotherMemberidentifyingwinesorspiritsinconnectionwithgoodsorservicesbyanyofitsnationalsordomiciliarieswhohaveusedthatgeographicalindicationinacontinuousmannerwithregardtothesameorrelatedgoodsorservicesintheterritoryofthatMembereither(a)
foratleast10yearspreceding15April1994or(b)
ingoodfaithprecedingthatdate.5.

beforethedateofapplicationoftheseprovisionsinthatMemberasdefinedinPart

beforethegeographicalindicationisprotectedinitscountryoforigin,measuresadoptedtoimplementthisSectionshallnotprejudiceeligibilityfororthevalidityoftheregistrationofatrademark,ortherighttouseatrademark,onthebasisthatsuchatrademarkisidenticalwith,orsimila
