21、装运条款TERMSOFSHIPMENT9.1卖方应在货物装运前7天以传真形式将装运的细节，包括合同号、货物名称、数量、发票金额、包装、毛重、尺寸、装运港、卸货港、船名或航班号、提单运单号、起运日期和预计到达日期等通知买方TheSellershall,sevendaysbeforethedateofshipment,advisetheBuyerbyfaxofcontractNo.,commodity,quantity,value,numberofpackages,grossweight,measurement,portofshipmentanddestination,name/numberofc

22、arryingvessel/aircraft,numberofBillofLading/Airwaybill,dateofitsdepartureandestimateddateofarrival.9.2卖方同时应在装运后四十八(48)小时内将提单或空运单、发票、总装箱单和详细装箱单、原产地证、熏蒸证明、三C证书以及其他相关单据传真给买方。卖方还应在货物装运后的三天内快递买方一整套正本单据。由于卖方未发装船通知传真而导致买方不能及时保险时，则所发生的一切损失均由卖方负责赔偿。TheBillofLading/Airwaybill,invoice,overallpackinglist,detail

23、edpackinglist,certificateoforiginal,Phyto-sanitarycertificate,tripleCcertificateandotherrelateddocumentsshallbealsofaxedtotheBuyerbytheSellerwithinfortyeight(48)hoursaftershipment.ThesellershallalsosendbycourieracompleteandfullsetoftheOriginaldocumentstothebuyernotlaterthanthree(3)daysaftercompletio

24、nofloadingoftheGoods.Duetothesellersfailuretogivetheabove-mentionedadviceofshipmentbyfax,thesellershallbeheldresponsibleforanyandalldamageand/orlossattributabletosuchfailure.9.3除非另有规定，货物不能放在甲板上运输，也不能分批装运或转运Unlessotherwiseagreedupon,shippedondeckortransshipmentisnotacceptable.9.4卖方应在装运完后应立即以传真方式将合同号、

25、用户名称、用户代码、货物名称、数量、包装、毛重、尺寸、发票金额、起运日期、预计到达日期和货物在运输、储存中的特殊要求和注意事项通知分别买方和用户。TheSeller,immediatelyuponthecompletionoftheloadingoftheContractEquipment,shallnotifytheBuyerbyfaxoftheContractNo.,nameofend-user,IDnumber,nameofcommodity,quantity,numberofpackages,grossweight,measurement,invoicedvalue,nameofcar

26、ryingvessel,departuredateandexpecteddateofarrivalatthePortofUnloading.9.5货物中若包含易燃、易暴和其他危险品，卖方除在包装和运输时予以特别考虑并采取专门措施之夕卜，还应在单据和包装箱上特另Ll注明。Incaseofinflammable,explosiveandotherdangerouspartsincludedintheGoods,theSellershouldmarkspeciallyinthedocumentsandthepackagecasesinadditiontomeasuresinpackingandtra

27、nsportation.9.6由运输部门签发的海运提单/空运单/陆运单据上的日期视为卖方装运的实际日期。ThedateofOnBoardOceanBillsofLading/AirWaybill/transportationdocuments/issuedbythetransportdepartmentconcernedshallberegardedastheactualdateofshipmentofthegoodsbytheSeller.包装PACKING卖方应提供所需的适应各种气候下长途邮寄/空运/陆运的夕贸标准包装，防水、防潮、防震、防尘，以及防止其他所有由于卖方采取不正确的包装和防护

28、措施所引起的损失。货物重量在2公吨以上时，应以英文及国际贸易通用标志注明货物吊装部位及重心所在处，并于箱两侧标注指示性标志，以便装卸及处理操作。Tobepackedinexportstandardpackingsuitableforlongdistancepost/airfreightandinlandtransportationandchangeofclimate,wellprotectedagainstdampness,moisture,shocks,rust,damageandlossattributabletoinadequateorimproperprotectivemeasures

29、takenbytheSellersinregardtothepacking.Shouldthegoodsweighstwo(2)metrictonsormore,thenthehoistpositionandgravityshallbemarkedoutinEnglishwithinternationaltradepracticemarksandillustrativemarksonthetwosideofeachcasesoastofacilitateloading,unloadingandhandling.如适用,卖方应在装有散装附件的包装夕标上标签，注明合同号、主料名称、辅料名称、放置位

34、本OnecopyofTechnicalDocumentationforrelevantContractEquipment.若是集装箱运输，卖方应检查集装箱是否完好并适合设备装运。在集装箱内应使用支柱或木楔防止设备移动。如果货物因包装不当或因未采取妥善的保护措施而发生损失或损坏，卖方应负责更换或赔偿。此外卖方还应赔偿买方未得到保险公司全额索赔的损失Incaseofcontainertransportation,theSellershallexaminetheconditionsofthecontainerssothatonlythoseingoodconditionsshallbeusedfor

35、deliveryoftheContractProduct.SufficientshoresorchocksshallbeprovidedinordertopreventtheContractProductfrommovinginsidethecontainers.IftheGoodsaredamagedorlostduetoimproperpackingand/orinadequateprotectivemeasures,theSellershallberesponsiblereplacementand/orcompensationinaccordancewiththeContract.The

37、leforrepair,replacement.ShouldtheContractEquipmentbemis-transportedduetomistakeorambiguousnessinpackageand/orshippingmarks,theSellershallbearadditionalexpensesthusincurred除了上述原因外，如货物在运装运过程中有丢失或者损坏的，卖方应协助买方向保险公司办理索偿，并且有义务在事故发生后30天内，将丢失或者损坏的货物应买方的要求以原合同价格补发该货物.IncasetheContractEquipmentarelostand/orda

39、hePurchasersrequest.(d)若卖方使用木质包装，应使用无虫害的包装。所使用的木质材料，包括支撑物、系结物，应当由出口国或地区政府植物检疫机构认可的企业按中国确认的检疫除害处理办法处理，并在木质包装显著位置(至少应在相对的两面)加施清晰易辨的IPPC专用标识(标识避免使用红色或橙色)。如果经中国检疫机构检疫发现木质包装无标识、标识不符合要求或截获活的有害生物的，卖方应承担在卸货港对木质包装实施除害处理、销毁处理或作退运处理所发生的所有费用，并赔偿买方因此遭受的所有损失和费用。IftheSellerusewoodenpackage,itshallbefreefromanyinse

40、ctinfestation.Woodenmaterialsofpacking,includingsupporting,fastening,etc.,shallbetreatedbyentitiesqualifiedbythephytosanitaryauthoritiesoftheexportingcountryorregion,inaccordancewiththemeasuresasdefinedbycompetentauthoritiesofPRC.EachwoodenpackageshallcarriedwithlegiblespecialmarkofIPPC(theuseofredo

41、rorangeavoided)intheobviousplaceofwoodpackaging(onatleasttwooppositesides).IncasethephytosanitaryorganizationofPRCfindsthroughquarantinemeasuresthatthewoodpackagingdoesnotcarrywiththerequiredmark,themarkdoesnotmeettherequirementsorlivepestsareintercepted,theSellershouldpayforalltheexpensesattheporto

42、funloadingoftreatmentstoeliminatethepests,destroythepackagingortransportbackandshallcompensatetheBuyerforalltheexpenses,costsanddamagesthusincurred.卖方应将上述提及的证明或声明应在货物装船(装运)后尽快递交给买方，如果因卖方原因不能及时递交上述证明或声明，由此产生的所有费用和损失应由卖方承担。Theabove-mentionedcertificateorstatementshallbesubmittedbytheSellertotheBuyerim

43、mediatelyafterthegoodshavebeendeliveredonboardofthevessel(flight).IftheSellerfailstopresentorpresentsthesaidcertificateorstatementindelay,theSellershallcompensateallthecosts,expensesandlossesoftheBuyerthusincurred.迟交货及违约金LATEDELIVERYANDPENALTY除本合同规定的不可抗力原因外，如果卖方未能按照合同交货期交货，买方同意在卖方缴纳违约金的条件下延期交货，违约金在议

44、付时由付款银行或从履约保函中扣除，违约金不能超过迟交货物总额的10%，违约金按每七天货值的1%计算，不足七天的按七天计算。当扣款达到最高比例时，买方有权撤销本合同，但卖方仍要立即缴纳上述违约金和买方的直接损失。ShouldTheSellerfailtomakedeliveryontimeasstipulatedinthiscontract,withtheexceptionofForceMajeure,TheBuyershallagreetopostponethedeliveryonconditionthatTheSelleragreetopayapenaltywhichshallbededuc

45、tedbythepayingbankfromthepaymentundernegotiationorfromtheperformancesecurity.Thepenalty,however,shallnotexceed10%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyshallbechargedat1%foreverysevendays(lessthansevendaysshouldbecountedassevendays).IncasethemaximumisreachedortheSellerfai

46、lstomakedeliveryten(10)weekslaterthanthetimeofshipmentasstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller.Inspiteofthetermination,shallstillpaytheaforesaidpenaltyandBuyersdirectlosstotheBuyerwithoutdelay.如卖方误发和/或漏发合同中货物，或不能按照合同提供服务，卖方应承担买方因此不能按时收款所产生的资金占压而引起的利息损失。损失按照自

48、款PurchasingamountforthemistakengoodsB=买方收到卖方更正和/或补发货物(含配件)或服务的日期ThedayswhenthebuyerreceivethecorrectedorsupplementedconsignmentC=买方已付卖方货款日期Thedayswhenthebuyerpaythepaymenttotheseller检验与测试INSPECTIONANDTESTS在合同执行期间，经过买卖双方达成一致后，买方有权派出其检验员到卖方或制造商国家，在卖方检验员的协同下检验主要货物的生产过程和质量。卖方应向买方的检验员提供免费的工作设施，包括但不仅限于必要的

49、技术说明和检测工具、检测仪器oAftermutuallyagreedbytheBuyerandSellerduringexecutionoftheContract,theBuyerisentitledtosendhisinspectorstotheSellersand/ormanufacturerscountriestoinspectthemanufacturingprocessandqualityofthemainequipmenttogetherwiththeSellersinspectors.TheSellershallprovidetheBuyersinspectorsfreeofch

50、argewithworkingfacilitiesincludingbutnotlimitedtonecessarytechnicaldocumentation,testingtoolsandapparatus.卖方应提前两个月通知买方检验期。买方应在接到卖方检验通知后五个工作日内，确认在是否派出检验员。TheSellershallnotifytheBuyeroftheinspectiondatetwomonthsinadvance.TheBuyershallconfirmwhetheritwilldispatchtheinspectorswithinfiveworkingdaysuponre

51、ceiptofsuchanotice.12.3卖方对于买方检验员提出的意见应给予充分的考虑，并采取必要的措施消除任何瑕疵和差异。一旦出现瑕疵和差异，由此产生二次检验费用应由卖方承担。TheSellershallgivefullconsiderationstotheopinionsputforwardbytheBuyersinspectors,andshalltakenecessarymeasuresatitsowncoststoeliminatethedefectordiscrepancy,ifany;thusasecondinspectionshallbeconductedbytheSell

52、erforitsownaccount.12.4合同设备的开箱检验应由买方或买方代表和最终用户在项目所在地完成，买方应在开箱检验前五个工作日通知卖方。卖方在自负费用的条件下派出代表参加检验。若卖方代表未能在开箱检验时出现，最终用户有权在卖方代表缺席的情况下进行检验。如在开箱检验中发现短装、瑕疵、损坏或其他与合同不符的情况，由卖方或最终用户签发的检验证明应作为买方向卖方索赔的有效证据。Theopen-packageinspectionontheContractEquipmentshallbeperformedbythebuyerorthebuyersrepresentativesandtheEnd

53、-userattheProjectSite.TheBuyershallinformtheSellerthedateoftheinspectionfiveworkingdaysbeforetheopen-packageinspection.TheSellermaysenditsrepresentativesatitsownexpensestobepresentintheinspection.IftheSellersrepresentativesarenotpresentintheopen-packageinspection,theEnd-userhavetherighttoconductthei

54、nspectionintheirabsence.Shouldanyshortage,defect,damageorothernon-conformitywiththeContractbefoundwiththedeliveredContractEquipmentduringtheopen-packageinspection,theinspectioncertificateissuedbytheEnd-userorbuyershallbetakenbytheBuyeraseffectiveevidencetoclaimagainsttheSeller.12.5如是集装箱运输，集装箱的开启和返还不
