2025商务英语合同翻译指南ContractfortheSupplyofGoodsandServices(GoodsContract)ContractNumber:Date:Place:THISCONTRACT(the"Contract")ismadeandenteredintoonthedayof,2025,byandbetween:NameofSupplier:(the"Supplier")Address:Email:Phone:NameofBuyer:(the"Buyer")Address:Email:Phone:WITNESSETH:WHEREAS,theSupplieriswillingtosupplycertaingoodsand/orservices(the"Goods")assetforthinthisContract;andWHEREAS,theBuyeriswillingtopurchasesuchGoodsfromtheSupplieruponthetermsandconditionssetforthherein;NOW,THEREFORE,thepartiesheretoagreeasfollows:1.DEFINITIONSANDINTERPRETATION1.1InthisContract,unlessthecontextotherwiserequires,thefollowingwordsandexpressionsshallhavethefollowingmeanings:"Goods"meansthegoodsand/orservicesspecifiedinSchedule1hereto."Supplier"meansthepersonnamedassuchinthepreamblehereto,includinghissuccessorsandassigns."Buyer"meansthepersonnamedassuchinthepreamblehereto,includinghissuccessorsandassigns."ForceMajeure"meansanyeventbeyondthereasonablecontrolofeitherparty,including,butnotlimitedto,naturaldisasters,war,strikes,riots,governmentactions,andpandemics."ConfidentialInformation"meansanynon-public,proprietary,orconfidentialinformationdisclosedbyonepartytotheotherinconnectionwiththisContract.1.2HeadingsandcaptionsareinsertedforconvenienceonlyandshallnotaffecttheconstructionorinterpretationofthisContract.2.SUPPLYOFGOODS2.1TheSupplieragreestosupplytheGoodsasspecifiedinSchedule1hereto,andtheBuyeragreestopurchasetheGoodsinaccordancewiththetermsandconditionssetforthherein.2.2TheSuppliershallensurethattheGoodsareofgoodquality,freefromdefects,andcomplywithallapplicablelaws,regulations,andstandards.2.3TheSuppliershalldelivertheGoodstotheBuyer’sdesignatedaddressasspecifiedinSchedule1,unlessotherwiseagreedinwriting.2.4ThetimeofdeliveryisoftheessenceofthisContract.TheSuppliershalldelivertheGoodswithinthetimespecifiedinSchedule1.TheBuyershallnotifytheSupplierinwritingofanydelayindeliverywithin5businessdaysoftheexpecteddeliverydate.3.PRICINGANDPAYMENT3.1ThepricefortheGoodsshallbeasspecifiedinSchedule1hereto(the"Price").3.2Unlessotherwiseagreedinwriting,thePriceshallincludeallapplicabletaxes,duties,andothercharges.3.3PaymentshallbemadeinthemannerspecifiedinSchedule1.TheBuyershallmakepaymentwithin30daysofreceivinganinvoicefromtheSupplier.3.4IftheBuyerfailstomakepaymentbytheduedate,theSuppliershallbeentitledtochargeinterestontheoutstandingamountatarateof%perannum.4.WARRANTYANDINDEMNITY4.1TheSupplierwarrantsthattheGoodsshallconformtothespecificationssetforthinSchedule1andshallbefreefromdefectsinmaterialandworkmanshipforaperiodofmonthsfromthedateofdelivery.4.2TheBuyershallnotifytheSupplierofanydefectswithindaysofdiscoveringthem.TheSuppliershall,atitsoption,repair,replace,orrefundtheGoodswithindaysofreceivingsuchnotice.4.3TheSuppliershallindemnifyandholdharmlesstheBuyeragainstanyclaims,damages,orliabilitiesarisingfromdefectsintheGoodsorbreachofthisContract.5.CONFIDENTIALITY5.1EachpartyagreestokeepconfidentialallConfidentialInformationdisclosedbytheotherpartyandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.5.2TheobligationsunderthisclauseshallsurvivetheterminationofthisContract.6.TERMANDTERMINATION6.1ThisContractshallcommenceonthedatefirstabovewrittenandcontinueuntiltheGoodsaredeliveredandpaymentismadeinfull(the"Term").6.2EitherpartymayterminatethisContractimmediatelyuponwrittennoticeiftheotherpartycommitsamaterialbreachofthisContractandfailstoremedysuchbreachwithin30daysofreceivingwrittennoticethereof.6.3Upontermination,theSuppliershallrefundanypaymentsmadebytheBuyerinrespectofundeliveredGoods,andtheBuyershallpayforanyGoodsdeliveredandacceptedpriortotermination.7.GOVERNINGLAWANDDISPUTERESOLUTION7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.7.2AnydisputesarisingoutoforrelatingtothisContractshallberesolvedbynegotiationbetweentheparties.Ifthedisputecannotberesolvedwithin30days,eitherpartymayreferthemattertothecourtsofforfinalresolution.8.MISCELLANEOUS8.1NowaiverofanytermorconditionofthisContractshallbevalidunlessmadeinwritingandsignedbythepartyagainstwhomthewaiverissoughttobeenforced.8.2ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representations,andunderstandings,whetheroralorwritten.8.3IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,suchinvalidityorunenforceabilityshallnotaffecttheremainingprovisionsherein,whichshallremaininfullforceandeffect.8.4ThisContractmayonlybeamendedormodifiedbywrittenagreementsignedbybothparties.8.5EachpartyshallberesponsibleforobtainingitsownlegalandtaxadviceinconnectionwiththisContract.INWITNESSWHE
