四、退款时间节点1.PartyAshallinitiatetherefundprocesswithin[numberofdays]daysfromthedateofsigningthisAgreement.2.TherefundamountshallbecreditedtoPartyB'sdesignatedbankaccountwithin[numberofdays]workingdaysafterPartyAhasinitiatedtherefundtransfer.PartyCshallcooperatewithPartyAtoensurethesmoothprogressoftherefundprocess,includingprovidinganynecessarydocumentationorinformation.

五、各方权利与义务

(一)PartyA'sRightsandObligations1.RightsPartyAhastherighttoverifytheauthenticityandvalidityoftherefundclaimmadebyPartyBinaccordancewiththetermsandconditionsofthisAgreement.PartyAhastherighttorequestPartyBandPartyCtoprovideanyadditionalinformationordocumentationnecessaryfortheproperprocessingoftherefund.2.ObligationsPartyAshallrefundtheamountduetoPartyBinfullandinatimelymannerasspecifiedinthisAgreement.PartyAshallkeepPartyBandPartyCinformedoftheprogressoftherefundprocess,includinganydelaysorissuesthatmayarise.PartyAshallberesponsibleforanybankchargesorfeesassociatedwiththerefundtransfer,unlessotherwiseagreeduponinwritingbyallparties.

(二)PartyB'sRightsandObligations1.RightsPartyBhastherighttoreceivetherefundamountfromPartyAinaccordancewiththetermsofthisAgreement.PartyBhastherighttorequestPartyAandPartyCtorectifyanyerrorsoromissionsintherefundprocess.2.ObligationsPartyBshallprovideaccurateandpleteinformationtoPartyAandPartyCregardingtherefundclaim,includingdetailsofthegoods/servicesreceived,thereasonfortherefund,andanyrelevanttransactionrecords.PartyBshallcooperatewithPartyAandPartyCintheverificationprocessandprovideanyadditionaldocumentationorinformationasrequired.PartyBshallindemnifyandholdharmlessPartyAandPartyCfromanylosses,damages,liabilities,orexpensesarisingoutoforinconnectionwiththerefundclaimmadebyPartyB,providedthatsuchlosses,damages,liabilities,orexpensesarenotcausedbythenegligenceorwillfulmisconductofPartyAorPartyC.

(三)PartyC'sRightsandObligations1.RightsPartyChastherighttobeinformedoftheprogressoftherefundprocessandtoreceivecopiesofanyrelevantmunicationbetweenPartyAandPartyB.PartyChastherighttoparticipateintheresolutionofanydisputesorissuesrelatedtotherefundprocess,providedthatsuchparticipationisinaccordancewiththetermsofthisAgreementandapplicablelaws.2.ObligationsPartyCshallcooperatewithPartyAandPartyBintherefundprocess,includingprovidinganynecessaryassistanceorinformation.PartyCshallnotinterferewiththerefundprocessortakeanyactionsthatmaydelayorpreventtherefundfrombeingprocessed.PartyCshallindemnifyandholdharmlessPartyAandPartyBfromanylosses,damages,liabilities,orexpensesarisingoutoforinconnectionwithPartyC'sactionsoromissionsintherefundprocess,providedthatsuchlosses,damages,liabilities,orexpensesarenotcausedbythenegligenceorwillfulmisconductofPartyAorPartyB.

六、保密条款1.Eachpartyagreestokeepconfidentialallinformationobtainedfromtheotherpartiesinconnectionwiththisrefundprocess,includingbutnotlimitedtotransactiondetails,financialinformation,andanyotherproprietaryorsensitiveinformation.2.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears]years.3.Neitherpartyshalldiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparties,exceptasrequiredbylaworinconnectionwiththeenforcementofthisAgreement.

七、违约责任1.IfPartyAfailstorefundtheamountduetoPartyBwithinthespecifiedtimeperiod,PartyAshallbeliabletopayinterestontheoutstandingrefundamountattherateof[interestrate]%perannum,calculatedfromtheduedateuntilthedateofactualpayment.2.IfPartyBorPartyCprovidesfalseormisleadinginformationinconnectionwiththerefundclaim,orfailstocooperatewithPartyAintherefundprocess,PartyBorPartyCshallbeliableforanylosses,damages,orexpensesincurredbyPartyAasaresultthereof.3.IntheeventofabreachofanyprovisionofthisAgreementbyanyparty,thenonbreachingpartyshallbeentitledtoseekallavailablelegalremedies,includingbutnotlimitedtodamages,injunctiverelief,andspecificperformance.

八、争议解决1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultationsamongtheparties.2.Ifthepartiesareunabletoresolvethedisputesthroughconsultationswithin[numberofdays]days,eitherpartymaysubmitthedisputesto[arbitrationinstitution/court]forarbitration/litigationinaccordancewiththerulesandproceduresofsucharbitrationinstitution/court.3.ThegoverninglawofthisAgreementshallbe[governinglaw].
