机电采购英文合同范本

ThisContractismadeandenteredintothis[Date]dayof[Month],[Year],byandbetween[Seller'sFullLegalName],a[Seller'sStateofIncorporation]corporationwithitsprincipalplaceofbusinessat[Seller'sAddress](hereinafterreferredtoas"Seller"),and[Buyer'sFullLegalName],a[Buyer'sStateofIncorporation]corporationwithitsprincipalplaceofbusinessat[Buyer'sAddress](hereinafterreferredtoas"Buyer").

WHEREAS,BuyerdesirestopurchasefromSeller,andSellerdesirestoselltoBuyer,certainmachineryandequipment(collectively,the"Equipment")asdescribedinExhibitAattachedheretoandmadeaparthereof(the"Purchase").

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.SaleandPurchaseofEquipment

1.1Selleragreestosell,andBuyeragreestopurchase,theEquipmentasdescribedinExhibitA,whichExhibitAisincorporatedhereinbythisreference.

1.2TheEquipmentshallbesoldandpurchasedforthepurchasepricesetforthinExhibitBattachedheretoandmadeaparthereof(the"PurchasePrice").

2.PaymentTerms

2.1BuyershallpaythePurchasePricetoSellerinaccordancewiththepaymentschedulesetforthinExhibitB.

2.2TimeisoftheessencewithrespecttoBuyer'spaymentobligationshereunder.

2.3AnylatepaymentbyBuyershallbearinterestattherateof[InterestRate]%perannumorthemaximumratepermittedbylaw,whicheverisless,fromtheduedateuntilpaid.

3.DeliveryandAcceptance

3.1DeliveryoftheEquipmentshallbemadebySellertoBuyeratthelocationspecifiedinExhibitA(the"DeliveryLocation")onorbefore[DeliveryDate](the"DeliveryDate").

3.2BuyershallhavetherighttoinspecttheEquipmentattheDeliveryLocationforaperiodof[InspectionPeriod]daysfollowingdelivery(the"InspectionPeriod").

3.3If,duringtheInspectionPeriod,BuyerdeterminesthattheEquipmentdoesnotconformtothespecificationssetforthinExhibitA,BuyershallsonotifySellerinwritingwithin[NotificationPeriod]daysfollowingtheendoftheInspectionPeriod(the"NotificationPeriod").

3.4IfBuyerfailstoprovidesuchnoticewithintheNotificationPeriod,theEquipmentshallbedeemedacceptedbyBuyer.

3.5IfBuyerprovidesnoticewithintheNotificationPeriod,Sellershallhavetherighttoeitherrepairorreplacethenon-conformingEquipment,ortorefundthePurchasePricetoBuyer,atSeller'ssoleoption.

4.Warranties

4.1Sellerwarrantsthat,asoftheDeliveryDate,theEquipmentshallbefreefromdefectsinmaterialandworkmanshipandshallconformtothespecificationssetforthinExhibitA.

4.2ThewarrantysetforthinSection4.1shallbeineffectforaperiodof[WarrantyPeriod]followingtheDeliveryDate(the"WarrantyPeriod").

4.3Seller'ssoleobligationandBuyer'sexclusiveremedyforbreachofthewarrantysetforthinSection4.1shallbe,atSeller'soption,torepairorreplacethedefectiveEquipment,ortorefundthePurchasePricetoBuyer.

4.4ThewarrantysetforthinSection4.1shallnotapplytoanyEquipmentthathasbeensubjecttomisuse,neglect,alteration,oraccident.

5.Indemnification

5.1Sellershallindemnify,defend,andholdharmlessBuyer,itsofficers,directors,employees,agents,andaffiliates(collectively,"BuyerIndemnitees")fromandagainstanyandallclaims,demands,liabilities,losses,damages,costs,andexpenses,includingreasonableattorneys'fees(collectively,"Claims"),arisingoutoforinconnectionwith(a)anyinjurytoordeathofanypersonordamagetopropertycausedbytheEquipment,excepttotheextentsuchClaimsarecausedbythenegligenceorwillfulmisconductofBuyerIndemnitees,or(b)anybreachofanyrepresentation,warranty,orcovenantmadebySellerinthisContract.

5.2Buyershallindemnify,defend,andholdharmlessSeller,itsofficers,directors,employees,agents,andaffiliates(collectively,"SellerIndemnitees")fromandagainstanyandallClaimsarisingoutoforinconnectionwith(a)anyinjurytoordeathofanypersonordamagetopropertycausedbytheEquipment,totheextentsuchClaimsarecausedbythenegligenceorwillfulmisconductofBuyerIndemnitees,or(b)anybreachofanyrepresentation,warranty,orcovenantmadebyBuyerinthisContract.

6.LimitationofLiability

6.1INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERFORANYINCIDENTAL,INDIRECT,SPECIAL,EXEMPLARY,ORCONSEQUENTIALDAMAGESARISINGOUTOFORINCONNECTIONWITHTHISCONTRACT,WHETHERORNOTSUCHDAMAGESWEREREASONABLYFORESEEABLEANDWHETHERORNOTSUCHPARTYHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.

6.2NOTWITHSTANDINGANYTHINGTOTHECONTRARYCONTAINEDINTHISCONTRACT,THELIABILITYOFSELLERARISINGOUTOFORINCONNECTIONWITHTHISCONTRACT,WHETHERINCONTRACT,TORT,OROTHERWISE,SHALLNOTEXCEEDTHEPURCHASEPRICE.

7.Termination

7.1ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyintheeventthattheotherpartymateriallybreachesanyprovisionofthisContractandfailstocuresuchbreachwithin[CurePeriod]daysfollowingwrittennoticethereof.

7.2IntheeventofterminationpursuanttoSection7.1,SellershallrefundtoBuyeranyamountspaidbyBuyerhereunder,andBuyershallreturntheEquipmenttoSelleratSeller'sexpense.

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[GoverningLawState],withoutregardtotheconflictsoflawsprovisionsthereof.

9.DisputeResolution

9.1AnydisputearisingoutoforrelatingtothisContractshallberesolvedbyarbitrationin[ArbitrationLocation],inaccordancewiththeCommercialArbitrationRulesoftheAmericanArbitrationAssociationthenineffect.

9.2Thearbitratorshallhavethepowertoawardanyremedyorreliefthatacourtofcompetentjurisdictioncouldaward.

9.3Thedecisionofthearbitratorshallbefinalandbindingontheparties,andjudgmentthereonmaybeenteredinanycourtofcompetentjurisdiction.

9.4Thepartiesagreethatanyarbitrationhereundershallbeconductedonanindividualbasisandnotinaclass,collective,orrepresentativeaction,andanarbitratorshallhavenoauthoritytoawardclass-wide,collective,orrepresentativerelief.

10.Miscellaneous

10.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,proposals,andcommunications,whetherwrittenororal,betweenthepartiesrelatingtosuchsubjectmatter.

10.2NomodificationoramendmentofthisContractwillbeeffectiveunlessinwritingandsignedbyeachparty.

10.3ThefailureofeitherpartytoenforceanyrightorprovisionofthisContractwillnotconstituteawaiverofsuchrightorprovision.

10.4IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,thensuchprovisionwillbeconstruedtoreflecttheparties'originalintent,andtheremainingprovisionswillremaininfullforceandeffect.

10.5ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

10.6Anynoticeorothercommunicationrequiredorpermittedtobegive
