a)PartyAacknowledgesPartyB'scapabilitytofulfilltherequiredspecificationsandstandardsofthegoodsandservicesneededforPartyA'sbusinessoperations.

b)PartyBrecognizesPartyA'scommitmenttoadheretotheagreed-upontermsofpurchase,payment,andcooperation,whichareessentialforaseamlessandsuccessfultransaction.

c)Bothpartiesagreethatthiscontractisenteredintowiththeintenttopromotetheirrespectivebusinessinterestsandtoensureafrandequitableexchangeofgoodsforvalue.

d)Thepartiesfurtheracknowledgethatthiscontractisbasedontheprincipleofgoodfthandfrdealing,andthatanyactionstakenbyeitherpartyinrelationtothiscontractshallbeincompliancewithapplicablelaws,regulations,andindustrystandards.

Thefollowingsectionsofthiscontractoutlinethespecificrightsandobligationsofeachparty,pricingandpaymentterms,thedurationofperformance,liabilitiesforbreach,forcemajeure,disputeresolution,otherrelevantclauses,andthecontract'sappendixandsigningformalities.

第一条合同目的与范围

TheprimarypurposeofthiscontractistoestablishaclearandbindingagreementbetweenPartyAandPartyBregardingthepurchaseandsupplyofspecificgoods.ThecontractencompassesthedetledtermsandconditionsunderwhichPartyBagreestoprovidethegoodstoPartyA,andPartyAagreestopurchaseandacceptthesegoodsinaccordancewiththespecifications,quantities,andtimelinesoutlinedherein.Thescopeofthiscontractincludes,butisnotlimitedto,theidentificationofthegoods,qualitystandards,deliveryprocedures,paymentterms,andthedurationoftheagreement.

Forthepurposesofthiscontract,thefollowingtermsshallhavethemeaningsascribedbelow:

-"Goods"referstotheproductsdescribedinExhibitA,attachedhereto,whichPartyBisobligatedtosupplytoPartyA.

-"Delivery"meansthetransferofthegoodsfromPartyBtoPartyA,asperthetermsandconditionssetforthinthiscontract.

-"ForceMajeure"referstoanyunforeseeableandirresistibleeventbeyondthecontroloftheparties,whichpreventstheperformanceofthiscontract.

-"IntellectualPropertyRights"includesallpatents,trademarks,servicemarks,copyrights,tradesecrets,andotherintellectualpropertyrightsrecognizedbyapplicablelaws.

第三条双方权利与义务

1.PartyA'sRightsandObligations:

-PartyAhastherighttoreceivethegoodsfromPartyBinaccordancewiththeagreedspecifications,quantities,anddeliveryschedule.

-PartyAisobligatedtomaketimelypaymentsforthegoodsasperthepaymenttermsoutlinedinthiscontract.

-PartyAshallprovidePartyBwithanynecessaryinformationorspecificationstoenablePartyBtofulfillitsobligationsunderthiscontract.

-PartyAshallinspectthegoodsupondeliveryandnotifyPartyBofanydefectsornon-conformitieswithinaspecifiedperiod.

-PartyAshallusethegoodsincompliancewithallapplicablelawsandregulations.

2.PartyB'sRightsandObligations:

-PartyBhastherighttoreceivetimelypaymentsfromPartyAaspertheagreedpaymentterms.

-PartyBisobligatedtosupplythegoodsinaccordancewiththespecifications,quantities,anddeliveryschedulesetforthinthiscontract.

-PartyBshallensurethatthegoodscomplywithallapplicablequalitystandardsandregulations.

Bothpartiesshallperformtheirrespectiverightsandobligationsingoodfthandincompliancewiththetermsandconditionsofthiscontract.TherightsandobligationsoutlinedaboveareintegraltotheproperfunctioningandsuccessofthetransactionandaretobeadheredtobybothPartyAandPartyB.

第四条价格与支付条件

ThepriceforthegoodsshallbeasspecifiedinExhibitB,attachedhereto,whichisanintegralpartofthiscontract.PaymentshallbemadebyPartyAtoPartyBinaccordancewiththefollowingterms:

-PartyAshallmakepaymentforthegoodswithin[number]daysafterthereceiptoftheinvoicefromPartyB.

-PaymentshallbeexecutedbywiretransfertothebankaccountprovidedbyPartyB,orbyanyothermethodmutuallyagreeduponbytheparties.

-PartyAshallnotbeentitledtoanydiscounts,set-offs,orotherreductionsinthepriceofthegoodsunlessexplicitlyprovidedforinthiscontract.

-AllpaymentsshallbemadeinthecurrencyasspecifiedinExhibitB,andPartyAshallberesponsibleforanytransactionfeesorchargesassociatedwiththepayment.

第五条履行期限

Thiscontractshallbeeffectivefromthedateofsigningandshallremninforceuntilthecompletionofallobligationsbybothparties,unlessterminatedearlierinaccordancewiththetermsofthiscontract.Thefollowingkeytimelinesandmilestonesareherebyestablished:

-PartyBshalldeliverthegoodstoPartyAbythedatespecifiedinExhibitC,attachedhereto.

第六条违约责任

Intheeventofabreachbyeitherpartyofanyprovisionofthiscontract,thebreachingpartyshallbeliableforthefollowingconsequences:

-Thenon-breachingpartyshallhavetherighttoclmliquidateddamages,whichshallbecalculatedasapercentageofthetotalcontractvalue,asspecifiedinExhibitB.

-Thebreachingpartyshallbeliableforanyactualdamagessufferedbythenon-breachingpartyasadirectresultofthebreach,includingbutnotlimitedto,costsincurred,lossofprofits,andanyotherdirectandindirectlosses.

-IfPartyBflstodeliverthegoodswithinthespecifiedtimeframe,PartyAshallhavetherighttoterminatethecontractandseekarefundofanyadvancepaymentsmade,ifapplicable.

-IfPartyAflstomaketimelypayments,PartyBshallhavetherighttosuspendfurtherdeliveriesuntilalloutstandingpaymentsarereceived,andtochargeinterestontheoverdueamountsataratemutuallyagreeduponbytheparties.

-Intheeventofamaterialbreachbyeitherpartythatisnotcuredwithinareasonableperiod,thenon-breachingpartyshallhavetherighttoterminatethiscontractandseekanyotherremediesavlableatlaworequity.

Thepartiesagreethattheforegoingremediesarenotexclusiveandareinadditiontoanyotherremediesavlableunderapplicablelaw.

第七条不可抗力

"ForceMajeure"referstoanyeventorcircumstancethatisbeyondthereasonablecontrolofaparty,includingbutnotlimitedto,actsofGod,naturaldisasters,fire,explosion,war,riot,terrorism,sabotage,strikes,lockouts,oranyotherindustrialaction,governmentactions,oranyothereventthatcannotbeanticipated,avoided,orovercomebytheaffectedpartywithreasonablecareandeffort.

Intheeventofaforcemajeure,theaffectedpartyshallbeexcusedfromperformanceordelayinperformanceofitsobligationsunderthiscontractforthedurationoftheforcemajeureeventandforareasonableperiodthereafter,providedthattheaffectedpartypromptlynotifiestheotherpartyinwritingoftheexistenceandnatureoftheforcemajeureeventandusesreasonableeffortstomitigatetheeffectsoftheevent.

Theaffectedpartyshallprovideregularupdatestotheotherpartyontheprogressoftheforcemajeureeventandtheanticipatedresumptionofperformance.Iftheforcemajeureeventcontinuesforaperiodexceeding[number]months,eitherpartyshallhavetherighttoterminatethiscontractuponwrittennoticetotheotherparty.

Neitherpartyshallbeliableforanyflureordelayintheperformanceofitsobligationsunderthiscontractduetoaforcemajeureevent.However,theaffectedpartymusttakeallreasonablestepstoresumeperformanceassoonasfeasible.

第八条争议解决

Anydispute,controversy,orclmarisingoutoforinconnectionwiththiscontract,orthebreach,termination,orinvaliditythereof,shallberesolvedthroughthefollowingdisputeresolutionmechanism:

1.Negotiation:Thepartiesshallfirstattempttoresolveanydisputesthroughnegotiation.Thenegotiationprocessshallcommencebyeitherpartyprovidingwrittennoticetotheotherparty,specifyingthenatureofthedispute.Thepartiesshallthenengageingoodfthnegotiationstoresolvethedisputewithin[number]daysofthenotice.

2.Mediation:Ifthedisputeisnotresolvedthroughnegotiationwithinthespecifiedperiod,thepartiesagreetosubmitthedisputetomediation.Themediatorshallbemutuallyagreeduponbytheparties,andthemediationshalltakeplaceatalocationconvenienttobothparties.Thecostsofthemediationshallbesharedequallybytheparties,unlessotherwiseagreed.

3.Arbitration:Ifthedisputeisnotresolvedthroughmediation,thepartiesagreetoresolvethedisputethrougharbitrationinaccordancewiththerulesofanarbitrationinstitutionmutuallyagreeduponbytheparties.Thedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

4.Litigation:Ifthedisputecannotberesolvedthroughnegotiation,mediation,orarbitration,thepartiesmayresorttolitigationinacourtofcompetentjurisdiction.

Thepartiesagreetocomplywithanydecisionorawardreachedthroughthedisputeresolutionprocessandtobeartheirowncostsandexpensesrelatedtothedisputeresolution,exceptasmaybeotherwiseprovidedinthedecisionoraward.

1.Notices:Allnoticesandothercommunicationsunderthiscontractshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifservedpersonallyonthepartytowhomnoticeistobegiven,oronthethirddayaftermlingifmledtothepartytowhomnoticeistobegiven,byfirstclassml,registered
