蔬菜配送合作协议合同编号：__________vegetabledeliverycooperationagreementThisVegetableDeliveryCooperationAgreement(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:BACKGROUND1.TheSupplierisengagedinthebusinessofgrowingandsupplyingfreshvegetables("Vegetables").2.TheBuyerisengagedinthebusinessofdistributingandsellingfreshvegetablestocustomersinthePeople'sRepublicofChina("Customers").3.TheSupplierandtheBuyerdesiretoenterintothisAgreementtoprovideforthedeliveryofVegetablestheSuppliertotheBuyerfordistributiontoCustomers.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.DeliveryofVegetables1.1TheSupplieragreestodelivertheVegetablestotheBuyer'sdesignateddeliverylocation(the"DeliveryLocation")inaccordancewiththedeliveryschedulesetforthinExhibitAattachedhereto(the"DeliverySchedule").1.2TheSuppliershallensurethattheVegetablesconformtothequalitystandardssetforthinExhibitBattachedhereto(the"QualityStandards").TheSuppliershallprovidetheBuyerwithacertificateofqualityforeachdeliveryofVegetables,whichcertificateshallcertifythattheVegetablesconformtotheQualityStandards.1.3TheSuppliershalldelivertheVegetablestotheDeliveryLocationnolaterthanthetimesspecifiedintheDeliverySchedule.TheBuyershallbeendtorejectanyVegetablesthatarenotdeliveredinaccordancewiththeDeliverySchedule.2.PaymentTerms2.1TheBuyershallpaytheSupplierfortheVegetablesdeliveredinaccordancewiththetermsofpaymentsetforthinExhibitCattachedhereto(the"PaymentTerms").2.2TheSuppliershallprovidetheBuyerwithinvoicesforeachdeliveryofVegetables,whichinvoicesshallincludethedetailsofthedeliveryandthepricefortheVegetables.TheBuyershallmakepaymentfortheVegetableswithinthetimeperiodspecifiedinthePaymentTerms.3.Warranties3.1TheSupplierwarrantsthattheVegetablesconformtotheQualityStandardsandthattheSupplierhastherighttoselltheVegetablestotheBuyer.3.2TheSupplierrepresentsandwarrantsthattheVegetablesaregrownandharvestedinaccordancewithallapplicablelawsandregulations,including,withoutlimitation,alllawsandregulationsrelatedtoagriculturalproduction,foodsafetyandenvironmentalprotection.4.Indemnification4.1TheSuppliershallindemnifyandholdharmlesstheBuyeragainstanyandallclaims,losses,damages,liabilities,costsandexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementtheSupplieroranyactoromissionoftheSupplierthatresultsinanyinjurytoordeathofanypersonordamagetoanyproperty.4.2TheBuyershallindemnifyandholdharmlesstheSupplieragainstanyandallclaims,losses,damages,liabilities,costsandexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementtheBuyeroranyactoromissionoftheBuyerthatresultsinanyinjurytoordeathofanypersonordamagetoanyproperty.5.TermandTermination5.2eitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticethereoffromtheterminatingparty.6.GoverningLawandDisputeResolution6.1ThisAgreementshallbegovernedandconstruedinaccordancewith一、附件列表：1.交付时间表（附录A）2.质量标准（附录B）3.支付条款（附录C）二、违约行为及认定：1.供应商未能按照约定的交付时间表交付蔬菜。2.供应商交付的蔬菜未能符合约定的质量标准。3.供应商未提供质量证书证明蔬菜符合质量标准。4.供应商未能在约定时间内交付蔬菜。5.买方未能在约定的支付条款内支付供应商。6.买方未接受不符合交付时间表的蔬菜。7.供应商未能保证蔬菜的种植和收获符合相关法律法规。8.供应商未对买方造成的任何损失或损害进行赔偿。9.买方未对供应商造成的任何损失或损害进行赔偿。三、法律名词及解释：1.蔬菜：指符合附录B中质量标准的新鲜蔬菜。2.交付时间表：指附录A中规定的供应商交付蔬菜的时间表。3.质量标准：指附录B中规定的蔬菜的质量要求。4.支付条款：指附录C中规定的买方支付供应商的条款。5.违约：指任何一方未履行或违反了本协议的任何条款。6.赔偿：指因违约行为导致的损失、损害、费用和责任。四、执行中遇到的问题及解决办法：1.蔬菜交付延迟：供应商应提前通知买方并尽
