2.PartyB'sexpressinterestinprovidingitsmanufacturingservicestoPartyA,inaccordancewiththespecifications,qualitystandards,anddeliveryschedulestobemutuallyagreedupon.

3.TheParties'sharedunderstandingthatthisContractisessentialtoensurethecontinuityofsupply,theintegrityofproductquality,andtheprotectionofbothParties'interestsintheeventofanyunforeseencircumstancesordisputesthatmayariseduringthetermofthisagreement.

Article1PurposeandScopeoftheContract

TheprimarypurposeofthisContractistodefinethetermsandconditionsunderwhichPartyBshallprovideOEMservicestoPartyA,specificallyinvolvingthemanufacturingof[typeofproduct]accordingtoPartyA'sspecificationsandrequirements.ThescopeofthisContractencompassesthefollowingspecificcontent:

Article2Definitions

ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsascribedbelow:

Article3RightsandObligationsofBothParties

1.PartyA'sRightsandObligations:

-PartyAshallprovidePartyBwithclearandcompletespecificationsfortheOEMProducts.

-PartyAshallhavetherighttorequestandreviewsamplesforapprovalbeforethecommencementofmassproduction.

-PartyAshallmaketimelypaymentsaspertheagreedpaymenttermsuponthereceiptoftheOEMProductsandthesatisfactorycompletionofqualityinspections.

-PartyAshallhavetherighttoinspecttheOEMProductsatPartyB'smanufacturingfacilityorattheplaceofdeliverytoensurecompliancewiththeagreedqualitystandards.

-PartyAshallprovidenecessarysupportandguidancetoPartyBtofacilitatetheproductionprocess,includingtheprovisionofanyspecializedmaterialsorcomponentsrequiredfortheOEMProducts.

2.PartyB'sRightsandObligations:

-PartyBshallmanufacturetheOEMProductsinaccordancewiththeprovidedspecificationsandqualitystandards.

-PartyBshallensurethatallmaterialsusedintheproductionoftheOEMProductsareofthehighestqualityandcomplywiththerelevantindustrystandardsandregulations.

-PartyBshallhandleallaspectsofproduction,includingbutnotlimitedto,manufacturing,qualitycontrol,packaging,andshippingoftheOEMProducts.

-PartyBshallprovidePartyAwithregularupdatesontheproductionprogressandimmediatelynotifyPartyAofanyissuesordelaysthatmayaffectthedeliveryschedule.

-PartyBshallberesponsibleforthereplacementorreprofanyOEMProductsfoundtobedefectiveornon-compliantwiththeagreedqualitystandards,withinaspecifiedperiodfollowingdelivery.

-PartyBshallmntnstrictconfidentialitywithrespecttoanyproprietaryinformationortradesecretsprovidedbyPartyAinthecourseofthisContract.

TherightsandobligationsoutlinedaboveareessentialtotheperformanceofthisContractandarebindingonbothParties.EachPartyagreestofulfillitsrespectiveobligationsandtoexerciseitsrightsingoodfthandinaccordancewiththetermsandconditionssetforthherein.

Article4PriceandPaymentTerms

ThepricefortheOEMProductsshallbemutuallyagreeduponbythePartiesandspecifiedinthepurchaseorderissuedbyPartyA.Thepriceshallbefixedandinclusiveofallmanufacturingcosts,unlessotherwiseagreedinwriting.PaymentshallbemadebyPartyAtoPartyBinaccordancewiththefollowingterms:

-PartyAshallpay[percentage]ofthetotalordervalueasadeposituponthesigningofthisContracttoconfirmtheorder.

-Thebalanceof[percentage]shallbepdbyPartyAuponthecompletionofproductionandpriortotheshipmentoftheOEMProducts,subjecttosatisfactoryinspectionbyPartyAoritsdesignatedrepresentative.

Article5PerformancePeriod

Article6LiabilityforBreach

IntheeventofabreachofthisContractbyeitherParty,thebreachingPartyshallbeliableforthefollowingconsequences:

-IncaseofdelayindeliveryoftheOEMProductsbyPartyB,PartyBshallpayapenaltytoPartyAequivalentto[percentage]ofthetotalordervalueforeach[timeperiod]ofdelay,nottoexceed[maximumpenaltypercentage].

-IftheOEMProductsfltomeettheagreedqualitystandards,PartyBshall,atitsownexpense,promptlycorrectorreplacethedefectiveproducts.Intheeventofrepeatedflures,PartyAshallhavetherighttoterminatetheContractandseekcompensationforanyresultinglosses.

-Intheeventofnon-paymentorlatepaymentbyPartyA,PartyAshallbeliableforinterestontheoutstandingamountatarateof[interestrate]per[timeperiod]ofdelay.

-IntheeventofamaterialbreachbyeitherParty,thenon-breachingPartyshallhavetherighttoterminatethisContractandseekdamages,includinganydirect,indirect,andconsequentiallossesincurredasaresultofthebreach.

第七条不可抗力

Article7ForceMajeure

ForthepurposeofthisContract,"ForceMajeure"shallmeananyunforeseeable,irresistible,andinsurmountableeventsorcircumstancesbeyondthecontroloftheParties,whichpreventeitherPartyfromperformingitsobligationsunderthisContract.Sucheventsinclude,butarenotlimitedto,naturaldisasters,actsofwar,terroristattacks,strikes,riots,governmentactions,andothersimilarevents.

IntheeventofForceMajeure,theaffectedPartyshallbeexcusedfromitsobligationsunderthisContractforthedurationoftheForceMajeureeventandshallnotbeliableforanydelayorfluretoperformresultingtherefrom.TheaffectedPartymustpromptlynotifytheotherPartyoftheoccurrenceofForceMajeureandprovidereasonableevidencetosupporttheclm.

ThePartiesagreetonegotiateingoodfthtofindamutuallyacceptablesolutiontotheeffectsoftheForceMajeureevent.IftheForceMajeureeventcontinuesforaperiodexceeding[number]months,eitherPartyshallhavetherighttoterminatethisContractbyprovidingwrittennoticetotheotherParty.

Article8DisputeResolution

IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thePartiesshallfirstattempttoresolvethedisputethroughamicablenegotiations.IfthePartiesareunabletoresolvethedisputewithin[number]daysafterthecommencementofnegotiations,theymayagreetosubmitthedisputetomediationinaccordancewiththerulesofamutuallyagreedmediationinstitution.

Ifmediationflstoresolvethedisputewithin[number]daysfromthecommencementofthemediationproceedings,orifeitherPartydoesnotagreetomediation,thePartiesmaysubmitthedisputetoarbitrationinaccordancewiththerulesofamutuallyagreedarbitrationinstitution.Thearbitrationshallbeconductedin[specifiedlocation],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.

IfthePartiesdonotagreeonarbitrationorthearbitrationprocessflstoresolvethedispute,thePartiesmaybringthedisputetothecourtsof[jurisdiction],andthelawsof[jurisdiction]shallgoverntheresolutionofthedispute.
