-PartyAshallberesponsibleforanylossordamagecausedtoPartyBduetoPartyA'sdelayinpaymentortheprovisionofincorrectorincompleteinformationnecessaryfortheperformanceoftheservices.

-ThePartiesagreethattheaforementionedremediesarenotexclusiveandthenon-breachingPartymayseekanyotherlegalremediesavlableunderapplicablelaw.

ThePartiesacknowledgethattheconsequencesofdefaultareessentialtoensuretheperformanceoftheirobligationsandthatthespecifieddamagesareagenuinepre-estimateofthelikelylosstothenon-breachingPartyintheeventofabreach.

第七条不可抗力

"ForceMajeure"referstoanyunforeseeable,irresistible,andinsurmountableeventsthatoccurafterthesigningofthisContractandthatarebeyondthecontroloftheParties,includingbutnotlimitedtonaturaldisasters,war,riots,strikes,governmentactions,andothersimilarevents.TheoccurrenceofaForceMajeureeventshallexempttheaffectedPartyfromliabilityforanydelaysorfluresintheperformanceofitsobligationsunderthisContract,providedthat:

-ThePartyaffectedbytheForceMajeureeventpromptlynotifiestheotherPartyinwritingoftheoccurrenceandtheexpectedimpactonitsperformance.

-ThePartyaffectedbytheForceMajeureeventtakesallreasonablemeasurestominimizethedelaysordamagescausedbysuchevent.
