ThisContractismadeandenteredintoasofthedatefirstabovewrittenbyandbetweenPartyAandPartyB(eacha"Party"andcollectivelythe"Parties").

BACKGROUND:

WHEREAS,PartyAisacompanyengagedinthebusinessof[descriptionofbusiness];

WHEREAS,PartyBdesirestobeemployedbyPartyAandPartyAdesirestoemployPartyB;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

1.Employment.PartyBagreestobeemployedbyPartyA,andPartyAagreestoemployPartyB,inthecapacityof[position].Thetermofemployment(the"Term")shallcommenceon[startdate]andshallcontinueuntil[enddate]unlessearlierterminatedinaccordancewiththetermshereof.

2.DutiesandResponsibilities.PartyBagreestoperformsuchdutiesandresponsibilitiesasmaybeassignedbyPartyAfromtimetotime,consistentwithPartyB'sposition.

3.Compensation.PartyAshallpayPartyBasalaryof[salaryamount]peryear,payableinaccordancewithPartyA'sstandardpayrollpractices.PartyAmayalsoprovideadditionalcompensationorbenefitstoPartyB,asdeterminedbyPartyAinitssolediscretion.

4.Benefits.PartyBshallbeentitledtosuchbenefitsasmaybeprovidedbyPartyAtoitsemployeesfromtimetotime,including,butnotlimitedto,healthinsurance,vacationtime,andretirementbenefits.ThespecifictermsofsuchbenefitsshallbesetforthinaseparateagreementbetweentheParties.

5.Termination.ThisContractmaybeterminatedbyeitherPartyuponwrittennoticetotheotherPartyatanytimeduringtheTerm.Intheeventoftermination,PartyAshallbeentitledtorecoverfromPartyBanysumspaidtoPartyBinexcessoftheamounttowhichPartyBisentitledunderthisContract.

6.Confidentiality.DuringtheTermandforaperiodof[period]thereafter,PartyBshallnotdiscloseoruseanyconfidentialinformationortradesecretsofPartyA,exceptasrequiredbylaworwiththepriorwrittenconsentofPartyA.

7.Indemnification.PartyBagreestoindemnifyPartyAagainstanyclaims,losses,ordamagesarisingoutoforinconnectionwithPartyB'sperformanceofdutiesunderthisContract.

8.GoverningLaw.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

9.EntireAgreement.ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,bothwrittenandoral,betweentheParties.
