THISCONTRACT("Agreement")ismadeandenteredintoonthedateof_______("EffectiveDate")byandbetween:

1.TermofAgreement

Allintellectualpropertyrights,includingcopyrights,patents,trademarks,andtradesecrets,inanyworkproductcreatedbytheIndividualfortheCompanyunderthisAgreementshallbethesolepropertyoftheCompany.

6.Confidentiality

TheIndividualagreestomaintaintheconfidentialityofallproprietaryinformationandtradesecretsoftheCompany,andnottodisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheCompany.

7.Termination

EitherpartymayterminatethisAgreementupon_______(specifynoticeperiod,e.g.,"thirtydays'writtennotice")totheotherparty.Intheeventoftermination,theIndividualshallpromptlyreturnallCompanypropertyandceaseanyuseoftheCompany'sintellectualproperty.

8.Indemnification

TheIndividualagreestoindemnifyandholdtheCompanyharmlessfromanyandallclaims,damages,orlossesarisingoutoforrelatedtotheIndividual'sperformanceunderthisAgreement.

9.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[Country/State],withoutgivingeffecttoanychoiceoflaworconflictoflawprovisions.

10.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[Specifyarbitrationinstitution],andjudgmentupontheawardrenderedbythearbitrator(s)maybeenteredinanycourthavingjurisdictionthereof.

11.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,whetherwrittenororal.

12.Amendment

ThisAgreementmaybeamendedonlyinwritingsignedbybothparties.

13.Assignment

TheIndividualshallnotassignthisAgreementoranyrightsorobligationshereunderwithoutthepriorwrittenconsentoftheCompany.

14.Notices

AllnoticesunderthisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyconfirmedfacsimile,orthreedaysafterdepositinthemail,postageprepaid,totheaddressessetforthaboveoratsuchotheraddressaseitherpartymaydesignateinwriting.
