ManufacturingMasterAgreement

MANUFACTURINGAGREEMENT

THISMANUFACTURINGAGREEMENT(this'Agreement")ismadeeffectiveasofthedayofDD/MM/YYbyandbetween(i),acompanyincorporatedpursuantthelawsof,havingitsregisteredofficeat("CUSTOMER"),and(ii)XXXDevelopmentLimited,acompanyincorporatedunderthelawsofHongKong,havingitsregisteredofficeat("MANUFACTURER")

CUSTOMERisaprovenleaderinthedesign,development,marketingandsupportingofeasy-to-useelectronicsplatformsandproducts,includinghardware,softwareandeducationalcontent,consistingofcertainopensourcehardwareandsoftwareandrelateddocumentationassetforthonExhibitAattachedhereto("Products"),anddesirestohaveManufacturermanufacturetheProductsupontheconditionsstatedbelow;

MANUFACTURERhasdemonstratedthatisabletomanufacturetheProducts,inconsiderationtoitsqualificationsanditsmarketingability,anddesirestomanufacturethemonbehalfofCUSTOMER;

CUSTOMERandMANUFACTURERdesiretoenterintothisAgreementauthorizingMANUFACTURERtomanufacturetheProductsuponthetermsandprovisionsstatedherein.

NOW,THEREFORE,inconsiderationoftheforegoing,ofthemutualpromiseshereinaftersetforthandofothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartieshereto,intendingtobelegallybound,herebyagreeasfollows:

DEFINITIONS.

BillofMaterialrepresentsthelistofcomponentsusedontheprintedwiringboardorprintedcircuitboardtobeprovidedbyCUSTOMERtoMANUFACTURER.

Products.Theterm"Products"meanshardwareand/orcomponents,parts,kits,accessoriesasdescribedmorefullyonExhibitAattachedheretoandincorporatedhereinbyreference.

Documentation.Theterm"Documentation"meansallapplicablemanualsandotherwrittenmaterials(printedorinelectronicform)providedbyCUSTOMERtoMANUFACTURERdescribingtheinstallation,operationandmaintenanceoftheProducts,andprovidedfortheEndUserinconnectionwiththeProducts.

EndUser.Theterm"EndUser"meansaperson/entitywhoistheretailconsumeroftheProducts.

Software.Theterm“Software”meansanycomputersoftwareprogramincludinganycomponents,functionsandrelateddocumentation

TerritoryTheterm"Territory"means“worldwide”.

APPOINTMENTOFMANUFACTURER.

GrantofCertainManufacturingRights.

(a)CUSTOMERherebygrantstoMANUFACTURER,andMANUFACTURERhereby

accepts,therighttomanufacture(onaBillofMaterialbasis)theProductsasmutuallyagreedupon,inaccordancewiththeprovisionsofthisAgreement.

(b)Inacceptingsuchgrant,MANUFACTURERagreesthatitmay,onlywiththe

priorwrittenapprovalofCUSTOMER,assignanyofitsrights,dutiesorobligationsunderthisAgreement.

(c)Innoevent,andfornoreasonwhatsoever,MANUFACTURERmayactas

representativeinanycapacityorinthenameofandonbehalfofCUSTOMER,ormayassumeobligationsinthenameoronbehalfofCUSTOMER.MANUFACTURERwillbeexclusivelyresponsibleforitsbusinessrelationships.

UNDERTAKINGSOFMANUFACTURER

DutiesofMANUFACTURER.MANUFACTURERagrees:

TomanufacturetheProductsaccordingtotheagreedtechnicalspecifications

andBillsofMaterials;

(b)

TotesttheProductsbasedonaprocedurepreviouslyagreedwith

CUSTOMER;

Toputaserialnumberstickerontheboard(incaseofboardproduction);

Toprovideforleafletsandstickersifsoagreed;

TopackageProductsreadyforshippingifsoagreed;

ToproducethebatchaccordinglytotheleadtimeasreportedintheExibitC

Toperformchangesinthemanufacturingprocessifsorequestedby

CUSTOMERoriftherearequalityissueswhichcoulddamagecustomersorCUSTOMER’sreputation;

TonotifyCUSTOMERpromptlyofanyProductdefectsorotherunresolvedtechnicalproblemsconcerningtheinstallation,use,orperformanceoftheProducts.

Inavoidanceofanydoubt,MANUFACUTURERshallnotbeobligedtoprovideanysoftwaresupportandCUSTOMERshallberesponsibleforallsoftwareissuesincludingsoftwaredesign,upgrade,compatibility,etc.MANUFACTURERwillnotlaunchanycertificationapplicationnomatteritisrequestedbyCustomeroranymandatoryregulations,ifCUSTOMERwishtoprocessanycertificationthePartiesshallnegotiateaseparateagreements.

Indemnification.MANUFACTURERagreestoindemnifyandhold CUSTOMERharmlessfrom

andagainstanyandallclaims,liabilities,costsandexpenses(includingreasonablelegalfeesand

costs)arisingoutof(i)theimpropermanufacturingoftheProductsbyMANUFACTURERoritsemployeesandagents,(ii)anynegligent,wrongfulorintentionalactsoromissionsonthepartofMANUFACTURERoritsemployeesandagents.MANUFACTURERwillnotindemnifyCUSTOMERandCUSTOMERshallreimburseMANUFACTURERforalllossescausedtherefromiftheclaims,liabilities,costsandexpensesareresultsofCUSTOMER’smisguidingoritssupplyofdefectivetechnicalspecificationsorBillsofMaterialscausestheclaims,liabilities,costsandexpenses.

CertainCovenants.MANUFACTURERagreestoactunderitsownresponsibilityinitsbusinessrelationsandnottomakeanywarrantiestoanythirdpartyconcerningtheProductsthatarenotinaccordancewiththeDocumentation.

TRADESECRETSANDPROPRIETARYINFORMATION.

ProprietaryNatureofProducts.

MANUFACTURERacknowledgesthatCUSTOMERistheownerofalltheIPonProducts,thatCUSTOMERclaimsallintellectualandindustrialpropertyrightsgrantedbylawthereinandthat,exceptassetforthherein,CUSTOMERdoesnotherebygrantanyrightsorownershipoftheProductstoMANUFACTURERoranythirdparty.Exceptassetforthherein,MANUFACTURERagreesnottocopyorotherwisereproduceanyProduct,inwholeorinpart,withoutCUSTOMER'spriorwrittenconsent.MANUFACTURERfurtheragreestotakeallreasonablestepstoensurethatnounauthorizedpersonsshallhaveaccesstoanyoftheProductsandthatallauthorizedpersonshavingaccesstotheProductsshallrefrainfromanysuchdisclosure,duplicationorreproductionexcepttotheextentreasonablyrequiredintheperformanceofMANUFACTURER'sdutiesunderthisAgreement.

MANUFACTURERisauthorizedtousetheProducts’trademarksforthesolepurposeofmanufacturingtheProducts.AnyotheruseisexpresslyforbiddenwithoutthepriorwrittenconsentofCUSTOMER.MANUFACTURERherebyundertakesnottousetheProducts,registeredmarks,orothernamesorsimilarmarkswhichmaybemisleadingforcustomersandthepublic,asitsbusinessnameand/ortrademarkforproductsorservicesand/orcorporatenameorpartofthenameofawebdomainand/oremail.ManufacturerundertakesnottousetheProducts,registeredmarkswithinthecontextofevents,exhibitionsorthememeetings.

MANUFACTURERagreestoaccordtheProductsandallotherconfidentialinformationrelatingtothisAgreementthesamedegreeandmethodsofprotectionsasMANUFACTURERundertakeswithrespecttoitsconfidentialinformation,tradesecretsandotherproprietarydata.

NoProductModifications.Unlessotherwisepermitted,MANUFACTURERshallnothavetherightunderthisAgreementtomodifyoralteranyoftheProductswithoutthepriorwrittenconsentofCUSTOMER.IntheeventthatMANUFACTURERmakesanysuchmodificationoralteration,MANUFACTURERshallkeepallthealteredProductsawayfromanycommercialuse.

PRICE,PAYMENTTERMS.

PriceandPaymentTerms.

CUSTOMERandMANUFACTURERwillagreeonamanufacturingprice("PRICE")tosupplytheProductstoCUSTOMERasmutuallyagreedfromtimetotime.

CUSTOMERagreestopayMANUFACTURERforProductsorderedasbelow:

30%prepaid,balanceduetobepaiduponreceiptofshipmentbyMANUFACTURERofthecorrespondingProduct.

TERMANDTERMINATION

TheTermofthisAgreementshallcommenceasoftheeffectivedatehereofandshallcontinueforatermofoneyear;thisAgreementshallberenewedautomaticallyforanadditionaloneyearperiod;

bothpartieshavetherighttoterminatetheagreementuponninety(90)dayspriornoticeofnorenewalbyregisteredmailwithreceipt.

GENERALPROVISIONS.

ModificationorAmendment.ExcepttotheextentandinthemannerspecifiedinthisAgreement,anymodificationoramendmentofanyprovisionofthisAgreementmustbeinwritingandbearthesignatureofthedulyauthorizedrepresentativeofeachparty.

LawGoverningAgreementandJurisdiction.ThevalidityofthisAgreementandtherights,obligationsandrelationsofthepartieshereundershallbeconstruedanddeterminedunderandinaccordancewiththesubstantivelawsofHongKong,withoutregardtoitsrulesofconflictsoflaw.

Anylegalactionsorproceedingarisingunderthisagreementortheterminationofthisagreementoranydispute,claimcontroversyarisingoutoforrelatingtoanyinterpretation,construction,performanceorbreachofthisAgreement,shallbesubmittedtoHongKongInternationalArbitrationCenter(HKIAC)inaccordancewithHongKongInternationalArbitrationCenteradministeredarbitrationrulesinforceatsuchtimewhichrulesshallbedeemedtobeincorporatedb
