SUBCONTRACTAGREEMENTThisSubcontractAgreementwasmadeonthe1rdAugustof2009.BetweenCCECCNIGERIALIMITEDOfIkomCrossRiverState（hereinaftercalledtheContractor")“ofonepartAndNIGERIANLABOURFORCEEXCHANGELIMITEDOfNo109CrossRiverStatehereinaftercalledtheSub-contractor)oftheotherpart.WhereasTheContractorexecutesConstructionofUGEP—KATSINAALAINBENUE/CROSSRIVERSTATESCONTRACTNo.5991State，Nigeria（hereinaftercalledtheProject)andisdesiroustheprovisionofskilledtechniciansandworkersfortheProject(hereinaftercalledtheSub-contractWorks）tobeexecutedbyaprofessionalcompanyonsub-contractbasis;TheSub-contractoriswillingtocarryouttheSub—contractWorksandmakesanofferfortheexecutionandcompletionofsuchSub-contractWorksandtheremedyingofanydefectstherein。TheContractoracceptstheoffer,inclusiveofthemanpowerlist。Nowitisagreedasfollows:1.InthisSub—contractAgreementwordsandexpressionsshallhavethesamemeaningsasarerespectivelyassignedtothemintheConditionsofSub-contracthereinafterreferredto。2.ThefollowingdocumentshallbedeemedtoformandbereadandconstruedaspartofthisSub-contractAgreement，viz：LabourActoftheFederalRepublicofNigeria?LabourInsuranceRegulations（forCivilEngineeringandConstructionIndustry）oftheFederalRepublicofNigeria?CCECCNIGERIASubcontractTemplate(forLabourForce）InconsiderationofthepaymenttobemadebytheContractortotheSub-contractorashereinaftermentionedtheSub-contractorherebycovenantswiththeContractortoexecute1andcompletetheSub—contractWorksandremedyanydefectsthereininconformityinallrespectswiththeprovisionoftheSub-Contract.4.Definitions:TheEmployeroftheProjectisConstructionofUGEP-KATSINAALAINBENUE/CROSSRIVERSTATESCONTRACTNo.5991TheContractorisCCECCNigeriaLimited?TheSub-contractorisNigeriaLabourForceExchangeLimited.TheSub—contractWorksconsistsoftheProjectUGEP-KATSINAALAINBENUE/CROSSRIVERSTATESCONTRACTNo.5991CrossRiverState，Nigeria.5.ThefinalizedSubcontractSumisN540,700,000。00（FiveHundredFortyMillion，sevenHundredThousandNairaonly）,inclusiverelevanttax，forthecompletionofthewholeSub—contractWorkswithoutadjustmentforfluctuation。ThemanpowerRequirementlistisasfollows：Labour:300.Proposedsalary：N20,000/month；Mason:100。Proposedsalary:N25,000/month;Carpenter:100。Proposedsalary：N25，000/month；Ironbender:60.Proposedsalary：N30,000/month；Other（welder,mechanic，etc。):40。Proposedsalary:N35,000/month。6.TheworkshouldbecompletedaccordingtotheAGREEMENT。Allthemachinery，equipmentandmaterialsshouldbesuppliedbyCCECC。7.TheSubcontractWorksshouldcommencebythetimetheSubcontractorsigningthisAgreementandthevalidperiodfortheagreementshallbetwenty—fourmonths.8.IftheSubcontractorfailtocompletetheSubcontractWorkswithinthetimestatedinthisAgreement,theSubcontractorwillbechargedLiquatedDamagesat1％（onepercent）oftheSubcontractSumperdaybytheContractor。9.Aftertwicewrittenwarnings（interval7days），theContractorisentitledtoterminatetheContractAgreementathisdiscretionwithoutprejudicetohisrightofclaimforlosesinadditiontorefundtherelevantpaymentincase:a.TheSubcontractorfailstocomplywiththeagreement。b.TheSubcontractordelaysinprogressbeyond14days。InWitnessWhereofthepartiesheretohavecausedthisSub-ContractAgreementtobeexecutedtothedayandyearfirstabovewritten。2TheCommonSealofthewithinnamedCCECCNIGERIALIMITEDwashereuntoaffixedinthepresenceof：QiuJianWu____________________________________________DirectorSe
