calledBOT).Whereas,theloanagreement,guaranteeagreement,letterofguarantee,etc.shallconstituteintegralcomponentsofthisAgreement.TheProject'sinstalledcapacityis__________.Nowtherefore,thepartiesherebyagreeasfollows:1.DefinitionandInterpretation"Project"meanstheplanning,feasibilitystudy,designandengineering,construction,equipping,completion,testing,commissioningandoperationoftheinfrastructureproject."ProjectCost"meansthecostspecifiedinClause3."OperationPeriod"meanstheperiodspecifiedinClause10.1fromthestartingdateofcommercialoperationoftheinfrastructureproject."CompletionDate"meansthedayuponwhichCcertifiesthattheinfrastructureprojecthassuccessfullycompleteditstestingandcanstartOperationPeriod."ForceMajeure"shallhavethemeaningspecifiedinClause16."ProjectScope"meansthescopeofsupplyandservicesofCinconnectionwiththeexecutionoftheProjectasdescribedinAnnex2."Site"meansthesitefortheinfrastructureprojectincluding___________,special roads,andother areasfor construction asspecifiedinAnnex2."TransferDate"meansthedayfollowingthelastdayoftheOperationPeriod."NewCompany"meanstheCompanytobeestablishedbetweenCand________entityasspecifiedinClause5."InvestmentAgreement"meanstheAgreementonMutualEncouragementandProtectionofInvestmentbetweentheGovernmentofthePeople'sRepublicofChinaandtheGovernmentofthe___________."ExclusiveRight"meansthespecialpowergrantedtoCorNewCompanyintheMemorandum,Agreementanditsannex."Day"meansthesolarcalendarday.2.TheProject2.1TheProjectshallbenamedas"________".2.2Theinfrastructureprojectisintendedtobelocatedat__________.Theexactlocationoftheinfrastructureprojectmaybeadjustedatthestageofdetaileddesigninconsiderationofthesitecondition.2.3TheProjectshallbeimplementedonBuilding,OperationandTransferBasis.2.4TheProjectshallbecomposedof____________________,_________,_________,thedetailsofwhichshallbeasattachedAnnex2-ScopeoftheProject.2.5ThefinalfeasibilitystudyreportanddetaileddesignafteracceptanceofBandCshallformbasisforthedevelopmentandcompletionoftheProject.3.TheProjectCost3.1Theprojectcostis$______,interestoftheconstructionperiodis$______,thetotalprojectcostis$__________,andthedetailsofwhichareshowninAnnex3-ProjectCost.3.2Thetotalprojectcostshallcomprisebutnotlimitedtothefollowingcostsandthedetailsoftheprojectcostshall

beasattachedAnnex3-ProjectCost:Costforfeasibilitystudy,designandengineeringandotherconsultingservices;Costforconstructionandinstallation;Costforpurchasingequipmentandmaterials;Costforadministrationincludingoverseasexpenses;Overheadandmiscellaneousexpenses;Contingencies;Interestduringtheconstructionperiod(__________%perannumplusbankcommission);Premiumforconstructioninsuranceandexportcreditinsurance.3.3TheProjectCostshallbebasedonthefeasibilitystudyreportandincaseofasubstantial variation ininvestment arising fromreasons,theadditional part tothe ProjectCostshallbeapproved

geologicbyB.AnadditionalinvestmentagreementorcontractshouldbeconcludedbetweenBandC.4.ResponsibilitiesforProjectExecution4.1CshallberesponsibleforthefollowingprovidedthatifandafterNewCompanyisestablished,responsibilitiesshallbetransferredtoNewCompanyandbesharedbythemembersofNewCompany:thedesignandengineering,procurement,constructionandcommissioningoftheProject;allcostsinconnectionwiththebuildingoftheinfrastructureprojectandthearrangementofallnecessaryfunding;operationoftheinfrastructureproject;transferoftheinfrastructureprojecttoBontheTransferDate;4.2Bshallberesponsiblefor:1)thearrangementof:theprovisionofallnecessarydevelopmentapprovals,permits,consents,siteleases,accessandotherrightsforCorNewCompanytogetherwiththefulfillmentofessentialrequirementssuchascompanyregistration,importlicenseandexemptionofcustomsdutiesandthelike;theprovisionofallnecessaryordesirableaidsforCtoobtaintheloan;obtainingofallregulatory,statutoryandotherconsents,approvals,authorizations,taxconcessionsandinvestmentincentivesasdescribedhereinafterwhicharenecessaryordesirablefortheimplementationoftheProject;obtainingofallnecessarypermitsandapprovalsfromtherelevant_____________authoritiesforCorNewCompanytorepatriatecapitalanddividendsinUSDollarsfrom______;obtainingofresidentvisas,workpermitsandothernecessaryapprovalsfromtherelevantauthoritiesforCorNewCompany'spersonnel,design,manufacturing,installationandconstructionpersonnelaswellastheir direct relatives including thetravel in___________;theprovisionofallnecessaryapprovalsandpermitsrelatingtoextensionoftheinfrastructureprojectandtheProjectfacilitiesinordertoincrease_________________productionifCorNewCompanyintendstodoso;theprovisionofallnecessarysecuritymeasuresforconstructionandoperationpersonnelandProjectfacilitiestilltheTransferDate;theprovisionofcommunicationsandtransportfacilitiesoftheProjectconstructionandtheoperationoftheinfrastructureproject;vidingCand/orNewCompanywithfreeuseoftheSite,includingbutnotlimitedtotheareaofconstructionsite,accessroad,transmissionlinerightofway,__________andetc.thenegotiationandconclusionofserviceagreementwith___________Governmentorothercountries'governmentsjointlywithCornewCompany,thePeople'sInsuranceCompanyofChinarepresentatives,whosepresenceinthenegotiationBshallensure,andwhoseapprovalBShallobtain;theexportationof________________percentof__________producedbytheinfrastructureprojectto__________oranythirdcountry;theassignmentofitsrepresentativesatSiteandtotheNewCompanytoassistCorNewCompanyandmakenecessarycoordinationbetweenBandCorNewCompany.4.3BensuresthattheOperationPeriodoftheProjectshallbenotlessthan_______years.HoweverifIRR(InterRateofReturn)doesnotreach_______percent,bothpartieswilldiscusstheproperextensionoftheOperationPerioduntiltheyearIRRreaches_______%.4.4ConditionsPrecedentBshallberesponsiblefortheprovisionofthefollowingdocumentsforCtomakeavailableanypartofthisAgreementwithin_______monthsfromthedateofsigningthisAgreementandsuchdocumentsshallbevalidandeffectivetoNewCompany:apowerguaranteeissuedby___________________parliamentacceptabletoCintheformdefinedinAnnex7,whichshallbereturnedtoBontheTransferDate;warrantytobeissuedandloanagreementtobeconcludedwiththeproposal necessaryassistanceinenablingCtoobtaintheloanfrominternationalprimebanks;thelegalcertificateissuedby_____________PresidentofSupremeCourtandthelegalcertificateissuedby______________ProcuratorGeneral,certifyingthatthisAgreementshallbevalidandenforceableunderthelawsof_____________ineveryrespectintheformdefinedinAnnex8;thecertificateofapprovalissuedbytheGovernmentof_____________,certifyingthattheProjectislawfulandlegitimate;Bshallpermittheconstructionmachinery,materialandequipmentnecessaryfortheProjecttobetransportedinto__________via_____________bysea,and/orbyroadthrough__________asWellasbyair,ensuringfacilitiesfromthe__________bordercontrolandcustomsauthorities.4.5BwarrantsandundertakesthatBshallnotchangeorpermitotherstochangetheenvironmentoftheSitewhichadverselyaffectstheconstructionoroperationoftheProject.Suchchangeshallinclude,butnotlimitedto,_____________.4.6Buyer'sCreditforB'ssharing__________%oftheProjectCostshallbeprovidedbytheChineseside,paymenttermsofwhichtoCareasfollows:1)________%ofthecreditshallbepaidwithin_________daysafterthedateoftheconclusionofthisAgreement;2)_______%ofthecreditshallbepaidby____________;3)_______%ofthecreditshallbepaidby____________;......4.7ThepartiesshallprovideeachothersufficientinformationthatenableseachpartytohaveaclearunderstandingoftheprincipalissuesthataffectmattersassociatedwiththeProject.4.8ThepartiesheretoshallmutuallycollaboratewitheachotherinordertoachievetheobjectivesofthisAgreementandtheperformancebyeachpartyoftheirrespectiveobligations.5.NewCompany5.1ThepartiesagreetoestablishaNewCompanyatthetimewhenthemembersofNewCompanyarereadytoinvesttheirportions,butbeforethecompletionoftheProjectandforthispurposeBshallrecommendanddesignate a_______________entity whichwill beamemberofNewCompany.Chaving_____________percent ofequity, shall betheleading companyandshallappointchairmanofNewCompany.Theremainingportionofequityshallbesharedby_______entity.5.2DesignandConstructionoftheProjectshallbeexecutedbyC.Atmonthlyintervalsuntil___________day(subjecttopostponementincaseof______)ofeachmonth,CshallexecuteastatementofaclaimforprogresspaymentbasedonthepricesfortheconstructionworksdoneintheprecedingmonthtoBandsuchstatementshallbetheconclusiveevidenceproving fairness ofsuchclaimexceptmanifest calculation error.5.3BshallmakeitsefforttoassistinregisteringNewCompanyatauthorityconcernedin__________andtoobtainallrequiredpermitsorapprovalsfromtherelatingauthoritiesin___________.5.4NewCompanyshallbegrantedthesameprivilegedrightsasthosegrantedtoCspecifiedinClause9.2andC'sobligationsandresponsibilitiesspecifiedinthisAgreementshallbetransferredtoNewCompanyandbesharedbythemembersofNewCompany.ThemembersofNewCompanyshalldescribetheprovisionsontheirrightsandresponsibilitiesinthearticlesofincorporationtobemadeonthebasisoftheprovisionsinthisAgreementatthetimeoftheestablishmentofNewCompany.5.5IfmembersofNewCompanydonotreachanagreementaboutanymattersinrelationwiththeProject,theopinionanddecisionofthemajorshareholdershallbefinalandbindingupontheothermembersofNewCompany.6.Constructionoftheinfrastructureproject6.1Inpursuanceofitsobligationsinrelationwiththeconstructionoftheinfrastructureprojectunderclause4.1,CshalldofollowingswithitsfullrightinconsultationwithB:toappointconsultantsandprofessionaladvisers;topurchaseequipmentandmaterialsincludingconstructionequipment, thespecification ofwhichandinstallation andtesting

shalltoappoint,organizeanddirectstaff;manageandsupervisetheProject;toenterintocontractsforthesupplyofequipmentandmaterialsandservices;todoallotherthinsnecessaryordesirableforthecompletionoftheinfrastructureprojectinaccordancewiththeengineeringstandards;7)toselectsubcontractors;6.2BshallbeentitledatitsowncosttomonitortheprogressandqualityoftheconstructionandinstallationworkandforthispurposeCshall:1)ensurethatBandanyexpertsappointedbyBinconnectionwiththeProjectareaffordedreasonableaccesstotheSiteprovidedthatsuchaccessdoesnotmateriallyinterferewiththeworks;makeavailablecopiesofplansanddesignsforinspectionattheSite;after________monthsofthecompletionoftheProject,supplyBwith______setsofcopiesof"asbuilt"drawingsandotherdocuments.6.3Bshallensurethatallinfrastructurerequirementsandutilitiesnecessaryforthecompletionoftheinfrastructureprojectaremadeavailableinatimelyfashionandaccordinglyshallatitsowncost,interalia:givefreepossessionoftheSitetoCduringtheconstructionperiod;ensurethatcustomclearancesystemisavailabletoCtoimportequipmentandmaterialsfortheProjectwithoutanydelayandinterference;ensurethatCwilluseelectricityforconstructionandcommunicationfacilities in________,thecostoftheutilization ofwhichshallbeforC'saccountat__________current________________rateandshallbeincludedintheProjectCostascostforconstructionorcostforadministrationasstipulatedinClause3.2;Cshallpay_____________chargeto______________authority everyothermonthsduringtheconstructionperiod;ensurethatCwillbuildtransmissionlinefrom___________oranotherstillnearerplacetotheSitefortheuseof_________inconstruction,whichwillbeusedtotransmit_____________fromtheinfrastructureprojectafterthecompletionoftheProject;jointlywithCnegotiatewith_______________orothercountries'governmentstotakenecessaryactionsforthe___________________tobeconnected,receivedandsuppliedinthosecountriesthroughthepropertransmissionlinewithoutanyinterferenceatthetimeofcompletionoftheProject.6.4BshallensurethatduringconstructionperiodCshallbegrantedtheexemptionofcustomsduties,governmenttaxesandlocalleviesrelatingtotheimportationofallkindsofequipmentandmaterialssuchasgeneratingequipment,constructionequipment,vehiclesincludingcars,jeeps,etc.,tools,constructionmaterialsandothergoodsfortheconstructionoftheinfrastructureprojectaswellasaccommodationfacilities;companysalestax,incometaxandsoontobeimposedonCconstructionactivitiesfortheProjectin_____________bythe_____________authorities.7.ProjectSchedule7.1ThepartiesshallworktogetherinordertoendeavourtoachievethetimelycompletionoftheProjectinaccordancewiththeProjectScheduleasAnnex4accordingtowhichtheconstructionperiodshallbe_________yearsfromthecommencementdate.However,CmayextendtheconstructionperiodupontheagreementofB.7.2Thecommencementdateshallbethe______dayafter_______monthsfromtheEffectiveDate ofthisAgreementprovided thatCcan startworkforaccessroad,survey,investigation,clean-upworkaroundthesite,etc.beforethecommencementdate.However,ifCcommencesconstructionworkinaccordancewiththeprovisionofClause9.1,thecommencementdateshallbethedatewhereCmateriallystartstheconstructionwork,whichshallbenotifiedtoBbyC.7.3Uponsubstantialcompletionoftheinfrastructureproject,CmayrequesttoNewCompanyoritsrepresentativethattheinfrastructureprojecthassuccessfullycompleteditstestingandthataccordinglytheCompletionDatehasoccurred.7.4IfthereisavariationtotheProjectandsuchvariationaffectstheconstructiontimeoftheinfrastructureproject,thenCshallgettheapprovalofBtoextendtheconstructionperiod,Bshallnotunreasonablywithholditsapproval.8.Testing8.1ThepartiesshallmeetandagreeproceduresandaprogrammeforthetestingoftheinfrastructureprojectinaccordancewiththeChinesestandards.8.2CshallgivetoB________days'noticeofitsintentiontocommenceanytesting.8.3Band/oritsexpertsshallbeentitledtobepresentattestingwhichisagreeduponbytheparties.8.4Forthwithuponthecompletionofanytesting,CshallrequesttoNewCompanyoritsrepresentativewhetherornottheinfrastructureprojecthassatisfiedsuchtestandshallprovideBwithacopyofsuchcertificate.9.EffectiveDateandPrivilegedRight9.1ThisAgreementshallbecomeinfullforceandeffectasofthedateofsigningthisAgreementprovidedthatChastherightthefulfillmentofitsobligationsuntilthefulfillmentof

reservingfollowingconditions:HandingovertheSitetoCfreefromrentalchargeandissuingbyBofthelettertothateffectvalidtilltheexpirationofBOT;FulfillmentoftheprovisionsofClause4.4.UponexecutionandsigningofthisAgreement,B'srighttoterminatetheExclusive.RightprovidedintheMemorandummentionedinthepreambleofthisAgreementshallLapse.9.2CshallbegivenfollowingprivilegedrightsinwrittendocumentfromtheauthoritiesconcernedbythearrangementofBthereofandthesameprivilegedrightsshallbetransferredtoorenjoyedconcurrentlybyNewCompanyasthecasemaybe,whenitisestablished.ApprovedbytheBankofthe__________________andthe_________FinanceMinistryfor:therepatriationofC'sinvestmentincluding,butnotlimitedto,theprofitsofsuchinvestmentinUSDollars.TheGovernmentof_______________approvaloftheemploymentofforeignnationalsinsupervisory,technicalandadvisorypositionsandforthepositionsofchairman,treasurerandgeneralmanagerortheirequivalentuntiltheTransferDate.OthernationalandlocalapprovalsasmaybenecessarytoproceedwiththeProject.Approvaloftaxexemptionasbelowbytheauthoritiesconcernedin__________:Fullexemptionofcustomsdutiesandotherlevies(ifany)throughoutBOTperiodfortheimportationofequipment,materials,constructionmachineryandothergoodsfortheProject;_____________percentexemptionofprofittax,additionaltax,localtax,andbusinesstaxfor______yearsstartingfromthefirstprofit-makingyearand_________percentprofittaxexemptionforthesubsequentyears.Freeremittanceofinvestmentincluding,butnotlimitedto,theprofitsofsuchinvestmentinUSDollarsand/orreceiptofpaymentsorsalesproceedsinUSDollars, without withholding tax, remittance

theProject.7)Cshallregisteritssubsidiaryoraffiliatedorassociatedcompaniesin_____________.AcertificateofRegistrationissuedbytheBinrelationtotheProject,confirmingthatCincludingitssubsidiaryoraffiliatedorassociatedcompaniesisaregisteredenterpriseundertheLawonForeignInvestmentinthe__________.FreeremittanceabroadoftheremunerationinUSDollarswithexemptionfromindividualincometax,remittancetaxoranyothertaxesthereon.10.Operationoftheinfrastructureproject10.1NewCompanyshallberesponsibleforthemanagement,operation,maintenance,repairandoverhauloftheinfrastructureprojectduringtheOperationPeriod,namely______yearsfromthestartingdateofcommercialoperationoftheinfrastructureprojectandshalluseitsbestendeavourstoensuretheinfrastructureprojectisingoodconditionandcapableofproducing_______inasafeandstablemanner.TheextensionoftheabovementionedOperationPeriodshallbediscussedbybothpartiesifthe____percentIRRisnotaccomplishedwithin__________years'OperationPeriod.10.2Inordertoundertakenecessaryoverhaul,maintenance,inspectionandrepair,NewCompanyshallperformdowntimeeachyearfromtheCompletionDate.10.3InpursuanceofitsobligationunderClause10.1,Newcompanyshallhavefullrightto:enterintocontractsforthesupplyofmaterialandservicesincludingpurchaseofreplacementequipmentandparticipateinnegotiationsonoperationandserviceagreementconclusion;appoint,organizeanddirectstaff;manageandsupervisetheinfrastructureproject;establishandmaintainregularinspection,maintenanceandoverhaulprocedures;doallotherthingsnecessaryordesirablefortheoperationoftheinfrastructureproject;10.4BandNewCompanyshall,fromtimetotime,meetanddiscussandagreesafetyguidelinesfortheoperationoftheinfrastructure

project.10.5NewCompanyshalloperatetheinfrastructureprojectinaccordancewithall __________andlocal lawsandregulations inforce atthedateofsigningthisAgreement.Ifanychangesornewlegislationsoflawsandregulationswould:resultintheinfrastructureprojectbeingunabletooperateinnormalconditions;resultintheinterestofNewCompanybeingmateriallyreduced,prejudicedorotherwiseadverselyaffected;ThenthepartiesshallmeetandendeavourtoagreeonamendmentstothisAgreement.10.6BshallbeentitledtoappointandallocateitsexpertsagenciestomonitortheoperationoftheinfrastructureprojectbyNewCompanyatB'scostandexpense.ThemonitoringshallnotinterferetheordinaryoperationoftheinfrastructureprojectbyNewCompany.11.SupplyofServiceofferedbytheInfrastructureproject11.1NewCompanyshallsupplytheproduced_________________to___________orothercountriesasstipulatedtherein.Incasethatthepowerpurchaserisother country than_____________,aservice agreementshallbeconcluded.11.2IfBintendstodistributepartoftheproduced_________tolocalmarketondemand,Bshallusesuch______________asroyaltystipulatedinClause12.4andif Bneedsmore_____________thanthat ofroyalty portionitshallbeagreeduponbyNewCompanytothateffectprovidedthat,insuchcase,_______________chargeshallbepaidtoNewCompanyinUSDollarsasstipulatedinClause12.12.ServiceChargeandIncomeDistributionnegotiationwith________Governmentandtheconclusionofserviceagreement.BshallprovidesuchinformationanddataasusefulandnecessaryforthenegotiationandappointapersontocooperaterepresentativesfromCorNewCompanyandthePeople'sInsurance

withtheCompanyofChinainchargeofthenegotiation.Thepersonsinchargeshalldotheirdutyaccordingtotheproceduresasbelow:tosubmitbasicconceptandoverallplanoftheProjectwithin_______daysfromthedateofsingingthisAgreement;tostartdetailedtechnicalnegotiationanddiscussionontherateofservicechargewithin_________daysfromthedateofsigningthisAgreement;toconcluderelevantmattersandenterintoserviceagreementwithin_______monthsfromthedateofsigningthisAgreement.CorNewCompanyshallfullyassistandsupportBandprovidealltechnicaldata,informationandmaterials,etc.necessaryforthenegotiation.Incasethatthepartiessendadelegationtonegotiatewithaservicepurchaser,theyshouldappointthepersonorpersonswhoarecompetentforthedelegationatallpointsinexperienceandspecialty.12.2BandCorNewCompanyagreeasanegotiationpointthatpaymentfor_________exportshallbereceivedonmonthlybasisanddirectlytoNewCompany'sbankaccountin_________denominatedbyNewCompanyinUSDollarswithoutanywithholdingtaxesorfees.12.3Incomefromsalesof_______shallbedistributedbyC,theleadingcompanyofNewCompany,inthefollowingorderofpriority:RoyaltytoBstipulatedinClause12.4;Operationandmaintenancecost;Loanprincipalandinteresttoconstructtheinfrastructureproject;DividendtothemembersofNewCompany.ThepartiesagreeandacknowledgetocauseNewCompanynottomakeanydeductionofdepreciationorestablishmentofanyreservesandtoensurepaymentofprincipalandinteresttoconstructtheinfrastructureprojectafterthepaymentoftheitemsspecifiedinClausesI)and2).ThePeople'sInsuranceCompanyofChinawillactastheundertakeroftheexportcreditinsuranceandtreasureroftheNewCompanyduringtherepaymentperiodtoensurethereimbursementoftheloanprincipalandinterest.12.4TheamountofincometobedistributedtoBandthemembersofNewCompanyshallbecalculatedbyusingasreferencetheBasicCase-Annex1.TheproportionoftheamountpayabletoBasroyaltyshallbeasbelowandreadjustedbasedontheserviceagreementandtheProjectCost:___________percentduringthefirst__________yearsoftheOperationPeriod:____________percentduringtheremainingyearsoftheOperationPeriod.TheabovementionedroyaltytoBcovers,butnotlimitedto,B'sprovisionofCorNewCompany'sfreeuseoftheSite,technicalassistance,administrativearrangementandsupportandotherassistanceandsupportspecifiedinthisAgreement.12.5Incasethatmainequipmentshouldbereplaced,themembersofNewCompanyshallagreetoincreasetheirinvestmentamountintheproportionoftheirsharetoNewCompanyfortheprocurementandinstallationofthatreplacingequipment.Costforreplacementpartsandequipmentofwhichdurableyear,determinedbytheinternationallyacceptedaccountingprinciple,exceedsTransferDate,shallbesharedbetweenBandNewCompanyinproportionoftheyearsbeyondTransferDateandtheyearsfallingwithinTransferDate.13.TransferofOwnership13.1BeforetheestablishmentofNewCompany,CandBshallbetheproprietaryownersoftheinfrastructureprojectoranypartthereofduringtheconstructionperiodand/ortheOperationPeriodandshallpossessandexerciseallrights,privileges,titlestoandinterestsintheinfrastructureproject.SuchownershipshallbesharedbythemembersofNewCompanyuntiltheTransferDateinproportionofthepercentageoftheirshareofequitywhenNewCompanyisestablished.Backnowledgessuchownershipandguaranteesthatsuchownershipshallberespectedand protectedby Bunderthelawsof ___________andBshallmakeresolutions,issueordersorexecuteanyactionwhichisrequiredtoprotectsuchownership.Bguaranteesthatunderanycircumstanceorforanycause,theownershipoftheinfrastructureprojectandotherassetsofCorNewCompany,duringconstructionorafterC
