Terms otherwise undefined shall have the meaning given to them elsewhere in this Agreement. “关联方是指控制一方、受其控制或与之共同受控的实体。由任何个人或实体“控制，是指经表决、特许、私人协议或安排，处置他方事项的权益。“Affiliated Companies means any entity which controls, is controlled by or is under common control with a party. “Con

10、ei in the Purchase Order. “不可抗力事件是指超出受影响方控制，妨碍其履行本协议项下主要义务，且不可预见的任何天灾或类似灾祸、政府行为、恐惧主义、战争、破坏行动、爆炸、传染病或任何其他灾难。“Force Majeure Event means any unforeseeable acts of God or nature, actions of any governmental authority, terrorism, war, sabotage, explosion, epidemic or any other such catastrophe beyond the

11、 control of the affected Party which prevents its performance of any material obligation under this Agreement. “知识产权或“IP是指i如今正在或今后将要运用的，且ii太美和/或其任何关联方持有或经授权运用的称号、商标、商号、商品外观、效力标志、识别符号、专利、外观设计、著作权、发明不论可获专利与否、商业或严密信息，以及任何其他知识和/或工业产权“IP Rights means rights in and to any intellectual property whether reg

12、istrable or not including names, trademarks, trade names, trade dress, service marks, insignias, designs, works of authorship, inventions, whether patentable or not, trade secret or confidential information, and any other intellectual and/or industrial property “价钱是指太美根据本协议的条款，应就附件A所列产品向供货商支付的产品款项。“

13、Price means the amount payable by Tai Mei to Company for the Products under the terms of this Agreement and listed on Exhibit A. “产品是指符合附件A的描画和数量的物品，太美可不时对之进展变卦。 “Products means those items of the description and quantity described on Exhibit A, which from time to time can be amended by Tai Mei.“采购订

16、 information relating to Products included in Exhibit B.有效期TERM本协议自2021年9月1日起生效，有效期为一1年，但根据第29条终止条款提早解除的除外。协议双方可经过签署修订文本的方式续展本协议；但是，假设双方虽未签署修订文本但仍需在本协议终止之后继续进展买卖，那么本协议的条款将继续适用于一切该等买卖。This Agreement shall commence on 1st , September, 2021 , and shall continue for a period of one (1) year, unless term

17、inated earlier in accordance with the Termination Section 29. The Parties may agree to extend this Agreement by signing an amendment; however, in the event the parties should continue to do business after the termination of this Agreement without a signed amendment, the provisions of this Agreement

Company shall supply and sell to Tai Mei the quantity of Products ordered by Tai Mei from time to time under this Agreement. 除非供货商在收到采购订单之日起五5日内书面通知太美其回绝接受特定的采购订单，否那么

19、一切采购订单应视为被接受。太美保管经过其他渠道采购产品的权益。All Purchase Orders shall be deemed accepted unless Company notifies Tai Mei of its denial in writing within five (5) Days after receipt of the Purchase Order. Tai Mei reserves the right to procure the Product from other sources.假设本协议的条款和条件与订单的条款和条件冲突，应以本协议的条款和条件为准。In

20、the event of a conflict between the terms and conditions of this Agreement and those of Purchase Orders, the terms and conditions of this Agreement shall prevail.变卦采购订单： 太美应经过电子邮件或方式，发送采购订单的变卦内容。供货商在收到变卦订单后五5日内，应接受或回绝此项变卦；如回绝变卦，应阐明回绝理由，否那么应视为接受变卦订单Modification of Purchase Orders. Tai Mei shall trans

21、mit change orders to a Purchase Order by or facsimile. Within five (5) Days of Companys receipt thereof, Company shall accept or deny, stating reason(s) for a denial, or the change order is otherwise deemed accepted.重新安排采购订单：太美有权重新安排交货日期，最长期限为自原交货日期起七7日。供货商应满足提早运货的合理恳求Rescheduling of Purchase Orders

22、. Tai Mei shall be entitled to reschedule delivery of Products at any time up to a maximum of seven (7) Days from the original delivery date. Company shall accommodate reasonable requests to expedite the ship date.取消采购订单 太美有权书面通知供货商取消范围及其生效日期，以随时取消全部或部分采购订单。供货商在收到此项通知后，在太美指示的范围内，应中止履行采购订单，并采取合理措施维护其

23、所占有的、属于太美或太美享有权益的财富。如太美在原装货日期前至少十四14日，全部或部分取消采购订单，太美不应因此对供货商承当责任。如太美全部或部分取消采购订单的时间迟于原装货日期前十四14日，双方应基于诚信原那么确定向供货商补偿的合理数额。Cancellation of Purchase Orders. Tai Mei reserves the right to cancel a Purchase Order in whole or in part at any time by written notice to Company of the extent and effective date

24、 of the cancellation. On receipt of such notice, Company shall, to the extent directed by Tai Mei, discontinue its efforts to fulfill the Purchase Order, and take reasonable steps to protect property in Companys possession that either belongs to Tai Mei or in which Tai Mei has an interest. If Tai Me

25、i cancels a Purchase Order in whole or in part at least fourteen (14) Days prior to the original ship date, Tai Mei shall have no liability to Company for such termination. If Tai Mei cancels a Purchase Order in whole or in part within less than fourteen (14) Days before the original ship date, the

26、Parties shall negotiate in good faith to determine the amount of fair compensation to Company for the termination. 产品库存。供货商应公费备存并妥当存储三十天产品的库存。Inventory of Products. Company shall maintain and properly store thirty (30) days of Products inventory at Companys cost. 需求预测FORECASTS如太美选择向供货商提供需求预测，那么任何此类需

27、求预测应仅为方便供货商调整消费方案所用，不得视为具有约束力的产品订单，亦不得视为太美据此产生最小购买义务或供货商据此产生任何出卖义务。If Tai Mei elects to provide Company with a demand forecast, any such demand forecast shall only be used for purposes of facilitating Companys manufacturing plans and shall not be deemed to be binding orders for Products or to create

28、 any minimum purchase obligation on the part of Tai Mei or any sale obligation on the part of Company. 交货日期DELIVERY DATES供货商应根据采购订单中太美要求的交货日期交货。如供货商未能根据采购订单中太美要求的交货日期按时交货，太美可据其单独判别，选择设定新的交货日期；或接受可即时交付的产品的交付并取消订单的剩余部分，且不承当任何责任。Company shall deliver Products in accordance with the delivery dates in th

29、e Purchase Orders. If Company is unable to deliver Products in accordance with the Purchase Orders, Tai Mei, in its sole discretion, may either (a) establish a new delivery date or (b) accept delivery of Products that can be delivered immediately and either reschedule or cancel the remainder of the

30、Purchase Order without liability.如发生能够导致迟延交货的任何情形，供货商应及时告知太美，并阐明估计的迟延期限及迟延事由；如经太美要求，为防止迟延交货或在最大限制内尽量缩减迟延时间，供货商应做出其他努力包括支付额外运费，经过空运或其他快速渠道运货，但不得添加太美的价款和本钱。Company shall notify Tai Mei immediately of any circumstances that may cause a delay in delivery stating the estimated period and reasons for such

31、 delay and, if requested by Tai Mei, shall use additional effort, including premium freight, and shall ship via air or other expedited routing to avoid or minimize delay to the maximum extent possible, at no change in the Price and cost to Tai Mei.供货商向太美供货时，应加附以下适当单据，包括供货商出具的收款通知、货运代理人收货证明书(FCR)、装箱单

32、、包装资料分量和型号清单、数量阐明(千克)。Company shall provide Tai Mei with the Products along with the appropriate documents, including without limitation, the invoice issued by Company, the forwarders certificate of receipt (FCR), the packing list, the statement of weight and type of packaging materials, the stateme

33、nt of the amount (kg).7.4 交货日期:自太美下达采购订单十个任务日内交货; 7.4 Delivery date: From TaiMei purchase orders within ten working days of delivery.包装；标识和产品清查PACKAGING; LABELING AND TRACEABILITY供货商应根据太美不时提供的规格要求，包装产品并进展标识。供货商应确保产品包装和标识符合一切适用的法律法规。太美应向供货商提供合理协助，查明并告知供货商任何适用的包装和标识法律法规；如太美未能查明和告知供货商此类法律法规，不得免除供货商在本协议

34、项下的相关义务。供货商应承当与产品包装和标识有关的全部费用，包括因不符合太美的规格要求或适用的相关法律法规。Company shall be responsible for packaging and labeling Products in accordance with the Specifications provided by Tai Mei from time to time. Company shall ensure that the packaging and labeling of Products conform to all applicable local, state,

35、 national and international laws and regulations. Tai Mei shall provide reasonable assistance to Company in identifying and informing Company of any applicable packaging and labeling laws and regulations, but no failure by Tai Mei to identify and inform Company of such laws and regulations shall exc

36、use Companys obligations hereunder. Company shall bear all costs and expenses associated with packaging and labeling attributable to non-conformance with Tai Meis Specifications.配料和直接接触产品的包装物料的供货商批次码和数量，应在收货时记录，并可在产品消费日期及整个配送周期清查。供货商应遵守附件C所述的产品召回程序。Company lot codes and quantities for ingredient mat

37、erials and for packaging materials that come into direct contact with Products shall be recorded upon receipt, traceable to the manufacturing date used and throughout the distribution cycle of the Product. Company shall adhere to the Product Recall Procedure set out in Exhibit C.INSPECTION AND ACCEP

38、TANCE供货商在装货前应对一切产品进展检验。虽然太美已提早付款或检查，一切产品应由太美经过其置于附件A 列明的设备或根据双方商定的质量控制规范进展最终验收。太美在收到产品后三十30日内，应对产品进展最后验收或拒收。Company shall inspect and test all Products prior to shipment to Tai Mei. Notwithstanding any prior payment or inspection by Tai Mei, all Products shall be subject to final inspection and acce

39、ptance by Tai Mei at the Facility listed in Exhibit A, or in accordance with quality control standards to be agreed upon by Tai Mei and Company. Final inspection and acceptance or rejection will be made by Tai Mei within thirty (30) Days after receipt of Products.如产品因不符合规格要求或本协议项下的任何条款被太美拒收，太美应告知供货商

40、，并阐明拒收的详细缘由。经太美要求，供货商在收到此项通知后十四14日内，应按照太美的指示交换不合格产品。退回供货商的次品之运费应由供货商承当。如供货商在收到太美通知后七7日内未能修复不合格产品，太美可退回任何不合格产品，相关风险和费用由供货商承当。Should Tai Mei reject any Products for failure to conform to the Specifications or any provision under this Agreement, Tai Mei shall notify Company of the rejection, giving det

41、ailed reasons for the rejection. Upon Tai Meis request, Company shall replace the nonconforming Products within fourteen (14) Days of such notice and as directed by Tai Mei. Rejected Products to be returned to Company shall be shipped at Companys expense. Should Company fail to act to replace any no

42、nconforming Product within seven (7) Days after notice by Tai Mei, then Tai Mei may, at Companys risk and expense, return any nonconforming Product to Company.价款PRICES产品的价款应由双方商定，并在供货商价钱清单中列明；该价钱清单附于本协议之后作为附件A。Prices for Products shall be as agreed by the Parties and set forth in Companys Price list

43、 attached to this Agreement as Exhibit A.未经太美事先书面赞同，不得提价，包括但不限于基于添加的资料、人力或运输本钱，或汇率变动而调高价钱。No increase in Prices may be made, including but not limited to increased material, labor or transportation costs, or fluctuation in rates of exchange, without the prior written consent of Tai Mei.PAYMENT TERMS

44、太美在收到符合规格要求的产品后，应在收到供货商准确的收款通知后三十30日内，经过银行转账的方式向供货商支付货款。付款日应为款项从太美的账户转出之日。After Tai Meis receipt of Products conforming to Specifications, Tai Mei shall make payments by bank transfer to Company within thirty (30) Days of Tai Meis receipt of Companys accurate invoice. Payment date shall be the date

45、of cash transfer from Tai Meis bank account.太美支付货款不得构成太美对该批产品的同意或接受。Tai Meis payment for Products shall not constitute Tai Meis approval or acceptance of such Products.太美如对货款有任何异议，应在收到供货商发出的、金额准确的收款通知后三十30日内付清无异议的款项，并告知供货商存在异议的货款的数额及异议的缘由。在争议未决期间，供货商应继续履行其在本协议项下的义务，且太美不得被视为违约。If a payment dispute ar

46、ises, Tai Mei shall pay the undisputed amount and notify Company of the amount and the basis of the dispute within thirty (30) Days from receipt of Companys accurate invoice. Pending the resolution of the dispute, Company shall continue its obligations under this Agreement, and Tai Mei shall not be

47、in default. 违约赔偿金LIQUIDATED DAMAGES 如迟延交货，太美有权自商定交货日至实践交货日，每日向供货商收取总货款1%的赔偿。如产品不能交付，太美有权向供货商收取总货款15%的赔偿。如迟延交货十五15天以上或产品不符合要求，那么视为未交付产品。供货商赞同，此项损害赔偿金为太美估计的真实损失。Tai Mei shall be entitled to charge Company please adjust as appropriate: 1% of the total Price of Products per each day of delay from the ag

48、reed delivery date up to their actual delivery date. Tai Mei shall be entitled to charge Company please adjust as appropriate: 10% of the total Price of Products if Products are not delivered. Products are considered not delivered if the delay continues more than fifteen (15) Days or if Products are

49、 non-conforming. Company agrees that such damages are a genuine estimate of Tai Meis losses.留置权LIENS如在本协议期限内，供货商对第三方的任何债务能够导致全部或部分产品被留置，且因此能够导致对太美的索赔，供货商应：i立刻清偿此项索赔或债务；或ii解除并终止留置。如供货商未能进展上述救援，太美可：i停顿支付任何到期款项，直到供货商清偿此项索赔；或ii公费解除并终止留置，且供货商赞同向太美偿付太美由此产生的一切本钱和费用；或iii宣告终止本协议，占有并控制此项产品和/或原料，由第三方履行供货商在本协议项

50、下的义务，由此产生的合理费用由供货商赔偿。If during the term of this Agreement, any debt of Company to a third party may result in a lien on any or all of Products, which may result in a claim against Tai Mei, Company shall: (i) immediately settle such claim or indebtedness; or (ii) cause any lien to be dissolved and di

51、scharged. If Company fails to do so, without in any way limiting Companys indemnification obligations set out in Section 20 of this Agreement, Tai Mei may: (i) withhold any money due to Company until such claim is paid; (ii) cause any such lien to be dissolved and discharged at its own cost, and Com

52、pany agrees to reimburse Tai Mei for all such costs and expenses incurred; or (iii) declare this Agreement to be terminated, take possession and control of such Products and/or materials, and have performance of Companys obligations under this Agreement completed by a third party and recover reasona

53、ble costs incurred from Company.修订MODIFICATIONS供货商拟对产品的履行、规格要求、设计、配方、配料、资料或成分开场或进展任何改动或修正的，应事先获得太美对前述各事项的书面赞同，否那么不得进展任何该等改动或修正。对于未经太美事先书面赞同而改动或修正的产品，即使被太美所接受，该接受行为也可撤销，且太美可在任何时候回绝该等产品。Company shall not initiate or make any change or modification in the performance, Specifications, design, formula, i

54、ngredients, materials, or components in or of the Product without, in each case, having received Tai Meis prior written consent to any proposed change or modification. The acceptance of any Product that has been so changed or modified without Tai Meis prior written consent shall be subject to revoca

55、tion and Tai Mei may reject the Product at any time.供货商赞同如方案封锁或迁移指定场所，其应立刻通知太美。Company agrees to notify Tai Mei immediately of any contemplated closure or relocation of the Facility. 陈说和保证WARRANTIES AND REPRESENTATIONS供货商陈说和保证其有权供货，其合法存续，且遵守适用的一切法律、法令、规章和制度；其有权履行本协议项下的义务；且一切效力如有均以符合行业最高规范的谨慎、技术和勤勉予以

56、履行。Company represents and warrants that it has the right to supply Products; it legally exists under the laws and shall comply with all applicable laws, decrees, rules and regulations; it has power to perform its duties under this Agreement; all Services, if any, are performed with the care, skill a

57、nd diligence consistent with the highest industry standards.供货商进一步陈说和保证不得违反任何国家或地方法律法规规定的平安规范，不得提供掺假、冒充或不平安的产品；其产品具有可商售质量和适用性，没有瑕疵，与一切适用的规格要求和样品一致；其产品未被留置或者有任何权益负担；其产品符适宜用的法律、法令、规章、条例和附件D中所列的太美供货商行为准那么；其产品及/或效力未进犯任何知识产权或其他第三方权益；且太美及其关联公司对产品和效力的运用亦不会导致进犯任何知识产权或其他第三方权益。Company further represents and w

58、arrants that Products will not be adulterated, misbranded or unsafe within the meaning of any state or local government laws or regulations; Products are of merchantable quality, fit for their intended purpose, free from defects, conforming to all applicable Specifications and samples; Products are

59、free and clear of all liens and encumbrances; Products are produced in accordance with applicable laws, rules, decrees, regulations and Tai Meis Supplier Code of Conduct set forth in Exhibit D; Products and Services do not infringe any IP Rights or other third party rights; and the use of the Produc
