2、nterprise to be established in China (hereinafter referred to as registered capital of US$_.Co” ) with“aNew根据中华人民共和国合同法 、中华人民共和国城市房地产管理法及其他有关法律、 法规之规定,在平等、自愿、协商一致的基础上,甲、乙双方就下列厂房的租赁达成如下协议:Inaccordancewiththe“ Contract LawofthePeople sRepublicofChina ”, the“PropertyManagement Law of City Real Estate o

3、f the People s Republic of China ” and other relevantlaws and regulations, Party A and Party B, on the basis of equality and mutual understanding andthrough friendly negotiation, have reached the following agreement on the lease of the premises:第一条房屋的基本情况Chapter 1Basic Information on the Premises甲方厂

4、房(以下简称“厂房 ”)座落于 - ,总建筑面积为-平方米;该厂房平面图参见附件1。Party A s premises (hereinafter referred to as the Premises “” ) are located at - Road; total built-up area is - sqm. Please refer to Annex 1 for the plan of the Premises.该厂房应已具备所有必要的硬件设施(包括水管道,电线及电话线)以供乙方使用。The Premises shall be equipped with all the necess

5、ary hardware facilities (including water pipes, power lines and phone lines) installed inside the premise to be used for Party B.甲方向乙方和新公司陈述和保证其为厂房的唯一合法所有人,并且厂房在发生任何抵押或者其他类型的担保时,乙方在本协议下的权利权益不受到任何损害。PartyA representsand warrantsto Party B and New Co that it is the sole legalownerof thePremises and th

6、at, in the event of a mortgage or any other similar guarantees in connection with thePremisestakingplace,PartyB srightsandinterestspursuantto this agreementshall not bedamaged in any manner whatsoever.第二条厂房的用途Chapter 2Use of the Premises该厂房用途为工业厂房,乙方不得任意改变厂房用途。The Premises should be used for industr

7、ial purpose. Party B should not change the use of the Premises at its own will.第三条租赁期限Chapter 3Lease Period租赁期限为 - 年,自新公司获得营业执照或项目批准证书之日起计算。The durationof the lease periodshall be - years,startingfrom the day of issuanceof NewCompany business license or Certificate of Approval.第四条租金Chapter 4Rental4.

8、1该厂房第一到三年的租金为人民币12元/平方米/月,计人民币_ 元 /月 ,人民币_ 元 /季,人民币 _ 元/年。 之后,每三年商定的递增不得超过_% 。For the first three years during the lease term, the rental of the Premises is RMB12/sqm/month. 10、 Party A shall issue the official rental invoice to Party B within 7 days after the payment of the rental.The bank account for the rental payment is: _.户 名: _Name of beneficiary: _开户银行: _Opening bank: _第六条保证金Chapter 6Security Deposit本合同签订后的7 个工作日内,乙方应当向甲方支付总额相当于3 个月租金额的保证金,即人民币- 。Within 7 working da

11、ys upon the signing of this Contract, Party B shall pay to Party A a sum of three months rental as the security deposit, that is RMB - 。乙方向甲方缴纳的保证金应作为其履行本合同所规定义务的担保。如果乙方的行为违反合同规定的义务或者导致对厂房的损害,甲方有权从保证金中扣除相应数量的金额作为补偿。在合同终止日期后30 天内,甲方在从保证金中扣除乙方违反任何合同义务应承担的的补偿、赔偿或违约金后应将保证金的余额无息返还给乙方。The security deposit

12、 shall be taken as the warranty for Party B s due performance of its obligationsunder this Contract. If Party B carries out activities that are against its obligations or result in anydamage to the Premises, Party A is entitled to deduct corresponding amount of compensation from the deposit. Within

13、30 days from the expiration of the Contract, Party A shall return the balance of the security deposit to Party B without interest after making deductions from the security deposit for compensation for any breach of the contract by Party B.第七条维修养护责任Chapter 7Maintenance Responsibilities甲方向乙方和新公司陈述和保证厂

14、房和用于建筑的材料应符合中国有关法律法规关于消防、安全和环保事宜的所有要求。且该厂房已获得所有所需的政府强制性证书(包括,但不限于环保证书,防火证书及防雷证书)Party A represents and warrants to Party B and New Co that the Premises and the materials usedfor the construction shall comply with all the requirements of the relevant Chinese laws and regulations concerning fire, safe

15、ty and environmental issues. Party A has also obtained all the required mandatory certificates by the government (including, but not limited to EnvironmentalProtection Certificate , Fire Protection Certificate and Thunder Strike Prevention Certificate) for the Premises.租赁期间,甲方对厂房及其附属设施每隔半年检查一次,乙方予积极

16、配合,正常的厂房维修费由乙方承担。During the lease period, Party A will do an overall inspection on the Premises and its facilities onceevery 6 months. Party B should provide necessary support. Party B should be responsible for routine maintenance of the Premises.因乙方管理使用不善造成厂房及其相连设备损失的,则由乙方负责恢复原状,并承担赔偿经济损失的责任。Party

17、B should be responsible for the reinstatement works and compensation for the economic losses for the damage of the Premises and loss of its facilities due to the mismanagement of Party B.在乙方正式接收厂房之前,甲乙双方应对厂房进行一次综合检查。甲方应对厂房存在的瑕疵负责修复。Before taking possession of the Premises, Party A and Party B should

18、 conduct a comprehensive inspection. Party A should be responsible for rectifying any defects of the Premises.第八条关于装修和改变厂房结构的协议Chapter 8Agreement on the Decoration and Structural乙方不得随意损坏厂房设施,如需改变厂房内部结构和装修或设置对厂房有影响的设备,需先征得甲方的书面同意,相关费用由乙方承担。乙方将按照附于本合同的项目计划进行改建。甲方在此同意此些改建。Party B should not damage the

19、facilities in the Premises. If structural change is necessary in the process of decoration or the installation of the equipment does damage to the Premises, Party B should get the prior written approval from Party A. The cost of such change should be borne byParty B. The structural changes that Part

20、y B will carry out to the Premises are indicated in the project attached to this Contract. Party A hereby gives its consent to such changes.第九条关于厂房租赁期间的有关费用Chapter 9Related Fees during the Lease Period of the Premises在厂房租赁期间,有关厂房及租金收入之税务由甲方负担;以下费用及因延期付款而产生的罚金(如存在)应由乙方支付:During the lease period, Part

21、y A should be responsible for the taxes levied on the rental income.Party B should be responsible for the following charges and the penalty, if any, on overdue payment:1、水、电费;Water and electricity bill2、通讯费;Telecommunication charges第十条租赁期满Chapter 10Expiry of the Lease Period租赁期满后,本合同即终止,届时乙方须将出租方厂房中

22、的所有设施恢复原貌完好退还甲方,除乙方按照本合同第八条的规定在甲方同意的情况下对厂房结构的改建。如乙方要求继续租赁,则须提前三个月以书面形式向甲方提出申请,甲方在合同期满前二个月内书面答复乙方,如同意继续租赁,则双方应签定新的租赁合同。如本租赁合同在租赁期满后终止,乙方必须按时搬出其全部所属物品,搬迁后 30 天内厂房里仍有余物,视为乙方放弃所有权,由甲方处理。Upon expiry of the lease period, this contract is terminated. Party B should conduct reinstatementworks and yield up t

23、he Premises and all of the landlord s installations in their original state exceptfor those structural changes made by Party B and approved by Party A as established in Chapter 8.If Party B wishesto extend the lease period,it should submita written applicationto Party A 3months before the expiry dat

24、e. Party A will give Party B a written reply 2 months before the expiry date. If extension of the lease period is agreed, a new lease contract should be signed. If the leasecontract is terminated upon expiry of the lease period, Party B should move out all its belongings in time. If there is still p

25、roperty remaining inside the Premises 30 days after the move, it is understood that Party B has forsaken its property right and Party A has the right of disposal.第十一条因乙方责任终止合同的约定Chapter 11 Termination of the Contract due to Party B s Responsibilities乙方有下列情形之一的,甲方有权终止本合同并收回厂房,由此造成甲方损失,由乙方负责赔偿:Party A

26、 has the right to terminate the contract, take back the Premises and ask for compensations from Party B if Party B acts on any of the followings:1、擅自将承租的厂房向第三方转租的;To lease the Premises to third parties at its own will;2、擅自将承租的厂房向第三方转让、转借或擅自调换使用的;To transfer or lend the Premises to the third parties,

27、 or exchange the Premises with the 3rd party at its own will;3、擅自拆改承租的厂房结构或改变承租厂房用途的;To change the structure or the use of the Premises at its own will;4、拖欠租金累计达叁个月;Rental payment is overdue for more than 3 months;5、利用承租的厂房进行违法活动的;To engage in any illegal activities within the Premises;6、故意损坏承租厂房的;T

28、o damage the Premises intentionally;第十二条提前中止合同Chapter 12 Termination of the Contract before Expiry Date租赁期间,乙方提出终止合同,需提前6 个月书面通知另一方,同时甲方没收乙方相当于三个月租金的保证金,经双方协商后签订终止协议,在终止协议签订前,本合同仍有效。During the lease period, if Party B wishes to terminate the contract, it should inform the other party six months in a

29、dvance; the security deposit in equivalent to three-month rental shall be confiscated. After negotiation, a termination agreement should be signed. This contract is still valid before the termination agreement is signed.第十三条违约责任Chapter 13 Liabilities for Breach of Contract租赁期间双方必须信守合同,任何一方违反本合同的规定,违

30、约方应向另一方支付年租金的10% 作为违约金。乙方逾期交付租金,甲方需书面通知乙方。如果此通知发出七天后,欠款还未支付,每逾期一日,甲方有权按月租金的0.1% 向乙方加收滞纳金。During the lease period, both parties should abide by this lease contract. If there s any breachcontract from one party, this party should pay 10% of the total yearly rental to the other party for compensation.

31、If Party B delays on rental payment, Party A shall inform Party B in written. In case of late payment exceeding seven days after such notice, Party A has the right to charge penalty of 0.1% of the monthly rental from Party B for every day after the due date of the rental payment.第十四条Chapter 14因不可抗力原

32、因导致厂房毁损和造成损失的,双方互不承担责任。If the Premises are damaged or the loss of the Premises is caused by Force Majeure, neither party is responsible.第十五条Chapter 15本合同未尽事项,由甲、乙双方另行议定,并签订补充协议,补充协议与本合同具有同等法律效力。For issues not covered in this contract, Party A and Party B will negotiate amicably and sign a supplement

33、ary agreement, which shall have the same legal binding force as this contract.第十六条本合同之附件均为本合同之不可分割部分。Chapter 16Annex to the contract shall be an indivisible part of this Contract合同附件为本合同的组成部分。本合同及其附件和补充协议中未规定的事项,均按中华人民共和国有关法律、法规和政策执行。The annex is an integral part of this contract. For issues not spe

34、cified in this contract or in the follow-up supplementary agreement, they should be resolved in accordance with the relevant lawsand regulations of the People s Republic of China.第十七条Chapter 17本合同在履行中发生争议,由甲、乙双方友好协商解决。如双方协商不成时,该争议应提交管辖法院进行裁决。Any dispute in the implementation of this contract should be resolved by Party A and Party B through friendly negotiation. If the two parties fail to reach an agreement after negotiation, the dispute should be settled by the competent judicial c
