4、ght to request compensation for all mould cost 受托人保证委托人合模万次完好，否则委托人有权就模具费全额向受托人索赔。5、All prices include VAT 17% and delivery.本报价含17%增值税和货物运输费。6、Terms of Payment: advanced payment 40% within one week after contract signing, the balance within 30 days after sample confirmation against invoice付款方式：合同签定一

5、周内预付40%,余额样品检验合格30日内凭发票付款。7、work days&reqiiiremen 开模周期及要求/(1) (sample date)：days for sample协议开模具周期：天内交样(2 ) The trustee can not refuse the trustor to check the progress of mould manufacturing, quality and test in the process of manufacture.Otherwise,the trustor have the right to cancel the contract

6、immediately and the tmstee must return the advanced payment double and compensate for the loss of the trustor.在模具制造过程中，委托方有权随时检查制造进度、质量标准，并提取试验。受 托方不得以任何理山拒绝，否则，委托方可以立即解除合同，并山受托方双倍返 还委托方已付款项，赔偿造成的损失。(3) If the trustor don t approbate the mould .the trustee must improve on the mouldindays and the fee

7、 of reform the mould is borne by the trustee.If the trusteedon t improve on the mould in days or the improved mould don t still approbated by the trustor,the trustor have right to cancel 1 the contract and the tnjstee must return the advanced payment double and compensate for the loss of the trustor

8、若受托方的模具不能得到委托方认可，受托方须在委托方提出之后的天内对 模具进行整改，整改的费用山受托方承担。如受托方逾期整改或整改后的试模产 品仍得不到委托方认可的，委托方有权单方解除合同，山受托方双倍返还委托方 的已付款，并赔偿全部损失。(4) The trustee must give the trustor the written report with regard to all manufacturing problems and continue to product after the trustor confirm on it by writing受托方在制模过程中遇到的所有问题

9、都必须书面给委托方，待委托方书面确认后 再进行后续工作。8、Mould s Intellectual property 模具产权This mould is developed by trustee,and trustor pay for the cost, the ownership / Patent right / copyright and other Intellectual property belongs to trustor.该模具为委托人有偿委托受托人开发，此模具所有权、专利权、著作权及其它知 识产权属于委托人。9、The trustee agreed that the tnis

10、tor determine die number of samples.受托人生产的模具，委托人有权确定样品数量，受托人无异议。10、The trustee agree the times of test mode 、the number and times of swaping sample requsted by the trustor, otherwise,the trustor shall have the right to terminate unilaterally the contract and to recover the advances paid对于委托人要求的试模次数以

11、及调换样品的数量和次数受托人无条件予以配合。 否则委托人有权单方通知受托人终止本合同并收回预付款项。11、Breach of the contract 违约(1 )If trustee fails to fulfill the terms and conditions stipulated in the Contract, trustor shall have the right to terminate this contract thereof受托人未能履行合同所规定的任何重要条款，如无合理解释时，委托人有权终止 合同。(2) Trustee will bear legal respons

12、ibility if the mould which is provided by the trustee is not same to the mould which is prescribed by this contract.一旦受托方提供的货物与合同项下规定的货物不一致，受托方需承担法律责任。(3) trustee shall nevertheless have the right to claim compensations if trustor intends to cancel this contract or order beyond the reasonable scope

13、that trustee can accept.若委托人要取消或终止合同或订单，而其理山超出受托人所能接受的范圉，受托 人有权要求委托人给予赔偿因此而造成的损失。(4) Claims： the tiustee shall implement manufacture according to designs from the trustor; Should the quality, specifications or quantity be found not in conformity with the stipulations of the contract except those due

14、 to the design of the trustor, the Trustee shall be responsible to the repair or even open new mould and compensate the loss caused to the trustor.赔偿：受托人必须依照委托人提供的设计图纸开发制作模具；如因非设计原因导 致的模具未能生产出委托人要求的产品，受托方应无条件给与修整其至重开模 具，如对委托人造成影响需赔偿委托人相应损失。(5 )If the trustee will not complete the development of mold

15、 in 30 days(including the time of the reform),the trustee must pay 5% of the total price which is prescribed by this contract every day in the days which is more than 30 days as penalty. The penalty can offset the payment for mould by the trustor.If the tiustee complete the development of mold late

16、more than days,the trustor have the right to cancel the contract immediately and the tinstee must return the advanced payment and give the trustor % of the total price which is prescribed by this contract as penalty. In addition, the tiustee must compensate for all losses of the trusto r.若受托方逾期交货(包括

17、整改逾期)，逾期后每天需向委托方支付模具总价的5% 作为逾期交货违约金，该违约金可以直接抵扣委托方应付款。若逾期超过 天，委托方可单方解除合同，受托方除返还委托方已付款外，还应向委托方支付 模具总价的金额作为违约金。给委托方造成损失的，应赔偿全部损失额。12、Confidential responsibility 保密责任(1) Both parties and their employees shall comply with their obligations to conceal the related confidential commercial information.
