years/months],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.2.EitherpartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty.3.IntheeventofterminationofthisAgreementforanyreason,thepartiesshallimmediatelyceaseallactivitiesunderthisAgreement,exceptasrequiredtowinduptheirrespectiveaffairsinanorderlymanner.4.UponterminationofthisAgreement,therightsandobligationsofthepartieswithrespecttoanyamountsalreadyearnedordueandpayableshallremaininforce,andeachpartyshallperformitsobligationstopayorreceivesuchamounts.VIII.ForceMajeure1.NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyforcemajeureevents,includingbutnotlimitedtonaturaldisasters,actsofGod,war,terrorism,governmentactions,oranyothereventsbeyondthereasonablecontroloftheparty.2.Intheeventofaforcemajeureevent,thepartyaffectedshallnotifytheotherpartyinwritingassoonaspossibleandprovidedetailsoftheforcemajeureeventanditsexpectedduration.TheaffectedpartyshalluseitsbesteffortstominimizetheimpactoftheforcemajeureeventontheperformanceofthisAgreement.3.Iftheforcemajeureeventcontinuesforaperiodof[numberofdays]ormore,eitherpartymayterminatethisAgreementbygivingwrittennoticetotheotherparty.Ix.DisputeResolution1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultationsbetweentheparties.2.Ifthepartiesareunabletoresolvethedisputesthroughconsultationswithin[numberofdays],eitherpartymaysubmitthedisputesto[arbitrationinstitution/court]forarbitration/litigationinaccordancewiththefollowingprovisions:[Ifarbitrationischosen,describethearbitrationrules,suchastherulesofthe[ArbitrationInstitution],andtheplaceofarbitration.Iflitigationischosen,specifythejurisdictionofthecourt.]3.Intheeventofarbitrationorlitigation,thepartiesshallcontinuetoperformtheirobligationsunderthisAgreementthatarenotindispute,exceptasotherwiseorderedbythearbitrationtribunalorcourt.x.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].xI.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.xII.Amendm
