2025【中英合同范本】合同意向书ContractIntentionAgreement2025一.合同编号ContractNumber:本合同编号为，由下列双方于年月日在中华人民共和国市（以下简称“签约地点”）签订。ThisagreementisnumberedandismadeandenteredintobyandbetweenthePartiesasof,(the"SignatoryLocation")inthePeople'sRepublicofChina.二.合同双方PartiestotheContract:甲方（以下简称“甲方”）PartyA(hereinafterreferredtoas"PartyA"):名称：Name:地址：Address:法定代表人：LegalRepresentative:联系方式：ContactInformation:乙方（以下简称“乙方”）PartyB(hereinafterreferredtoas"PartyB"):名称：Name:地址：Address:法定代表人：LegalRepresentative:联系方式：ContactInformation:三.合同签订日期DateofContractExecution:本合同于年月日签订。Thisagreementisexecutedon.四.合作内容ContentofCooperation:合作项目CooperativeProject:甲乙双方同意合作开展以下项目：（以下简称“本项目”）。PartyAandPartyBagreetocooperateinthefollowingproject:(hereinafterreferredtoas"theProject").合作方式CooperationMethod:甲方负责，乙方负责。双方应按照约定的时间、质量及预算完成各自的工作内容。PartyAisresponsiblefor,andPartyBisresponsiblefor.Bothpartiesshallcompletetheirrespectivetasksinaccordancewiththeagreed-upontimeline,quality,andbudget.合作目标CooperationObjective:双方通过合作，旨在实现以下目标：。Throughthiscooperation,bothpartiesaimtoachievethefollowingobjectives:.五.合同金额及付款方式ContractAmountandPaymentMethod:合同总金额TotalContractAmount:本合同总金额为人民币元（￥），或等值外币（以下简称“合同金额”）。ThetotalamountofthisagreementisRMB(￥)orequivalentforeigncurrency(hereinafterreferredtoas"theContractAmount").付款方式PaymentMethod:付款方式为，具体支付安排如下：Thepaymentmethodis,withthefollowingpaymentarrangements:第一笔款项：元，于支付。Firstpayment:RMB,tobemadeon.第二笔款项：元，于支付。Secondpayment:RMB,tobemadeon.尾款：元，于支付。Finalpayment:RMB,tobemadeon.逾期付款责任ResponsibilityforLatePayment:任何一方未能按约定支付款项，每逾期一日，应向另一方支付逾期金额的%作为违约金。Anypartyfailingtomakeapaymentasscheduledshallpaytheotherpartyapenaltyof%oftheoutstandingamountforeachdayofdelay.六.双方的权利与义务RightsandObligationsofBothParties:甲方的权利与义务RightsandObligationsofPartyA:甲方有权要求乙方按照合同约定完成相关工作，并提供必要的协助。PartyAhastherighttorequirePartyBtocompletetherelevanttasksaspertheagreementandprovidenecessaryassistance.甲方应按时支付合同款项，并提供项目所需的资源支持。PartyAshallmakepaymentsontimeandprovidethenecessaryresourcesfortheproject.乙方的权利与义务RightsandObligationsofPartyB:乙方有权要求甲方按时支付合同款项，并提供必要的支持和信息。PartyBhastherighttorequirePartyAtomakepaymentsontimeandprovidenecessarysupportandinformation.乙方应按时完成项目相关工作，并确保工作质量符合约定标准。PartyBshallcompletetheproject-relatedtasksontimeandensurethattheworkmeetstheagreed-uponstandards.七.保密条款ConfidentialityClause:双方承诺对本合同涉及的所有信息严格保密，未经对方书面同意，不得向任何第三方披露。Bothpartiescommittostrictlykeepingallinformationrelatedtothisagreementconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutpriorwrittenconsentfromtheotherparty.本条款的保密义务在本合同终止后年内仍然有效。Theconfidentialityobligationunderthisclauseremainsvalidforyearsaftertheterminationofthisagreement.违反本条款的泄密行为，违约方应承担相应的法律责任。Anyviolationofthisclauseinvolvingabreachofconfidentialityshallsubjectthe违约方tocorrespondinglegalliabilities.八.违约责任LiabilityforBreachofContract:任何一方未履行或未完全履行本合同义务的，视为违约。Anyfailuretoperformorpartialperformanceoftheobligationsunderthisagreementconstitutesabreach.违约方应赔偿守约方因违约行为所遭受的全部损失，包括但不限于直接损失、间接损失及律师费、诉讼费等费用。Thebreachingpartyshallcompensatethenon-breachingpartyforalllossessufferedduetothebreach,includingbutnotlimitedtodirectlosses,indirectlosses,andexpensessuchaslegalfeesandlitigationcosts.违约方应在收到守约方书面通知后日内纠正违约行为，否则守约方有权解除合同并要求赔偿。Thebreachingpartyshallrectifythebreachwithindaysuponreceiptofwrittennoticefromthenon-breachingparty;otherwise,thenon-breachingpartyhastherighttoterminatetheagreementandseekcompensation.九.变更与解除AmendmentandTermination:本合同的任何变更须经双方协商一致，并以书面形式确认。Anyamendmenttothisagreementmustbeagreeduponbybothpartiesinwriting.在以下情况下，本合同可解除：TerminationofthisAgreement:a.双方协商一致解除合同；a.Terminationbymutualagreementofbothparties;b.一方因不可抗力事件无法履行合同义务，且在日内未能恢复履行能力的；b.Ifonepartyisunabletoperformitsobligationsduetoanunforeseeneventbeyonditsreasonablecontrolandfailstoresumeperformancewithindays;c.一方严重违约，导致合同目的无法实现的。c.Ifonepartyisinmaterialbreach,makingitimpossibletoachievethepurposeofthisagreement.十.争议解决DisputeResolution:本合同履行过程中如发生争议，双方应通过友好协商解决。Anydisputesarisingoutoforinconnectionwiththeexecutionofthisagreementshallbesettledthroughfriendlyconsultationsbytheparties.协商不成的，任何一方可向人民法院提起诉讼。Ifconsultationsfailtoresolvethedispute,eitherpartymaybringthematterbeforethePeople'sCourt.十一.其他条款OtherClauses:通知方式NoticeMethod:任何一方根据本合同发出的通知应以书面形式发送至对方指定的地址或电子邮件。Anynoticegivenunderthisagreementshallbeinwriting
