鉴于,员工同意并且希望按本合同下述条款为公司提供服务、公司建立劳动关系;公司亦同意聘用员工作为正式雇员;

NOWTHEREFORE,theCompanyandtheEmployee,onthebasisoftheirequalandself—willingnegotiation,agreetoenterintothisAgreementandestablishtheemploymentrelationshipinaccordancewiththeEmploymentAgreementLawofthePeople’sRepublicofChinaandotherrelevantlawsandregulations。

因此,公司和员工本着协商一致的原则,根据《中华人民共和国劳动合同法》及其他相关法律法规同意签署该劳动合同、建立劳动关系。

TermofAgreement合同期限ThepartiesagreethatthetermofthisAgreementwillbeanindefiniteperiodoftime,startingfrommacrobuttonnomacro[Fillinplease],withoutprobationperiod..本合同期限为无固定期限合同,从macrobuttonnomacro[请输入劳动合同开始时间]开始。Position&JobDescription岗位与职责描述AccordingtotherequirementoftheCompany’soperationandbusiness,theCompanyherebyengagestheEmployeeasSeniorConsultantwithsuchduties,authorityandresponsibilitiesasarenormallyassociatedwithandappropriateforsuchpositions.TheEmployeeherebyagreestoacceptthisposition。TheEmployeewillreporttothepersonasdesignatedbytheCompany.

根据公司业务要求,公司聘任员工担任高级咨询顾问,员工同意接受公司的聘任。员工直接向公司指定人员汇报工作。TheCompanyhirestheEmployeetoperformworkinaccordancewiththejobdescriptioncontainedinExhibitAtothisAgreement。TheEmployeeshallperformtheworkasdescribedinExhibitA。

公司可根据本合同附件的职责描述安排员工工作,员工按照附件中的职责描述履行工作职责。Inaddition,orasanalternativetoEmployee’snormalduties,theEmployeemayatanytimeandfromtimetotimeberequiredtoundertakeonatemporaryorpermanentbasisotherdutieswithinanydepartmentoftheCompanythatarereasonablyconsistentwithEmployee’spositionandwithinEmployee'scapabilitiesastheneedsoftheCompany’sbusinessmayrequire。

除了员工的日常职责外,公司因为业务需要、在符合员工职位和能力的前提下,可随时要求员工承担公司其他部门的临时性或长期性的工作.Notwithstandingtheforegoing,theCompanymayadjusttheEmployee’spositionorjobdescriptionbasedontheoperationandbusinessoftheCompanyandprofessionalabilities,performanceandphysicalconditionoftheEmployee.TheEmployeeshallaccepttheCompany’sadjustment(s)。

尽管有前述约定,但根据公司业务和运营情况,考虑员工的业务能力、工作表现和身体情况后,公司可对员工职位或工作职责进行调整.员工应接受公司的相应调整.TheEmployeeisnotauthorisedtobindtheCompanyoritsparentcompany,oranyofitsrelatedentities(“AssociatedCompany")orenterinto,onbehalfoftheCompanyoranyofitsAssociatedCompany,anycontracts,deeds,agreements,assignmentsorotherlegaldocumentsandpapersthatcreatelegalobligationsandliabilitiesonthepartoftheCompanyoranyAssociatedCompany,includingbutnotlimitedtoAgreementforthesaleorprovisionofservicesorproducts,leaseagreements,loansorotherformsofborrowingonbehalfoftheCompanyoranyAssociatedCompany。

员工无权代表公司、公司的母公司或关联方签订任何有法律约束力的合同、契约、协议、委派书等法律文件。这些法律文件包括但不限于员工以公司或公司关联方名义签署的销售协议、服务和货物服务协议、租赁协议、贷款或其他形式的借款协议等.Remuneration工作薪酬及其他It'sagreedbybothpartiesthatthepre—tax,grossannualbasesalaryismacrobuttonnomacro[Fillinplease]whichshallpaidtothedesignatedbankaccountasinstructedbytheEmployer。Anyexchangerate(ifapplicable)shallbesubjecttothemiddlerateasannouncedbytheStateAdministrationofForeignExchange()onthedayforpaymentofthesalary.Incasethereareanyspecialarrangementswithregardtothecurrencyofpayment,wayofpayment,frequencyofpaymentanddesignatedpaymentaccount,etc,bothpartiesmayagreeseparatelyintheformofannex。

员工的税前年工资为macrobuttonnomacro[请输入工资数额及币种],由公司发放至指定账户.如涉及到汇率问题,汇率以发放工资当天中国国家外管局公布的人民币中间价(http://)为准。如双方对于支付的币种、方式、时间及指定支付的账户等有特别约定的,另行以附件方式确定。

heCompanymayalso,atitsolediscretiondecidewhethertopayabonustotheEmployeeinaccordancewiththeCompany'sbonuspolicy,asamendedfromtimetotime,andaccordingtothePRCregulationsortheCompany'sinternalprocedures。公司也可以根据其不时修订之奖金制度、国家法规或公司的内部程序自行决定奖金发放事宜.

TheEmployeeshallpaytheindividualincometaxinaccordancewithapplicablelawsandregulations.TheCompanyshallbeobligedtowithholdtheindividualincometaxfortheEmployeeanddeclaretothecompetenttaxauthorityonhisbehalf。

员工应根据税法规定缴纳个人所得税。公司负责从员工工资中扣除个人所得税并予申报、缴纳.

BothPartiesagreethatEmployeeshallchecktheaccuracyofthepaidremunerationincludingwithoutlimitationtobasesalary,bonus,overtimepaymentetc.bytheCompanyintimelymanner.ShouldthereisanydisputeovertheamountofremunerationpaidbytheCompany,theEmployeeshallnotifytheCompanywith3businessdaysinwrittenwithoutanydelay。Otherwiseitshallbedeemedthatallthedueandpayableremunerationhasbeensettledproperly.

双方约定:员工对于公司支付的薪酬,包括工资、奖金、加班费等应当及时进行核查。员工对前述支付有异议时,应自收到该等支付后3个工作日内以书面方式向公司提出;逾期未提出异议的,视为应付薪酬已全部结清。

TheEmployeeagreestohonourtheCompany’spolicyandkeepstrictconfidentialofanysalaryinformation.

员工同意遵守公司实行的工资保密原则,对工资信息承担严格的保密义务。

TheCompanyshallbeentitledtomakearateabledeductionfromEmployee'ssalaryforitemsincludingwithoutlimitationto,timelostthroughaccident,defaultorotherabsence,debttotheCompany,costofCompanypropertynotreturnedonterminationofemployment,economiclosscausedbytheEmployeetotheCompanyduetohis/hernegligenceofjoborviolationoftheAgreement,andotherswhereauthorisedbyanylawsandregulations.

对于因乙方事假缺勤、欠付公司款项、未归还公司物品、因失职或违约给公司造成损失,以及其他法定事项,公司有权从员工的工资报酬中做相应的扣除。

TheCompanyshallcontributethemandatorysocialsecurity&housingfundtotheEmployeeinaccordancewithapplicablelawsandregulations。

公司应根据相关法律为员工缴纳社会保险和住房公积金等法定福利。

TheEmployeeshallnotreceiveanycompensation,benefitsorpaymentsfromtheCompanyinadditiontothecompensation,benefitsorpaymentsdescribedinthisAgreement(includingitsexhibit)unlessotherwisespecifiedinrelevantnationalandlocallawsandregulations,ordeterminedbytheCompany,initssolediscretion。

除本合同(含其附件)所述的报酬、福利和付款以外,员工无权从公司获得其它补偿、福利和付款,除非根据国家和地区相关法律法规的另行规定,或公司自行决定。Workinghours工作时间Thestandardofficehoursarefrom9:00a。m。to6:00p.m。withonehouroffforlunchbetween1:00p。m.and2:00p。m.MondaystoFridays,orsuchothertimesastheCompanymayfromtimetotimestipulate。

标准工作期间为每周一至周五自早9点至晚6:00点,其中1:00p.m。至2:00p。m。为午餐时间Notwithstandingtheforegoing,thebothPartiesagreethat,whenthelocalgovernmentauthoritiesadoptsmeasurestoavoidtrafficjamsduringpeakhoursorspecialevent,orwheretheCompanydeemsnecessaryduetoproductionandoperation,theCompanymaytemporarilychangetheworkinghoursatitssolediscretion。

在当地政府采取避峰措施或有特殊事件安排、或公司因生产经营需要时,公司均可自行决定临时性、阶段性地调整工作时间。Ifrequiredbytheoperationandbusiness,theCompanymayarrangetheEmployeetoworkovertime。TheEmployeeshallobservetheCompany’srequirementandfulfiltherelevantapprovalproceduresforworkingovertimeinaccordancewiththeCompany’srelevantpolicy.FortheEmployeewhoworksovertimeandfollowstherelevantapprovalproceduresforworkingovertime,theCompanyshallpaycorrespondingremunerationorprovidecompensatoryleaveinaccordancewiththeapplicablelaws。

如因业务需要,公司可安排员工加班。员工应按照公司的要求履行加班审批手续后方可进行加班.加班的员工应按照加班小时数获得公司依法律规定标准支付的加班费或安排倒休。TheEmployeeundertakestousereasonableendeavourstoensurethatheisavailableatsuchtimesoutsidenormalbusinesshoursonreasonablenoticetoprovidesuchadditionalworkastheCompanymayrequire.

员工承诺尽最大努力、确保在正常的工作时间之外,经公司合理提前通知后可以履行公司要求的加班职责.However,notwithstandingtheforegoing,theEmployeemay,onvoluntarybasis,workoutsidethesenormalhoursonSaturday,Sundayorholidayaswellasworkonnightshiftwithoutadditionremunerationinordertomeettherequirementsforbusinessandfortheproperperformanceofhisduties。

尽管有前述约定,但员工可以在正常的工作时间之外自愿加班,即在周末、假期以及夜间轮班工作,以符合业务需要或完成个人业绩.公司不为自愿加班支付薪酬。WorkingLocation工作地点TheEmployee'splaceofworkwillinitiallybemacrobuttonnomacro[Fillinplease]。员工的工作地点在macrobuttonnomacro[请输入工作地点].PaidLeaveentitlement带薪休假TheEmployeeisentitledtodaysoffonChinesePublicHolidaysasstipulatedintheRegulationonPublicHolidaysforNationalAnnualFestivalsandMemorialDayswhichtakesintoeffecton1stJan.2008。

员工有权按照2008年1月1日生效的《全国年节及纪念日放假办法》享受法定假日休假权利。TheEmployeeisentitledtopaidleaveperannuminaccordancewiththeRegulationsofPaidAnnualLeaveofEmployeeswhichtakesintoeffecton1stJan。2008andotherrelevantregulations。SuchleaveistobetakenatsuchtimesastheCompanyconsidersmostconvenienthavingregardtotherequirementoftheCompany'sbusiness。Notwithstandingtheforegoing,it’sacknowledgedandagreedbybothPartiesthatthepaidleaveoftheEmployeeunderthisAgreementis5daysperyear。

员工有权按照2008年1月1日生效的《职工带薪年休假条例》及相关法规的规定享受带薪年假。年假应由公司根据其业务需求,在方便、可行的时间安排进行.尽管有前述约定,双方一致知悉并同意,就员工在本合同有效期内的带薪年假可按照与公司另行达成的书面协议加以确定(该等带薪年假天数不应低于法律规定的最低天数).Forpaidleave,thepaymentshallbebasedontheEmployee’scurrentbasicrateofsalary.Leaveentitlementforthefirstandlastcalendaryearmaybetakenonaproratabasisdependingonthenumberofdaysworked。

带薪年假期间的报酬应按照员工当前的基本工资标准支付.在员工入职及离职的当年度可享受的带薪年假天数应按根据员工当年工作天数、按比例计算得出.TheEmployeeisentitledtoaccumulateuptooneyearofhis/heruntakenleavetothefollowingyear。Otherthanthat,alluntakenleaveshallberegardedasfromtheEmployee’sapplication(s)forpersonalreasonsunlessevidencedbytheCompany’spriorwrittenconfirmation。Furthermore,theEmployeeherebyapplies,andtheCompanyherebyapprovesthat,theEmployeeneedsnottosubmitwrittenletter(s)totheCompanyintermsofaboveapplication(s)。Uponterminationoftheemploymentrelationship,alluntakenleaveshallbepaidbycashinamountoftheproductofEmployee’scurrentbasicsalaryratewiththeduemultiplierorbeoffsetbyarrangementofdefactouse。

员工当年未休之年假仅可以累积至下一年度。除此之外,所有未经公司事先书面确认的未休年假应被认为是由于员工个人原因而申请不予安排。即,对于超出累积年度仍未书面提出休年假,视为员工已事先书面通知公司因个人原因放弃休假而无须再另行提起书面申请。员工离职时,所有未休年假均应依法律规定由公司按照员工当前的工资标准的法定倍数支付现金或实际安排休假予以补足.companyproperty公司财物OnrequestandinanyeventonterminationofEmployee’semploymentforanyreasontheEmployeeisrequiredtoreturntotheCompanyallcompanypropertyincluding,ifapplicable,anycompanycar,companycreditorchargecards,Employee'ssecuritypass,allkeys,computerhardwareandrelatedequipment,Blackberry(orcompanyprovidedcellphone),andsoftwareincludingdiscsandalldocumentsinwhateverform(includingnotesandminutesofmeetings,customerlists,diariesandaddressbooks,computerprintouts,plans,emails,projections)togetherwithallcopies(irrespectiveofbywhomandinwhatcircumstancessuchcopiesweremade)whichareinEmployee'spossession,underEmployee’scontrolorwhichweremadebyEmployee。

劳动合同不论以何种原因终止,员工均应按照公司要求返还所有公司财物,包括但不限于下述(如有):公司汽车、公司信用卡或借记卡、员工通行证、钥匙、电脑硬件、软件(磁盘等)、以及不论以何种形式存储的、由员工占用、占有或由其制作的文件(包括记录、会议纪要、客户名单、日记、地址簿、电脑打印件、计划、邮件、项目书)以及他们的副本、复印件(不论副本、复印件是何人所制,所制何用)。IftheEmployeehasanyinformationrelatingtotheCompanyoranyAssociatedCompanyorworktheEmployeehascarriedoutfortheCompanyoranyAssociatedCompanywhichisstoredonacomputerorlaptopcomputerwhichcomputerorlaptopdoesnotbelongtotheCompany,thismustbedisclosedtotheCompanyandtheCompanyshallbeentitledtodownloadtheinformationand/orsuperviseitsdeletionfromthecomputerorlaptopconcerned。

如果员工在非公司所有的台式电脑、手提电脑中存储了与公司、公司关联方、或工作相关的信息,员工必须向公司披露该情形。公司有权下载该信息或监督员工从台式电脑、手提电脑中将该等信息删除。AfterthereturnofpropertytotheCompanypursuanttothisClause,theEmployeeshallnotretainanycopiesofmaterialsorinformation(includinghardandsoftcopiesthereof)relatingtothebusinessoraffairsofanyAssociatedCompany。TheEmployeeshallattherequestoftheCompanydelivertotheVicePresidentofHumanResourcesorhis/herdesigneeasignedstatementconfirminghis/hercompliancewiththeprovisionsofthisClause。

员工根据本条规定归还公司财物之后,不应再留有与公司或公司关联方业务有关的材料或信息的副本、复印件(包括硬件和软件存储).员工应按照公司的要求,向公司人力资源副总载或其指定人员递交书面声明确认已经达到本条款的要求。RepresentationandWarrantyofTheEmployee员工陈述与保证TheEmployeerepresentsandwarrantstotheCompanythattheperformanceofEmployee’sdutiespursuanttotheEmployee'sengagementwillnotviolateanyagreementswithortradesecretsofanyotherpersonorentity。

员工向公司保证其履行本劳动合同项下的工作职责不会与其他个人或机构的协议发生冲突、亦不会泄露其他方商业秘密.TheEmployeefurtherwarrantsthatanynoticeperiodtheEmployeeisrequiredtogiveortoservewithapreviousemployerhasexpiredandthatbyenteringintothisAgreementorperforminganyofEmployee’sdutiesfortheCompany,theEmployeedoesnotviolateandwillnotviolateanycontractoragreementtowhichtheEmployeeisapartyanddoesnotorwillnotresultinabreachbytheEmployeeofanycovenantofnon-disclosureornon—competitionoranyothercovenantoragreementsowedbytheEmployeetoanypersonorentityotherthantheCompany.TheEmployeeshallindemnifyandholdtheCompanyharmlessfromanyandallclaims,suitsorcausesofactionarisingfromanycontract,agreementorcovenantdescribedhereintowhichtheEmployeeisaparty。

员工进一步保证其与前任雇主的雇佣关系已经结束且不在任何通知期内.员工签署本协议,以及在本公司履行工作职责目前和将来都不会违反其本人涉及的合同或协议,不会因此违反其向非本公司的个人或实体所作的承诺,如披露禁止、竞业禁止或其它合约之承诺.员工应保证公司不受上述合同、协议或合约的索赔要求和起诉,若发生此类索赔要求和起诉,员工应进行赔偿.

TheEmployeefurtherrepresentsandwarrantstotheCompanythatallthepre—employmentpersonalinformationhe/shesubmittedtotheCompany,includingwithoutlimitationto,educationbackground,employmenthistory,creditrecordandnon—criminalrecordcertificationassetforthonhis/herCVorjobapplicationdocumentistrueandaccurate。TheEmployeefurtherauthorizestheCompanytoconductbackgroundinvestigationand/orreferencechecksbeforethisAgreementbecomeseffectiveandfromtimetotimeduringthevalidtermoftheAgreement。

员工保证,其向公司提交的聘用前的个人资料,包括在其简历或工作申请上记录的学历和工作经历信息、或其他背景、信用、无犯罪记录证明等都是真实的,并同意公司有权在本合同生效前以及本合同有效期内不时进行背景调查。ExclusiveEmployment全职工作WhileemployedbytheCompany,theEmployeeshalldevotethewholeofhis/hertime,attentionandabilityasisappropriatetothediligentdischargeofEmployee’sduties(includingifnecessary,workingovertime)andasshallbeinaccordancewiththepoliciesoftheCompany.Forthisreason,theEmployeeisnotpermittedtoundertakeanyadditionalworkwhetherprivateorpublic,paidorunpaid,directlyorindirectly.

根据公司规章制度以及勤勉履行职责所需,员工在任职期间,应付出全部的时间、注意力和能力,如有需要还应加班工作。因此,公司不允许员工有任何兼职工作行为,无论该等工作行为是私下的还是公开的、计酬的还是免费的、直接的还是间接的.Confidentiality保密条款TheEmployeeshallnotduringorafterhis/heremploymentdiscloseconfidentialinformationbelongingtotheCompany.TheEmployeehasapersonalresponsibilitytoprotectandmaintainconfidentialityofboththeCompany'sandclients’information。TheEmployeemustnot,exceptasauthorisedorrequiredbylawortheEmployee’sduties,revealanyconfidentialinformationrelatingtotheCompany,itssubsidiaries,itsparentorassociates。ThisobligationwillcontinueaftertheterminationoftheEmployee'semploymentunlessanduntilanysuchinformationcomesintothepublicdomainotherthanthroughanybreachofthisprovisionbytheEmployee。

员工不得披露属于公司的保密信息,无论是在受雇期间还是终止雇佣之后。员工对保护和维护公司和客户信息的保密性负有个人义务。员工不得不透露任何有关的公司,其附属公司,其母公司或联营公司的保密信息,除非得到授权或法律或员工的职责要求。员工雇佣终止之后,仍然负有该义务,直至任何此类信息进入公有领域,并且不是由于员工违反本条规定而造成的.NoinformationmaybegiventotheLocal,NationalorArchitecturalPress,unlessalldetailshavepreviouslybeenagreedbytheCompanyinwriting.AlltelephoneenquiriesfromthePressshouldbereferredtothelinemanager,aPartner,Director,AssociateDirector,AssociateortheMarketingManagerfromtheCompany;ortotheclientifthetopicistheclient。

除非得到公司事先书面同意,员工不得向任何地方、国家或建筑类的新闻界披露任何信息。所有记者的电话询问,应提交公司的直接上级经理、合伙人、董事,副董事,负责人或营销经理,虽然有上述规定,但是如果该等问题是指向客户端的则应交由客户端的相关人员处理。ToprotecttheconfidentialityofthisinformationtheEmployeeagrees:为了保护保密信息,员工同意:todelivertotheCompany,beforetheendoftheEmployee’semployment,orifthatemploymentendswithoutnoticeimmediatelyafteritsend,ALLdocumentsandrecordsbelongingtotheCompanywhichareintheEmployee’spossession,includingalldocumentsandrecordsmadebytheEmployeeinthecourseoftheEmployee’semploymentandrelatingtotheaffairsoftheCompany,includingcomputerlists,disksorprograms,diaries,clientrecords,cards,telephonelists,pricinglistsandtechnicaldataandallothertangibleitemsintheEmployee’spossessionorcontrolbelongingtoorcontaininganyconfidentialinformationoftheCompany;and

在员工雇佣终止前,如果雇佣在无需通知时终止,在雇佣结束时立即向本公司归还员工持有的在雇佣期间产生的及与公司相关的所有属于公司文档、记录,包括员工所拥有或控制的属于或含有任何本公司的保密信息的计算机列表,磁盘或方案,日记,客户记录,卡片,电话清单,价格表和技术数据和所有其他有形物品,和notatanytimetomakeanycopy,abstract,summaryorthewholeoranypartofanydocument,computerprogramorrecordbelongingtotheCompany,exceptwhenspecificallyauthorisedbyaPartnerorrequiredtodosointhecourseoftheEmployee’semployment,inwhicheventthedisk,program,copy,abstract,summaryshallbelongtotheCompanyandshalllikewisebedeliveredupimmediatelyuponterminationoftheEmployee'semployment。

不得在任何时间,制作任何属于公司的任何文件、计算机程序或者记录的任何副本的,摘录的,摘要或全文或任何部分,除非经过合伙人特别授权或在雇佣过程中被要求这么做,在此情况下,任何磁盘,程序,复制,摘录,摘要应属于公司,并应终止雇佣后应立即被交回.

TheEmployeeagreestorefrainfromengaginginanycompetitionduringthetermofemployment.TheEmployeeshallrefrainfromestablishingortakingoverorparticipatingin,directlyorindirectly,acompetingenterprise。Furthermore,theEmployeeshallrefrainfromanycontractorsupportforacompetingenterprise。WithinthescopeofthebusinessoftheCompany,theEmployeeshallrefrainfromengaginginanybusinessforhis/herownorotherperson’saccount。

员工同意在其任职期间不与公司进行任何形式的竞争。员工承诺不直接或间接地参与竞争对手公司的设立、接管、不直接或间接参与竞争对手企业.员工进一步承诺:不接触、不支持竞争对手企业。员工不得为自己或他人从事与公司有竞争的业务。Non—solicitationOfNominumemployees不劝诱员工TheEmployeeherebycovenantsandagreesthat,foraperiodofone(1)yearfollowingtheterminationorexpirationofthisAgreement,heshallnot,directlyorindirectly,solicitforemployment,orotherwiseenticethedepartureofanyemployeeworkingfortheCompany。

员工同意在劳动合同终止后的一年内不得以直接或间接的方式劝诱或怂恿公司其他员工从公司离职。NoBribery禁止行贿TheEmployeemaynot,withoutpriorwrittenconsentoftheCompany,giveoracceptanyfavoursofwhateverkind(includingwithoutlimitation,gifts,cash,loan,entertainmentandadvantage)toorfromanyactualorpotentialcustomersorsuppliersorregulatory/government/otheragencies。

未经公司书面同意,员工不得向现有或潜在客户、供应商或管理/政府/其它机构提供任何形式的好处(包括但不限于,礼品、现金、借款、娱乐和有利条件),也不得从现有或潜在客户、供应商或管理/政府/其它机构获得任何形式的好处.IntellectualProperty知识产权TheEmployeewillpromptlydisclosetotheCompanyandkeepconfidentialalldiscoveries,inventions,processes,improvementstoanexistinginventionorprocess,systems,formulas,programs,copyrightworks,designsortechnicalknowhowconceivedormadebytheEmployeealoneorwithothersinthecourseoftheEmployee’semployment。TheEmployeewillholdallsuchintellectualpropertyintrustfortheCompanyandwilldoeverythingnecessaryordesirableatourexpensetovesttheintellectualpropertyfullyintheCompanyand/ortosecureanyappropriateformsofprotectionfortheintellectualproperty.DecisionsastotheprotectionorexploitationofanyintellectualpropertyshallbeintheabsolutediscretionoftheCompany。员工应及时向公司披露其在履行雇佣职责中形成或制作的,无论是单独形成的还是在雇佣过程中随附形成的所有发现,发明,工艺,改进现有的发明或者过程,系统,配方,程式,版权作品,设计或技术,并且对该等信息进行保密。员工受公司的信托持有该等信息,并尽一切必要的或适宜的措施以使公司成为该等知识产权的所有人,及/或为该等知识产权提供任何适当形式的保护,费用由公司承担.公司有绝对的自主权决定任何知识产权的保护或开发。TheEmployeemusttoconfidentialitywhatduringworkingaccesstointellectualpropertyandconfidentialinformationrelated,,withouttheCompanyand/orthecustomer’swrittenpermission,otherwiseemployeesshallnotdisclosetoanythirdpartyintellectualpropertyrightsandconfidentialityofsuchinformation.员工应就其在工作过程中接触到的客户端相关的知识产权及保密信息进行保密,未经公司及/或客户的书面许可,员工不得向任何第三方透露该等知识产权及保密信息。

LaboUrDiscipline劳动纪律TheEmployeeshallstrictlycomplywiththePRClawsandregulations.

员工应严格遵守中国法律法规.TheEmployeehasreadthroughandclearlyunderstandsalltherules,policies,codeofconductguidelinesandsafetyoperationregulations(hereinaftercollectivelyas“CompanyRules”)formulatedbytheCompanyasatthedateofthisAgreementbeforehis/hercommencement;heacknowledgesthatthePoliciesareenactedfollowingCompanydemocraticproceduresandhasnoobjectiontowardabovePolicies。

员工在劳动合同生效之日,正式就职之前就已通读并清楚了解公司制定的所有规则、政策、行为准则以及安全生产规定(以下统称“公司规章”).员工认可该政策系经公司民主程序产生且对其没有异议。TheEmployeeshallstrictlyadheretothePoliciesthatareissuedorupdatedfromtimetotime,andshallberequiredtosigntheCompany’sformalundertakingstoabidebysuchCompanyRules.IftheEmployeemateriallyandseverelyviolatessuchCompanyRules,theCompanyshallbeentitledtosuspendorimmediatelyterminatethisAgreementwithoutanyseverancepayment.

员工应严格遵守公司随时发布或更新的公司规章,并应按公司要求签署正式承诺书以便遵守.如果员工严重违反上述公司规章,公司有权中止或终止劳动合同,并且不给予任何经济补偿。TheEmployeeshallfullyobeythelabourdisciplineandworkarrangement.ProvidedthattheEmployeefailstomeettheaboverequirementandleadstolabourinjuryand/orlabouraccidenttohim,theCompanymayreservetherightnottocompensate;ifthefailureofperformanceleadstodamagetootherparties,theEmployeeshallundertakeallcorrespondinglegalliabilitiesinaccordancewithlawsandregulations。

员工应当服从公司的劳动纪律与工作安排。如果因为未能遵守工作指令而致发生工伤及劳动事故的,公司有权不予赔偿;如因此给其他方造成损害的,员工个人应依法承担赔偿责任.LaboUrProtectionandWorkingConditions劳动保护和工作条件TheCompanyshallabidebytherelevantlawsandregulations,andprovidetheEmployeewithaproperworkenvironment,andtakeprotectivemeasurestopreventoccupationalhazardssoastosecuretheEmployee’ssafetyandhealthintheworkplace.

公司应遵守相关法律和法规,为员工提供适当的工作环境,采取保护措施防止职业危害,以保证员工在工作场所的安全和健康.TheCompanyshallprovidetheEmployeewithnecessarylabourprotectionequipmentaccordingtotheactualrequirementsofEmployee’spositionandrelevantPRClaw。

公司应根据员工岗位的实际需要和相关国家法律,提供员工必要的劳动保护设施。PursuanttoPRClaw,theCompanyshallprovidespeciallabourprotectionforemployeesemployedinpositionsexposedtooccupationalhazards,andtofemaleemployees.

根据中国法律,公司应为处在有职业危害的岗位的职工和妇女职工提供特殊劳动保护。TheCompanyisresponsibleforprovidingtheEmployeewitheducationandtrainingonprofessionalethics,vocationaltechniques,andrulesandregulationsonworksafetyandoccupationalhygiene.

公司有义务向员工提供有关职业道德、职业技术、有关工作安全和职业卫生的规章法规的教育和培训。BasedontheactualphysicalrequirementsofthepositionoftheEmployee,theCompanymayannuallyarrangearegularphysicalexaminationfortheEmployee。

根据员工岗位对身体健康的实际要求,公司可每年安排员工定期检查身体。Termination合同终止TheCompanymayterminatethisAgreementwithoutpriornoticeunderanyofthefollowingcircumstanceswhentheEmployee,(i)isfoundguiltyonacriminalliabilitysuit;(ii)commitsaseriousmalpracticeornegligencewhichresultsinasignificanteconomiclossoftheCompany。

公司下列情况下无需提前通知员工即可与员工终止劳动合同:(1)员工被判决承担刑事责任;(2)员工有重大过失或失职行为,营私舞弊、使公司蒙受显著经济利益损失.TheCompanymayterminatethisAgreementaftergivingathirty(30)daypriorwrittennoticeorbypayingonemonthsalaryinlieuofnoticeunderanyofthefollowingcircumstanceswhen:

在下列情况下,公司有权经提前30天通知、或无需提前30日而支付一个月工资取代提前通知期,通知员工解除本协议。

(i)duetoillnessornon-work-relatedinjuries,theEmployeeisunabletoperformhis/heroriginalworkorisunabletoperformalternativedutiesasarrangedbytheCompany,whenthemedicaltreatmentperiodends;

由于疾病或非因工受伤,医疗期结束后,员工仍无法继续履行本职工作也无法履行公司调岗后的工作.

(ii)theEmployeeisunabletoperformhis/herdutiestoanacceptablestandard,evenaftertraininghasbeenprovidedoradjustmentshavebeenmadetohis/herposition;

员工无法胜任本职工作,在接受培训和岗位调整后仍无法胜任的。

(iii)aforcemajeureeventoccursandthepartiesareunabletonegotiateandagreeuponanyamendmentstothisAgreementinordertoallowitsperformance。

由于不可抗力致使双方无法协商同意对履行合同进行修改。IftheEmployeewishestoterminatethisAgreement,he/sheshallgiveathirty(30)daypriorwrittennotice.TheEmployeeagreesthattheCompanyshallbeentitled,atitssolediscretion,towaivethereferencedtheEmployeeNoticePeriodandtoacceptandtreattheEmployee'snoticeofterminationasanimmediateterminationoftheAgreementbytheEmployee;providedthatifsuchwaiveroccurs,theEmployeeshallbeentitledtoreceivehis/herSalaryfortheEmployeeNoticePeriod.

员工可提前30天通知公司终止本合同。员工同意公司有权决定放弃员工通知期,在接受员工终止合同通知时,视为合同立即终止。该情形下,员工有权获通知期内应得的工资。UpontheterminationorexpirationofthisAgreement,theEmployeeshall,withinfive(5)workingdays,completetheproceduresrequiredforhis/herdeparturefromtheCompanyasrequiredbytheCompany,includingwithoutlimitation,totransferhis/herworkandreturnanyCompany’spropertyinhis/herpossessionorcontrol.

当合同终止或到期时,员工应按公司要求、在5个工作日内完成离职手续,包括但不限于归还公司物品,交接工作等。Notwithstandingtheaforesaid,oncenoticeofterminationhasbeengivenbyeithertheEmployeeortheCompany,theCompanymay,atitssolediscretion,choosetosuspendtheEmployeefromtheperformanceofhis/herdutiesand/orexcludehim/herfromanypremisesoftheCompanyortheAssociatedCompany.Remunerationandotheragreedbenefitsshallcontinuetobepaidorprovidedinaccord
