1.GrantofExclusiveAgencyRight

ThePrincipalherebygrantstheAgenttheexclusiverighttodistributetheProductintheTerritoryduringthetermofthisContract.

2.ObligationsofthePrincipal

2.1ThePrincipalshallprovidetheAgentwiththenecessarytechnicalsupport,marketingmaterials,andtrainingtoenabletheAgenttoeffectivelydistributetheProduct.

2.2ThePrincipalshallensurethequalityandsafetyoftheProductsuppliedtotheAgent.

2.3ThePrincipalshallnotdistributetheProductintheTerritoryduringthetermofthisContract,exceptwiththepriorwrittenconsentoftheAgent.

3.ObligationsoftheAgent

3.1TheAgentshalluseitsbesteffortstopromoteanddistributetheProductintheTerritory,inaccordancewiththetermsandconditionssetforthinthisContract.

3.2TheAgentshallmaintainaccuraterecordsofsalesanddistributionactivitiesrelatedtotheProduct.

3.3TheAgentshallnotselltheProductatapricelowerthantheMinimumSellingPricesetforthinthisContract.

4.TermandTermination

4.1ThisContractshallcommenceontheEffectiveDateandshallremainineffectforaperiodof[NumberofYears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

4.2EitherpartymayterminatethisContractbygivingtheotherparty[NumberofDays]days'writtennoticeoftermination.

5.Compensation

6.IntellectualPropertyRights

6.1ThePrincipalretainsallrights,title,andinterestinandtotheProduct,includingbutnotlimitedtoanyintellectualpropertyrights.

6.2TheAgentshallnotuseanytrademarks,logos,orotherintellectualpropertyrightsofthePrincipalwithoutthepriorwrittenconsentofthePrincipal.

7.Confidentiality

7.1ThePrincipalandtheAgentagreetomaintaintheconfidentialityofanyconfidentialinformationdisclosedtothembytheotherpartyduringthetermofthisContract.

8.GoverningLawandDisputeResolution

8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableJurisdiction].

8.2AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedto[ApplicableArbitrationBody]forarbitration.

5.Compensation

7.LimitationsandRestrictionsontheAgent

7.1TheAgentshallnotselltheProducttoanycompetitorsortoanyentitiesthatmaybedeemedtobeinconflictwiththeinterestsofthePrincipalortheThirdParty.

7.2TheAgentshallnotdiscloseanyconfidentialinformationofthePrincipalortheThirdPartytoanythirdpartieswithoutthepriorwrittenconsentofthePrincipalandtheThirdParty.

8.TerminationandConsequences

8.1EitherpartymayterminatethisContractbygivingtheotherparty[NumberofDays]days'writtennoticeoftermination.

8.2Intheeventoftermination,theAgentshallreturnallmarketingmaterials,technicalinformation,andotherconfidentialinformationprovidedbythePrincipalandtheThirdParty.

9.GoverningLawandDisputeResolution
