项目申报合作协议英文

ThisAgreement(hereinafterreferredtoas“Agreement”)isenteredintoon[Date]between[CompanyAName],acompanyincorporatedandregisteredin[Country],withitsregisteredofficeat[Address],(hereinafterreferredtoas“CompanyA”)and[CompanyBName],acompanyincorporatedandregisteredin[Country],withitsregisteredofficeat[Address],(hereinafterreferredtoas“CompanyB”)(collectivelyreferredtoasthe“Parties”).

WHEREAS,CompanyAhasextensiveexperiencein[ProjectType]andisinterestedincollaboratingwithCompanyBon[ProjectName](hereinafterreferredtoasthe“Project”);

WHEREAS,CompanyBhasastrongtrackrecordin[ProjectType]andhasexpresseditsinterestinworkingwithCompanyAontheProject;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

1.ScopeofCollaboration

CompanyAandCompanyBherebyagreetocollaborateontheProjectinaccordancewiththetermsandconditionssetforthinthisAgreement.Thescopeofcollaborationincludes,butisnotlimitedto,thefollowingactivities:

a.Preparationoftheprojectproposal;

b.Coordinationofprojectdocumentationandsubmissiontorelevantauthorities;

c.Collaborationonprojectimplementationandmonitoring;

d.RegularupdatesandcommunicationbetweenthePartiesregardingtheProject'sprogress;

2.RolesandResponsibilities

a.CompanyAshallberesponsiblefor:

i.Leadingthepreparationoftheprojectproposal;

ii.ProvidingtechnicalexpertiseandresourcesnecessaryforthesuccessfulexecutionoftheProject;

iii.Assistinginthecoordinationofprojectdocumentationandsubmissiontorelevantauthorities;

iv.Participatinginprojectimplementationandmonitoringactivities;

v.ProvidingupdatesontheProject'sprogresstoCompanyB.

b.CompanyBshallberesponsiblefor:

i.ProvidingstrategicguidanceandoversightfortheProject;

ii.Assistinginthepreparationoftheprojectproposal;

iii.CoordinatingwithCompanyAtoensurethetimelycompletionofprojectdocumentation;

iv.ProvidingtechnicalexpertiseandresourcesnecessaryforthesuccessfulexecutionoftheProject;

v.Participatinginprojectimplementationandmonitoringactivities;

vi.ProvidingupdatesontheProject'sprogresstoCompanyA.

3.IntellectualPropertyRights

a.Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,tradesecrets,andknowhow,developedinconnectionwiththeProjectshallbejointlyownedbytheParties.

b.EachPartyretainstherighttouseitsownintellectualpropertyinconnectionwiththeProject,providedsuchusedoesnotinfringeontherightsoftheotherParty.

c.AnyintellectualpropertydevelopedbyeitherPartyinthecourseofitsnormalbusinessoperationsshallremainthepropertyofthatParty.

4.Confidentiality

ThePartiesagreetomaintaintheconfidentialityofallinformationdisclosedtotheminconnectionwiththeProject.SuchconfidentialinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.

5.TermandTermination

a.ThisAgreementshallcommenceon[StartDate]andshallremainineffectforaperiodof[Duration],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

b.EitherPartymayterminatethisAgreementupon[NoticePeriod]priorwrittennoticetotheotherParty,intheeventofabreachofthisAgreementbytheotherPartythatisnotcuredwithin[CurePeriod].

c.UponterminationofthisAgreement,thePartiesshallpromptlyreturnallconfidentialinformationandpropertyoftheotherPartytotheotherParty.

6.DisputeResolution

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thePartiesagreetonegotiateingoodfaithtoresolvethedispute.Ifthedisputecannotberesolvedthroughnegotiation,itshallbereferredtoarbitrationin[City],inaccordancewiththerulesof[ArbitrationInstitution].

7.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.

INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasofthedatefirstabovewritten.
