Article4:PriceandPayment

Article5:WarrantiesandLiability

5.2Intheeventofanydefectsornon-conformityoftheProducts,PartyAshall,atitssolediscretion,eitherreplacethedefectiveProductsorrefundthepurchasepricetoPartyB.

Article6:IntellectualPropertyRights

6.1PartyAretainsallintellectualpropertyrightsassociatedwiththeProducts,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.

6.2PartyBshallnotuse,copy,ormodifytheProductsoranypartthereofwithoutthepriorwrittenconsentofPartyA.

Article7:GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.2PartyBhastherighttorequestareplacementorrefundiftheProductsarefoundtobedefectiveornon-compliant.

9.2PartyCshallnotbeliableforanyindirectorconsequentiallossesincurredbyPartyAorPartyBduetothefailureoftheProductstomeettheagreed-uponspecifications.

Article10:GoverningLawandDisputeResolution
