WHEREAS,PartyBisinterestedinacquiringtheexclusiverighttousetheTrademarkinaccordancewiththeprovisionsofthisContract;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementsherein,thepartiesheretoagreeasfollows:

1.GrantingofExclusiveRighttoUse

1.1PartyAherebygrantstoPartyBtheexclusiverighttousetheTrademarkin[Territory/Country],withinthescopeof[Goods/Services]specifiedintherelevantclass(es)oftheTrademarkRegister.

1.2TheexclusiverighttousetheTrademarkshallbevalidfor[DurationofExclusiveRight]yearsfromthedateofthisContract,unlessotherwiseterminatedoramendedinaccordancewiththeprovisionsofthisContract.

2.Royalties

2.1PartyBshallpaytoPartyAaroyaltyfeeintheamountof[RoyaltyRate]percentofthenetsalesproceedsderivedfromthesaleofgoodsorprovisionofservicesundertheTrademark.

2.2TheroyaltyfeeshallbepaidbyPartyBtoPartyAwithin[PaymentPeriod]aftertheendofeachaccountingperiod,andshallbecalculatedonamonthlybasis.

3.QualityControl

3.1PartyBshallensurethatthegoodsorservicesbearingtheTrademarkmeetthequalitystandardsstipulatedbyPartyA.

3.2PartyAshallhavetherighttoinspectthequalityofgoodsorservicesbearingtheTrademarkatanytimeduringthetermofthisContract.

4.TrademarkProtection

4.1PartyAshallpromptlynotifyPartyBofanyinfringementoftheTrademarkrightsduringthetermofthisContract.

4.2PartyBshallcooperatewithPartyAintheprotectionoftheTrademarkandshalltakenecessarylegalactionsagainstanyinfringementoftheTrademarkrights.

5.Confidentiality

5.1ThepartiesheretoagreetokeepconfidentialanyandallinformationdisclosedbytheotherpartyinconnectionwiththisContract.

5.2Theobligationofconfidentialityshallremainineffectforaperiodof[ConfidentialityPeriod]yearsaftertheterminationorexpirationofthisContract.

6.TerminationandAmending

6.1EitherpartymayterminatethisContractupon[ReasonsforTermination],providedthattheterminatingpartyshallgivetheotherparty[NoticePeriod]priorwrittennotice.

6.2ThisContractmaybeamendedbymutualwrittenagreementofthepartieshereto.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

7.2AnydisputearisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiation.Ifthenegotiationfails,thedisputeshallbesubmittedto[DisputeResolutionInstitution]forarbitrationinaccordancewithitsrules.

WHEREAS,PartyCwishestobecomeanaffiliateofPartyB,anddesirestobenefitfromtheuseoftheTrademarkthroughanagreementwithPartyA;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementsherein,thepartiesheretoagreeasfollows:

1.GrantingofTrademarkLicense

1.1PartyAherebygrantstoPartyB,andthroughPartyBtoPartyC,anon-exclusive,royalty-free,andrevocablelicensetousetheTrademarkin[Territory/Country],withinthescopeof[Goods/Services]specifiedintherelevantclass(es)oftheTrademarkRegister.

1.2Thelicenseshallbevalidfor[DurationofLicense]yearsfromthedateofthisAgreement,subjecttoterminationoramendmentasprovidedherein.

2.RightsandObligationsofPartyA

2.1PartyAretainsallrightstotheTrademark,including,butnotlimitedto,therighttocontrolthequalityofgoodsorservicessoldundertheTrademark.

2.2PartyAshallprovidePartyBandPartyCwithtechnicalsupportandmarketingassistancetoensurethesuccessfulimplementationoftheTrademarkusage.

2.3PartyAreservestherighttoauditthesalesrecordsofPartyBandPartyCtoverifycompliancewiththetermsofthisAgreement.

3.RightsandObligationsofPartyB

3.1PartyBshallusetheTrademarkingoodfaithandinaccordancewiththequalitystandardssetbyPartyA.

3.2PartyBshallprovidePartyAwithquarterlysalesreportsdetailingtheusageoftheTrademarkandshallensurethatallsalesofgoodsorservicesbearingtheTrademarkareconductedincompliancewithapplicablelawsandregulations.

4.RightsandObligationsofPartyC

4.1PartyCshallbeentitledtousetheTrademarkinconjunctionwithitsproductsorservices,subjecttothetermsofthisAgreement.

4.2PartyCshallensurethatitsuseoftheTrademarkdoesnotharmthereputationofPartyAortheTrademark.

4.3PartyCshallnottransferitsrightsunderthisAgreementtoanythirdpartywithoutthepriorwrittenconsentofPartyA.

5.FinancialProvisions

5.1PartyBshallpaytoPartyAaroyaltyfeeequalto[RoyaltyRate]percentofthenetsalesproceedsderivedfromthesaleofgoodsorprovisionofservicesundertheTrademark.

5.2PartyCshallnotberesponsibleforthepaymentofanyroyaltiesorotherfeestoPartyAbutshallbeboundbytheobligationsofPartyBunderthisAgreement.

6.LimitationsandRestrictions

6.1PartyBshallnotusetheTrademarkinamannerthatcouldbedetrimentaltothereputationofPartyAortheTrademark.

6.2PartyBandPartyCshallnotengageinanyactivitythatcouldleadtotheinfringementoftheTrademarkrightsofPartyAoranythirdparty.

7.TerminationandConsequences

7.1ThisAgreementmaybeterminatedbyPartyAupontheoccurrenceofanymaterialbreachofthisAgreementbyPartyBorPartyC.

7.2Upontermination,PartyBandPartyCshallimmediatelyceaseusingtheTrademarkandshallnotmakeanyreferencetotheTrademarkinanyadvertisingorpromotionalmaterials.

8.GoverningLawandDisputeResolution

8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

8.2AnydisputesarisingfromorinconnectionwiththisAgreementshallberesolvedthroughnegotiationsbetweentheparties.Ifthepartiesfailtoresolvethedisputeamicably,itshallbesubmittedto[DisputeResolutionInstitution]forarbitrationinaccordancewithitsrules.

3.RightsandObligationsofPartyC

3.1PartyCshallhavetherighttodistributeproductsbearingtheTrademark,subjecttothetermsofthisAgreementandanyadditionaltermsagreeduponwithPartyB.

3.2PartyCshallbeentitledtoreceiveashareoftheprofitsgeneratedfromthedistributionofproductsbearingtheTrademark,asagreedbetweenPartyCandPartyB.

3.3PartyCshallhavetherighttouseitsownbrandingandmarketingmaterialsinconjunctionwiththeTrademark,subjecttotheguidelinesprovidedbyPartyA.

4.FinancialProvisions

4.1PartyBshallpaytoPartyAaroyaltyfeeequalto[RoyaltyRate]percentofthenetsalesproceedsderivedfromthesaleofgoodsorprovisionofservicesundertheTrademark.

4.2PartyCshallnotberesponsibleforthepaymentofanyroyaltiestoPartyAbutshallbeboundbytheobligationsofPartyBunderthisAgreement.

5.LimitationsandRestrictionsonPartyA

5.1PartyAshallnotunreasonablywithholditsconsenttoanysublicensingagreementsenteredintobyPartyBwithPartyC.

55.2PartyAshallprovidePartyBandPartyCwithreasonablesupportandassistancetoensurethesuccessfulimplementationoftheTrademarkusage.

5.3PartyAshallnotcompetewithPartyBorPartyCinthemarketforthegoodsorservicesbearingtheTrademark.

6.TerminationandConsequences

6.1ThisAgreementmaybeterminatedbyPartyAupontheoccurrenceofanymaterialbreachof
