2.PRICEANDPAYMENT:

3.DELIVERY:

4.WARRANTIES:

4.1PartyBwarrantsthattheGoodsandServicesshallbefreefromanyliens,encumbrances,andshallbeownedbyPartyB;

4.2PartyBwarrantsthattheGoodsandServicesshallcomplywithallapplicablelaws,regulations,andstandards.

5.LIABILITYANDINDEMNITY:

5.1PartyBshallindemnify,defend,andholdharmlessPartyAfromandagainstanyandallclaims,actions,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeGoodsandServices,includingbutnotlimitedtoanybreachofwarranty,infringementofintellectualpropertyrights,oranyotherwrongfulactoromissionbyPartyB;

5.2PartyAshallindemnify,defend,andholdharmlessPartyBfromandagainstanyandallclaims,actions,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyA'suseormisuseoftheGoodsandServices.

6.TERMANDTERMINATION:

6.1ThisContractshallbeeffectivefromthedateofitsexecutionandshallcontinueinfullforceandeffectforaperiodof[NumberofYears]yearsfromthedateofexecution,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract;

6.2EitherPartymayterminatethisContractbyprovidingwrittennoticetotheotherPartyatleast[NumberofDays]dayspriortotheeffectivedateoftermination.

7.GENERALPROVISIONS:
