**7.GoverningLawandDisputeResolution**

**10.LimitationsandRestrictionsofThirdParty**

10.1ThirdPartyshallnot:

a.DiscloseanyconfidentialinformationofPartyAtoanythirdpartywithoutthepriorwrittenconsentofPartyA;

b.EngageinanyactivitiesthatmayharmthereputationorinterestsofPartyA.

**11.BreachofContractandTermination**

11.1IntheeventofabreachofanytermorconditionofthisContractbyPartyBorThirdParty,PartyAshallhavetherighttoterminatethisContractimmediatelyuponwrittennoticetosuchParty.

**12.GoverningLawandDisputeResolution**
