WHEREAS,theManufacturerisengagedinthebusinessofmanufacturingGoodsandtheDistributorisengagedinthebusinessofdistributingandsellingGoods;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thePartiesagreeasfollows:

1.ScopeofAgreement

1.1TheManufactureragreestomanufactureandsupplytheGoodstotheDistributorinaccordancewiththespecifications,quantities,anddeliveryschedulessetforthinExhibitAattachedhereto(the“ProductSpecifications”).

1.2TheDistributoragreestopurchaseandselltheGoodsinaccordancewiththetermsandconditionssetforthinthisAgreement.

2.ProductSpecifications

2.1TheProductSpecificationsshallbesubjecttothetermsandconditionssetforthinExhibitAattachedhereto.

2.2TheManufacturershallcomplywithallapplicablelaws,regulations,andstandardsinthemanufacturingandsupplyoftheGoods.

3.PricesandPayment

3.1ThepricefortheGoodsshallbeassetforthinExhibitBattachedhereto(the“PriceList”).

3.2PaymentfortheGoodsshallbemadebytheDistributortotheManufacturerinaccordancewiththepaymenttermssetforthinExhibitCattachedhereto.

4.QualityandWarranties

4.1TheManufacturerwarrantsthattheGoodsshallconformtotheProductSpecificationsandshallbefreefromdefectsinmaterialandworkmanshipforaperiodof[insertduration]fromthedateofshipment.

4.2TheManufacturershall,atitsownexpense,replaceorrepairanydefectiveGoodsreturnedtoitwithinthewarrantyperiod.

5.IntellectualProperty

5.1TheManufacturerretainsallright,title,andinterestinandtotheintellectualpropertyrightsassociatedwiththeGoods,includingbutnotlimitedtopatents,trademarks,andcopyrights.

5.2TheDistributoragreesnottocontestorchallengethevalidityoftheManufacturer'sintellectualpropertyrights.

6.TermandTermination

6.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueineffectforaperiodof[insertduration]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

6.2EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyintheeventofabreachofanymaterialtermorconditionofthisAgreement.

7.Confidentiality

7.1ThePartiesagreetokeepconfidentialallinformationdisclosedbyeitherPartytotheotherinconnectionwiththisAgreement,includingbutnotlimitedtotechnical,business,andfinancialinformation.

8.GoverningLawandDisputeResolution

8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictioninwhichtheManufacturerisincorporated.

8.2AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughnegotiationbetweentheParties.IfthePartiesareunabletoresolvethedisputethroughnegotiation,itshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[insertarbitrationinstitution].

9.EntireAgreement

9.1ThisAgreement,togetherwithitsexhibitsandappendices,constitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

10.AmendmentsandModifications

10.1AnyamendmentormodificationtothisAgreementshallbeinwritingandexecutedbybothParties.
