**ConsultingServicesAgreement**

ThisConsultingServicesAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertClientName]("Client"),a[InsertClient'slegalentitytype]locatedat[InsertClient'saddress],and[InsertConsultantName]("Consultant"),anindividuallocatedat[InsertConsultant'saddress].

**1.Services**

1.1Services.TheConsultantagreestoprovidetheClientwithconsultingservices(the"Services")assetforthintheattachedScheduleA.

1.2Performance.TheConsultantshallperformtheServiceswithreasonablecare,skill,anddiligenceinaccordancewiththestandardsgenerallyrequiredforsimilarservicesperformedbyprofessionalsengagedinsimilarpracticeareas.

**2.Term**

2.1Duration.ThetermofthisAgreement(the"Term")shallcommenceontheEffectiveDateandcontinuefor[InsertDuration],unlessearlierterminatedasprovidedinthisAgreement.

**3.FeesandPaymentTerms**

3.1Fees.InconsiderationfortheServices,theClientshallpaytheConsultantthefeessetforthintheattachedScheduleA(the"Fees").

3.2PaymentTerms.TheClientshallmakepaymentstotheConsultantinaccordancewiththepaymentschedulesetforthintheattachedScheduleA.

**4.Termination**

4.1TerminationforCause.eitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisAgreementandfailstocuresuchbreachwithin[InsertCurePeriod]afterreceiptofwrittennoticefromthenon-breachingParty.

4.2TerminationwithoutCause.eitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyatanytime,foranyornoreason,upon[InsertNoticePeriod]priorwrittennotice.

**5.Confidentiality**

5.1ConfidentialityObligations.EachPartyheretoshallholdinconfidenceandnotdisclosetoanythirdpartyanyConfidentialInformationoftheotherPartythatisdisclosedorally,inwriting,orinanyotherform,exceptasmayberequiredbylaworregulation,andexceptthatsuchobligationsshallnotapplytoinformationthatisorbecomespubliclyknownthroughnoactordefaultofthereceivingParty.

**6.Indemnification**

6.1IndemnificationbyConsultant.TheConsultantshallindemnify,defend,andholdharmlesstheClientfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingattorneys'fees)arisingoutoforinconnectionwithanyclaimordemandassertedagainsttheClientbyanythirdpartyresultingfromthenegligenceorwillfulmisconductoftheConsultant.

6.2IndemnificationbyClient.TheClientshallindemnify,defend,andholdharmlesstheConsultantfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingattorneys'fees)arisingoutoforinconnectionwithanyclaimordemandassertedagainsttheConsultantbyanythirdpartyresultingfromthenegligenceorwillfulmisconductoftheClient.

**7.Miscellaneous**

7.1EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,ofthePartieswithrespecttothesubjectmatterofthisAgreement.

7.2Amendments.ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.

7.3GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[InsertJurisdiction].

7.4DisputeResolution.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution].
