1.Services

1.1CompanyagreestoprovidepublicrelationsservicestoClientasdescribedintheattachedScheduleA(the"Services"),subjecttothetermsandconditionsofthisContract.

1.2CompanyshallperformtheServiceswithreasonableskillandcareinaccordancewithgenerallyacceptedstandardsinthepublicrelationsindustry.

2.Term

ThetermofthisContractshallcommenceontheEffectiveDateandshallcontinueforaperiodof[TermDuration](the"Term"),unlessearlierterminatedinaccordancewiththetermsofthisContract.

3.Payment

3.1ClientshallpayCompanythefeesfortheServicesassetforthintheattachedScheduleB(the"Fees").

3.2CompanyshallbeentitledtoreceiveadditionalpaymentsfromClientasmaybemutuallyagreeduponinwriting.

3.3PaymentoftheFeesandanyadditionalpaymentsshallbemadebyClientwithin[PaymentDuePeriod]afterreceiptofaninvoicethereforfromCompany.

4.Confidentiality

4.1BothpartiesacknowledgeandagreethatduringthecourseofthisContract,eachpartymaydisclosetotheotherpartycertainconfidentialinformation(the"ConfidentialInformation").

4.2EachpartyagreestokeeptheConfidentialInformationsecretandnottodiscloseittoanythirdparty,exceptasmayberequiredbylaworregulation.

5.Indemnification

5.1ClientagreestoindemnifyandholdharmlessCompanyfromanyandallclaims,damages,liabilities,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwiththeperformanceoftheServices,excepttotheextentcausedbythegrossnegligenceorwillfulmisconductofCompany.

6.Termination

6.1eitherpartymayterminatethisContractuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[CurePeriod]afterreceiptofwrittennoticethereoffromtheterminatingparty.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

8.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.
