2024版中英文运输合同文档全文预览TransportationContract甲方（托运人）：_______________________Address:__________________________________LegalRepresentative:_______________________ContactNumber:_____________________________乙方（承运人）：_______________________Address:__________________________________LegalRepresentative:_______________________ContactNumber:____________________________鉴于甲方需要运输货物，乙方同意提供运输服务，根据《中华人民共和国合同法》及相关法律法规的规定，甲乙双方本着平等自愿、协商一致的原则，就货物运输事宜达成如下合同：Article1:SubjectMatterofTransportation1.1Thesubjectmatteroftransportationshallbethegoodsdescribedintheattachedmanifest,whichformsanintegralpartofthiscontract.Article2:PlaceofAcceptanceandDelivery2.1Thegoodsshallbeacceptedbythecarrierat__________anddeliveredtotheconsigneeat__________.Article3:TransportationPeriod3.1Thetransportationperiodshallcommenceon__________andconcludeon__________.Article4:TransportationFees4.1ThetransportationfeesshallbepaidbythePrincipaltotheCarrierasstipulatedinthiscontract,withthetotalamountbeingRMB________.4.2Themethodofpaymentforthetransportationfeesshallbe________(e.g.,lump-sumpayment,installmentpayment,etc.).Article5:RightsandObligationsofthePrincipal5.1ThePrincipalshallhavetherighttosupervisethequalityandprogressofthetransportationservices.5.2ThePrincipalshallpaythetransportationfeesontimeandprovidetheCarrierwithnecessaryinformationanddocumentsrelatedtothegoods.Article6:RightsandObligationsoftheCarrier6.1TheCarriershallhavetherighttoreceivethetransportationfeesasstipulatedinthiscontract.6.2TheCarriershallensurethesafeandtimelytransportationofthegoodsinaccordancewiththetermsofthiscontract.Article7:QualityStandardsandAcceptance7.1ThegoodstransportedbytheCarriershallmeetthequalitystandardsstipulatedbythestate.7.2Thestandardsandmethodsofacceptanceshallbeexecutedaccordingtotheattachedacceptanceprotocol.Article8:LiabilityforBreach8.1IfthePrincipalfailstopaythetransportationfeesontime,theyshallpayapenaltytotheCarrier,whichis__%oftheunpaidamount.8.2IftheCarrierfailstoprovidethetransportationservicesasstipulatedinthecontractoriftheservicesdonotmeetthestipulatedstandards,theCarriershallpayapenaltytothePrincipal,whichis__%ofthetotalcontractamount.Article9:ContractModificationandTermination9.1Oncethiscontractissignedandsealedbybothparties,nopartyshallunilaterallyamendorterminatethecontractwithouttheconsentofbothparties.9.2Bothpartiesmaymodifyorterminatethecontractinwritinguponmutualconsent.Article10:ForceMajeure10.1Ifapartyisunabletoperformthecontractduetoforcemajeure,theaffectedpartyshallpromptlynotifytheotherpartyandprovideproof.10.2Aftertheeliminationoftheforcemajeureevent,bothpartiesshallcontinuetoperformthecontract.Article11:DisputeResolution11.1Anydisputesarisingduringtheperformanceofthiscontractshallfirstberesolvedthroughnegotiation;ifnegotiationfails,mediation,arbitration,orlitigationmaybepursuedaccordingtolaw.Article12:OtherAgreements12.1Mattersnotcoveredbythiscontractshallbedeterminedbyfurthernegotiationbetweenthepartiesandshallserveasasupplementaryagreementtothiscontract.12.2Thiscontractismadeoutintwocopies,withbothpartiesholdingonecopyeach,whichshallhavethesamelegaleffect.(PartyAStamp):_______________________AuthorizedRepresentativeSignature:_______________________Date:____________(PartyBStamp):_______________________AuthorizedRepresentativeSignature:_______________________Date:____________[EndofText]Article13:AnnexesandSupplementaryExplanations13.1Theannexestothiscontractincludebutarenotlimitedtothefollowing:a)Thegoodstransportationmanifest;b)Thetransportationrouteandschedule;c)Theinsurancepolicyforthegoodsintransit.Article14:BreachofContractandDetermination14.1Breachofcontractincludesbutisnotlimitedto:a)ThePrincipal'sfailuretopaytransportationfeesontime;b)TheCarrier'sfailuretotransportthegoodsaccordingtotheagreedscheduleorinaccordancewiththeagreedconditions;c)Anyparty'sdisclosureofconfidentialinformationobtainedduringtheperformanceofthecontract.14.2Thedeterminationofabreachofcontractshallbebasedonthecontracttermsandactualperformance,withthebreachingpartybeingnotifiedinwritingandgivenareasonableperiodtocorrectthebreach.Article15:LegalTermsandDefinitions15.1"Transportation"referstotheprocessofmovinggoodsfromoneplacetoanotherasstipulatedinthiscontract.15.2"Transportationfees"refertotheremunerationpaidbythePrincipaltotheCarrierforthetransportationservices.15.3"Confidentialinformation"referstoallinformationofaprivateorconfidentialnatureobtainedbybothpartiesduringtheperformanceofthecontract.Article16:ProblemsEncounteredDuringExecutionandSolutions16.1IftheCarrierencountersobstaclesthatpreventtimelydelivery,thepartiesshallnegotiateanextensionofthedeliveryperiodoralternativedeliverymethods.16.2IfthePrincipalhasobjectionstotheCarrier'stransportationservices,theCarriershallrespondpromptlyandprovideasolutionwithin__businessdaysofreceivingthenotice.Article17:ApplicableScenarios17.1Thiscontractisapplicableinthefollowingscenarios:a)ThePrincipalrequirestheCarriertotransportgoodsfordomesticorinternationaltrade;b)ThePrincipalrequirestheCarriertotransportgoodsforexh
