款服装代购代销协议合同编号：__________parties：hereinafterreferredtoas"partya"and"partyb".partya:fullname:____________________address:____________________contactperson:____________________telephonenumber:____________________partyb:fullname:____________________address:____________________contactperson:____________________telephonenumber:____________________object:partyaagreestoactasapurchasingagentforpartyb,andpartybagreestoactasasalesagentforpartya'sclothingproducts.bothpartiesagreetocooperateingoodfaithtoachievetheobjectivesofthisagreement.termsofcooperation:1.partyashallprovidepartybwiththelatestproductinformation,includingbutnotlimitedtopictures,prices,specifications,andotherrelevantinformation.partybshallprovidepartyawiththesalessituationoftheproducts,includingbutnotlimitedtoinventory,salesvolume,andcustomerfeedback.3.partyashallprovidepartybwiththenecessarytrainingandsupport,includingbutnotlimitedtoproductknowledge,salestechniques,andaftersalesservice.partybshallactivelyparticipateinthetrainingandsupportprovidedpartya,andusetheknowledgeandskillslearnedtoimprovethesalesperformanceoftheproducts.termsofpayment:1.partybshallpaypartyathepurchasepriceoftheproductswithin30daysafterthedateoftheinvoiceissuedpartya.thepaymentmethodshallbedeterminedbothparties.termsofdelivery:1.partyashalldelivertheproductstothedesignatedplaceofpartybwithinthetimeagreedbothparties.thedeliverytimeshallbecountedfromthedateoftheorderconfirmationissuedpartya.2.partyashallensuretheintegrityandsafetyoftheproductsduringthedeliveryprocess,andassumetheresponsibilityforanylossordamagecausedthefaultofpartya.3.partybshallaccepttheproductsdeliveredpartyainatimelymanner,andshallnotifypartyainwritingofanyissueswiththeproductswithin3daysafterthereceiptoftheproducts.termsoftermination:1.eitherpartymayterminatethisagreementupon30days'writtennoticetotheotherparty.theterminationshalltakeeffectonthedateofreceiptofthenoticetheotherparty.2.eitherpartymayterminatethisagreementimmediatelyiftheotherpartyfailstoperformanymaterialobligationunderthisagreementandfailstocuresuchdefaultwithin30daysafterreceiptofwrittennoticefromtheotherpartyspecifyingthedefault.3.uponterminationofthisagreement,partyashallrefundtopartybanyadvancepaymentsmadepartybforproductsthathavenotyetbeendelivered,andpartybshallreturntopartyaanyremainingproducts.Disputesettlement:anydisputesarisingoutoforinconnectionwiththisagreementshallbesubmittedtothepeople'scourtwithjurisdictionovertheplaceofregistrationofpartyaforarbitration.otherprovisions:1.thisagreementmaybeamendedorsupplementedmutualagreementofthepartiesinwriting.2.thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.3.thisagreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbeanoriginalandallofwhichtogethershallconstituteoneandthesameinstrument.inwitnesswhereof,thepartieshaveexecutedthisagreementasofthedatefirstabovewritten.partya:____________________:________________________________________date:____________________partyb:____________________:________________________________________date:____________________一、附件列表：1.产品信息资料2.销售情况报表3.培训资料和教程4.发票和付款凭证5.订单确认书6.物流单据7.争议解决方案二、违约行为及认定：1.迟延或拒绝支付款项2.未按约定时间交付产品3.产品存在质量和安全隐患4.未遵守相关法律法规5.未履行培训和支持义务6.未按时支付销售佣金7.未经授权使用对方商标或知识产权三、法律名词及解释：1.代购：代理购买商品的行为2.代销：代理销售商品的行为3.合同方：指合同中的各方当事人4.违约：未能履行合同约定的义务5.解除合同：根据合同约定或法律规定，终止合同关系的行为6.仲裁：通过仲裁机构解决合同争议的方式7.适用法律：指合同争议解决时所依据的法律四、执行中遇到的问题及解决办法：1.产品交付迟延：与供应商沟通，协商延期交付或采取其他补救措施2.产品质量问题：及时更换或退款，与供应商沟通解决问题3.销售佣金争议：按合同约定计算佣金，如有争议协商解决或通过仲裁解决4.客户投诉处理：及时
