THISAGREEMENTismadeonthe[Date]between[ClientName],hereinafterreferredtoas"Principal,"and[AgentName],hereinafterreferredtoas"Agent."

WHEREAS,thePrincipaldesirestoengagetheservicesoftheAgenttosolicitandsecurebusinessforthesaleoftheproductsorservicesofthePrincipal,andtheAgentagreestoprovidesuchservicesonthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thepartiesagreeasfollows:

1.AppointmentofAgent:ThePrincipalherebyappointstheAgentasitsnon-exclusiveagentforthepurposeofsolicitingandsecuringordersforthesaleofthePrincipal'sproductsorservicesintheterritoryof[Territory].

2.Agent'sDuties:TheAgentshalluseitsbesteffortstopromotethesaleofthePrincipal'sproductsorservicesandshallperformsuchdutiesasarecustomaryforagentsintheindustry.TheAgentshallnotberequiredtodevoteitsentiretimetothePrincipal'sbusiness.

3.Commission:ThePrincipalagreestopaytheAgentacommissiononthegrosssalespriceoftheproductsorservicessoldbytheAgent,whichcommissionshallbe[CommissionRate]percentofsuchprice.ThecommissionshallbepayableuponthereceiptofpaymentbythePrincipalfromthecustomer.

4.Exclusivity:TheappointmentoftheAgentisnon-exclusive,andthePrincipalreservestherighttoappointotheragentsortosellitsproductsorservicesdirectlywithintheterritory.

5.Term:ThisAgreementshallcommenceonthe[EffectiveDate]andshallcontinueineffectuntilterminatedbyeitherpartyupon[NoticePeriod]days'writtennoticetotheother.

6.Termination:EitherpartymayterminatethisAgreementbygivingwrittennoticetotheotherparty.Upontermination,theAgentshallceaseallactivitiesonbehalfofthePrincipalandshallpromptlyreturnallmaterialsandinformationprovidedbythePrincipal.

7.Confidentiality:TheAgentagreestokeepconfidentialallinformationconcerningthePrincipal'sbusiness,products,orservices,andshallnotdisclosesuchinformationtoanythirdpartywithoutthePrincipal'spriorwrittenconsent.

8.Indemnity:TheAgentshallindemnifyandholdharmlessthePrincipalfromandagainstanyandallclaims,damages,losses,andexpensesarisingoutoftheAgent'sactsoromissionsinconnectionwiththeperformanceofitsdutiesunderthisAgreement.

9.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw].

10.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreements,whetherwrittenororal.

11.Amendments:NoamendmentormodificationofthisAgreementshallbevalidunlessitisinwritingandsignedbybothparties.

12.Notices:AllnoticesrequiredorpermittedbythisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyemailtotheaddressessetforthbelowortosuchotheraddressaseitherpartymaydesignateinwriting.
