英文经贸合同范本

THISAGREEMENTismadeonthe__________dayof__________,20__,between__________(hereinafterreferredtoas"Seller"),withitsregisteredofficeat__________,and__________(hereinafterreferredtoas"Buyer"),withitsregisteredofficeat__________.

WHEREAS,theSellerisengagedinthebusinessofmanufacturingandselling__________,andtheBuyerwishestopurchase__________fromtheSellerforthepurposesof__________.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.SaleandPurchase:TheSelleragreestosellandtheBuyeragreestopurchasethegoodsdescribedinScheduleA(hereinafterreferredtoas"Goods"),subjecttothetermsandconditionssetforthinthisAgreement.

2.Price:ThepricefortheGoodsshallbeasstatedinScheduleB(hereinafterreferredtoas"PurchasePrice").

3.PaymentTerms:TheBuyershallpaythePurchasePriceinaccordancewiththepaymentscheduleoutlinedinScheduleC.

4.Delivery:TheSellershalldelivertheGoodstothelocationspecifiedinScheduleD(hereinafterreferredtoas"DeliveryLocation")withinthetimeframespecifiedinScheduleE.

5.Warranty:TheSellerwarrantsthattheGoodsshallbefreefromdefectsinmaterialandworkmanshipforaperiodof__________fromthedateofdelivery.TheSellershall,atitsownexpense,eitherrepairorreplaceanyGoodswhicharefoundtobedefectivewithinthewarrantyperiod.

6.ForceMajeure:NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbycircumstancesbeyondthereasonablecontrolofthatparty("ForceMajeure"),includingbutnotlimitedtoactsofGod,war,terrorism,civilunrest,labordisputes,oranyothercausesbeyondthereasonablecontroloftheaffectedparty.

7.Termination:EitherpartymayterminatethisAgreementbywrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticethereof.

8.Confidentiality:TheBuyeragreestokeepconfidentialallinformationreceivedfromtheSellerrelatingtotheGoods,theSeller'sbusiness,orthisAgreement,andtousesuchinformationonlyforthepurposesofthisAgreement.

9.GoverningLawandJurisdiction:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof__________,andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof__________.

10.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreementsbetweenthepartiesrelatingtosuchsubjectmatter.

11.Amendments:NoamendmentormodificationofthisAgreementshallbevalidorbindingonthepartiesunlessmadeinwritingandsignedbybothparties.

12.Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemeddulygivenwhendeliveredpersonallyorbyovernightcourierservice,orthreedaysafterbeingsentbyregisteredorcertifiedmail,postageprepaid,totheaddressessetforthinthisAgreementortosuchotheraddressaseitherpartymaydesignateinwriting.

INWITNESSWHEREOF,thepartiesh
