ision.Thearbitrationfeeshallbebornebythelosingparty.14.违约：14.Breachofthecontract协议条款供买卖双方共同遵照执行，如任一方违约，应补偿给守约方导致的一切经济损失。Bothpartiesshouldsteictlyimplementthetermsofthecontract.Eitherpartyshallbeliableforitsbreachofcontractandindemnifyforalllossesthusincurredtotheotherparty.15.延迟交货及付款15.Penaltyfordelayeddeliver如卖方在协议规定的装运日期延迟5天并没有任何解释，买方有权解除协议。除非卖方得到买方的书面确认，双方就延迟交付时间达成一致，卖方可继续履行协议。在未经买方书面批准的情况下,卖方未准时交付的货品，将被处以未交付货品价值0.5%（天天）的罚款，总罚款不得超过未交付货品价值的2%。ShouldtheSellerfailtoeffectdeliveryontimewithin5daysafterthelatestshipmenttimeasstipulatedinthiscontractwithoutanyexplanation,thebuyerhastherighttocancelthiscontract.Onlywhenthebothpartiesmakeanagreementonthedelayofdeliveryinwritingform,sellercancontinuetoperformthecontract.Withouttheagreementfrombuyerinwritingform,thesellermaypostponedeliverytothebuyeronpaymentofpenaltytothebuyers.Penaltyshallbechargedattherateof0.5%(eachday)ofthetotalundeliveredcargovalueofeveryday.Thepenaltyshallnotexceed2%ofthetotalvalueofgoodsinvolved.16.保密条款16.Confidentiality双方需保密，并不使信息外露给第三方，在公共领域方面除外。BothpartiesshallobeytheprincipleofConfidentialityandnotdisclosetoanythirdpartyexceptthepublicfield.17.不可抗力条款17.ForceMajeure有天意（大自然）所导致的因素涉及：战争、政治封锁、革命、暴动、起义、民变、罢工、火灾、水灾、风暴或其他恶劣气候等所导致的装运不可预料的阻碍因素。若此等不可抗力的情形是可预料的，直接受影响的一方面尽早通过传真或电报知会另一方，以及在情形发生10天前（在也许的状况下）由官方或商会发出证书佐证。若此等不可抗力的情形延续超过三个月，买方有权取消订单。Incasetheexecutionofthecontractisdirectlyaffectedorcannotbemadeinaccordancewit
