ArchitecturalContract

ThisArchitecturalContract(the"Contract")isenteredintoon[Date],byandbetweenthearchitect[ArchitectName],(the"Architect"),andtheclient[ClientName],(the"Client").

1.ScopeofServices

TheArchitectshallprovideprofessionalarchitecturaldesignservicesfortheproject(the"Project")locatedat[ProjectLocation].TheArchitectshallprepareallnecessarydrawings,plans,specifications,anddocumentsrequiredfortheconstructionorrenovationoftheProject.

2.FeesandPayment

TheClientshallpaytheArchitectafeeof[FeeAmount]forthearchitecturalservicesrendered.Thefeeshallbepaidininstallmentsasfollows:[PaymentSchedule].TheClientshallbearallexpensesincurredintheprocessofcompletingtheProject,includingbutnotlimitedtopermits,fees,andlicensingcosts.

3.ChangesinScope

IntheeventthattheClientrequestsanychangesoradditionstotheProjectscope,theArchitectshallsubmitawrittenchangeorderdetailingthechanges,associatedcosts,andrevisedschedule.Thechangeordershallonlybecomeeffectiveuponthewrittenapprovalofbothparties.

4.TimelinesandDelays

TheArchitectshallusereasonableeffortstocompletetheProjectwithintheagreed-upontimeline.However,theArchitectshallnotbeheldliableforanydelaysresultingfromcircumstancesbeyondtheircontrol,includingbutnotlimitedtoactsofGod,publicauthorityrestrictions,ortheClient'sfailuretoprovidenecessaryinformationormaterialsontime.

5.OwnershipandIntellectualProperty

Alldrawings,plans,specifications,andotherdocumentspreparedbytheArchitectshallremainthepropertyoftheArchitect,andtheClientshallnotreproduceordistributethemwithouttheArchitect'swrittenconsent.TheClientshallreceiveanon-transferable,non-exclusivelicensetousethesedocumentssolelyforthepurposeofcompletingtheProject.

6.DisputeResolution

AnydisputesarisingfromthisContractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociation.Theprevailingpartyshallbeentitledtorecoverreasonableattorney'sfeesandcostsincurredinthearbitrationprocess.

7.Termination

EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyintheeventofamaterialbreachbytheotherparty.Insuchacase,theterminatingpartyshallbeentitledtocompensationforservicesrenderedupuntiltheterminationdate.

8.GoverningLaw

ThisContractshallbegovernedandconstruedinaccordancewiththelawsofthestateof[State],withoutregardtoitsconflictsoflawprinciples.

9.EntireAgreement

ThisContractconstitutestheentireagreementbetweentheArchitectandtheClientandsupersedesanypriordiscussions,understandings,oragreements,whetherwrittenororal,relatingtothesubjectmatterherein.

10.Confidentiality

BothpartiesshallkeepconfidentialallproprietaryandsensitiveinformationdisclosedduringthedurationofthisContractandforaperiodof[TimePeriod]thereafter,exceptasrequiredbylaworwiththewrittenconsentoftheotherparty.

11.Insurance

TheArchitectshallmaintainprofessionalliabilityinsurancecoveragethroughoutthedurationoftheProject.TheClientshallensurethatadequateinsurancecoverageisinplacetoprotectagainstanypotentialrisksorliabilitiesassociatedwiththeconstructionorrenovationoftheProject.

12.SupervisionandCoordination

TheArchitectshallprovideregularon-sitesupervisionandcoordinationwithcontractors,subcontractors,andotherpartiesinvolvedintheconstructionorrenovationoftheProject.TheArchitectshallensurethatallworkiscarriedoutinaccordancewiththeapprovedplansandspecifications.

13.QualityAssurance

TheArchitectshallexercisereasonablecareandskillintheperformanceoftheirservicesandshalladheretoindustrystandardsandapplicablebuildingcodes.TheArchitectshallpromptlyremedyanydefectsorerrorsidentifiedintheirwork.

14.Indemnification

TheClientagreestoindemnifyandholdtheArchitectharmlessfromanyclaims,damages,orliabilitiesarisingoutoforrelatingtotheProject,excepttotheextentcausedbytheArchitect'snegligenceorbreachofcontract.

15.LimitationofLiability

InnoeventshalltheArchitectbeliabletotheClientoranythirdpartyforanyindirect,incidental,consequential,orpunitivedamagesarisingoutoforrelatingtotheProjectorthisContract.

16.Subcontractors

TheArchitectmayengagesubcontractorstoassistintheperformanceoftheirservicesunderthisContract.TheArchitectshallberesponsiblefortheactsandomissionsofthesesubcontractorstothesameextentasiftheyweretheArchitect'sownemployees.

17.Notices

AnynoticeorcommunicationrequiredunderthisContractshallbegiveninwritinganddeliveredpersonally,sentbycertifiedmail,orsentbyelectronicmailtotheaddressesspecifiedbelow:
