ThisContractismadeandenteredintothroughfriendlynegotiationbyandbetween______(hereinafterreferredtoas“Client”),asoneparty,and______(hereinafterreferredtoas“Consultant”),astheotherparty,concerningthetechnicalconsultancyserviceof_____,underthefollowingtermsandconditions:

1.ContentsofConsultancy

WhereasClientdesirestoobtainthetechnicalconsultancyserviceof_____fromConsultantandConsultanthasagreedtoperformsuchservices.

(2)TheTimeSchedulefortheServicesisshowninAppendix2;

(3)TheManningScheduleisdescribedinAppendix3.

2.TimeofConsultancy

Consultantshallcompletetheserviceswithin_____monthsfromtheeffectivedateofthisContractandfurnishthefinaltechnicalservicereport,includingdrawings,designingdocuments,allkindsofstandardsandphotos,withinmonths.Consultantshallkeepaware,freeofcharge,Clientofthelatestdevelopmentofsimilarprojectsandanyprogressmadeinordertoimprovethedesigningoftheproject.

3.DutyofClient

ClientshallfurnishtoConsultantthepertinentdata,technicalservicereports,mapsandinformationavailabletoitandshallgivetoConsultantthereasonableassistancenecessaryforcarryingoutofhisduties.ParticularlyClientshallnominateageneralrepresentativewhoshallbeavailableatreasonabletime.

ClientshallassistConsultantwiththeresponsibleauthoritiesforobtainingvisas,workpermitsandotherdocumentsrequiredbyConsultanttoenterthecountryandtohaveaccesstotheSiteoftheProject.TheaboveexpensesshallbebornebyConsultant.

4.DutyofConsultant

Consultantshallfurnishasufficientnumberofcompetentpersonneltoperformitsobligationhereunder,inadditiontothosepersonnelspecificallylistedinAppendix3.AllpersonnelemployedbyConsultantincarryingouttheworkshallbeexclusivelyConsultant’sresponsibility,andConsultantshallholdClientharmlessfromanyclaimsofanykindbyConsultant’spersonnelarisingoutofanyactsbyConsultantoritspersonnelinconnectionwiththeworkperformedhereunder.

ConsultantshallprovideClientallthetechnicalservicereportsandrelevantdocumentationwithintheScopeofTechnicalServicesandwithintheTimeScheduleoftheTimeSchedulefortheServices.

ConsultantshallassistClient’spersonnelinhiscountryinobtainingvisasandinarranginglodgings.HotelandboardingexpensesshallbebornebyClient.ConsultantshallsupplytoClient’spersonnelofficespaceandnecessaryfacilitiesaswellastransportation.

ConsultantshallberesponsibleforandshallindemnifyClientandhisemployeeinrespectofinjurytopersonordamagetopropertyoccurringinconnectionwiththeservices,totheextentthatsuchdamageorinjurydirectlyresultsfromnegligenceofConsultant’spersonnelwhileengagedinactivitiesunderthisContract.ConsultantshallbeliableonlytotheworkunderthisContract.

AnyandallliabilityofConsultantwithrespecttothisContractshallbelimitedtothetotalcontractpricereceivedbyConsultantforhisprofessionservicesandshallterminateuponexpirationofthewarrantyperiodsetforthinArticle7.3.

5.PriceandPayment

Thetotalcontractpriceis______(say_____only)in______(currency).

ThetotalcontractpricewillincludealltheserviceandtechnologyprovidedbyConsultant.Thetotalcontractpriceshallbefirmandfixedandshallnotfluctuatewithanyinflation.ThetotalcontractpriceshallincludeallchargesandexpensesincurredbyConsultantinperforminghisobligationsbothinhisowncountryandintheClient’scountryandincludestheexpensesincurredinsendingthetechnicaldocumentationtoClient’sofficebyallkindsofforms.IntheeventofForceMajeureasdefinedintheContract,thetotalcontractpriceshallbereadjustedthroughfriendlynegotiationsbetweentheparties.

IfClientrequiresservicesnotcontemplatedinthescopeofservices,thepartiesshallfriendlydiscussanamendmenttothetotalcontractprice.Anysuchamendmentshallbeinwritingcountersignedbybothparties.ThisdocumentshallthenformintegralpartoftheContract.

AllpaymentstobemadebyClienttoConsultantunderthepresentContractshallbemadebytelegraphictransfer.IncaseofanypaymentbyClient,thepaymentshallbeeffectedthrough_____inChinato______fortheaccountofConsultant.

6.MethodsofPayment

InconsiderationfortheservicesprovidedbyConsultanthereunder,ClientshalleffectthepaymenttoConsultantinaccordancewiththefollowingmannerandpercentage:

(2)ThesaidshallbedeliveredbyConsultantnotlaterthan______daysaftertheeffectivedateofthe_______presentContract.IncaseConsultantisliableforpayingtoClientthepenaltyundertheContract,Clientshallhavetherighttodeductitfromanysaidpayment.

7.DeliverySchedule

8.Notice

ConsultantwillinformClientbyFaxwhenthetechnicalservicereportsareairmailedtoClientindicatingthedateandnumberofairwaybill.ClientwillinformConsultantwhenthetechnicalservicereportshavebeenreceived.

ShouldanydocumentbemissingordamagedduringthetransportConsultantshallbenotifiedaccordinglyandwithin_____daysthemissingordamageddocumentshallbereplacedbyConsultantfreeofcharge.

9.Confidentiality

Alldataassembled,developed,compiled,reproduced,studied,andpreparedinconnectionwiththeworkdonehereunderandfurnishedtoConsultantbyClientshallbeconsideredconfidentialandshallnotbedivulgedtoanyperson,firmorcorporationotherthanClientoritsdesignatedrepresentatives.ThisClauseshallremainbindingonConsultantnotwithstandingthetermination

oftheContractforanyreason.

WithinthevalidityperiodofContract,Bothpartiesshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.Theotherpartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofoneparty.

EitherpartyshallbeobligedtokeepconfidentialanysecretinformationoftheotherpartywhicheitherpartyanditspersonnelmayobtainorbeaccessibletointhecourseoftheperformanceofContract.Eitherpartyshallnotmakeuseofordisclosesuchsecretinformationobtainedfromtheotherpartywithoutpriorwrittenpermissionissuedbytheotherparty.

10.TaxesandDuties

AlltaxesanddutiesinconnectionwithandintheexecutionofContractleviedbytheChinesegovernmentonClientinaccordancewiththetaxlawsofPeople’sRepublicofChinashallbebornebyClient.

AlltaxesanddutiesleviedbytheChinesegovernmentonConsultant,inconnectionwithandintheexecutionofContract,accordingtoChinesetaxlawsandtheagreementbetweenthegovernmentofPRCandthegovernmentofConsultant’scountryforthereciprocalavoidanceofdoubletaxationandthepreventionoffiscalevasionwithrespecttotaxesonincomeshallbebornebyConsultant.

Clientislegallyobligedtowithhold,asawithholdingagent,theamountoftaxesprorataeachtaxablepaymentunderContractandpaythemtotherelevantChinesetaxauthorities.AfterreceivingthetaxreceiptsissuedbytherelevantChinesetaxauthoritiesfortheaforesaidwithholdingtaxes,ClientshallforwardthemtoConsultantwithoutunduedelay.

AlltaxesanddutiesarisingoutsidethePeople’sRepublicofChinainconnectionwithandintheexecutionofContractshallbebornebyConsultant.

11.Guaranty

ConsultantwarrantsthathehastheexperienceandcapabilitytoefficientlyandexpeditiouslyperformtheservicesinasatisfactorymannerandthattheservicesperformedbyhimunderthisContractshallbeperformedbycompetentpersonnelinaccordancewithacceptedstandards.

IntheeventofafailureofConsultanttoprovidetoClientsatisfactoryserviceswithinthescopeofworkdescribedinAppendixatanytimeforanyreasonwithinthecontroloftheConsultant,ClientmaynotifyConsultantofsuchdissatisfaction.Consultantshallbeafforded_____daystocorrectorremedythematter.ShouldConsultantwithinthetimeaffordedbyClientfailtocorrectorremedythemattertothesatisfactionofClient,allchargesshallceaseforthwithuntilsuchtimeasConsultantisabletoprovidesatisfactoryservicesinaccordancewiththescopeofworkdescribedinAppendix_____.

12.OwnershipoftheServiceContents

FinalversionofthetechnicalservicereportsubmittedtoClientandallrelevantdatasuchasmaps,plansandsupportingmaterialcompiledinperformingthescopeofservices,shallbethepropertyofClient.SuchmaterialsshallbesortedandindexedbyConsultantpriortotransmissiontoClient.

Consultantshallbepermittedtoretaincopiesthereof,providedhoweverthatsuchmaterials,includingthematerialfurnishedbyClientasstatedinArticle5ofthisContract,shallnotbeusedbyConsultantforpurposesnotrelatedwiththisprojectwithoutthepriorwrittenapprovalofClient.

13.Transferring

NeitherClientnorConsultantshallassignorsublettheirrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty.

14.BreachandTerminationoftheContract

(1)If,duetotheresponsibilityofConsultant,thetechnicalservicereportshavenotbeendeliveredatdatesaccordingtothedeliveryschedulesasstipulatedintheContract,ConsultantshallbeobligedtopaytoClientpenalty.

(2)Thetotalliquidateddamageforlatedeliveryshallnotexceed______percentofthetotalcontractprice.PaymentoftheliquidateddamageforlatedeliveryshallnotreleaseConsultantfromitsobligationtodelivertechnicalservicereports.

(3)Clientmay,withoutprejudicetoanyotherremedyforConsultant’sfollowingbreachofContract,terminateContractinwholeorinpartbyawrittennoticeofdefaultsendtoConsultant,ifConsultant:

failstodeliveranyoralloftechnicalservicereportswithin_____daysafterthescheduleddeliverydateor

failstomakethetechnicalservicereportsmeettheminimumlevelofacceptancestandardsasspecifiedinContract.

ConsultantshallrefundtoClientallthepaymentseffectedbyClienttoConsultantplusaninterestattherateof______percent(______%)perannumincaseofsuchatermination.

(4)Eitherpartymay,withoutprejudicetoanyotherremedy,terminateContractinwholeorinpartbyawrittennoticesendtotheotherparty,iftheotherparty.

failstoperformitsconfidentialityobligationunderContract;or

failstoperformanyotherobligationsunderContractexceptminorpartsthereof,anddoesnotremedyforitsfailurewithinaperiodofdaysuponreceiptofthewrittennoticeoraperiodagreeduponbetweentheparties;or

becomesbankruptorinsolvent;or

affectedbyanyeventofForceMajeureformorethan______days.

15.ForceMajeure

ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderContractduetoeventofForceMajeure,suchaswar,seriousfire,typhoon,earthquake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovercome,theaffectedpartyshallnotifytheotherpartyofitsoccurrencebyfaxandsendbyregisteredairmailacertificateissuedbythecompetentauthoritiesoragencywithinfourteen(14)daysfollowingitsoccurrence.

TheaffectedpartyshallnotbeliableforanydelayorfailureinperforminganyorallofitsobligationsduetotheeventofForceMajeure.However,theaffectedpartyshallinformtheotherpartybyfaxtheterminationoreliminationoftheeventofForceMajeurewithoutdelay.

BothpartiesshallproceedwiththeirobligationsimmediatelyaftertheceaseoftheeventofForceMajeureorremovaloftheeffects.ThevalidityperiodofContractand/orthescheduledperiodforrelativeexecutionofContractshallbeextendedcorrespondingly.

16.Arbitration

AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission,_____CommissionforarbitrationinaccordancewiththeCommission’sarbitrationrulesineffectatthetimeofapplyingforarbitration.ThearbitralawardisfinalandbindinguponbothpartiesandtheapplicablelawisthemateriallawofthePRC.

Notwithstandinganyreferencetoarbitration,bothPartiesshallcontinuetoperformtheirrespectiveobligationsundertheContractunlessotherwiseagreed.

17.LanguageandStandards

CorrespondenceexceptthisContractbetweenClientandConsultant,dataanddocumentsmadeavailablebyClienttoConsultantandthetechnicalservicereportsanddrawingspreparedbyConsultantshallbeintheEnglishlanguage.

18.ApplicableLaw

Theconstruction,shallbegovernedbythelawsofthePeople’sRepublicofChina.

19.EffectivenessoftheContract

Bothpartiesshallmakeefforttoobtaintheapprovalfromtherespectiveauthorities,ifnecessary,withinthirty(30)daysafterContractissignedbytheauthorizedrepresentativesofthetwoparties.EitherPartyshallnotifyinwritingtheotherpartyoftheapprovaldate.ThelaterdateofapprovalshallbetakenasthedateofeffectivenessofContract.

ThisContractshallbevalidandremaininforcefor______yearsfromthedateofeffectiveness.

TheoutstandingcreditanddebtbetweenthepartiesunderContractshallnotbeaffectedupontheterminationorexpirationofContract.

20.Miscellaneous

AppendiceshereofshallbeintegralpartsofContractandhavethesamelegalforceasthetextofContractitself.ThetextofContractshallprevailincaseofanydiscrepanciesbetweenthetextofContractandAppendices.

Amendments,supplements,subtractions,oralterationstoContractshallbemadeinwrittenformandbecomevaliduponthesignatureoftheauthorizedrepresentativesofbothparties.Thevalidamendments,sup
