/或专有技术、合同项目的设计、技术文件、技术服务和技术培训，详见本合同附件。TheSelleragreedtosell,theBuyeragreedtobuyalinefornew-patternultra-thinhighperformancepowerlithiumbatteryseparator(contractproject),withinwhichthecontractualequipments,authorizedpatentsand/orproprietarytechnology,projectdesign,technicaldocument(s),technicalserviceandtechnicaltraining,withdetailsintheappendix.1.2设备安全标识和操作标识须采用中文标识Chinesemustbeutilizedinequipmentssafetyandoperationidentification.1.3卖方同意授权买方以独占性的，不可转让的权利，在中华人民共和国内使用全部专利和/或专有技术进行合同产品的生产和销售，合同产品还可输往全球地区。卖方不得阻止买方在本合同到期后继续使用该专利和 Appendix11Equipment(s)HandoverConditions3.定义Definition3.1合同设备：卖方所提供的本合同附件一和附件十一规定的用以生产合同产品的设备、材料、零部件或备件。Contractualequipment （s):theequipments 、material,partsorsparepartsthatareusedtoproducethecontractualproductsprovidedbytheSellerwithinAppendix1andAppendix11.3.2合同项目：卖方所提供的本合同附件一规定的用以生产合同产品的技术和设备以及买方提供的与这些技术和设备相配套的辅助设施。Contractproject ：Thetechnologyandequipment(s)aswellastheirauxiliaryfacilitiestoproducecontractualproductsprovidedbytheSellerstipulatedwithinAppendixone.3.3合同产品：本合同项目生产的具有本合同附件十一规定的规格、性能、技术指标的产品。Contractproducts:theproductswithwhosespecifications,performance,technicaltarget(s)coveredwithinAppendix11.3.4合同价格：买方因卖方全部且适当履行合同义务而支付的本合同附件七规定的总价。Contractprice:thetotalpricethattheBuyermustpaytotheSellerontheconditionthattheSellerimplementthecontractualobligationcompletelyandproperly.3.5投料试生产：本合同附件六规定的合同项目连接公用设施、合同附件一规定的技术要求以及合同附件十一规定的投入原料以试制合同验收产品。Commissioningtrialoperation ：connectionpublicdevicesofthisprojectwithinAppendix6,technicalrequirementswithinAppendix1aswellastrial-productionforproductsacceptancewithinAppendix11.3.6性能测试:检测本合同附件十一所规定的各项保证数值，包括设备的各项性能和产品的技术指标。Performancetesting:totesttheguaranteedparameterswithinAppendix11,includingequipments'variousperformancesandtechnicaltarget.3.7验收：如果考核结果表明，合同项目能够全部达到本合同附件所规定的各项保证指标，则视为买方所验收。Acceptance:iftestingresultindicatecontractprojectcancompletelyreachtheguaranteedtargetstipulatedintheAppendix,theacceptancecanbeimplemented.3.8检验机构:中华人民共和国出入境检验检疫局设立在卸货港和 /或工作现场的或邻近的分支机构。Inspectionbody:Entry&ExitInspectionandQuarantineofPRClocatedindischargingportoritsbranchnearbytheconstructionsite.3.9保证期：始于合同项目验收通过之日，在此期间，卖方保证合同项目的正常、稳定运行，并对出现的任何缺陷予以排除。Warranty:initiatefromtheacceptancepapersigneddate,duringthisperiod,theSellermustensurethecontractprojectgoingforwardsmoothlyandstablyandimplementtroubleshootingifanydefect(s)appear.3.10合同生效日:本合同经双方当事人同意于 （s)，technicalserviceandtechnicaltrainingstipulatedinthecontract,withtotalprice: Euros(uppercase:Euro .此价格为无折扣的净价。 Thisisthenetpricewithoutdiscount.此价格认定为 CIF中国深圳盐田港到岸价格（按照 INCOTERMS2000）ThispriceshallidentifiedasCIFYantianPort,Shenzhen,China(asperINCOTERMS2000）4.2合同的价格包含的供货内容 Supplyscopeofcontractualprice设备配套件的技术说明书、合格证明文件、保修卡等资料TechnicalInstruction，CertificateofConformityandWarrantyCardfortheequipmentaccessories.5.交货条款DeliveryTerms5.1交货条款为CIF中国深圳盐田港（按照国际贸易术语解释通则（2000年版））,发运港为主要欧洲海港，目的港口为中国深圳盐田港。清洁提单日为实际发货日期。Deliveryterms:CIFYantianport,Shenzhen,China(asperInternationalRulesfortheInterpretationofTradeTerms2000version,withmainEuropeportsasloadingportandYantianport(Shenzhen,China)asportofdestination.5.2 出口中国的交货量的交货条款为是 CIF买方现场(按照INCOTERMS2000)，运输以卡车从仓库开出开始生效，买方的现场在广东省深圳市。运输收货证明书的日期应为实际的交货日期。DeliverytermfordeliveriesthatexportedtoChinaasperCIFBuyer'ssite(inaccordancewithINCOTERMS2000),lorryutilizedfortransportationandbeeffectivefromwarehouse.Buyer'sconstructionsiteliesinShenzhen,Guangdongprovince.Certificateofreceiptdatemustbeactualdeliverydate.5.3 卖方应负责预定货位，安排发运和办理保险并且支付运费和保险费以确保货物按照附件五规定时间发运。TheSellermustpredeterminegoodsallocation,arrangeshipment ,以不褪色的颜料注明件号 ,毛重,净重,尺码及下列字句「勿近潮湿」、「小心轻放」、「此面向上」等字样 ,并刷有下列唛头:Shippingmark:theSellermustusefadelesspigmentstomarkpartnumber,grossweight,netweight,sizeandphraseslikeNotClosetoMoisture ，HandleWithCare，ThisSideUponthesurfaceofeachpackageandattachedfollowingmarks:6.3发货通知：卖方应于发货后的

:合同号、货物名称、净重、毛重、总件数、发票价值、船名

,船运提单号码及日期。若单件重量超过10吨,或长度超过9米,或宽度超过3米，或高度超过2.7米,卖方应注明每件货物的毛重和外包装尺寸。Noticeofshipment:theSellermustinformtheBuyerthefollowinginformation:contractnumber，goodsdescription，grossweight，netweight，totalpieces，invoicevalue，vesselname，B/Lnumberanddatewithin48hoursafterdispatchinawrittenway.Ifsinglepieceover10tons,orthelengthover9m,orthewidthover3mortheheightover2.7m,theSellershallmarkthegrossweightandpackingdimensionforeachpiece.6.40卖方发运的货物的质量品质应符合买卖双方国家相关法律法规及现行有效的检验标准。Qualityofdeliveredgoodsmustaccordwiththerelevantlawsandregulationsaswellascurrenteffectiveinspectionstandard(s)inmutualcounties.7.检验、安装、试车及验收 Inspection，Installation，TrialrunAndAcceptance7.1 制造商要对设备的质量、标准、功能和数量进行全面和准确的检测 ,并出具检测报告和质量、数量证书，证明设备和合同的规定一致。但此证书不能作为设备的质量

,标准,功能和数量的最终证明。Manufacturermustimplementcomprehensiveandaccurateinspectionfortheequipment(s)intermsofquality，standard，functionandquantityandpresentinspectionreportandcertificateofqualityandquantitytoprovetheequipmentaccordwiththeprovisionwithinthecontract.

（s)7.2买方有权派遣检验人员到卖方和 /或生产厂家现场同卖方检验人员一起对主要设备的生产过程和质量进行检验，卖方须提供相应便利。卖方应免费向买方的检验人员提供工作设备和工作场所，包括但不限于必要的技术文件、检验工具和仪器。卖方应提前5周将检验日期通知买方，买方应在收到该通知后 10日内确认是否派遣技术人员。TheBuyerhastherighttodispatchinspector(s)tothesiteofSellerand/ormanufacturertoinspecttheproductiveprocessandqualityofthemainequipment(s)andtheSellermustprovideconvenienceforthat.TheSellermustprovidetheBuyer'sinspector(s)workequipment(s)andworkplaceforfree,includingbutnotlimitedtotheessentialtechnicaldocument(s)，inspectiontoolandapparatus.TheSellershallinformtheBuyertheinspectiondateinadvanceof5weeksandtheBuyershalldecidewhetherdispatchtechnician(s)ornotwithin10daysafterthenotification.7.3集装箱开箱：买方应在集装箱计划开箱日的前 2周，邀请卖方代表参加开箱。集装箱应在买方、中国商检局和卖方代表在场的情形下开箱。一旦发现质量、规格和 /或数量与合同不符，买方有权根据中国商检局（ CCIB）的检查证明书作为买方向卖方要求更换,修理或补发的正式证明。若卖方由于自己的缘故而未能到买方现场参加检验 ,买方有权与中国商检局依原计划进行开箱检验。Container-opening:theBuyershallinvitetheSellertoparticipateincontainer-openingaheadof2weeksofthescheduleddate.ThecontainersmustbeopenwiththewitnessoftheBuyer

，remedyingorredeliver.7.4在收到买方索赔证书后的合理时间内，卖方将对遗漏或损坏件进行更换或补发，并将更换件或补发件运至买方的安装工作现场并承担所需的费用 (成本,保险和运费)和买方支付给中国商品检查局的检验费用。所述之检验将不减免卖方在合同中应负之责任。WithinthereasonabletimeafterreceivingtheclaimletterfromtheBuyer ，theSellerwillchangeorredeliverthelostordamagedpart(s)andbeartheexpenses(Cost,InsuranceandFreight)fortransportingthepart(s)totheBuyer'sinstallationsiteandalsotheinspectionpaymentthattheBuyerpaidtoCCIB.TheinspectionmentioneddoesnotmeantheSellercanbeexemptedfromtheassignedresponsibilityarticulatedinthecontract.7.5如合同设备在保证期间发现货物的质量和 /或规格与合同规定不符，或货物有因卖方产生的缺陷，无论什么原因，包括但不限于潜在的缺陷或使用不适当的材料等，买方都有权申请中国商检局（ CCIB）予以检验，并根据检验证书向卖方提出索赔。intheeventofthegoods'qualityand/orspecificationnotconformwiththecontractdescription,orthegoodsexistthedefect(s)causedbytheSeller,nomatterwhatitis,includingbutnotlimitedtopotentialdefect(s)orinappropriatematerial,theBuyerhastherighttoapplyCCIBforinspectionandclaimtotheSelleronthebasisoftheinspectioncertificate.7.6如果由于卖方原因未能达到附件五规定的性能或保证数值时，卖方应在双方协商的期限内采取措施消除缺陷，所有涉及的费用，包括但不限于工作小时费用、设备和原材料费用、交货到工作现场和 /或离开工作现场的运输和保险费用以及卖方技术人员的技术服务费用等，均由卖方负责。Iftheperformanceorguaranteedvalue(s)coveredinAppendixfivecannotbereachedduetothecauseoftheSeller,theSellershalltakecorrectivemeasurestoeliminatethedefectswithinthedeadlineofmutualagreement,allofthecost,includingbutnotlimitedtoworkinghours ，equipmentandrawmaterialcost ，transportationtoand/orleavejobsite ，insuranceaswellastheSeller'stechnicalservice.7.7在上述缺陷消除后，应按照本合同附件六的规定尽快进行第二次性能测试。但卖方进行性能测试的次数只限于三次。如果由于卖方原因在第三次性能测试中未能达到性能或保证数值时，买方有权根据本合同附件六的规定向卖方索赔违约金，只有在上一次性能测试结果表明合同项目已经达到本合同附件六规定的技术性能和保证数值的情况下，违约金规定才不适用。Aftertheabove-mentioneddefectswipedoff,thesecondperformancetestingmustbecarriedoutASAPaccordingtoAppendix6.ButtimesfortheSeller'sperformancetestingislimitedto3times.IftheSellerstillcannotreachperformanceorguaranteedvalue(s)inthethirdtime,theBuyerhastherighttoclaim(breachpenalty)fromtheSellerasperAppendix6.Onlyifthelasttime'sperformancetestingresultindicatethetechnicalperformanceandguaranteedvalue(s)havebeenreached,thepenaltyprovisionisinapplicable.7.8如果因为卖方的其它原因导致试车和 /或投料试生产和/或性能测试等延期，和 /或导致增加额外费用，买方有权对因此所造成的损失提出索赔。Ifthescheduledtrial-runand/orcommissioningtestrunand/orperformancetestingdelayedand/orextrachargegeneratedcausedbytheSeller'sotherreason(s)，theBuyerreserveitsrighttoclaim.7.9合同项目的验收并不能免除卖方对合同项目的保证责任。contractproject'sacceptancecannotbeconstruedthattheguaranteeliabilityoftheSellercanbereleased.8.

、guaranteedoperation8.1卖方保证本合同项目能安全、稳定运行并能够生产出符合本合同附件

11规定的合格验收产品。TheSellershallensuresaidcontractprojectisabletoruninasafeandstablewayandproducethequalifiedproductsincompliancewithAppendix11.8.2卖方保证其提供的合同设备是全新及未经使用的，由最好的材料、一流的工艺制成，组材的出厂日期不超过壹年，设计无任何缺陷，原材料和工艺均能稳定运行和满足本合同的目的，并符合本合同附件 11的规定。TheSellershallguaranteetheprovidedequipmentisbrandnewandvirginal,manufacturedbythebestmaterial，first-classworkmanshipandtheex-factorydateofitscomponentsmustnotexceedoneyear.Theremustbenodrawback(s)indesign,rawmaterialandprocessrunningstablyandinthemeanwhile,canmeetthedemandofthepurposeofthiscontractaswellasprovision(s)inAppendix11.8.3卖方保证所交付的技术文件完整、清晰、准确，并能满足合同项目的设计、检验、安装、试车、投料试生产、性能测试、运行和维修的要求。TheSellermustensurethedeliveredtechnicalfilescomplete

，operationandmaintenance.8.4卖方保证按期派遣熟练的技术人员向买方提供专业的、正确的和足够的技术服务和技术培训。TheSellermustdispatchproficienttechnicianstoprovideprofessionalsufficienttechnicalserviceandtrainingfortheBuyerpunctually.

，properand8.5合同项目的保证期为合同项目验收通过之日起的 _______个月。在保证期内，如发现属于卖方责任的缺陷，卖方接到买方的通知后立即予以修理以替换该缺陷设备。修理的或替换的设备部件保证期应从买方验收后重新起算。Warrantyofcontractprojectis()monthssincetheacceptancepassed.Ifdefect(s)accountedastheSeller'sresponsibilitydiscoveredwithinthewarranty,theSellershallrepairorchangethedefectiveequipmentpromptlyoncereceivetheBuyer'snotification.Warrantyofrepairedorchangedcomponent(s)shallbere-calculatedaftertheBuyer'sacceptance.8.6保证期内，如合同项目因卖方原因必须停止运行，该保证期应相应延长。保证期满时，买方应签署合同设备保证期满证书正本、副本各一份。IncaseofthecontractprojectmustbeterminatedcausedbytheSellerwithinwarranty,saidwarrantymustbeprolongedaccordingly.Oncetheguaranteeexpires,theBuyershallsigntheCertificateofContractEquipmentWarrantyExpiration(oneoriginalandonecopy ）.9.清偿损失额 LiquidatedDamages9.1延期发货指实际的提单日期超过规定的发运期。如延期发货，排除不可抗力的情况，卖方延期的第一周无罚款，之后再延期，每延期一周应支付买方延期发运货物总价的0.5%作为罚金，不足一周的部分视作一周。而罚金总数不能超过合同总价的 5%。如延期超出规定发货日期 10周，买方有权终止本合同但卖方不能免除罚款。Delayeddeliveryreferstotheactualdateofbillofladingbeyondthestipulateddeliveryperiod.Ifdeliverydelayed,thereisnopenaltyforthefirstdelayedweekifforcemajeurenotconsidered.Afterwards,theSellershallpaytheBuyer0.5%ofthetotalvalueofthegoodsdeliveredperweek,takeitasoneweekiflessthanoneweeksituationtakeplace.Whilethetotalpenaltyshallnotsurpass5%ofthetotalcontractvalue.Ifthedelayeddeliveryisbeyond10weeksofthestipulateddelivertime,theBuyerisinitsrighttoterminatethiscontractbuttheSellercan'tberemittedapenalty.10.知识产权IntellectualProperty在此合同执行下由买卖双方开发而涉及的任何知识产权（无论是否适用相关知识产权法律）的所有权利，利益即为且仅为开发方的资产。Therightsforanyintellectualproperty(nomatterappliedtorelatedintellectualpropertylawsornot)involvedbymutualdevelopmentherein,thebenefitshallonlybelongstothedeveloper.10.1.买方提供的设备配置方案、工艺配方、工艺流程图等技术方案构成买方的技术秘密，卖方应予以保密，不得向第三方透漏。买方授权卖方仅在本合同项下使用该技术秘密。卖方仅有权使用买方的技术秘密，且这种使用权不可转让。Equipmentconfigurationscheme ，processrecipe，processflowchartprovidedbytheBuyeriscomposedofitsknow-howandtheSellermustkeepthemconfidentialandnotdisclosetothethirdparty.TheSellerisauthorizedtoutilizesaidknow-howonlyunderthiscontractbytheBuyer.TheSelleronlyhastherighttousetheBuyer'sknow-howandthisrightofuseisunalienable.10.2.卖方应当保证自己是被许可专有技术和 /或专利的合法所有人和 /或拥有者，而且保证自己有权许可该项技术给买方。买方在许可地域内被第三方指控对上述专有技术和/或专和/其它知识产权构成非法利用或侵权责任由卖方承担，买方不承担任何法律责任。TheSellershallguaranteehehimselfisthelegalproprietorand/orownerofthepermittedproprietarytechnologyand/orpatent(s)andhastherighttoauthorizesaidtechnologytotheBuyer.TheSellershallundertaketheresponsibilityifchargedbyathirdpartythattheabovementionedknowhowand/orotherintellectualpropertiesconstituteimproperuseortortiousliability,theBuyerisfreefrombearinganylegalliability.11.保密Non-disclosure卖方在合同期内，不得对外宣传或披露双方合作信息。TheSellershallnotdisclosemutualcooperativeinformationwithincontractperiod.12.出口限制ExportRestriction买方在没有预先得到卖方书面许可的情况下，不可再出口此设备到任何其他国家。同样，卖方在没有预先得到买方书面许可的情形下，不得在 3年内出口与合同设备相同配置和生产相同产品的设备至买方国家。TheBuyershallnotre-exporttheequipmenttoothercountrywithoutthepriorwrittenapprovalfromtheSeller.Likewise,theSellershallnotexportthesameequipment(s)asthiscontractequipmentintermsofconfigurationandproductswithin3yearswithoutthepriorwrittenapprovalfromtheBuyer.13.税项Tax13.1中国政府依据其现行的中华人民共和国税法对买方课征与本合同有关或因执行本合同所发生的各项税费，均由买方支付。ChinesegovernmentwilllevyontheBuyerbecauseofthiscontractoritsaffiliatedfeethereinaccordingtocurrentTaxLawofPeople'sRepublicofChinaandtheBuyershallstandtheexpense.13.2中国政府根据其中国税法和与卖方国家政府关于避免双重征税和防止偷逃所得税的协定而向卖方课征的各项税费均由卖方支付。BasedonthecommongroundbetweenChinesegovernment'sregulation(s)andtheSeller'sgovernment'sstipulationintermsofavoidingdouble-taxationandtax-evasion,thetaxthereformedshallbebornebytheSeller.买方依据中国税法有义务对根据本合同而应得的收入按比例代扣一定的税费并代向中国相关的税务机关缴纳，在收到税务机关出具的关于上述税款税收单据后，买方应毫不迟延地转交给卖方。TheBuyerisamenabletocheckoffapartoftaxesandduesbasedontheproportioncausedbythiscontractinaccordancewithTaxLawofChinaandpaytoChina'srelevanttaxauthorities.AfterreceivingthetaxreceiptsissuedbytherelevantChinesetaxauthoritiesfortheaforesaidwithholdingtaxes,LicenseeshallforwardthemtoLicensorwithoutunduedelay.13.3中华人民共和国以外所发生的与本合同有关和履行本合同的各项税费均由卖方承担。AlltaxedanddutiesarisingoutsidePRCinconnectionwithandinperformanceoftheContractshallbebornebytheSeller.14.安全Safety14.1除非在本合同中同意，卖方将按
