SC1SubcontractScope
SC1.1TheSubcontractorundertakestomanufacture,supply,deliver,install,handoverandwarrantatKingAbdullahProjectForDevelopingtheSecurityHeadQuarters(KAP5),PortableCabinsforConsultantSiteOfficesasstatedintheattachedBOQ(AttachmentNo.1)togetherwithallrelevantrequirements(theSubcontractWorks)allasrequiredundertheMainContractbetweentheEmployerandtheContractor.TheSubcontractWorksshallbecompletedasperthe
Subcontractconditions,Contractor’s&Employer’sinstructions,freefromallimperfections,hiddenorapparentdefects,asconditionedintherelated
specifications(AttachmentNo.2)andaspertheapprovedshopdrawingsandapprovedsubmittals.TheSubcontractWorksshallbeexecutedandhandedover,inafullyfunctionalconditiontothesatisfactionandapprovaloftheContractorandtheEmployer.
SC1.2 ThelistingandordescriptionoftheSubcontractWorks ’itemsinthe
Subcontractdocumentsshallnotbetakentolimitthenature,rangeorextentoftheSubcontractor’sobligationsforsatisfactorycompletionoftheSubcontractWorks,andanyissue/matter/worksincludedinanyoftheSubcontractdocumentsisdeemedtobeincludedintheSubcontractworks.
SC1.3ItisherebyunderstoodandagreedthattheSubcontractAgreementexecutedbetweentheContractorandtheSubcontractorispurelyonbacktobackbasiswithrespecttothescopeofthetemporaryFencingWorksincludedintheMainContractexecutedbetweentheEmployerandtheContractor.Accordingly,theSubcontractorshallhavethesameobligationstowardstheContractorfortheSubcontractWorksunderthisAgreementastheContractorhasforthesametowardstheEmployerundertheMainContract,andtheSubcontractorshallassumeandperformalloftheContractor’sobligationsinrelationtotheSubcontractWorkstotheentiresatisfactionandapprovaloftheContractorandtheEmployer.
SC1.4NoclaimwhatsoeverwillberaisedbytheSubcontractornorentertainedbytheContractoronthegroundsofanymisrepresentationormisinterpretationoftheMainContractrequirements,SpecificationsandDrawingsoronthegroundsthattheSubcontractorwassuppliedwithinformationorgivenanypromiseorguaranteebytheContractororhisemployeesoranyotherperson.
SC1.5ExceptforthefacilitiestobeprovidedbytheContractorasstipulatedinclauseSC9hereunder,theSubcontractorshallprovideandisdeemedtohaveallowedforallrequirements,costsandexpensesthatthesatisfactoryexecution,handover,warrantyandguaranteeoftheSubcontractWorksdoesneed,includingbutnotlimitedto,provisionofallmaterials,labourandequipment,preparationandsubmissiontotheContractorofallrelevantcatalogues,datasheets,detailedmethodstatement,testingandtestcertificates,submittals,re-submittals,operation&maintenancemanuals,preparationofqualityassurancecertificates,packing,identification,loading,unloading,transportation,customduties,engineering,supervision,timing,re-scheduling,immediatecleaningofallresultingdebrisandsurplusmaterials,alltherequiredsafety&protectionmeasures/means,andprovisionandexecutionofanyothermaterials,documentation,worksandserviceswhetheroftemporaryorpermanentnature,andwhethertheyarespecifiedinortobeinferredfromtheSubcontractdocuments.
SC1.6TheSubcontractorshallmakeenoughco-ordinationwithothersubcontractorsworkingattheProject,particularlythosewhoareworkinginthesameoradjacentplaces,forthepurposeofproperexecutionbytheSubcontractorofallinter-facingworksandtoensurethatnootherworkinanylocationofthe
Projectisdelayed,hamperedordamagedbytheSubcontractor’soperations.Intheeventofanydifferenceordisputethatmayariseinconnectionwithanyinterfaceorscoperesponsibility,theContractorshallexaminethesubjectmatterandtaketheappropriatedecisionwhichshallbebindingtoallconcernedparties.The
Subcontractoracknowledgesthatanybreachordefaultordelaybyhimorbyanyoftheparties/agentswhomaybeinvolvedinexecutionoftheSubcontractWorks,mayresultintheContractorcommittingadefaultorbreachorbecomingliableundertheMainContractortowardsotherthirdparties.Insuchevent(s)theSubcontractorundertakestorepair,reconstructandindemnifytheContractorforallresultingexpenses,damages,deductionsmadebytheEmployer/Engineerandforotherconsequences,aswillbedeterminedandinstructedbytheContractor.
SC1.7TheSubcontractorunderstandsandagreesthattheEmployerhastherighttomakechanges,omissions,additionsandamendmentstotheProjectworksundertheMainContractinwhichcase(s),theSubcontractorshallaccordingly,afterreceivingwritteninstructionstovaryfromtheContractor,executesuchchangesandamendmentsthatrelatetotheabovementionedscopeofwork,withinthetermsandconditionsoftheSubcontractAgreement.
SC1.8TheSubcontractorshall,onthewritteninstructionsoftheContractor,suspendtheprogressoftheSubcontractWorksoranypartthereofforsuchtimeandinsuchmannerastheContractormayconsidernecessaryandshall,duringsuchsuspension,properlyprotectandsecurethesuspendedSubcontractWorksorsuchpartthereof-asthecasemaybe-insuchawayandsofarasisnecessaryintheopinionoftheContractor.
IntheeventthesuspensionorderisbeingservedbytheEmployer,thentheContractor'sliabilitytoreimbursetheSubcontractorforanycostsorexpenseshe
mayincurincomplyingwiththesaidorderandtheSubcontractor ’srighttoan
extensionoftimepertainingtheretowillbelimitedtotheamountsandperiods,ifany,paidorgrantedtotheContractor,bytheEmployer,inrespectoftheSubcontractWorksundertheMainContract.
SC1.9ItisherebyunderstoodandagreedthattheContractorhasfullrighttomakeadditions,omissionsandmodificationstotheSubcontractscopeofworkashedeemsnecessary.AllvariationsoftheSubcontractWorksshallbevaluedinthemannerprovidedhereinandthevaluethereofshallbeaddedtoordeductedfromtheSubcontractPrice,asappropriate.Thevalueofallvariationsshallbeascertainedbyreferencetotheratesandprices(ifany)specifiedintheSubcontractforthelikeoranalogouswork,butiftherearenosuchratesandprices,oriftheyareinappropriateorinapplicable,thensuchvalueshallbefixedbytheContractorina
fairandreasonablemanner.Untilsuchtimeasrates,pricesorquantitiesinvolvedareagreedorfixed,theSubcontractorhasnorighttostopordelaytheexecutionofthevariationworksandtheContractormaydetermineprovisionalrates,pricesorquantitiestoenableonaccountpaymentstotheSubcontractor,subjectalwaystotheEmployer’sdecisionastoconsideringadditionalvalueand/ortimeforsuchvariationundertheMainContract.
SC1.10However,theEmployer’sorEngineer’snonacceptanceofanyrequestforinstructiontovaryorVariationOrderinitiatedbytheSubcontractorortheContractororthedisagreementonthevaluationofvariationsshallnotgiveanyright
totheSubcontractortostopordelaytheexecutionofthevariedworksandshallnotrelievetheSubcontractorofanyofhisresponsibilities,dutiesandobligationstoexecutetherelevantworksinstructedunderthisclause.
SC1.11TheSubcontractorshallthoroughlycheckandreviewtheattachedSpecifications,takethenecessarymeasurementsandshallinformtheContractorofanyomission,discrepancyorshortagetherein.TheSubcontractorhasconfirmedthattheDrawingssubmittedbyhimarefullycomplyingwiththeProjectSpecificationsandoverallProjectrequirements.TheSubcontractorshallonthebasisofthesedrawings,theattachedspecifications,theMainContractrequirementsandthemeasurementstakenbyhim,preparetheshopdrawingswithinareasonableperiodacceptabletotheContractorinaccordancewiththeExecutionScheduleandshallexecutetheSubcontractWorksinaccordancewiththeshopdrawingsapprovedbytheEmployer/Engineerandwithotherrelevantconditions.TheSubcontractorshallalsopreparetheAs-BuiltdrawingsoftheSubcontractWorkssufficientlyinadvanceofthedateatwhichtheContractoriscommittedtopresentthemundertheMainContract.ApprovalbyEmployer/Engineer/ContractorofanyEngineeringoutputdoesnotrelievetheSubcontractorofanydesignresponsibility.
SC1.12TheSubcontractorisdeemedtohaveinspectedandacquaintedhimselfwiththeSiteconditions,andisdeemedtobeawareofallcircumstancesthatareand/ormaybeprevailingduringtheexecutionoftheSubcontractWorksandisdeemedtobeinknowledgeoftheMainContractrequirementsandallotherconditionsapplicableontheContractorpertainingtotheSubcontractWorks.TheSubcontractorshallcompletetheexecutionoftheSubcontractWorksinsuchawaythatnoactoromissioninrelationthereto,willconstitute,causeorcontributetoanybreachbytheContractorofanyofhisobligationsundertheMainContract.
SC1.13ItisherebyunderstoodandagreedthatiftheContractorneedstoterminatetheSubcontractAgreementforreasonsbeyondhiscontrol,thenthe
ContractormayatanytimebyaThree(3)days ’noticetotheSubcontractor
forthwithterminatetheSubcontractor’semploymentundertheSubcontractandthereupontheSubcontractorshallwithdueexpeditionremovehisstaffandworkmenandSubcontractor’sEquipmentfromtheSite.ConsequentlytheSubcontractorshall
bepaidbytheContractor,ifsofarassuchamountsoritemshavenotalreadybeencoveredbypaymentsonaccountmadetotheSubcontractorforallworkexecutedandapprovedbytheEngineer/Employerpriortothedateofterminationattheratesandprices,ifany,providedintheSubcontract,oriftherearenosuchratesandprices,thensuchamountasmaybefairandreasonable.
Inaddition,theContractorshallreimbursetheSubcontractorforthelossordamage,ifany,thathemayhaveincurredarisingoutoforinconnectionwithorbyconsequenceofsuchterminationprovidedthat
(i) theSubcontractorhasprovidedtheContractortimelywithall
necessarydocumentation,proof,invoices,receipts,vouchers,andthelikeevidencesasrequiredtosubstantiatethattheclaimedamountsbytheSubcontractorhasbeenactuallysustainedbyhimandwereunavoidableatthedateoftermination,and
(ii) theContractorhasreceivedcorrespondingsumsfromtheEmployer.
SC2Prices
TheunitpricesagreeduponforeachoftheitemsoftheSubcontractWorksareasstatedintheattachedBillofQuantities.ThesepricesshallremainfixedandshallnotbesubjecttoanyadjustmentwhetherduetoexecutionofanyoftheSubcontractrequirementsoralterationorfluctuationintheexchangeratesorchangeinsubcontractindividualquantitiesormarketpricesoranyothercausesorcostswhichmayinfluenceoraffecttheSubcontractWorksand/ortheSubcontractorincludingwar,riotsandmilitarypoweractions.
TheSubcontractorconfirmsthathehassatisfiedhimselfastothecorrectnessandsufficiencyofthesepriceswhichareconsideredthefullandcomprehensive
compensationfortheexecutionoftheSubcontractor ’sobligationsunderthis
SubcontractAgreement,andhasallowedforallcontingenciesinthisconnection.
SC3SubcontractValue
TheSubcontractvalueisestimatedatSR.54,000(SaudiRiyalsfifty-fourThousandsonly)asdetailedintheattachedBillofQuantities(attachment1).
TheSubcontractoracknowledgesthathehaswellreviewedandunderstoodthenature,scopeandvolumeoftheSubcontractWorksasdescribedintheattachedBOQ&Specifications,fullycomplyingwithotherMainContractrequirements.
Noadditionalcostand/orcompensationwhatsoeveristobeclaimedbytheSubcontractornorgrantedbytheContractorresultingfromorinconnectionwiththe
Subcontractor’sevaluation/expectationormisinterpretationormisrepresentationoftheSubcontractAgreementconditionsand/ortheMainContractdocuments.
Duetothere-measurednatureofthisSubcontractAgreement,clauseGC8oftheGeneralConditions(LumpSumNature)isconsideredasnotapplicable.
SC4Delivery&InstallationSchedule
ItisherebyagreedthattheSubcontractorshallcompleteexecutionofalltheSubcontractWorksaspertheattachedExecutionSchedule(AttachmentNo.4)which
mayberevisedthroughtheEmployer’sinstructionsand/orwiththeContractor ’s
executionschedulefortheProjectworks,withoutexemptingtheSubcontractorofanyofhisobligationsunderthisSubcontractAgreementandwithoutanyadditionalliabilitieswhatsoeverontheContractor.
TheSubcontractorshallinformtheBuyer1(one)daybeforethedelivery,andunloadthePortableCabinsatitsownriskasdirectedbyTheContractor.
TheSubcontractorisdeemedtohaveallowedintheattachedExecutionScheduleforcontingenciesandthetimerequiredforcompletingalldesign,engineeringandprocurementactivitiesandotheractions,preparatoryworksandservicestobedoneofftheProjectSite.
TheSubcontractorshallbearallrisksoflosstothePortableCabinspriortoacceptancebytheContractor.
SC5DelayPenalty
WithoutprejudicetootherconditionsofthisAgreement,andwithoutlimitationtotheSubcontractor’sresponsibilitythereunder,shouldtheSubcontractorfail
tocompletedeliverywithinContractorDelayPenaltyof
5(five)days,thentheSubcontractorshallpaytothe5%(FivePercent)oftheSubcontractvalueperday
of
delay.
SC6TermsofPayment
WithoutprejudicetootherconditionsofthisSubcontractAgreement,thepaymentstotheSubcontractorshallbemadeasfollows:
(i)30%(thirtypercent)oftheamountvaluewillbepaidasAdvancePaymentwithin10(ten)daysaftersigningthecontract,againstasecuritychequethatwillbeinlieuofadvancepaymentbankguarantee.
(ii) 65%(sixty-fivepercent) oftheamount valuewillbepaidin10(ten)day
afterallthePortableCabinsbeing installedinsitesandtestedsuccessfully
(iii) 5%ofthetotalamountwillbedeductedbythebuyerforsixmonth
qualityguaranteedeposit,oncethequalityoftheproductsarequalifiedbytheEngineer,thequalityguaranteedepositwillbeturntotheSubcontractor.
TheSubcontractorshallsubmitpaymentinvoiceforCRCCtoreview,confirmationandcertification.UponCRCC’sconfirmationandcertificationonthetheinvoiceand
thesubmittedrecordmentionedinthisClause,paymentshallbemadewithin10(ten)days.
SC7Facilities
WithoutprejudicetotheSubcontractor'sobligationsundertheSubcontractAgreement,itisherebyagreedthattheContractorshallprovidethefollowingfacilitiestotheSubcontractoronthebasisofthecorrespondingterms&conditions.
Facilities
AppropriateuncoveredstorageareafortheSubcontractor'smaterialsthatwillbeincorporatedintheSubcontractWorks.
TermsandConditions
TheSubcontractorshallberesponsibleforstocking,protectionandsecurityofthestoredmaterialandforanyshortageordamagethatmayoccurthereto.

SC9Terminate
ItisherebyunderstoodandagreedthatiftheContractorneedstoterminatetheSubcontractAgreement,thentheContractormayatanytimebya3(Three)days’
noticetotheSubcontractorforthwithterminatetheSubcontractor ’semployment
undertheSubcontractandthereupontheSubcontractorshallwithdueexpedition
removehisstaffandworkmenandSubcontractor ’sEquipmentfromtheSite.
ConsequentlytheSubcontractorshallbepaidbytheContractor,ifsofarassuch
amountsoritemshavenotalreadybeencoveredbypaymentsonaccountmadeto
theSubcontractorforallworkexecutedandapprovedbytheEngineer/Employerpriortothedateofterminationattheratesandprices,ifany,providedintheSubcontract,oriftherearenosuchratesandprices,thensuchamountasmaybefairandreasonable.
SubcontractorshallsignaRELEASEANDWAIVERCERTIFICATE(Attachment6)withContractorbeforethelastpayment.
PART(2)
GENERALCONDITIONS
GC1. SITEAVAILABILITY SubjecttotherequirementsoftheContractor ’s
programmeoranyrevisionthereto,theContractorshallfromtimetotimemakeavailabletotheSubcontractorsuchpartorpartsoftheSiteasreasonablypossibletoenableexecutionoftheSubcontractWorksbuttheContractorshallnotbeboundtogivetheSubcontractorpossessionorexclusivecontrolofanypartoftheSite.NoclaimwhatsoeveronthegroundofSiteavailabilityshallbeputforthbytheSubcontractorwhoshalladheretowithoutanycosttotheContractor'sprogrammeandsitedelivery.
ItisherebyagreedthatSitewillbemadeavailabletotheSubcontractor,clearedandready,toenableexecutionoftheSubcontractWorks,inaccordancewiththeInstallationSchedule.
ItwillbeconsideredobligatoryonthepartoftheSubcontractorthatifhehasbeenpermittedtoplaceontheSiteanyfacilityorstorageofmaterialsorthelikethattheSubcontractorshall,withoutcompensation,moveandrelocateorremovefromtheSite,asthecasemaybe,anysuchitemswithinthetimenotifiedtohimbytheContractor.
GC2.DEFAULTIftheSubcontractorfailstocomplywithanyoftheSubcontractAgreementconditionsorhisperformanceisslowandnottotheContractor’s
schedule,orwhollyquitstheexecution,orfailstoexecuteanyrequirementpertainingtotheSubcontractWorks,orfailsorshowreluctancetocomplywiththe
Contractor’sinstructioninrelationwithSubcontractworksorfailstocomplywiththeSubcontractworksasinstructedbytheContractor,orrefusesorneglectsto
removedefectivematerialormakegoodthedefectiveworkortocompleteoutstandingworks,orcommitsanactofbankruptcyorentersintoadeedofarrangementwithitscreditorsorgoesintoliquidation,oriftheEmployer/ContractordeemsthattheSubcontractWorksoranypartthereofare/isdefectiveorofaqualityinferiortothatrequired,orshouldtherateofprogressoftheSubcontractWorksoranypart/activitythereofbe,intheopinionoftheContractor,tooslowtoensurethecompletionoftheSubcontractWorkswithintheprescribed
timeincludingsubmittalsand/orprocurementandorinstallation,ortheCabinsbeingdeliveredbytheSubcontractorisnotinconformitywiththestandardsand
drawings,andiftheSubcontractordespitetheContractor ’sseven(7)daysnotice,
failstoreinstate,complywithorrectifyorremedythefailureordefaulttothesatisfactionoftheContractor,thenwithoutprejudicetootherrights,conditionsandmeasureshemayapply,andwithoutrecoursetoanyjudicialauthority,theContractorshallhavetherighttotakeanyoneormoreofthefollowingactions:
DemolishanddisposetheexecutedSubcontractWorksincludingtheSubcontractor’smaterialandanyotherworksandmaterialsthatshouldberemovedtoenabletheContractorcompleteanycorrectiveaction,and/or
Executeand/orrepairtheSubcontractWorksoranypartthereofbyhimselforbyanyothersourceincludingprovisionofmaterial,equipmentandmanpoweretc.andincludingexecutionand/orrepairofanyotherworksremovedordamagedwhiledemolishinganddisposingthedefectiveSubcontractWorks,and/or
Employanypartyand/orapplyanymethod,andtakeanyactiontorectify
theSubcontractor’sfailure/defaultandtobringtheSubcontractWorksbacktotheContractor’sschedule,and/or
Takepossessionofallmaterials,constructionalplant,equipment,andotherthingswhatsoeverbroughtbytheSubcontractortotheSiteandmayusethemfreeofchargeforthepurposeofexecution,completingandmaintainingtheSubcontractWorks,andmayifhethinksfit,sellalloranyofthemandapplytheproceedsinortowardsthecompensationofmoniesotherwiseduetotheContractorfromtheSubcontractor,and/or
TerminatetheSubcontractor’semploymentwithoutprejudicetotheSubcontractconditions.
Inanysuchdefault/event,anymeasure(s),application(s)and/oraction(s)takenbytheContractorshallbemadeatandchargedtotheSubcontractor’saccount,
andtheSubcontractorshallnotbegrantedanyextratimeforanysuchremedy,measures,oractionswhethercarriedoutbyhimorbytheContractororbyanyotherpartyemployedbytheContractor.
Inaddition,andinanyoftheabovecases,theContractorshallnotbeliabletopaytheSubcontractoranyfurtheramountuntilFinalHandingOverCertificateforthe
ProjectWorksisissuedbytheEmployerandthereafteruntilascertaininganyandallcosttocompletetheWorksandthetotalamountoflosses,damages,costs,penalties,feesandexpensesincurredinconnectionwithdesign,execution,
completionandremedyingofSubcontractor ’sdefault.
GC3.APPROVALTheContractorshallnotberesponsibleforanydelayinobtainingapprovalsonthesubmittalspertainingtotheSubcontractor’s
employmentortheSubcontractDesign,Worksand/ormaterials,whichifoccurred,shallbeaccountedforintheSubcontractor'sExecutionSchedule,andshallnotbe
liableforanydamage,expensesorlossoftimeintheeventthattheSubcontractor ’
ssamples,materials,SubcontractWorksand/orsubmittalsarenotapprovedbytheEmployer.TheSubcontractWorksandtheemploymentoftheSubcontractoraresubjecttoapprovalbytheEmployer.Intheeventthatsuchapprovalisnotgranted,thentheSubcontractorshallresubmittherelatedworkandtheContactorshalldohisbesttoobtaintheapproval,failingwhich,theemploymentoftheSubcontractorshallbeterminatedwithoutanyobligationorcompensationwhatsoeveronthepartofthe
Contractor.ItisunderstoodthatnosignatureoftheSubcontractor ’sdeliverynotes
orinvoices,andnoactionofpaymenttohimbytheContractorshallmeanapprovaloftheSubcontractWorks.
GC4.INSTRUCTIONSANDDECISIONSTheSubcontractorundertakestoabidebytheinstructions,proceduresanddecisionsoftheEmployerandoftheContractorasmaybedirectedtohiminconnectionwiththeSubcontractWorks.AnytechnicalmatterrelatingtotheSubcontractWorksforwhichnoprovisionexistsintheSubcontractAgreementandanydiscrepancyorcontradictionthereinshallbedeterminedandclarifiedbytheContractorandimplementedbytheSubcontractor.
Itisunderstoodthatanysuchinstructions,procedures,anddecisionswhicharenotconsideredbytheEmployerasVariationsandtheContractorwasnotcompensatedforundertheMainContract,and/orwhichtheSubcontractorshouldhaveenvisagedfromtheSubcontractAgreementconditionsanddocuments,shallbedeemedasintegralpartoftheSubcontractWorksandthevalueofwhichisallowedforintheagreeduponratesandtheSubcontractAgreementvalue.
GC5.INSURANCETheSubcontractorisdeemedtohaveacquaintedhimselfwiththeProjectSitelocation,situation,thesourcesandavailabilityofmaterial,andtheequipmentrequiredforthesupplyandexecutionoftheSubcontractWorks.TheSubcontractorisdeemedtohaveallowedforallevents,accidents,hazardsandrisksthatmayaffectorhappenduringtheexecutionoftheSubcontractAgreementandundertakestocoverhisstaffandhisequipmentwithsufficientinsurancepriortoenteringtheSiteanduntilhehasfinallyperformedhisobligationsundertheSubcontractAgreement.TheabidanceornotbytheSubcontractorofthisinsurancecoverageconditionshallinnowaylimitorabsolvetheSubcontractor’sresponsibilitytobearallrelevantconsequences
TheSubcontractorshallmaintaininforce,andfromthedateoftheSubcontractAgreementuntilissuanceoftheInitialHandingOverCertificateundertheMainContract,ThirdPartyLiability(TPL)andWorkmenCompensation(WC)InsurancesfortheSubcontractWorks,andshallberesponsibleforanypremiums/deductibles/excessesinconnectionwithsuchinsurances.IntheeventoftheSubcontractWorksoranypartthereofhavingbeendestroyedordamagedinsuchcircumstancesthataclaimisestablishedinrespectthereofunderthesaidpolicy,thentheSubcontractorshallreplaceand/orrepairthedestroyedordamagedSubcontractWorksandthepaymentinthisrespecttotheSubcontractorshallbesubjecttotheContractorreceivingcorrespondingcompensationfromtheinsurers.TheContractorshall
administersuchclaimsmadeattheSubcontractor ’sexpensesandrisk.The
Subcontractorshallacceptthecompensationamount-ifany-determinedbytheContractorandshallseeknofurthercompensationfromorraiseanyfurtherclaimagainsttheinsurers,theEmployerand/ortheContractor.
GC6.NOTICESAssoonastheSubcontractorbecomesawareofanymatterwhichislikelytocauseadditionalexpenseortocauseadelayundertheSubcontractAgreementandbeforecommencingtheworkinrespectofthatmatter,theSubcontractorshallnotifytheContractorthereaboutinwritingwithin7days,andshallprovidehimwithallsupportingevidence.IftheSubcontractorfailstocomplywiththisconditionheshallbedeemedtohavewaivedhisrights-ifany-toclaimanycompensationofmoneyandtimeregardingthatmatter,withoutprejudicetotherightoftheContractortoclaimandcollectincurreddamagesindemnityfromtheSubcontractorduetosuchfailure.
