OFIwillrecoveranylossofrevenueduetoexchangerateconversion.服务SERVICES每周一至周五，上午9时至下午6时，澳菲将提供各项服务。如需在正常工作时间以外的其他时间特别安排提供此类服务，将另加付人民币150/小时。OFIwillprovideservicesfrom9:00am~6:00pmMondaytoFriday.SpecialarrangementforuseofsuchservicesoutsidenormalbusinesshoursisavailableuponrequestsubjecttoadditionalRMB150perhour.使用及使用限制USEANDLIMITATIONSONUSE客户除自身拥有的笔记本电脑或个人电脑、机及桌面打印设备之外，不得再安装或变更任何电线、电缆、导线或其他电气及通讯线路。Clientshallnotinstalloralteranywiring,cabling,conduitorotherelectricalortelecommunicationlines,otherthanClient-ownedlaptoporpersonalcomputers,faxmachineanddesktopprinters.客户如需在本机构内设置无线通讯连接装置，则须征得澳菲同意。ClientisrequiredtoobtainpermissionfromOFIforestablishingwirelessconnectivitysettingsintheFacility.客户仅限于将该房屋作为办公用途，并且不得使用或允许他人使用该房屋，以达到下列任何目的、或采用下列任何方式：（a）该目的或方式为非法的；（b）该目的或方式对业主或其他租赁单位造成骚扰的；（c）该目的或方式可能对物业构成危险、或造成本机构保险费用上升的；（d）损害本机构作为一流商务中心的性质的；（e）其“零售”经营性质造成无关人士进入该处所的。ClientwillusethePremisesforofficepurposeonlyandwillnotuseorpermittheuseofthePremisesforanypurposeorinanymannerthatis(a)illegal,(b)createsanunreasonableannoyancetoownersorothertenants,(c)whichmaybedangeroustothepropertyandincreasetheinsurancepremiumoftheFacility,(d)impairthecharacteroftheFacilityasafirstclassbusinesscenter,(e)“retail”natureinvolvingvisitsbymembersofthepublic.严禁在墙上钉钉子。若客户需在墙上陈列图表或图纸等，请确保墙纸或油漆免受污渍损害。根据租用房间大小和状况，客户可能须缴纳人民币2500~4000元的翻新费。公共区域的家具、固定附着物或装饰品等，客户概不得随意移动。除澳菲向客户提供之设施外，客户不得在本机构处所添加任何锁具或报警装置，也不得复制任何钥匙及/或门卡。若钥匙/门卡丢失，须立即向澳菲报告。同时，客户须承担钥匙/门卡更换费，如有必要，还须承担锁具换装费。就第（F）节中所约定之客户要求更换、或另行增配的钥匙，客户须按标准价格向澳菲进行偿付。未经澳菲许可，客户不得将本协议或任何服务收益权转让给任何第三方。Nailingonthewallisstrictlyprohibited.IfClientneedstodisplaychartsordrawingonthewall,makesureyouleavenostainmarksordamagetothewallpaperandpaint.ArenovationcostofRMB2500~RMB4000willapplydependingonthesuite’ssizeandcondition.Clientshallnotremovefurniture,fixturesordecorativematerialsfromthepublicareas.ClientshallnotaddanylocksoralarmstotheFacilityorduplicateanykeysand/orcardsinadditiontothosefurnishedbyOFI.Anylosskeysand/orcardsmustbereportedtoOFIimmediatelyandClientshallpayforreplacementcostandchangingoflockifrequired.ClientwillpayOFIstandardchargesforanyadditionalorreplacementkeysrequiredbyClientasstatedinsection(F).ClientcannottransfertheagreementoranyservicesbenefitingtoanythirdpartywithoutOFIconsensus.房屋的使用及维护USEANDCAREOFTHEPREMISE客户务必细心爱护其商务中心，各办公用房及其中的设备、配置及家具。若因客户一方的业务代表人员、雇员及/或访客所造成的任何财产损失，概由客户承担。凡从客户所租房屋之外能够看见之处，客户概不得将其公司名称、图片或任何其他装饰附着于门或其他任何地方。Clientmusttakegoodcareofthebusinesscenter,theofficesuites,itsequipments,fittingandfurniturethatyouuse.Clientisliableforanydamagecausedbyyourrepresentatives,employees,and/orvisitors.Clientshallnotaffixsigns,picturesorotherdecorationsonthedoororanywhereelsethatisvisiblefromoutsideyouroccupiedsuite(s).不可抗力：有关责任的限制FORCEMAJEURE:LIMITATIONSONLIABILITY澳菲概不保证其所提供之各项服务不会出现因与客户使用的服务项目相关的机械故障而导致的中断或差错。对于因非澳菲所能够合理控制的原因而造成的任何妨碍、延误或停顿，澳菲概不承担任何责任。若发生该等情形，则只要此类情形继续存在，则澳菲将免于继续承担提供受影响之服务项目的责任。客户须允许澳菲有合理的时间恢复提供该等服务。在任何情形下，对于经营业务及/或利润损失、数据破坏、第三方索赔或任何继发性损失等，澳菲不承担任何责任。OFIcannotguaranteeitsservicebeinginterruptedand/orerrorfreeasaresultofmechanicalbreakdowninconnectionwithClients’useoftheservices.OFIshallhavenoliabilityforanypreventions,delayorstoppageofservicesduetocausesbeyondOFI’sreasonablecontrol.Insuchevent,OFIshallbeexcusedfromprovidingtheaffectedserviceforsolongassuchprevention,delayorstoppagecontinues.ClientwillallowOFIreasonabletimetoresumesuchservices.Undernocircumstance,OFIwillbeliableforanyliabilityforlossofbusiness,profit,damageddata,thirdpartyclaimoranyconsequentialloss.违约及提前终止协议DEFAULTANDEARLYTERMINATIONOFAGREEMENT若发生以下任何情形之一，澳菲可立即终止本协议：OFImayterminatetheagreementimmediatelyforoccurrenceofanyofthefollowing:(a)客户未能偿付任何到期应付款项、或履行本协议项下任何其他付款义务的。Customerfailstopayanysumdueandpayable,ortoperformunderthisAgreementanyotherpaymentobligations.(b)客户未能履行本协议项下任何其他条款约定，并且在向客户发出有关该等未能履行义务事实的通知之后，于十（10）日内仍未得到纠正的。FailuretoperformanyotherprovisionofthisAgreementifnotcuredwithinten(10)daysafternoticeofsuchfailurehasbeengiventoclient.(c)客户及其员工或业务代理人员的行为不符合正常办公室使用规定的。Client,itsemployeeoragent’sconductisincompatiblewithordinaryofficeuse.在该等情形下，客户必须：Undersuchcircumstances,Clientmust:(d)对于因协议终止而造成的任何损失进行赔偿，免除澳菲的任何责任。IndemnifyOFIagainstanylossesincurredasaresultofthetermination(e)足额清偿协议剩余期间（若其尚未被澳菲所终结）的所有月度服务费（包括租赁费）Payinfullallmonthlyservicefee(includedrentalfee)fortheremainingperiodoftheagreementshouldOFInotendedit.(f)足额清偿所有尚未支付的服务费。Payinfullalloutstandingservicesfee.延迟付款LATEPAYMENT截止到每月二十五日（付款截止日）尚未缴纳的到期应付款项，须按以下利率承担滞纳金：Feenotpaidonthe25thday(the“duedate”)ofeachmonthwhenduewillbearlatepaymentchargeatthefollowingrate:滞纳金:每日收取该到期账单金额的千分之五作为滞纳金。LatePaymentfee:OFIwillchargeclient5‰ofoutstandinginvoicedaily.在足额缴清应付款项前，本公司保留暂停提供服务（包括拒绝进入房屋权）。Wereservetherighttowithholdservices(includesdenyingaccesstothepremise)untiloutstandingpaymentisreceivedinfull.保证金SECURITYDEPOSIT待办公室的服务租赁合同期满后，澳菲将保证金予以返还。在最后一个开票周期结束时，保证金将在扣除所有到期应付款之后予以返还。保证金余额将存入客户在中国境内指定的银行账户内。保证金不得用于抵冲客户最后一个月的租金及/或服务费。OFIwillrefundthesecuritydepositafterofficecontracthasexpired.Thesecuritydepositrefundlessanyoutstandingduesshallbeprocesseduponcompletingthefinalbillingcycle.TheremainingbalancewillbedepositedintoClient’sdesignatedbankaccountinChina.TheSecurityDepositcannotbeusedtooffsetClient’slastmonth'srentaland/orservicefees.在本合同解除或正常终止之后，客户必须做到以下两点:其一客户应负责向上海市长宁区房地产交易中心办理本合同的注销租赁备案登记手续,并承担相应费用；或客户可委托澳菲负责办理前述注销租赁备案登记手续，但应承担澳菲为完成该等注销租赁备案登记手续所发生的所有合理费用。其二,客户将在其搬离本合同项下的房屋之前变更其上海代表处（或公司）的注册地址,并将反映客户上海代表处（或公司）注册地址变更的证明文件之复印件提供给澳菲。如果客户未能在规定期限(自客户书面通知我司解除本合同之日至客户实际搬离本合同项下的房屋之日的前一天为止的期限)内做到上述两点，则我司将有权没收客户的已经实际缴纳的保证金。ClienteitherunilaterallyterminatesthisContractbeforeexpirationofthisContractorwhenthecontractexpires,ClientisstillliableforthefollowingtwoobligationsafterterminationofthisContract:Firstly,ClientisresponsiblefordealingwiththederegistrationformalitiesofthisLeaseContractwiththeCHINGNINGrealestatemunicipalityonitsowncosts;asanalternative,ClientmayentrustOFItogothroughallsuchderegistrationproceduresandcompensateOFIofanyreasonablecostsalreadyassumedbyOFIinconnectionwithsuchderegistration.Secondly,ClientshallchangetheregisteredaddressofitsShanghaiRepresentativeOfficebeforemovingoutofthePremisehereunder,andprovideOFIwithacopyoftheevidenceofsuchchangeoftheregisteredaddressoftheClient’sShanghaiRepresentative.IfClientfailstoperformtheabovetworesponsibilitieswithinthestipulatedperiod(theperiodcommencingfromtheissuancedateofthewrittenterminationnoticebytheClientandendingonthedaybeforethedatewhenClientactuallymovesoutofthePremisehereunder),OFIwillbeentitledtowithholdandkeepthesecuritydepositClientalreadypaid.赔偿INDEMNITY客户同意，对于客户或任何其他人因任何原因在房屋或本机构之内、之中或其周围所遭受的任何损失、责任、人身伤亡或财产损失等，澳菲或其业务代理人员概不承担任何责任。对于因在房屋或本机构之内、之中或其周围发生任何人身或财产损失而提出的任何索赔，而致使澳菲遭受的一切损失、损害、赔偿、债务、费用开支及律师费用等，客户均将给予赔偿并保护澳菲免遭任何该等损失或损害情形之侵害。ClientagreesthatneitherOFInoritsagentsshallbeliableforanyloss,liability,injury,deathordamagetopersonsorpropertywhichissufferedorsustainedbyClientoranyotherpersonin,onoraboutthePremisesorFacilityfromanycause.ClientwillindemnifyandholdOFIharmlessfromallcosts,damages,claims,liabilities,expensesandattorney'sfeesarisingoutofanyclaimofdamagetoanypersonorpropertyoccurringin,onoraboutthePremisesortheFacility.进入房屋之权利ENTRYONPREMISES我司有权在事先口头或书面通知客户的情况下，于正常工作时间内进入房屋进行认为有利于房屋的维护、安全或改善任何修理、更换或清扫作业。任何情况下，该等进入不得被视为或当作针对客户的收回或非法侵入其租赁屋舍之行为。OFIhavetherighttoenterthePremisesduringofficehourswithpriorverbaland/orwrittennoticetoClientforthepurposeofmakinganyrepairs,alterationsorcleaningwhichitshalldeemnecessaryforthepreservation,safetyorimprovementsofthePremises.SuchactionsarewithoutinanywaybeingdeemedorheldtohavecommittedanevictionofortrespassagainstClient.客户租赁期满前六十（60）日，经客户确认将终止租赁关系的，客户应允许我司向任何有意租用的第三方展示该房间。Sixty(60)dayspriortotheexpirationdateoftheClient’slease,ClientshallallowOFItoshowthesuitetoany3rdpartieswhointendtooccupythesuiteafterClientconfirmtoterminateitslease.房屋之退还SURRENDEROFPREMISES租赁期满或终止后，客户须将房屋以干净、整洁、无需修理的状况退还给澳菲，并将其中客户的所有个人财产及杂物等清运出场。对于租赁期满仍被弃置的任何个人财产，澳菲有权对之进行转售处理，而无须承担任何经济责任。OnexpirationorterminationoftheTerm,ClientwillsurrendertoOFIthePremisesingoodandsanitaryconditionfreeofrepair,andwithallofClient'spersonalpropertyanddebrisremoved.OFIhastherightstore-sellordisposeanypersonalpropertyafterleasehasexpiredwithoutanyfinancialliability.终止租赁时，为恢复房屋之正常使用功能，澳菲指定承包商或指定个人可能会向客户收取一笔费用。为恢复房屋正常使用功能而续租期间的租金，将按足额收取。Upontermination,afeemaybechargedtocarryoutrestorationandmakegoodofthepremisesbyOFIappointedcontractorsandpersonnel.Rentalforthedaysrequiredtorestorethepremiseswillbechargedatfullrate.若本协议期满时，客户不在租赁处所，则因客户未能按时撤出而造成的任何损失、索赔或责任等，概由客户承担。IfClientisnoton-siteuponexpirationoftheagreement,Clientshallberesponsibleforanyloss,claimorliabilityincurredasaresultofClient’sfailuretovacateontime.若条件允许，并按标准收费补足缴费后，澳菲可允许客户享有一段宽限期。OFImaypermitClientanextensionsubjecttoavailabilityandsurchargeonthestandardrate.无病毒感染的个人计算机VIRUSFREEPERSONALCOMPUTER对于带入办公室内使用的所有个人计算机，客户务必安装最新版本的杀毒软件并须保证软件始终有效。澳菲已示警告而因客户不愿意配合而导致的网络/互联网连接中断等故障，客户须承担经济责任。Clientmustinstallthelatestanti-virussoftwareinallpersonalcomputersbroughtintouseandtoensuretheeffectivenessofthesoftwareatalltimes.Clientwillbefinanciallyliablefornetwork/internetdisconnectionifsuchfailureiscausedbyClient’sunwillingnesstocooperateafterwarningbyOFI.休息室及公用区域COFFEELOUNGEANDCOMMONAREAS除会议室外，客户不得将咖啡休息区及其他公用区域用于从事任何形式的业务活动。必须将噪音减至最低限度，以免对其他客户或租户造成任何侵扰。Clientshouldnotusethecoffeeloungeandcommonareas(otherthantheconferencerooms)toconductanytypeofbusiness.Thenoiselevelmustbekepttoaminimumsoasnottointerferewithorannoyotherclientsoroccupants.聘用澳菲工作人员EMPLOYINGOFISTAFF本协议有效期间或期满后六（6）个月内，客户可聘用任何澳菲员工，不论其属于部分时段工作制、临时性还是永久性，并且不论其作为雇员还是作为独立咨询师，均属于澳菲向客户提供的额外服务。客户同意向澳菲支付按该员工当前工资水平计相当于六个月的金额，以作为补偿。Duringyouragreementisinforceand/orafterithasexpiredforaperiodofsixmonths,intheevent,ClienthiresanyOFI’semployeeseitherpart-time,temporaryorpermanentbasisandeitherasanemployeeoforindependentconsultingtoClient,shallconstituteanadditionalserviceprovidedtoClientbyOFI.ClientagreestopayOFIsixmonthsofhi
