ParttyBwwilloonlycconduccttheesiteevisiitanddclieentmeeetingginCChina..设计工作中的990％将在美美国境内、乙乙方的洛杉矶矶事务所完成成，乙方在中中国国内的进进行的唯一工工作是与甲方方会晤和现场场踏勘。PARTYBB’SBASSICSEERVICEES设计顾问问的基本服务务

AsparrtofthePProjecct’smixxedussedevvelopmment,basedduponnaMaasterplanby((seeaattachhment1oftheAAgreemment)DesiggnConnsultaantshhallpproviddetheefolllowinggservvices::作为项目综合用用途开发的一一部分，设计计顾问应在的的总体规划（参参见合同附件件2）的基础上上提供以下服服务：A.

ArcchiteccturallDesiignoff1Villlas(sseeatttachmment33ofttheAggreemeent)wwithaatotaalofapproox.m22.DessignttoDessignDDeveloopmenttLeveel+TTypicaalDettails+ArttisticcSiteeSupeervisiion1幢别墅（参见见合同附件33）的建筑设设计，总面积积约平方米。设设计深度：扩扩初设计+典型详图+艺术现场质质量管理。B.

ArcchiteccturallDesiignoffApprrox.mm2commmerciialdeeveloppmentforsshopsandrrestauurantssatwwaterffront(seeattacchmentt3offtheAgreeement)).DessignttoDessignDDeveloopmenttLeveel+TTypicaalDettails+ArttisticcSiteeSupeervisiion滨海地区店铺和和餐馆等商业业性开发（参参见合同附件件3）的建筑设设计，面积约约平方米。设设计深度：扩扩初设计+典型详图+艺术现场质质量管理C.

ArcchiteccturallDesiignoffapprrox.mm2hottel(sseeatttachmment33ofttheAggreemeent).Theddesignnservvicesarellimiteedtoaconnceptuualsttudyttovissualizzetheepoteentialloftthesiitefoorressorthhoteluse.酒店（参见合同同附件3）的建筑设设计，面积约约平方米。设设计服务仅限限于概念性研研究以便设想想该地块作为为度假酒店的的潜力。1.SCOPPEOFWORK工作范围

TheprrojecttwilllbeddeveloopedaaccorddingttotheefolllowinggPhasses本项目将根据以以下阶段进行行深化：1.1.COONCEPTTUALDDESIGNNPHASSE概念设计计阶段

DesignnConssultanntwilllconnsultwiththeCClientttoddeveloopapprograamanddconcceptuaalizepossiiblessolutiionsaandannalyzeeexisstingcondiitionss.设计顾问将与业业主咨询以编编制设计任务务书，及概念念性地归纳出出可能的办公公空间的解决决方案，并分分析现有条件件。DesignConsuultanttwillldeveelopaaConcceptuaalDessignbbaseduponthepprograam.Thhiswiillinncludeewritttenaandgrraphiccpressentattion.Theggraphiicpreesentaationwillincluudepllansaandellevatiions,asweellass3-diimensiionalconceeptuallimaggesoffthedesiggnanddotheerneccessarrymeaansoffcommmunicaatingtheddesignn.设计顾问将以此此任务书为基基础进行概念念设计，包括括文字和图纸纸方式的设计计汇报成果。汇汇报图纸将包包括空间的平平、立面图、3d设计概念图、以及其他必要的设计交流的方式。TheIniitialSubmiissionnshalllbeDigittalinnPDFFormaat,anndpriintedas100ColoorfulBrochhuresinA33Formmat.成果应包括PDDF格式的的电子文件、以以及10份A3规格的彩彩色文本。Withina4wweekpperioddafteertheeinittialssubmisssion,,theDesiggnConnsultaantwiillreevisethecconcepptualdesiggnacccordinngtoClienntsreequireementssandwillprepaarethhefolllowinngdoccumenttsinccludinngA0PanellsforrGoveernmenntPreesentaation..在提交初步成果果4周的时间间内，设计顾顾问将根据业业主要求修改改概念设计，并并负责准备下下列向有关部部门进行汇报报的设计文件件（包括A00展示板）。Model模型型（1:7550）Masterplan总总体规划（11:750）Layoutplanssofccharaccterissticzzones1:2000特色地带平面布布置图（1::200）Elevatiions立面面图（1:2200）BirdsEEyeViiewoffentiireBaay整个海湾湾的鸟瞰图2RendeeringssofttheViillas别别墅透视图（2份）3Rendeeringssoftthecoommerccialzzone.商商业地带透视视图（3份）3RendeeringssofttheHootel酒店店透视图（33份）GeneralldesccriptiionsoofDessigniintenttion,Materrials,,Coloors,EEconommicDaata.设计意图、材料料、色彩、经经济资料概述述。1.2.SCCHEMATTICDEESIGNPHASEE方案设计阶阶段

BasedonthheappproveddConcceptuaalDessignaandappproveedproogram,,DesiignCoonsulttantwwillaadjustttheDesiggnacccordinngtoClienntsreequireementssanddevellopthhedessignttoschhematiicdessignllevel;;evalluatemeanssofcconstrructioon,maateriaals,ccolorschemmes,aandfiinisheesforroverrallrrevieww.DessignCConsulltantwillconsuultwiiththheｅｘｅｅｃutivvearcchitecctabooutmeechaniicalaandsttructuuralmmatterrsconncerniingthheSchhematiicDessign,butwwillnnotpeerformmanystruccturallormmechannicalserviicesiitselff.IncasetheCClienttrequuestssubsttantiaalchaangesincoompariisonttotheeprevviousllyappproveddConcceptuaalDessign,addittionalldesiignwoorkshhallbbebiddoutseparrateoofthiisconntracttorbbilleddataanhouurlyrrate.设计顾问在经审审定的概念设设计与设计任任务书的基础础上，根据业业主要求调整整总平面，并并深化设计，达达到方案设计计的深度：同同时，对施工工方法、选材材、配色方案案以及装修等等进行评价和和总体分析。设设计顾问将就就与方案设计计相关的设备备与结构事宜宜，与总建筑筑师或者总承承包人商讨，但本身不会承担任何结构设计或设备设计的服务。如果业主要求对先前已审定的概念设计进行重大改动，其额外的设计工作应在本合同之外另行报价或采用小时费率进行收费。1.3DESSIGNDDEVELOOPMENTTPHASSE初步设计计阶段

BasedonthheappproveddScheematiccDesiignanndappproveddproggram,DesiggnConnsultaantwiilldeeveloppthedesiggntodesiggndevvelopmmentllevel;;evalluatemeanssofcconstrructioon,maateriaals,ccolorschemmes,aandfiinisheesforroverrallrrevieww.DessignCConsulltantwilldevelloptyypicallconsstructtionddetaillsforrkeydesiggneleementss.DessignCConsulltantwillconsuultwiiththheｅｘｅｅｃutivvearcchitecct,geenerallconttractooranddengiineerssabouutmecchaniccalanndstrructurralmaatterssconccerninngtheeDesiignDeeveloppmentbutwwillnnotpeerformmanystruccturallormmechannicalserviicesiitselff.IncasetheCClienttrequuestssubsttantiaalchaangesincoompariisonttotheeprevviousllyappproveddScheematiccDesiign,aadditiionaldesiggnworrkshaallbeebidoutsseparaateoffthissconttractorbiilledatannhourrlyraate.设计顾问在已审审定的方案设设计和任务书书的基础上，继继续深化设计计，达到初步步设计的深度度：对施工方方法、选材、配配色方案、装装修等进行评评价和总体分分析。设计顾顾问将为关键键的设计元素素提供标准施施工细部大样样。设计顾问问将就与初步步设计相关的的设备与结构构事项，与总总承包人和工工程师协商，但但本身不会承承担任何结构构或设备的设设计服务。如如果业主要求求对先前已审审定的方案设设计进行重大大改动，其额额外的设计工工作应在本合合同之外另行行报价或采用用小时费率进进行收费。1.4CONNTRACTTDOCUUMENTPHASEE施工图设计计阶段

Thecllientwillhireanｅｘｘｅｃutiivearrchiteectfoorthiisphaase.BBasedonappproveedDessignDDeveloopmentttheｅｘｅｃuttiveaarchittectoorgenneralcontrractorrwilllprodducettheCoonstruuctionnDocuumentss.DessignCConsulltantreserrvesttheriightttokeeeptheeartiisticsuperrvisioononthepprojecctanddtocconsullttheeｅｘｅｃｃutiveearchhitecttintthispphase..业主将在本阶段段聘请一位总总建筑师。总总建筑师或者者总承包人将将在已审定的的初步设计的的基础上编制制施工图文件件。设计顾问问保留本工程程的艺术监理理权利、以及及在此阶段与与总建筑师商商讨相关工作作的权利。1.5CONNSTRUCCTIONPHASEE--------ADDMINISSTRATIIONOFFTHECONSTTRUCTIIONCOONTRACCT1.5.施工阶阶段-施工合同的的管理Thecliientwwillhhireaanｅｘｅｅｃutivvearcchitecctorgenerralcoontracctorfforthhisphhase.DesiggnConnsultaantreeserveestheerighhttokeeptheaartistticsuuperviisiononthheproojectandttoconnsulttheｅｅｘｅｃuttiveaarchittectoorgenneralcontrractorrintthispphase..DesiignCoonsulttantwwillcconsulltonanyaadjusttmentsstotthedoocumenntsshhouldthereebeaanydiiscreppancieesbettweentheeexistiingcoonditiionstthataariseafterrconsstructtionccommenncesaandthheconnstrucctiondocumments..Theamounntofsitevisittsislimittedtoofiftteenttimesasoffthissagreeementt.AnyyaddiitionaalreqquesteedsittevissitshhallbbeconnsiderredAddditioonalSServiccesanndbecompeensateedassuch..业主将在本阶段段聘请一位总总建筑师或者者总承包人。设设计顾问保留留本工程的艺艺术监理权力力、以及在此此阶段与总建建筑师或总承承包商商讨相相关工作的权权利。如果施施工开始以后后出现的实际际情况与施工工图不符，设设计顾问可以以就设计文件件的调整提供供咨询。本协协议中规定的的现场考察次次数限为十五五次。除此以以外，任何另另外的现场考考察要求应视视为额外服务务，应获得相相应报酬。2.ADDIITIONAALSERRVICESS额外服务

AddditionnalSeerviceesshaallinncludee,buttnotbeliimiteddto:未在上文里说明明的服务均应应视为额外服服务。额外服服务应在业主主书面授权或或确认的情况况下才能提供供。额外服务务项目应包括括、但不限于于：2.1Makkingrrevisiionsiindraawingss,speecificcationnsorotherrdocuumentsswhennsuchhreviisionsstotthedeesigndocummentsareiinconssistenntwitthappprovallsorinstrructioonsprreviouuslyggivenbyCllient,,inclludinggthossemaddeneccessarrybyadjusstmenttsinCliennt’sproogramorbuudget..2.1与业主主先前的确认认或指示不一一致的设计文文件的修改（图图纸、说明和和其它文件的的修改），包包括因业主调调整设计任务务书或预算而而进行的必要要修改。2.2Makkingrrevisiionsrrequirredbyyenacctmenttorrrevisiionoffcodees,laawsorrreguulatioonssuubsequuentttotheeprepparatiionoffDesiignCoonsulttant‘sdoccumentts.2.2根据设设计顾问的文文件编制完成成之后才制定定或修订的规规范、法律或或规定的要求求而进行的设设计修改。2.3MakkingcchangeesreqquireddasaaresuultoffClieent’sfaiiluretoreenderdecissionsinatimellymannner.2.3由于业业主未能已及及时做出决定定而需要进行行的改动。2.4ProovidinngserrvicessrequuiredbecauuseoffsignnificaantchhangessintthePrrojectt,inccludinngsizze,scchedulle,maateriaals,mmethoddofbbiddinngorconsttructiioncoontracctingorcoonstruuctionnmanaagemennt.2.4因工程程的重大变化化（包括工程程规模、进度度、材料、招招标方法、或或施工承包或或施工管理等等）的要求而而提供的相应应服务。2.5PreeparinngdoccumenttsevaaluatiingCoontracctor’sprooposalls,anndproovidinngothherseerviceesinconneectionnwithhChanngeOrrdersorCoonstruuctionnPropposalss.2.5编制评评估承包商投投标书的文件件，并提供其其它与工程变变更通知或施施工投标书相相关的服务。2.6ProovidinngserrvicessincconnecctionwithContrractorr’sreqquestforssubstiitutioons.2.6提供与与承包商的代代理要求相关关的服务。3.OWNEER’SRESSPONSIIBILITTIES.业业主的责任

3.1CllientshalllfurnnishttotheeDesiignPrrofesssionallonaatimeelybaasisaallinnformaationnecesssaryandrrelevaantfoortheeDesiignCoonsulttantttoperrformitswworkuunderthisagreeement..3.1业主将将及时向设计计专业人员提提供设计顾问问在本协议下下开展工作所所必需的所有有相关资料。3.2CliientsshalldesiggnateareppresenntativveautthorizzedtooactonthheCliient’sbehhalfwwithrrespeccttothePProjecct.ThheCliientoorsucchdessignattedreepreseentatiiveshhallrrenderrdeciisionssinaatimeelymaannerinorrderttoavooidunnreasoonableedelaayintheoorderllyanddsequuentiaalproogresssofttheDeesignConsuultantt‘sserrvicess.3.2业主将将委派一名代代表业主的项项目授权代表表。业主或该该授权代表应应及时做出决决定，以避免免不合理地延延误设计顾问问有序而连续续的服务。3.3CliientsshallproviidetooDesiignCoonsulttantaalldoocumenntsesstabliishinggthelegallparaameterrsofthepprojecct,toogetheerwitththeemosttcurrrentddepicttingaallimmproveementssontthesiite.TThisiinformmationnshalllbeatCllient’sexppenseandDDesignnConssultanntshaallbeeentiitledtoreelyupponthheacccuracyyofssuchiinformmationnwithhoutttakingganyactioonstooveriifyitt.3.3业主将将向设计顾问问提供设定本本项目法定参参数的所有文文件、以及最最新的反映施施工现场所有有进展的文件件。此类资料料的费用应由由业主承担，设设计顾问应有有权依赖此类类资料的准确确性，而无需需再行核实。3.4Cliient((hereaafter“Indemmnitorr”)agrreesttofulllydeefend,,fulllyinddemniffy,anndfulllyhooldhaarmlesssDessignCConsulltant,,andDesiggnConnsultaant‘sownners,shareeholdeers,ppartneers,ddirecttors,officcers,emplooyees,,agennts,aandreepreseentatiives((hereaafter“Indemmniteees”)froomanddagaiinsttthefuullammountofannyanddallclaimmsofanykkindwwhatsooever,,inclludinggbutwithooutliimitattionaattornney’sfeeesanddcostts,arrisinggoutofthheprooject,,brouughtbbyorthrouughannythiirdpaarty,tothhefulllestextenntperrmitteedbylaw,withtheeexcepttiontthatCClienttshalllnotthaveesuchhindeemnifiicatioonoblligatiionsttoInddemnittiesfforsuuchInndemniitees’neglligencceorwillffulmiiscondduct...3.4对于因因工程的原因因、由或通过过任何第三者者而产生的、任任何类型的任任何和所有索索赔的全额，业业主（以下称称为“赔偿人”）同意，在在法律允许的的最大范围内内提供为设计计顾问、以及及设计顾问的的所有者、股股东、董事、高高级职员、雇雇员、代理人人以及代表（以以下称“接受赔偿人人”）提供全面面辩护、全面面赔偿以及全全面保护使其其不受损害，范范围包括但不不限于律师费费用和诉讼费费；但是，业业主对于接受受赔偿人的疏疏忽或故意的的过失不承担担任何赔偿义义务。3.5TheeclieentaggreestoliimitDDesignnConssultannt´sliabiilitytothheCliient,Cliennt’soffficerss,dirrectorrs,paartiess,empployeeesanddagenntsarrisinggfrommDesiignCoonsulttant´´sproofessiionalacts,,erroorsorromisssionssto××××assequiivalenntoftheFFixedFeefforBaasicSServicces.3.5业主同同意，设计顾顾问因其专业业行为、错误误或遗漏、而而应对业主、业业主的高级职职员、董事、当当事人、雇员员以及代理人人等承担的责责任限额为××××美元，即即基本服务的的定额费率。4.CONSSTRUCTTIONCCOST项目目建设成本

4.1ThheConnstrucctionBudgeetwilllbeadminnisterredbyytheｅｘｅｃuttiveaarchittectoorgenneralcontrractorr.DessignCConsulltantwillconsuultwiiththheｅｘｅｅｃutivvearcchitecctorgenerralcoontracctorttodevvelopcostestimmationn.Feeestotheｅｅｘｅｃuttiveaarchittectoorgenneralcontrractorrforcostestimmationnarenotppartoofthiisagrreemennt.4.1施工预预算将由总建建筑师或总承承包人进行管管理。设计顾顾问将就成本本估算的编制制与总建筑师师或总承包人人进行商讨。支支付给总建筑筑师或总承包包人进行成本本估算的费用用不属于本协协议范围。4.2ItisreecogniizedtthatnneitheerDessignCConsulltantnorttheOwwnerhhascoontrolloverrthecostoflaabor,materrialsoreqquipmeent,ooverttheCoontracctor＇smetthodsofdeetermiiningbidppricess,orovercompeetitivvebiddding,,markketorrnegootiatiingcoonditiions.Accorrdinglly,DeesignConsuultanttcannnotannddoeesnottwarrrantoorreppresenntthaatbiddsornegottiateddpricceswiillvaaryfrromannyesttimateeofCConstrructioonCosstorevaluuationnprepparedoraggreedtobyytheDesiggnConnsultaant.4.2鉴于各各方共识，即即：设计顾问问或业主均无无法控制劳动动力、材料和和设备的价格格、无法控制制总承包人决决定投标价格格的方法、也也无法控制竞竞标、市场或或谈判的条件件，则相应，设设计顾问既不不能、也不会会担保或说明明投标价格或或谈判价格、与与设计顾问编编制或认同的的任何建设成成本估算或估估价之间的差差距。5.PAYMMENTSTODeesignConClientshalllcomppensatteDessignCConsulltantasfoollowss.业主应对设计顾顾问支付如下下报酬。PaymenttsshoouldbbemaddetoDesiggnConnsultaant.TThefeeeshaallbeepaiddinUUS$aaccorddingttotheecurrrenteexchanngeraateattthedayoofpayyment..应支付给设计顾顾问的款项。费费用应按照付付款当天的汇汇率以美元支支付。DesignConsuultanttwilllinvooiceCClienttaccoordinggtotthedeesignprogrressoofeacchdessignssubjecct,reespecttivelyyeachhsinggleBuuildinngParrt.PaaymenttshalllbereceiivedbbyDessignCConsulltantwithiin14daysafterrsubmmissioonoftheiinvoicce.DeesignConsuultanttreseervestherrighttoreefusetocoommencceworrkbefforettheprreviouusphaaseisspaiddinffull.设计顾问将根据据每一设计主主题、每个单单体建筑部分分的设计进度度向业主开具具发票。设计计顾问应在提提交发票后的的14日内收收到付款。在在前一设计阶阶段的进度款款项全额支付付之前，设计计顾问将有权权拒绝开展设设计工作。5.1FIXXEDFEEEFORRBASIICSERRVICESS基本服务的的定额费率

USSD5.3TAXXESANNDDUTTIES税费费与关税

AlltaaxesaandduutiesappliicableeinttheUSSAareewithhinthhesolleressponsiibilittyofDesiggnConnsultaant.美国境内的所有有税费和关税税均由设计顾顾问负责。AlltaxxesanndduttiesaappliccableinthheP.RR.Chiina,aarewiithinthessolerresponnsibillityooftheeClieent.中国境内的所有有税费和关税税均由业主负负责。AllDessignwworkoofDessignCConsulltantwillbepeerformmedinntheUSA,inthheLossAngeelesOOfficeeofDDesignnConssultannt.设计顾问的所有有设计工作都都在美国境内内、设计顾问问的洛杉矶事事务所完成。5.4REEIMBURRSABLEES报销费费用

5.4.1..Travvelexxpensees.CllientwillreimbburseDesiggnConnsultaantfoor5SStarHHotelaccommmodattion,andEEconommyClaassFllightTickeets(nnointternattionallfligghts)..5.4.1.差差旅费用：业业主将报销设设计顾问五星星级酒店的住住宿费用、以以及国内航班班的经济舱机机票（不包括括国际航班）。5.4.2RReimbuursablles.CClienttwilllreimmburseeextrraordiinaryexpennsesoofDessignCConsulltantsuchas,bbutnootlimmitedto,llargescaleereprroducttions,,sampples,orprresenttationnmodeelsanndpreesentaationrendeeringsswhicchareenotincluudediintheefeeforbbasicserviices,andwwillbbebillledaatcosst+220%seerviceesurcchargee.DessignCConsulltantwillnotccausesuchexpennseswwithouutwriittenapproovalbbytheeClieent.5.4.2报报销费用：业业主应报销设设计顾问的特特别费用，例例如但不限于于：基本服务务的费率中未未计入的大量量复制文件、样样品或设计汇汇报模型的费费用，费用报报销金额为：：成本+200%的附加服服务费。设计计顾问在没有有得到业主书书面认可时将将不会产生此此类花费。5.4.3FFeesfforreequireedappprovallsanddposssibleconsuultanttfeess(i.ee.StrructurralEnngineeer,MeechaniicalEEngineeer,LLightiingCoonsulttant,LandsscapeDesiggner,etc.))arenotiincluddedinnthissconttract..DesiignCoonsulttantwwilloonlyhhirecconsulltantsswithhthecliennt’swriittenapproovalaandpaaymenttbycclienttasrreimbuursablles.5.4.3所所需批文的费费用以及可能能发生的咨询询费（如：结结构工程师，机机械工程师等等）未计入本本合同。设计计顾问将只能能在业主书面面同意、并报报销所需费用用的条件下聘聘请咨询方。5.4.4NNodedductioons,ooffsetts,orrwithhholdiingssshallbemaadefrromDeesignConsuultantt’scommpensaationonacccounttofppenaltty,liiquidaatedddamagees,orrotheersummswitthhelddfrommpaymmentstocoontracctors,,oraanacccountofthhecosstofchanggesinntheProjeect,oorforrotheerclaaimstthatCClienttmayasserrtothherthhanthhosefforwhhichDDesignnConssultannthassbeennadjuudgedtobeeliabble.5.4.4业业主不得以罚罚金、清算损损失为理由、或或以其它应从从支付给承包包人的款项中中扣除的金额额为理由、或或以项目成本本变化为理由由、或以业主主提出的其他他索赔（设计计顾问已经被被判决应负责责的索赔除外外）为理由，而而减除、抵扣扣或扣缴设计计顾问的报酬酬。6.PROJJECTSSCHEDUULE项目目进度安排

Anycllaim,dispuuteorrotheermattteriinqueestionnarissingooutofforrrelateedtothisAgreeementshalllbessubjeccttomediaationasacondiitionpreceedenttoarrbitraationorthheinsstituttionoofleggalorrequiitableeprocceedinngsbyyeithherpaarty,withtheeexcepttiontthatDDesignnConssultanntmayyperfformtthoseactsnecesssarytoprreservvelieenrigghtsppriortoreesoluttionooftheemattterbyymediiationn.Theeparttiessshallshareethemediaationfeeaandannyfillingooradmministtrativvefeeesequually..与本协议书相关关的任何索赔赔、争议或其其它有疑问的的事项，均应应在任何一方方提请仲裁、或或采用法律或或公正的诉讼讼程序之前进进行调解；但但不受此限的的是：设计顾顾问可在通过过调解解决此此类事项之前前、采取此类类必要的行动动，以便保留留其留置权。各各方应平摊调调解费以及任任何备案或行行政费用。Ifnocconsenntcannberreacheedbymediaation,,bothhparttieshhavettheriightttopleeadinnfronntofthe“ChinaaInteernatiionalEconoomicaandTrradeAArbitrrationnCommmissioon(CIIETAC))”inShhanghaai.ThhearbbitraggeoftheCCIETACCshalllbefinallandauthoorativveforrallpartiies.如经调解无法达达成一致意见见，双方有权权向上海的中中国国际经济济贸易仲裁委委员会(CIETAAC)提请仲仲裁。该委员员会的仲裁裁裁决为最终裁裁决，并对各各方均有约束束力。8.CLAIIMSFOORCONNSEQUEENTIALLDAMAAGES.对于间接损损害的索赔

TheCllientshalllownallrright,,titlle,anndintteresttinaandtootheVisuaalizattionsandDDrawinngsanndallladdiitionssto,delettionsfrom,,alteeratioonsofforrrevisiionsiintheeVisuualizaationssandDrawiings,andaalldrrafts,,docuumentss,nottes,cconceppts,iideassuggeestionns,anndappproachhesreelateddtherretooorconntaineedtheerein,,oroothermaterrialsdevellopedorfuurnishhedbyyDesiignCoonsulttant,andeeacheelemenntanddpartttherreof.DesiggnConnsultaantshhallbbeconnsiderredthheautthoroofalllProppertieesanddwilllowntherrightofsiignatuuresfforalllProopertiiesdeescribbedabbove.WithooutthheagrreemenntfroomtheeClieent,ttheDeesignConsuultanttmaynotuusethhisdeesignforootherprojeectsoorproovidetheddesignntoootherpartiies.AAlldeesigndocummentsproviidedbbyDessignCConsulltanttothhecliientaareinntendeedforrthissprojjectoonly,andmmaynootbeusedbycllientforaanyottherppurposse.ThheDessignCConsulltantshalllhaveetherightttoiincluddephootograaphicorarrtistiicreppresenntatioonsoffthedesiggnofthePProjecctamoongthheDessignCConsulltant’sproomotioonalaandprrofesssionallmateerialss.对于所有图像和和图纸、及图图像和图纸的的所有增减、改改动或修改、以以及所有相关关或所包含的的草稿、文件件、说明、概概念、想法意意见以及方法法步骤等、或或者由设计顾顾问提供或编编制的其它资资料等的每一一组成因素和和部分，其权权利、所有权权和利益均属属于业主。设设计顾问将被被认为是上述述所有作品的的作者，将拥拥有上述作品品的署名权。未未经业主同意意，设计顾问问不得将该设设计用于其它它项目或提供供给其他方。设设计顾问的所所有设计文件件仅用于本项项目，业主不不得将其用于于其它目的。设设计顾问应有有权将本项目目设计的照片片或艺术表现现图收入其公公司宣传和专专业资料。10.TERRMINATTION.协议终止

ThisAAgreemmentmmaybeetermminateedbyeitheerparrtyuppon144daysswritttennnoticeeshouuldthheothherpaartyffailssubstaantialllytooperfformiinacccordanncewiithittsterrmsthhroughhnoffaultofthheparrtyinnitiattingttheteerminaation,,oriintheeevennttheeclieentsuuspenddsorabanddonsttheprrojectt,orDesiggnConnsultaant‘sserrvicess,inwholeeoriinparrt.IffthecontrractggetstterminnatedwithooutthhesubbstanttialffailurreofDesiggnConnsultaanttooperfformiinacccordanncewiiththhisaggreemeent,uupontterminnationntheDesiggnConnsultaantshhallbbepaiidforralloutsttandinnginvvoicess,theefulllamouuntoffallworkperfoormedandsserviccesprrovideedpluusreiimburssable,,upttotheetimeeofnnoticeeoftterminnationnorssuspennsion,,pluss,anyybalaancesorree-stocckingcharggesduuetocanceellatiionmuustbeepaiddbycclientt,toggetherrwithhanaadditiionalTermiinatioonFeeeof110%(ttenpeercentt)oftheaamounttofaagreeddcomppensattionfforthhatpoortionnofBBasicServiiceswwhichhasnnotyeetbeeenperrformeed.当协议任何一方方未能实质性性地履行协议议条款时，无无过错的一方方可通过114天提前前书面通知而而终止协议；；当业主中止止或终止本项项目、或设计计顾问的部分分或全部服务务时，一经任任何协议一方方的14天提前前书面通知，本本协议即可终终止。如果此此合同在设计计顾问执行协协议内容无实实质性过错的的情况下被终终止时，业主主应支付设计计顾问所有直直到协议终止止或中止时的的未付
