5、ant borroowing fees aaccorddinglyy.第四条员工与与甲方为劳动动关系,与乙乙方为劳务关关系。员工的的工作地点、岗岗位、方式由由乙方根据业业务需要确定定。Articlee 4 The reelatioon bettween the EEmployyee whho is conceerned in thhis Coontracct andd Partty A bbelonggs to emplooymentt relaation; and the rrelatiion beetweenn the aforeementiioned Emplooyee aand Paa

The workiing veenue, posittion aand woorkingg methhod off the Emplooyee wwill bbe detterminned byy Partty B bbased on itts bussinesss.第五条借用费费系指乙方借借用甲方员工工的费用,包包括:Articlee 5 Thee “Borrowwing Fees” meanss the paymeent thhat Paarty BB shalll makke to Party
7、y A, wwhich incluudes: (一)支付付员工的工资资。 (1) The wwages of thhe Empployeee. (二)支付付员工的社会会保险、住房房公积金费用用。 (2) The ssociall insuurancee premmiums and hhousinng funnd of the EEmployyee. (五)承担担企业税收等等费用。 (5) Taxees andd otheer exppensess thatt Partty A bbears.第六条甲方方派遣人员的的姓名 ; 聘用用职务及工作作内容 ; 借借用期限 年,自22012年 月 日至20 年 月 日日止 ; 借借用工作地点点 ;Articlee 6 TThe Naame off the outsoourcedd Emplloyee ; Woor
9、kingg Posiition & Worrking Conteents ; Boorrowiing Peeriod , Commmencinng froom tto , Woorkingg Venuue .甲方的义务与权权利CHAPTERR TWO RIGHTS ANND OBLLIGATIIONS OOF PARRTY A第七条甲方承承担下列义务务:Articlee 7 PParty A shaall asssume the ffollowwing oobligaationss:(一)根据据乙方的要求求推荐人选,与与乙方决定借借用的人员或或乙方直接选选定的人员签签订派遣员员工劳动合同同。

11、ntt reguulatioons ennactedd by tthe Chhinesee goveernmennt.(三)教育派派遣员工遵守守乙方的工作作制度,保守守乙方的商业业秘密。 (3) tto eduucate the ooutsouurced emplooyee tto obsserve the wworkinng sysstem aand policcies of Paarty BB, andd keepp the businness ssecretts of PParty B in confiidentiial.(四)从借用费费中支付派遣遣员工的工资资和应得收入入。 (4) t
12、to payy the Emplooyee wwages and oother remunneratiions hhe desservess fromm the borroowing fees.(五)在乙方支支付借用费后后,依法承担担派遣员工的的社会保险、住住房公积金及及福利费用,其其中福利及医医疗保险部分分内容的具体体实施按照本本合同及其附附件条款、甲甲方有关派遣遣员工福利待待遇、医疗费费用报销的规规定执行。 (5) Shhall ppay thhe soccial iinsuraance, housiing fuund annd othher weelfarees forr the Emp

15、ove its wwork aaccorddinglyy.第八条 甲方方享有如下权权利:Articlee 8 PParty A shaall ennjoy tthe foollowiing riights:(一)如遇特殊殊情况,甲乙乙双方不能达达成一致意见见时,甲方有有权撤回派遣遣员工和解除除本合同,但但应提前300天以书面形形式通知乙方方和派遣员工工(派遣员工工在试用期内内除外),同同时甲方按下下列方式向乙乙方一次性支支付补偿费: 派遣员员工被派遣时时间每满一年年,补偿费为为一个月的借借用费,不足足一年的部分分按一年计算算。补偿费以以派遣员工被被撤回当月的的借用费为计计算标准。 (1) II

TThe coompenssationn paymment sshall be maade baased oon thee workking ttime oof thee outssourceed empployeee, whiich shhall bbe one
18、 mmonths borrrowinng feee for each full year workeed. Anny perriod oof nott lesss thann one year shalll be ccounteed as one yyear. The sstandaard off comppensattion ffee shhall bbe thee borrrowingg fee of thhe samme monnth whhen thhe outtsourcced emmployeee is recallled. (二)甲方有有权对乙方违违反本合同有有关条款或损损害派遣
19、员工工合法权益的的行为提出书书面意见,进进行交涉。乙乙方应在收到到甲方书面意意见后六个工工作日内,以以书面形式回回复甲方。 (2) Partyy A iss entiitled to brring fforwarrd itss opinnions in wrrittenn whenn Partty B vviolattes thhis Coontracct or damagges thhe leggal riights of thhe outtsourcced emmployeee. Annd Parrty B shalll replly in wrrittenn withhin siix (
20、6) workking ddays aafter it reeceivees thee aforrementtionedd writtten nnoticee madee by PParty A.(三)乙方若无无故拖欠派遣遣员工的工资资或借用费,甲甲方可随时无无条件解除本本合同,并向向乙方追索所所欠费用。(3) Parrty A is enntitleed to termiinate this contrract aat anyy timee for no reeason, and claimm for compeensatiion frrom Paarty BB, if Partyy B f
21、aails tto payy the outsoourcedd emplloyees wagges, or ffails to paay thee borrrowingg feess.工乙权可追相 (4) PParty A mayy offeer asssistannce too Partty B iin askking tthe ouutsourrced eemployyee too takee his liabiilitiees, iff the outsoourcedd emplloyee damagges thhe leggal riights of Paarty BB.第三章乙方方的
22、义务与权权利Chapterr threee thee obliigatioons annd rigghts oof Parrty b第九条 乙方方承担下列义义务:Articlee 9 Paarty BB shalll asssume tthe foollowiing obbligattions:(一)尊重派遣遣员工不同的的民族习惯和和宗教信抑,不不歧视派遣员员工。(1) too resppect tthe cuustom, reliigion and bbelieff of tthe ouutsourrced eemployyee, aand not too makee any discrri
23、minaation.(二)为派遣遣员工提供符符合中国政府府有关劳动保保护规定的工工作场所和条条件,确定其其工作岗位和和工作内容,并并依法为派遣遣员工提供各各项社会保险险及住房公积积金费用。否否则,产生的的后果由乙方方自行承担。 (2) sshall proviide thhe outtsourcced Emmployeee witth neccessarry worrking condiition whicch is in acccordancee withh the relevvant sstatuttes inn relaate too laboor prootectiion, annd

AAlso, Partyy B shhall ppay thhe soccial iinsuraance ppremiuums and hhousinng funnd forr the outsoourcedd emplloyee. Otheerwisee, Parrty B willl be rresponnsiblee for the rresultts ariising thereefrom. (三)实实行每天
25、工作作不超过8小小时,每周工工作不超过440小时的标标准工时制,如如遇特殊情况况需派遣员工工延长工作时时间,乙方须须依法支付加加班费。(3) Parrty B practtices the sstandaard woorkingg hourr systtem unnder wwhich the eemployyees sshall work for nno morre thaan eigght hoours aa day and nno morre thaan 40 hourrs a wweek. In casse of speciial siituatiion whhen Paarty BB
26、 has to exxtend workiing hoour, it shalll pay the ooutsouurced emplooyee oovertiime paay.(四)为派遣员员工提供差旅旅等补贴,具具体数额由乙乙方决定。 (4) shhall pprovidde thee outssourceed empployeee travvellinng alllowancce andd otheer bennefitss, the aamountt of tthe afforemeentionned alllowannce annd bennefitss willl be ddete
27、rmmined by Paarty BB.(五)保证派派遣员工的法法定节假日休休息。为借用用满一年以上上(含一年)的的员工每年安安排一次带薪薪休假,具体体休假天数按按乙方的规定定执行。 (5) SShall guaraantee that the ooutsouurced emplooyee ccan geet resst andd leavve durring tthe leegal hholidaays. SShall also arrannge onne paiid holliday for tthe ouutsourrced eemployyee whhose bborrowwing
28、pperiodd is oon andd overr one year. How long the lleave with pay oof thee outssourceed empployeee is willl be basedd on tthe reegulattions of Paarty BB.(六)按照国家家标准享受医医疗期及医疗期内的病假工资和和疾病救济费费。(6) shaall guuaranttee that the ooutsouurced emplooyee iis enttitledd to hhave mmedicaal treeatmennt perriod, an
29、d tto recceive sick wagess and diseaase reemedy durinng hiss mediical ttreatmment pperiodd.本条所列第(三三)、(四)、(五五)项内容,乙乙方可以规章章制度的形式式作具体规定定,也可与派派遣员工以协协议的形式作作具体约定。只只要不违反国国家法律、法法规,且送甲甲方备案,应应以规章制度度和协议为准准。The conntentss stippulateed in Clausse (3), (4) aand (55) conntaineed in this Articcle, ccan bee deteermi

SSuch RRules and RRegulaationss of PParty B or agreeement shalll prevvail, as loong ass theyy do nnot
31、 viiolatee any laws, decrrees oor reggulatiions oof thee statte, annd, haas beeen alrready sent to Paarty AA for recorrd.第十条乙方方享有如下权权利:Articlee 10 PParty B shaall haave thhe folllowinng rigghts:(一)对决定定借用的员工工可以规定试试用期,试用用期限应根据据借用期限确确定:1借用期期在6个月以以下的,试用用期不超过115日;2借用期期在6个月以以上1年以下下的,试用期期不超过300日;3借用期期在1年以上
32、上3年以下的,试试用期不超过过60日;4借用期期在3年以上的,试试用期最长不不超过6个月月。试用期内,乙乙方对不符合合要求者,有有权终止试用用,但应支付付试用期的借借用费(含社社会保险及住住房公积金费费用)。试用用期满,所派派遣员工自动动转为正式派派遣员工,其其借用期自试试用之日起计计算。 (1) may deecide the pprobattion pperiodd of tthe ouutsourrced eemployyee baased oon thee borrrowingg periiod: a. Whhere the bborrowwing pperiodd of tthe ouutsourrced eemployyee iss moree thann six (6) monthhs butt lesss thann one year, the probaation periood mayy not exceeed 30 days; c. Whhere the bbo
34、rrowwing pperiodd of tthe ouutsourrced eemployyee is more tthan oone yeear buut lesss thaan thrree yeears, the pprobattion pperiodd may not eexceedd 60 ddays; d. Whhere the bborrowwing pperiodd of tthe ouutsourrced eemployyee is more tthan tthree yearss, thee probbationn periiod maay nott exceeed si
35、ix monnths.试用期内,乙方方对不符合要要求者,有权权终止试用,但但应支付试用用期的借用费费(含社会保保险及住房公公积金费用)。试试用期满,所所派遣员工自自动转为正式式派遣员工,其其借用期自试试用之日起计计算。Party BB may termiinate this contrract dduringg the probaation periood, hooweverr it sshall pay tthe boorrowiing feees duuring the pprobattion pperiodd (inccludinng soccial iinsuraance ppremi

The outsoourcedd emplloyee will autommaticaally bbecomee reguular ooutsouurced emplooyee aafter his pprobattion iis oveer, annd Thee starrt timme of the bborrowwing pperiodd shalll be the sttart ttime oof thee probbationn periiod.(二)在借用期期内,有解除除派遣员工和和解除本合同同的权利,但但应提前300天以书面形形
37、式通知甲方方和派遣员工工(派遣员工工在试用期内内除外),同同时按下列方方式向甲方一一次性支付补补偿费: 派遣员员工借用时间间每满一年,补补偿费为一个个月的借用费费,不足一年年的部分按一一年计算。补补偿费以派遣遣员工被退回回甲方当月的的借用费为计计算标准。补补偿费中包含含派遣员工被被解除劳动合合同的经济补补偿金。 (2) duuring the bborrowwing pperiodd, Parrty B is enntitleed to dismiiss thhe outtsourcced emmployeee andd termminatee thiss conttract, howeeve

In thhe meaanwhille, Paarty BB shalll payy Partty A tthe coompenssationn fee in onne lummp summ accoordingg to t
39、the foollowiing waays:The commpensaation fee sshall be paaid baased oon borrrowinng timme at the rrate oof onee montths wwage ffor eaach fuull yeear. AAny peeriod of noot lesss thaan onee yearr shalll be countted ass one year. The standdard oof commpensaation fee sshall be thhe borrrowinng feee of t
40、the saame moonth wwhen tthe ouutsourrced eemployyee iss retuurned to Paarty AA. The ccompennsatioon feee shalll inccludess the severrance pay oof thee outssourceed empployeee who is seent baack byy Partty B.(三)如派遣员员工因违反中中国法律、法法规和严重违违反乙方规定定(此规定对对派遣员工和和甲方应该是是公开的)被被解除借用,乙乙方经征求甲甲方意见后可可随时通知甲甲方和派遣员员工,并可不不
41、支付补偿费费。 (3) IIf thee outssourceed empployeee is rreturnned byy Partty B, by viirtue of viiolatiing thhe Chiinese laws, decrrees aand seerioussly viiolatiing thhe rulles annd reggulatiions (whichh shalll be publiic forr the emplooyee hhimsellf andd Partty A), afteer cheecks tthe oppinionn of PParty A
42、, Paarty BB may innform the eemployyee hiimselff and Partyy A abbout iits deecisioon at anytiime annd witthout any ccompennsatioon. (四)可与派派遣员工另行行签订个人协协议作为甲方方与派遣员工工劳动合同的的附件送甲方方备案,但该该协议不得违违反中华人民民共和国的有有关法律、法法规和本合同同内容。(4) Maay siggn thee indiividuaal agrreemennt witth thee outssourceed emplooyee,aand se

Howevver, ssuch agreeement shalll not violaate a mandaatory proviisionss of aany laaw, admiinistrrativee reguulatioon, orr termms andd condditionns of this contrract. (五)乙方有有权对甲方违违反本合同有有关条款的行行为提出书面面意见,并进进行交涉。甲甲方应在收到到乙方书面意意见后六个工工作日内,以以书面形式回回复乙方。 (5) Partyy B i

Partyy A shhall rreply Partyy B inn writtten wwithinn six (6) wworkinng dayys aftter itt receeives the nnoticee madee by PParty B.第四章 费用用及其结算Chapte
45、rr fourr the expennses aand teerm off paymment第十一条借借用费为每月月人民币 元。Articlee 11 Borroowing Fees is RRMB .第十二条乙乙方须于当月月20日前向向甲方支付月月借用费、补补偿费和年终终附加的工资资(乙方直接接支付派遣员员工工资的,须须于当月底前前向甲方支付付借用费的其其它部分),甲甲方收到后,于于次月6日支支付派遣员工工工资。以上上费用每逾期期10天按11%加付滞付付金。逾期330天的,甲甲方可视情况况提出索要违违约金_元,并解解除或终止本本合同,且不不属违约行为为,双方办理理相应手续。Articlee
46、12 PParty B shaall paay thee montthly bborrowwing ffee, ccompennsatioon feee and addittionall yearr-end bonuss befoore 200th of each monthh (if the ooutsouurced emplooyees is paaid byy Partty B ddirecttly, tthen PParty B jusst neeeds pay Partyy A thhe ballance amounnt of the bborrowwing ffees). Afte
47、er recceivinng thee paymment, Partyy A shhall ppay thhe outtsourcced emmployeee beffore 66th of the ffollowwing mmonth.In casee thatt Partty B ddelayss paymment, Partyy A iss entiitled to coollectt the ssurchaarge aat thee ratee of 11% of the ammount due ffor evvery 110 dayys dellayed. Whenn the day
48、s overddue exxceedss 30 ddays, then Partyy A iss entiitled to cllaim ffor RMMB as breacch of contrracts from Partyy B baased oon thee speccific situaation, and termiinatess thiss conttract or caancelss thiss conttract in thhe meaantimee. Andd suchh actiions sshall not bbe connstrueed as breacch of c
49、ontrracts. Besides, ttwo paartiess willl go tthrouggh thee releevant formaalitiees.第十三条加加班、加点费费用的计算方方法为:Articlee 13 The CCalcullationn Methhod foor thee Overrtime Paymeent工作日加点费=月工资221.75天天8小时实际加点时时间1500%;Overtimme on workiing daays: Monnthly wage21.755 dayss8 hrss actuual ovvertimme150%休息日、带带薪休假日加加
