3、 InthisAgreementexceptwhereadifferentinterpretationisclearfromornecessaryinthecontextthefollowingtermsshallhavethefollowingmeanings:在本协议中，除非从语境中可以得到一个清楚的不同解释或者必须从语境中得到某种不同的解释，否则以下词语应当具有如下含义：TheOCIMFfocusgroupreportingtothe"OCIMFChinaFocusGroup"responsibleforreviewingthetranslation.对“石油公司国际

4、海事论坛中国焦点小组”进行汇报的石油公司国际海事论坛焦点小组，负责复核翻译文本。1.2 AnyrefereneeinthisAgreementtoanystatuteorstatutoryprovisionshallbeconstruedasreferringtothatstatuteorstatutoryprovisionasitmayfromtimetotimebeamendedmodifiedextendedre-enactedorreplaced(whetherbeforeorafterthedateofthisAgreement)andincludingallsubordinatel

5、egislationfromtimetotimemadeunderit.在本协议中，对于任何法规或者法律规定的提及应当被理解为是对不时经过修订的、修改的、延期的、重新制定的或者被替代的(无论是在本协议生效日期之前还是之后)的法规或者法律规定的提及，应当包括依据所述法规或者法律规定不时修订的次级立法。1.3 Theexpression'copyright'shallincludetheentirecopyrightdesignrightrentalright,righttoauthoriseorprohibitlendinganddatabaserightsubsistingno

6、worcreatedatanytimeduringtheTermunderthelawsoftheUnitedKingdomandallanalogousrightssubsistingnoworcreatedatanytimeduringtheTermunderthelawsofeachandeveryotherjurisdictionthroughouttheTerritory.“版权”一词的表述应当包括现在存在或者在本协议期限内任何时间依据英国法律产生的所有版权、设计权、出租权、进行授权的权利、禁止出租的权利和数据权，以及现在存在或者在本协议期限内任何时间依据“英国领地”内其它司法管辖下

7、的法律产生的所有类似权利。2Recitals叙文2.1 ThePublisherhaswrittenEM3andistheownerofthecopyrightinit.出版单位写就有效系泊第三版，是该书版权的所有人2.2 ThePublisherhasagreedtogranttheTranslatortherighttotranslateEM3intoChinesesubjecttothetermsandconditionssetoutbelow.出版单位已经同意授权翻译单位根据下文的条款把该书翻译成汉语。2.3 ThePublisherhasagreedtopublishaChinese

8、translationofEM3subjecttothetermsandconditionssetoutbelow.出版单位已经同意根据下文的条款出版有效系泊第三版的汉语译本。3DeliveryandacceptanceoftheWork翻译工作的交付和接受3.1 ThePublishershallcompleteanddelivertotheTranslatornotlaterthanDateanelectronictemplateofEM3onCD（oranumberofCDsasrequested）formattedtohavetheEnglishlanguageversiononthe

9、lefthandpageandformattedspacesontherighthandpageforinsertingthetranslatedtext.出版单位应当制作有效系泊第三版的电子模板并放在一张光盘（或者根据要求放在多张光盘）内并在不迟于（日期）的期限内递交给翻译单位，模板的格式为左手页是英语版本，右手页空白，以待插入译文。4. Translation翻译TheTranslatorshallundertakethetranslationworkusingtheusingtheelectronictemplateprovidedonCD（oranumberofCDsasrequest

10、ed）.SectionsofthecompletedtranslationsshallbeuploadedelectronicallytoWSIL.4.1 翻译单位应当使用光盘（或者根据要求多张光盘）内提供的电子模板来从事翻译工作。翻译后的译文段落应当通过电子方式上传给WSIL。WhenallsectionsofthetranslationhavebeenuploadedtoWSIL,WSIL（onbehalfofthePublisher）shallproduceadrafttranslation.ThisdrafttranslationshallbesenttotheTranslatorfo

11、rcheckingandreview.所有的译文段落都上传给了WSIL后，WSIL（代表出版单位）应当制作一份译文草本。所述译文草本应当发送给翻译单位以供检查和审核。5. QualityControloftheTranslation翻译质量控制5.1 OnreceiptofthedrafttranslationtheTranslatorshallreviewandcheckthetranslation.翻译单位一收到译文草本后，应当复核、检查译文。5.2 OncompletionoftheTranslator'sreviewandcheckingofthedrafttranslatio

12、nanyamendmentsshallbesubmittedtoWSIL.翻译单位复核、检查完毕后，应当把所做的任何修正递交给WSIL。5.3 WISL,onbehalfofthePublisher,shallincorporatetheamendmentsandproduceareviseddrafttranslation.ThereviseddrafttranslationshallbeprovidedtotheOCIMFMandarinTranslationReviewFocusGroupforreviewandapproval.WSIL应当代表出版单位把修正内容并入译文草本并制作一份修

13、正后的译文草本。修正后的译文草本应当被提交给石油公司国际海事论坛汉语翻译复核焦点小组以供复核和批准。6. AcceptanceoftheTranslationforPublication同意译文出版6.1 ThecompletedtranslatedtextshallnotproceedtopublicationuntilboththePublisherandtheAuthorhaveconfirmedtheirapprovalwhichshallbeprovidedinwritingorbyreceiptedemail.6.1 完成的译文应当在得到出版单位和作者以书面方式或者收到电子邮件方式

14、做出的批准后，才可以付印。7. ProductionandPublication制作和出版7.1 Publication出版ThePublishershallunlessotherwiseagreedorunlesspreventedfromdoingsobycircumstancesbeyonditscontrolpublishtheChinesetranslationofEM3within3monthofreceivingthefinaliseddraftinthefollowingformat:-除非另有约定或者除非情形不为出版单位所能控制，否则出版单位应当以如下格式在收到最终确定的译文

15、文本后三个月内出版有效系泊第三版的中文译本：7.2 ThefrontandbackcoversoftheChinesetranslationofEM3willincludetheCCSlogoinequalprominencetotheOCIMFlogo.TheworkofCCSastheChinesetranslatorwillbeacknowledgedintheopeningpagesoftheChinesetranslationofEM3.有效系泊第三版汉语译本的封面和封底将有CCS标志，该标志的显眼程度和OCIMF标志一样。有效系泊第三版中文译本的首页将会承认这是中国船级社的作品，承

16、认其为该书的翻译。7.3 Printruns印刷数量Itisagreedthattheinitialprintrunshallbe2,000copies.AnysubsequentprintrunsshallbeagreedbetweenthePublisherandTranslator.TheChinesetranslationofEM3shallbeprintedwiththeassistanceofWSILtoensureconsistencyofqualitywithotherOCIMFpublications.协议双方约定，初版印数为2000本。之后的印刷数量应当由出版单位和翻译单位

17、的共同约定。有效系泊第三版的中文译本应当在WSIL的帮助下进行印刷，以便保证该书的质量与石油公司国际海事论坛的其它出版物保持一致。7.4 %CopiesfortheTranslator给翻译单位的本数百分比ThePublishersshallprovidetoTranslatorfreeofcharge25%ofallcopiesprintedoftheChineseTranslationofEM3.出版单位应当把有效系泊第三版中文译本全部本数的25%免费提供给翻译单位。7.5 Controlofpublication出版控制ThePublishershallhavewithinitscont

18、rolthepublicationsalesdistributingandstorageoftheMandarintranslationofEM3.出版单位应当控制有效系泊第三版中文译本的出版、销售、经销和储存。8. ProductionCostsofProducingtheChineseTranslationofEM3制作有效系泊第三版中文译本的成本8.1 ThePublisherwillpaythecostsofpublishingandprintingtheinitialprintrunof2,000copies.Theproductioncostsofanysubsequentprin

19、tsrunsshallbeagreedbetweenthePublisherandTranslator.出版单位将支付出版、印刷初版2000本有效系泊第三版中文译本的花费。之后印刷发生的制作成本应当由出版单位和翻译单位共同约定。8.2 ThecopiesoftheChinesetranslationofEM3notprovidedtotheTranslator(underCl.7.3)willbesoldanddistributedbyWSILasperotherOCIMFpublications.没有提供给翻译单位的有效系泊第三版中文译本(参见7.3条)将由WSIL按照石油公司国际海事组织其

20、它出版物的方法进行出售、经销。9. Publicationprice出版价格9.1 TheChinesetranslationofEM3willbesoldforthesamerecommendedretailpriceastheEnglishIanguageversionofEM3(currently£25percopy).有效系泊第三版中文译本的建议零售价格将和其英语版本的零售价格一样(当前价格为每本25英镑)10 Copyrightprotection版权保护NothinginthisagreementtransfersthecopyrightofEM3heldbythePub

21、lishertoanyotherparty.本协议的任何内容都没有把出版单位拥有的有效系泊第三版的版权转让给任何其它方。10.2 ThecopyrightintheChinesetranslationofEM3willbejointlyownedbythePublisherandtheTranslator.有效系泊第三版中文译本的版权归出版单位和翻译单位共同所有。10.3 ThePublisherwillensurethatallcopiesoftheChinesetranslationofEM3bearinaprominentpositionthejointownershipofthecop

22、yright.andtheyearoffirstpublication.出版单位将会确保有效系泊第三版中文译本的所有印本都在显著的位置标明版权是共同所有的，并标明首次出版的年份。11 Dealings交易ThePartiestothisagreementagreenottoassigntheirrespectivebenefitsofthisagreementwithoutthepriorwrittenconsentoftheotherparty.本协议各方约定，没有得到另一方的事先书面许可，不会转让各自在本协议项下的利益。12 Amendments/Abridgement修正/删节12.1

23、TheChinesetranslationprocessshallnotamendtheoriginaltextofEM3.汉语翻译过程中不得修改有效系泊第三版的原文本。12.2 NopartoftheChinesetranslationofEM3includingtext,drawingsphotographsorabridgedversionsorversionsinanywayalteredmaybetopublishedorlicensedtobepublishedwithoutthepriorwrittenconsentofboththePublisherandTranslator.

24、没有得到出版单位和翻译单位的事先书面许可，不得出版或者许可出版有效系泊第三版的中文译本的任何部分，包括文本、图纸、照片、删节本和通过任何方式经过修改的版本。13 Termination协议的终止13.1 Terminationbynotice发出通知终止协议EitherofthePartiesmaybywrittennoticetotheotherterminatethisbygivingreasonablenotice.一方可以通过给对方发出适当的书面通知来终止本协议。14 ConsequencesofTermination协议终止的后果14.1 IfthetranslationofEM3i

25、sunfinishedneitherpartymayuseanypartoftheunfinishedtranslationwithoutthewrittenagreementoftheotherparty.如果有效系泊第三版的翻译工作尚未结束，那么没有得到对方的书面许可，任意一方都不得使用未完译文的任意部分。14.2 ThePublishermayforaperiodof12monthsonanon-exclusivebasiscontinuetosellanycopiesofthepublishedChinesetranslationofEM3whichitstillhasinitscon

26、trolasatthedateofexpiryorterminationofthisAgreementsubjecttothe25%ofcopiesbeingprovidedtotheTranslatorinaccordancewithclause10.4.如果出版单位根据10.4条的规定，把印刷书本的25%提供给翻译单位之后，那么本协议到期后或者终止后的12个月内，出版单位可以把自己持有和控制的有效系泊第三版中文译本继续进行出售，但是出版单位的出售行为是非排他性的。15 Forcemajeure不可抗力15.1 Ifeitherpartyispreventedfromfulfillingit

27、sobligationsunderthisAgreementbyreasonofanysuperveningeventbeyonditscontrol(includingbutnotlimitedtowarnationalemergencyfloodearthquakestrikeorlockout(otherthanastrikeorlockoutinducedbythepartysoincapacitated)orillness)thepartyunabletofulfillitsobligations('theincapacitatedparty')shallimmedi

28、atelygivenoticeofthistotheotherpartyandshalldoeverythinginitspowertoresumefullperformanceofitsobligationsassoonaspossible如果协议的一方因为某种不为其所能控制的继发事件(包括但不限于战争、国家紧急状态、洪灾、地震、罢工或者封锁(除了未能履行义务的一方诱使发生的罢工或者封锁)或者疾病)的阻止，而未能履行本协议项下的义务，那么未能履行义务的一方应当立即把该种事宜告知对方，并尽快实施一切所能进行的作为来充分履行自身在本协议项下的义务。15.2 Subjecttocompliance

29、withtherequirementsofsub-clause15.1abovetheincapacitatedpartyshallnotbedeemedtobeinbreachofitsobligationsunderthisAgreementduringtheperiodofincapacityandtheotherpartyshallcontinuetoperformitsobligationsunderthisAgreementsaveonlyinsofarastheyaredependentonthepriorperformancebytheincapacitatedpartyofo

30、bligationswhichitcannotperformduringtheperiodofincapacity如果上述15.1条的规定得到符合，那么不得把未能履行义务的一方视为因为在其不能作为期间未能履行本协议项下的义务而违约，另一方应当继续履行其在本协议项下的义务，除非另一方在本协议项下的义务需要靠未能履行义务的一方事先履行其在不能作为期间无法履行的义务来作为前提。15.3 Iftheperiodofincapacityexceeds6monthsthenthisAgreementshallautomaticallyterminateunlessthepartiesfirstagreeo

31、therwiseinwriting如果不能作为期限超过6个月，那么本协议应当自动终止，除非各方首先另外出具书面许可。16 General总则16.2 Wholeagreement完整协议ThisAgreementcontainsthewholeagreementbetweenthepartiesandsupersedesanypriorwrittenororalagreementbetweentheminrelationtoitssubjectmatter本协议包含双方之间全部的约定并替代双方之前就合同标的达成的所有书面的和口头的约定。16.3 Assignment转让NeitherthePu

32、blishernortheTranslatormayassignthebenefitofnoritsobligationunderthisAgreementwithoutthepriorexpresswrittenconsentoftheotherparty.没有事先得到另一方书面形式出具的明确许可，出版单位或者翻译单位都不得转让其在本协议项下的利益和义务。16.4 ThirdParties第三方Thisagreementdoesnotcreateanyrightenforceablebyanypersonnotapartytoit.本协议不构成非本协议缔约一方的任何人员的任何可执行权利。16

33、.5 Reservationofrights权利保留AllrightsnotspecificallyandexpresslygrantedtotheTranslatorbythisAgreementarereservedtothePublisher.本协议没有专门规定、或者没有明确指出授予翻译单位的任何权利都由出版单位保留。16.6 Properlawandjurisdiction合适的法律和司法管辖ThisAgreementshallbegovernedbyEnglishlawineveryparticularincludingformationandinterpretationandshallbedeemedtohavebeenmadeinEnglandandthepartiesagreetosubmittotheexclusivejurisdict
