1、股权质押协议-英文版EquityPledgeAgreementThisEquityPledgeAgreement(Agreement”)sdatedisenteredintobyandbetweenxxxxxx,alimitedliabilitycompanyincorporatedunderthelawsof,havingitsregisteredofficeat(hereinafterreferredtoasPledgor”)andWuxiSuntechPowerCo;Ltd.alimitedliabilitycompanyregisteredunderthelawsofPeople

2、9;RtepubicofChina,havingitsregisteredofficeatNo.12XinhuaRoad,NewDistrict,WuxiCity,JiangsuProvinee,China(hereinafterreferredtoasPledgee”)."WHEREAS1. ThePledgorisshareholderof,legallyholding100%ofequityinterestofCompanySPV(EquityInterest”).2. ThePledgeeandthePledgorhaveexecutedaSupplyAgreementdat

3、ed(theSupplyAgreement”).PursuanttotheSupplyAgreement,thePledgorshallpaytothePledgee.3. AssecurityfortheoutstandingobligationsofthePledgorpursuanttotheSupplyAgreement,thePledgorhasagreedtograntthePledgeesecurityovertheEquityInterest.NOWTHEREFORE,thePledgorandthePledgeethroughmutualnegotiationherebyen

4、terintothisagreementbaseduponthesefollowingterms:1. Definitions1.1 Pledge:shallrefertothesecurityinterestgrantedbyPledgortoPledgeepursuanttoArticle2ofthisAgreement,i.e.,therightofPledgeetobecompensatedonapreferentialbasiswiththeconversion,auctionorsalespriceoftheEquityInterest.1.2 EquityInterest:sha

5、llrefertoalloftheequityinterestlawfullynowheldandhereafteracquiredbyPledgorinCompany.2. ThePledgeThepledgorherebypledgetheEquityInteresttothePledgeeasasecurityfortheobligationsofthePledgorundertheSupplyAgreement(the“Pledge”).Pursuantthereto,thePledgeeshallhavepriorityinreceivingpaymentsfromtheevalua

6、tionortheproceedsfromtheauctionorsaleoftheEquityInterest.TheEquityInterestshallhereinafterbereferredtoasthe“PledgedColla3. TermofPledge3.1 ThePledgeshalltakeeffectasofthisAgreementDate,andshallexpiretwo(2)yearsfromthePledgor'ssatisfactionofallitsobligationsundertheConsultingServicesAgreement(the

7、Term”).3.2 DuringtheTerm,thePledgeeshallbeentitledtovote,control,sell,ordisposeofthePledgedCollateralinaccordaneewiththisAgreementintheeventthatthePledgeedoesnotperformitsobligationsundertheSupplyAgreement,includingwithoutlimitationsthreefailurestopayundertheSupplyAgreement.3.3 DuringtheTerm,thePled

8、geeshallbeentitledtocollectanyandalldividendsdeclaredor1/6股权质押协议-英文版paidinconnectionwiththePledgedCollateral.4. PledgeProcedureandRegistrationThePledgeshallberecordedintheCompanySPVegisterof'SshaRreholders.ThePledgorshall,withinten(10)daysafterthedateofthisAgreement,processtheregistrationprocedu

9、reswiththeAdministrationforIndustryandCommerceconcerningthePledge.5. RepresentationandWarrantiesofPledgor5.1 ThePledgoristhesolelegalandbeneficialownerofthePledgedCollateral.5.2 PledgeeshallhavetherighttodisposeofandtransfertheEquityInterestinaccordancewiththeprovisionsetforthinthisAgreement.5.3 Oth

10、erthantothePledgee,thePledgorhavenotpledgedthePledgedCollateraltoanyotherparty,andthePledgedCollateralisnotencumberedtoanyotherparty.6. CovenantsofPledgor6.1 DuringtheTerm,thePledgorrepresentsandwarrantstothePledgeeforthePledgee'sbenefitthatthePledgorshall:6.1.1 NottransferorassignthePledgedColl

11、ateral,norcreateorpermittocreateanypledgeorencumbrancetothePledgedCollateralwhichmayadverselyaffecttherightsand/orbenefitsofthePledgeewithoutthePledgee'spriorwrittenconsent.6.1.2 ComplywiththeprovisionsofalllawsandregulationswithrespecttothePledgeofright;presenttoPledgeeanynotices,ordersoradvise

12、mentswithrespecttothePledgethatmaybeissuedormadebyacompetentPRCauthoritywithinfive(5)daysuponreceivingsuchnotices,ordersoradvisements;complywithsuchnotices,ordersoradvisements;orobjecttotheforegoingmattersuponthereasonablerequestofthePledgeeorwithconsentfromthePledgee.6.1.3 TimelynotifythePledgeeofa

13、nyeventswhichmayaffectthePledgedCollateralorthePledgors'rightsthereto,orwhichmaychangeanyofthePledgors'warrantiesoraffectthePledgor'sperformanceoftheirobligationsunderthisAgreement.6.2 ThePledgoragreesthatthePledgee'sstorigthhetPledgepursuanttothisAgreementshallnotbesuspendedorinhibi

14、tedbyanylegalproceedingsinitiatedbythePledgor,jointlyorseparately,orbyanysuccessoroforanypersonauthorizedbythePledgor.6.3 ThePledgorrepresentsandwarrantstothePledgeethatinordertoprotectandperfectthesecurityforthepaymentoftheConsultingServicesFee,thePledgorsshallexecuteingoodfaithandcauseotherparties

15、whohaveinterestsinthePledgedCollateraltoexecuteallthetitlecertificates,contracts,andperformactionsandcauseotherpartieswhohaveintereststotakeaction,asrequiredbythePledgee.6.4 ThePledgorrepresentsandwarrantstothePledgeeoritsappointedrepresentative(whetheranaturalpersonoralegalentity)thattheywillexecut

16、eallapplicableandrequiredamendmentsinconnectionwiththeregistrationofthePledge,andwithinareasonableamountoftimeuponrequest,providetherelevantnotice,orderanddecisionregardingsuchregistrationtothePledgee.6.5 ThePledgorrepresentsandwarrantstothePledgeethattheywillabidebyandperformallrelevantguarantees,c

17、ovenants,warranties,representationsandconditionsnecessarytoinsuretherightsofthePledgeeunderthisAgreement.ThePledgorshallcompensateallthelossessufferedbythePledgeeasaresultofthePledgor'sfailuretoperformanysuchguarantees,covenants,warranties,representationsorconditions.7. EventsofDefault.7.1 Theoc

18、currenceofanyoneofthefollowingeventsshallberegardedasan“EventofDefault”:7.1.1 ThisAgreementisdeemedillegalbyagoverningauthorityofthePRC,orthePledgorisincapableofcontinuingtoperformtheobligationshereinduetoanyreasonexceptforcemajeure;7.1.2 ThePledgorfailstotimelypayinfullasrequiredundertheSupplyAgree

19、ment;7.1.3 ThePledgormakesanymateriallyfalseormisleadingrepresentationsorwarrantiesunderSection5herein,orbreachesanywarrantiesunderSection5herein;7.1.4 ThePledgorbreachesthecovenantsunderSection6herein;7.1.5 ThePledgorbreachesanytermsandconditionsofthisAgreement;7.1.6 ThePledgortransfersorassigns,ca

20、usetobetransferredorassigned,orotherwiseabandonsthePledgedCollateralwithoutthepriorwrittenconsentofthePledgee;7.1.7 ThePledgorisincapableofrepayingdebt;7.1.8 TheassetsoftheCompanySPVareadverselyaffectedsoastocausethePledgeetobelievethatsuchPledgor'sabilitytoperformtheobligationshereinisadversely

21、affected;7.1.9 ThesuccessorsoragentsoftheCompanySPVrefuse,orareonlypartlyable,toperformthepaymentobligationsundertheSupplyAgreement;7.2ThePledgorshallimmediatelygiveawrittennoticetothePledgeeifthePledgorisawareofordiscoversthatanyeventunderSection7.1herein,oranyeventthatmayresultinanyoneoftheforegoi

22、ngevents,hasoccurredorislikelytooccur.7.3UnlessanEventofDefaulthasbeenresolvedtothePledgee'ssatisfactionwithin15daysofitsoccurrence(the“CurePeriod”),thePledgeemay,atanytimethereafter,giveawrittendefaultnotice(the“DefaultNotice”)tothePledgorandrequirethePledgortoimmediatelymakefullpaymentofthethe

23、noutstandingpaymentsandanyotheroutstandingpayablesundertheSupplyAgreement.8. ExerciseofPledge8.1 PriortothefullpaymentundertheSupplyAgreement,withoutthePledgee'swrittenconsent,thePledgorshallnotassignthePledgeortheEquityInterestinCompanySPV.8.2 PledgeemayissueaNoticeofDefaulttothePledgorwhenexer

24、cisingthePledge.8.3 Subjecttotheprovisionsof7.3,PledgeemayexercisetherighttoenforcethePledgeconcurrentlywiththeissuanceoftheNoticeofDefaultinaccordancewithSection7.2oratanytimeaftertheissuanceoftheNoticeofDefault.OncePledgeeelectstoenforcethePledge,thePledgorshallceasetobeentitledtoanyrightsorintere

25、stsassociatedwithEquityInterest.8.4 Intheeventofdefault,PledgeeisentitledtotakepossessionoftheEquityInterestpledgedhereunderandtodisposeoftheEquityInterest,totheextentpermittedandinaccordancewithapplicablelaws,withoutobligationtoaccounttoPledgorforproceedsofdispositionandPledgorherebywaivesanyrights

26、itmayhavetodemandanysuchaccountingfromPledgee.Likewise,insuchcircumstancePledgorshallhavenoobligationtoPledgeeforanydeficiencyremainingaftersuchdispositionoftheEquityInterest.8.5 WhenPledgeedisposesofthePledgeinaccordancewiththisAgreement,PledgorandtheCompanySPVshallprovidenecessaryassistancetoenabl

27、ePledgeetoenforcethePledgeinaccordancewiththisAgreement.9. Assignment9.1 ThePledgorshallnotassignorotherwisetransfertherightsandobligationshereinwithoutthePledgee'spriorwrittenconsent.9.2 ThisAgreementshallbebindinguponthePledgoranditsrespectivesuccessors,andshallbebindingonthePledgeeandeachofit

28、ssuccessorandassignees.9.3 UponthetransferorassignmentbythePledgeeofanyorallofitsrightsandobligationsundertheConsultingServiceAgreement,thePledgeereeor'assigtrnaenesfsehallenjoyandundertakethesamerightsandobligationsasthePledgeeunderthisAgreement.ThePledgorshallbenotifiedofanysuchtransferorassig

29、nmentbywrittennoticeandattherequestofthePledgee,thePledgorshallexecutesuchrelevantagreementsand/ordocumentswithrespecttosuchtransferorassignment.9.4 IntheeventofthePledgee'schangeincontrolresultinginthetarassnisgfnemroerntofthisAgreement,thesuccessortothePledgeeandthePledgorsshallexecuteanewequi

30、typledgeagreement.10. Formalities,FeesandOtherCharges10.1 ThePledgorshallberesponsibleforallthefeesandexpensesinrelationtothisAgreement,including,butnotlimited,tolegalfees,costofproduction,stamptaxandanyothertaxesandcharges.IfthePledgeepaystherelevanttaxesinaccordancewithapplicablelaw,thePledgorshal

31、lfullyreimbursethePledgeeofsuchtaxes.10.2 ThePledgorshallberesponsibleforallexpenses(including,butnotlimitedto,anytaxes,applicationfees,managementfees,litigationcosts,attorney'sfees,andvariousinsurancepremiumsinconnectionwiththedispositionofthePledge)incurredbythePledgeeinitsrecoursetocollectfro

32、mthePledgorarisingfromthePledgor'sfailuretopayanyrelevanttaxesandfees.11. ForceMajeure11.1 “ForceMajeure”shallinclude,butnotbelimited,toactsofgovernments,oafcntsature,fire,explosion,typhoon,flood,earthquake,tide,lightning,war,andanyunforeseeneventsbeyondaParty'sreasonablecontwrohliocrhcannot

33、bepreventedwithreasonablecare.However,anyshortageofcredit,capitalorfinanceshallnotberegardedasaneventbeyondaParty'sreasonablecontrol.APartyaffectedbyForceMajeureshallpromptlynotifytheotherPartiesofsucheventinordertobeexemptedfromsuchParty'sobligationsunderthisAgreement.11.2 Intheeventthatthe

34、affectedPartyisdelayedorpreventedfromperformingitsobligationsunderthisAgreementduetoForceMajeure,theaffectedPartyshallnotberesponsibleforanydamagecausedbythedelayorpreventionofsuchperformance,aslongassuchdamageiswithinthescopeofsuchdelayorprevention.TheaffectedPartyshalltakeappropriatemeanstominimiz

35、eorremovetheeffectsofForceMajeureandattempttoresumeperformanceoftheobligationsdelayedorpreventedbyForceMajeure.WhensuchForceMajeureceasestoexist,bothPartiescovenantandagreetoresumetheperformanceofthisAgreementwiththeirbestefforts.12. ConfidentialityThePartiesherebyacknowledgeandagreetoensuretheconfi

36、dentialityofalloralandwrittenmaterialsexchangedrelatingtothisAgreement.NoPartyshalldiscloseanyconfidentialinformationtoanyotherthirdpartywithouttheotherParties'unplreiossrw:(raitt)enapproval,suchinformationwasinthepublicdomainatthetimeitwascommunicated(unlessitenteredthepublicdomainwithouttheaut

37、horizationofthedisclosingParty);(b)thedisclosurewasinresponsetotherelevantlaws,regulations,orstockexchangerules;or(c)thedisclosurewasrequiredbyanyoftheParty'slegalcounselorfinancialconsultantforthepurposeofthetransactionunderlyingthisAgreement.However,suchlegalcounseland/orfinancialconsultantsha

38、llalsocomplywiththeconfidentialityasstatedhereof.ThedisclosureofconfidentialinformationbyemployeesoragentsofthedisclosingPartyisdeemedtobeanactofthedisclosingParty,andsuchdisclosingPartyshallbearallliabilitiesforanybreachofconfidentiality.13. DisputeResolution13.1 ThisAgreementshallbegovernedbyandco

39、nstruedinaccordancewiththelawsofthePRC.13.2 ThePartiesshallstrivetoresolveanydisputesarisingfromtheinterpretationorperformanceofthisAgreementthroughamicablenegotiations.Ifadisputecannotbesettled,anyPartymaysubmitsuchdisputetoChinaInternationalEconomicandTradeArbitrationCommission(“CIETAC”)forarbitra

40、tion.ThearbitrationshallabidebythethencurrentrulesofCIETAC,andthearbitrationproceedingsshallbeconductedinBeijing,ChinainChinese.ThedecisionofCIETAshallbefinalandbindingupontheparties.14. Notices14.1 Anynoticegivenbythepartiesheretoforthepurposeofperformingtherightsandobligationshereundershallbeinwri

41、ting.Ifsuchnoticeisdeliveredbymessenger,thetimeofreceiptisthetimewhensuchnoticeisreceivedbytheaddressee;ifsuchnoticeistransmittedbyfacsimile,thetimeofreceiptisthetimewhensuchnoticeistransmitted.Ifthenoticedoesnotreachtheaddresseebytheendofthebusinessday,thefollowingbusinessdayshallbethedateofreceipt.Theplace
